6.3.1 Facilities Extension Agreement

This Agreement is made between The City of Fort Worth, hereinafter called "Customer" and Oncor Electric Delivery
Company, LLC, a Delaware Limited Liability Company, hereinafter called "Company" for the extension of Company
Delivery System facilities, as hereinafter described, to the Customer's Westside Water Treatment Plant located at 12200
Old Weatherford, Fort Worth, Texas.
The Company has received a request for the extension of:
STANDARD DELIVERY SYSTEM FACILITIES TO NON-RESIDENTIAL DEVELOPMENT
Company shall extend standard Delivery System facilities necessary to serve Customer's estimated
maximum demand requirement of 4,500 kW ("Contract kW"). The Delivery System facilities installed
hereunder will be of the character commonly described as 2400/4160 volt, 3 phase, at 60 hertz, with
reasonable variation to be allowed
NON-STANDARD DELIVERY SYSTEM FACILITIES TO NON-RESIDENTIAL DEVELOPMENT
Company agrees to provide service to Customer with four 2500 kVA pad mounted transformers. The point
of service between the Customer and the Company will be the load side bushings of Company's pad
mounted metering units. Customer's facilities shall be installed in such a manner as to provide a split bus
configuration, which will not permit the parallel connection of Company's transformers at any time under
any condition. Customer shall control the use of electric power so that under normal conditions the
Customer's electrical load is reasonably balanced between the transformers. Should Company determine
that the Customer's facilities are operating in a manner other than that permitted herein, Customer agrees
to take corrective action necessary to meet aforesaid conditions of service.
Company agrees to provide service to Customer with an alternate feed using a Company owned and
operated automatic throwover switch for a load not to exceed 4,500 kW. Should Customer request an
alternate feed for a load in excess of 4,500 kW or if Customer's load on the alternate feed exceeds 4,500
kIV, Customer agrees to pay Company for the costs associated with providing such service in accordance
with Company's Tariff for Electric Service,
ARTICLE I -PAYMENT BY CUSTOMER
At the time of acceptance of this Agreement by Customer, Customer will pay to Company $802,912.81 as payment for the
Customer's portion of the cost of the extension of Company facilities, in accordance with Company's Facilities Extension
Policy, such payment to be and remain the property of the Company. Should Company not receive payment of
$802,912.81 by December 21, 2009, a new payment amount will be determined by Company.
ARTICLE II -NON-UTILIZATION CLAUSE FOR STANDARD DELIVERY SYSTEM FACILITIES
This Article II applies only to the installation of standard Delivery System facilities.
The amount of Contribution in Aid of Construction ("CIAC") to be paid by Customer under Article I above is
calculated based on the estimated data supplied by Customer or Customer's representative and specified
above. Company will conduct a review of the actual load at the designated location to determine the accuracy
of the estimated data supplied by Customer or Customer's representative. If, within two (2) years after
Company completes the extension of Delivery System facilities, the estimated load as measured by actual
maximum kW billing demand at said location has not materialized, Company will re -calculate the CIAC based
on actual maximum kW billing demand realized. The installation of a Company meter in connection with
Temporary Delivery Service does not constitute substantial completion.
Customer will pay to Company a "non -utilization charge" in an amount equal to the difference between the
recalculated CIAC amount and the amount paid by Customer under Article I, above. Company's invoice to
Customer for such "non -utilization charge" is due and payable within fifteen (15) days after the date of the
invoice.

ARTICLE III -TITLE AND OWNERSHIP
Company at all times shall have title to and complete ownership and control over the Delivery System facilities extended
under this Agreement.
Delivery service is not provided under this Agreement. However, Customer understands that, as a result of the
installation provided for in this Agreement, the Delivery of Electric Power and Energy by Company to the specified location
will be provided in accordance with Rate Schedule 6.1.1.3 — Secondary Service Greater Than 10 kW, which may from
time to time be amended or succeeded.
This Agreement
supersedes
all previous agreements or representations, either written
or oral, between Company and
Customer made
with respect
to the matters herein contained, and when duly executed
constitutes the agreement between
the parties hereto and is not
binding upon Company unless and until signed by one of
its duly authorized representatives.
ARTICLE V -OTHER SPECIAL CONDITIONS
Customer agrees to install the required on site electrical conduits and equipment pads according to Company design
standards and specifications.
Customer has disclosed to Company all underground facilities owned by Customer or any other party that is not a public
utility or governmental entity, that are located within real property owned by Customer. In the event that Customer has
failed to do so, or in the event of the existence of such facilities of which Customer has no knowledge, Company, its
agents and contractors, shall have no liability, of any nature whatsoever, to Customer for any actual or consequential
damages resulting from damage to such undisclosed or unknown facilities.

SUBJECT: Authorize Payment in the Amount of $802,912.81 to Oncor Electric Delivery Company,
LLC, for Electrical Service to the Westside Water Treatment Plant
RECOMMENDATION:
It is recommended that the City Council authorize the City Manager to approve payment in the
amount of $802,912.81 to Oncor Electric Delivery Company, LLC, for the extension of Company
Delivery System facilities to provide dual feed electrical service to the Westside Water Treatment
Plant.
DISCUSSION:
The construction of the 12 million gallon per day Westside Water Treatment plant began in August
2009, and is scheduled to be completed in 2012. This plant is designed to improve water system
reliability for existing customers and meet water demands of future customers in west Fort Worth.
As part of the work under this Agreement, Oncor Electric Delivery Company, LLC, will be required to
provide electrical service with backup reserve capacity for the Westside Water Treatment Plant. This
service agreement is for the extension of Company Delivery System facilities and is based on total
connected load and will include the installation of four 2500 KVA pad mounted transformers, metering
units, service conductors and automatic switchover capabilities between primary and backup feeders.
This project is located in the City's Extra Territorial Jurisdiction, one quarter mile west of the
intersection of Old Weatherford and Chapin Road in unincorporated Tarrant County, Mapsco 71 F.
FISCAL INFORMATION/CERTIFICATION:
The Financial Management Services Director certifies that funds are available in the current capital
budget, as appropriated, of the Water Capital Projects Fund.
