(hereinafter referred to as Contractor)

That in consideration of the Contractor's promise to:
(1) Reimburse Safe Cities $3300.00 for a minimum of 66 participants at $50.00 each enrolled in course.
Safe City Commission agrees to:
(1) Provide all course materials and handouts necessary for successful completion of the courses.
(2) Provide certificates for all participants who attend the full 16 hours and successfully complete the course.
(3) Provide TCLEOSE report of training.
(4) Provide online registration to contract participants and participants not from contract agency

(1) Either party may terminate this contract at any time by giving written notice to the contractor orinowoompet the

(2) This contract contains the entire agreement between the parties relating to the rights herein granted and the
obligations herein assumed. Any oral representations or modifications concerning this instrument shall be of no
force or effect excepting a subsequent modification in writing, signed by the parties or their representative and
attached hereto.
(3) This agreement constitutes the only agreement of the parties and supersedes any prior understanding or written or
oral agreements between the parties respecting the within subject matter.
(4) This agreement shall be construed under and in accordance with the laws of the State of Texas, and all
obligations of the parties.
(5) It is expressly understood and agreed in that the execution of this contract, neither party waives or shall be deemed
hereby to waive immunity. The parties agree that nothing in the contract waives any immunity, protection, right,
limitation or cap on damages, as recognized in the Texas Tort Claims Act as to either of the parties, or as to any third
party.
(� Each party shall operate hereunder as an independent contractor and not as an officer, agent, servant or employee of the
other party.
(7) No waiver by the parties hereto of any default or breach or the failure to insist upon the performance of any term,
condition, provisions or covenant of this contract shall be deemed to be a waiver or relinquishment to any extent of
any other breach of the same or any other term, condition, provision, or covenant herein or the right of the parties to
asset or rely upon any such term.
(8) The undersigned officers and/or agents of the parties hereto are the properly authorized officials and have the necessary
i authority to execute phis contract on behalf of the parties hereto.
