THIS Subordinate License Agreement ("License") is made and entered into by and
between Stockyards 2000, L.P., a Texas limited partnership, acting by and through Don Jury for
its general partner, Stockyards 2000, Inc., a Texas corporation ("Licensor") and the CITY OF
FORT WORTH, TEXAS, acting by and through its duly authorized City Manager or Assistant
City Manager ("Licensee"), as of the date on which this Agreement is executed by the last to
sign of Licensor and Licensee ("Effective Date").
RECITALS
WHEREAS, Licensor has purchased from Licensee a tract of land containing
approximately 16, 698 square feet of land out of Lot 2, Truckers Subdivision, according to the
map recorded in Volume 2046, Page 65 Deed Records, Tarrant County, Texas, together with any
easements, rights -of --way, licenses, interests, and rights appurtenant thereto (collectively, the
"Property"), as shown and more particularly described on the attached Exhibit "A", incorporated
herein for all purposes;
WHEREAS, Licensee has retained ownership of and maintenance responsibilities for
three (3) street lights currently sited on the Property ("Lights"); and
WHEREAS, Licensor has agreed to grant anon -exclusive license to Licensee in order
thLit the Lights may remain sited in their current location on the Property and so that Licensee
may enter the Property to effect maintenance and continued operation of the Lights.
NOW, THEREFORE, for and in consideration of the mutual agreements herein
payments stated herein and other good and valuable consideration paid, the receipt and
sufficiency of which are hereby acknowledged, the parties agree as follows:
1. GRANT OF LICENSE. Licensor, as owner of the Property, does hereby grant unto the
Licensee, its legal representatives and successors, a nonexclusive License (hereinafter referred to
as the "License") for the purpose of siting the Lights at their current location on the Property, and
for the purpose of maintaining and operating the Lights.
2. TERM. This License shall be in effect and continue so long as the Lights are sited on
the Property, unless terminated earlier as allowed under the Default and Termination Section of
this License.
3. INTERFERENCE. The License granted shall be used and enjoyed in such a manner as
to cause the least possible interference with the use of the Property by Licensor.

4. LIENS. Licensee will not cause or permit any mechanics' liens or other liens to be filed
against the Property by reason of any work, labor, services, or materials supplied or claimed to
have been supplied to Licensee. If such a mechanic's lien or materialman's lien is recorded
against the Property, Licensee must either cause it to be removed or, if Licensee in good faith
wishes to contest the lien, take timely action to do so, at Licensee's sole expense.

A. Event of Default. Licensee shall be in default of this License if any of its duties and
obligations set forth in any portion of this License are not performed ("Event of Default").
B. Notice to Cure. If Licensor determines that an Event of Default has occurred,
Licensor shall provide a written notice to Licensee that describes the nature of the Event of
Default. Licensee shall have ninety (90) calendar days from the date of receipt of this written
notice to fully cure or have cured the Event of Default. If Licensee reasonably believes that
Licensee will require additional time to cure the Event of Default, Licensee shall promptly notify
Licensor in writing, in which case Licensee shall have thirty (30) calendar days from the original
date of receipt of the written notice to cure.
C. Termination for Event of Default. If an Event of Default has not been cured
within the time frame specifically allowed under Section 5, Licensor shall have the right to
terminate this License immediately.
6. INDEMNIFICATION.
LICENSOR, AT LICENSOR'S OWN EXPENSE, SHALL INDEMNIFY, DEFEND
(WITH COUNSEL REASONABLY ACCEPTABLE TO THE INDEMNIFIED PARTIES
HEREIN) AND HOLD HARMLESS LICENSEE AND ITS OFFICERS, AGENTS,
SERVANTS, EMPLOYEES AND CONTRACTORS, FROM AND AGAINST ANY CLAIM,
LAWSUIT OR OTHER ACTION FOR DAMAGES OFANY KIND, INCLUDING, BUT NOT
LIMITED TO, PROPERTY LOSS, PROPERTY DAMAGE AND/OR PERSONAL INJURY
OF ANY KIND, INCL UDING DEATH, TO ANY AND ALL PERSONS, OF ANY KIND OR
CHARACTER, WHETHER REAL OR ASSERTED, TO THE EXTENT (i) CAUSED BY
THE NEGLIGENT OR WILLFUL ACT(S) OR OMISSION(S) OF LICENSOR, ITS
OFFICERS, AGENTS, SERVANTS, EMPLOYEES, CONTRACTORS AND/OR
SUBCONTRACTORS, AND (ii) ARISING OUT OF, OCCASIONED BY OR RELATED TO
THE PERFORMANCE OF THIS AGREEMENT.
7. NOTICES.
All written notices called for or required by this License shall be addressed to the following, or
such other party or address as either party designates in writing, by certified mail, postage prepaid,
or by hand delivery:

8. GOVERNING LAW. This License shall be construed in accordance and governed by
Federal Law and any applicable laws of the State of Texas.
9. CONTRACT CONSTRUCTION. The parties acknowledge that each party and, if it so
chooses, its counsel have reviewed and revised this License and that the normal rule of
construction to the effect that any ambiguities are to be resolved against the drafting party must
not be employed in the interpretation of this Agreement or any amendments or exhibits hereto.
10. NO THIRD -PARTY BENEFICIARIES. This License shall inure only to the benefit of
the parties hereto and third persons not privy hereto shall not, in any form or manner, be
considered a third party beneficiary of this License. Each party hereto shall be solely responsible
for the fulfillment of its own contracts or commitments.
11. SEVERABILITY. The provisions of this License are severable, and if any word,
phrase, clause, sentence, paragraph, section or other part of this License or the application
thereof to any person or circumstance shall ever be held by any court of competent jurisdiction to
be invalid or unconstitutional for any reason, the remainder of this License and the application of
such word, phrase, clause, sentence, paragraph, section, or other part of this License to other
persons or circumstances shall not be affected thereby and this License shall be construed as if
such invalid or unconstitutional portion had never been contained therein.
12. VENUE AND JURISDICTION. If any action, whether real or asserted, at law
or in equity, arises on the basis of any provision of this License, venue for such action shall lie in
Tarrant County. This License shall be construed in accordance with Federal law and any
applicable laws of the State of Texas.
13. COMPLIANCE WITH LAW. Licensee, its officers, agents, employees,
contractors and subcontractors, shall abide by and comply with all laws, federal, state and local,
including the Charter and all ordinances, rules and regulations of the City. It is agreed and
understood that, if City calls the attention of Licensee to any such violations on the part of
Licensee, its officers, agents, employees, contractors or subcontractors, then Licensee shall
immediately desist from and correct such violation.

14. GOVERNMENTAL POWERS. It is understood that by execution of this
License, the City does not waive or surrender any of it governmental powers.
15. ENTIRE CONTRACT. This License (including the attached exhibit)
contains the entire License between City and Licensee, and no oral statements or prior written
matter not specifically incorporated herein is of any force and effect. No modifications are
binding on either party unless set forth in a document executed by that parry.
16. COUNTERPARTS. This License may be executed in several counterparts, all
of which when taken together shall constitute one and the same agreement.
IN WITNESS WHEREOF, the parties have executed this Agreement to be effective as of
the date first above written in Fort Worth, Tarrant County, Texas.

Authorize a Contract for Sale of a Portion of Lot 2, Truckers Subdivision, Located East of North Main Street
on Rodeo Drive to Stockyards 2000, L.P., for $13,850.00
RECOMMENDATION:
It is recommended that the City Council:
1. Authorize execution of a contract for the direct sale of property consisting of approximately 16,698
square feet of land, which is a portion of Lot 2, Truckers Subdivision, located east of North Main Street on
Rodeo Drive to Stockyards 2000, L.P., in accordance with Texas Local Government Code 272.001 for the
appraised value of $13,850.00; and
2. Authorize the City Manager, or his designee, to execute and record the appropriate instruments
regarding the sale.
DISCUSSION:
The City of Fort Worth (City) acquired the property pursuant to M&C C-11290, approved on November 8,
1988. On February 12, 2002, (M&C C-18960) the City Council authorized a Lease Agreement for the
property with Rodeo Plaza, Inc., (RPI) for the use, management and operation of the Cowtown Coliseum.
RPI is the current lessee of the property.
In January 2009, Stockyards 2000, L.P., submitted a request to purchase the property from the City. The
purchaser's development plans include its current continuous use in conjunction with the adjacent
business properties of Billy Bob's of Texas and the Fort Worth Stockyards Coliseum. Stockyards 2000,
L.P., and RPI have the same principal ownership.
As part of the sale, the purchaser agrees to enter into a License Agreement for the purpose of allowing the
City to continue street light maintenance until the lights are relocated. The purchaser agrees to purchase
the property for the total fair market value in the amount of $13,850.00, which was established through an
appraisal. The City will retain all mineral interests it may own in the property.
The Planning and Development Department has determined that the purchaser's development plan is
consistent with the City's Comprehensive Plan.
