AMENDMENT No.3
TO CITY SECRETARY CONTRACT
WHEREAS, the City of Fort Worth (CITY) and CH2M Hill
Engineers, Inc. , (ENGINEER) made and entered into City Secretary
Contract No. 50018, (the CONTRACT) which was authorized by M&C C-
28475 on the 14th day of November 2017 in the amount of
$282,822 . 00; and
WHEREAS, the CONTRACT was subsequently revised by: Amendment
No. 1 in the amount $77,296. 00 administratively authorized on
September 4, 2018 and Amendment No. 2 in the amount of $245,461. 00
which was authorized by M&C C-29039 on February 12, 2019; and
WHEREAS, the CONTRACT involves engineering services for the
following project:
Village Creek Biosolids Management and Beneficial Reuse
Facility Project Owner On-site Representation; and
WHEREAS, it has become necessary to execute Amendment No.3 to
the CONTRACT to include an increased scope of work and revised
fee.
NOW THEREFORE, CITY and ENGINEER, acting herein by and
through their duly authorized representatives, enter into the
following agreement, which amends the CONTRACT:

Article I of the CONTRACT is amended to include the
additional engineering services specified in a proposal dated May
11, 20201 a copy of which is attached hereto and incorporated
herein. The cost to City for the additional design services to be
performed by Engineer totals $539,620 .00 .
2 .
Article II of the CONTRACT is amended to provide for an
increase in the fee to be paid to Engineer for all work and
services performed under the Contract, as amended, so that the
total fee paid by the City for all work and services shall be an
amount of $1,145,199 .00.
3.
All other provisions of the Contract, which are not expressly
amended herein, shall remain in full force and effect.-- _-- -- -

SCOPE OF SERVICES FOR
VILLAGE CREEK BIOSOLIDS MANAGEMENT AND BENEFICIAL REUSE FACILITY
PROJECT UPDATE

AMENDMENT 3
The scope set forth herein defines the work to be performed by the ENGINEER in completing Amendment 3
related to the Village Creek Biosolids Management and Beneficial Reuse Facility Project Update (Project). Both
the CITY and ENGINEER have worked to clearly define the work to be performed and address the needs of the
Project.
WORK TO BE PERFORMED
Contract Number 50018 was executed by the CITY and ENGINEER on November 27, 2017, and Amended on
September 4, 2018 and February 25, 2019. ENGINEER has performed services in support of the Biosolids
Management and Beneficial Reuse Project in accordance with the contract including the scope of services. The
existing contract provides that the ENGINEER may perform additional services with specific direction from the
CITY Project Manager on a task by task, time and materials basis.
The scope of work tasks described in the originally executed agreement,Amendment 1, and Amendment 2 have
been completed. With the issuance of Amendment 3,Amendment 3 will define the entirety of Jacobs' ongoing
scope and work tasks. Remaining budget from previous tasks will be used in the performance of Amendment 3.
The purpose of this Amendment 3 is for the ENGINEER to perform additional services to support
implementation of the City's Project to Design, Build, Operate and Maintain Village Creek Water Reclamation
Facility Biosolids Management and Beneficial Reuse. Major tasks are as follows, with specific detail to follow:

5.1 Project Management
ENGINEER shall manage the team to ensure efficient and effective use of ENGINEER's and CITY's time and
resources. ENGINEER shall manage change,communicate effectively, coordinate internally and externally,and
proactively address issues with the CITY's Project Manager and others as necessary to make progress on the work.

5.1.1 Managing the Team

• Develop and implement Health and Safety Plan for CH2M/Jacobs staff on site.
5.1.2 Communications and Reporting
• Prepare invoices and submit monthly in the format requested by the CITY.
• Prepare and submit monthly invoices and progress reports in the format provided by the Water
Department.
• Project schedule will be based on and in response to the schedule provide by the Synagro DBO team.
Monthly schedule updates will not be included in the monthly progress report..
Task 5.1 ASSUMPTIONS
5.1.1 Managing the Team
• The only subconsultant on the project will be the materials testing provider.
5.1.2 Communications and Reporting
• Jacobs communications related to this scope of work will all run through the City's designated
point of contact.This point of contact will direct Jacobs regarding which deliverables should be
reviewed and schedule requirements for the reviews.Jacobs deliverables including review
comments will all be directed to this City point of contact for their use in responding to the
design-build (DB)team.
• 30 monthly progress reports describing work performed by Jacobs will be prepared.
Task 5.1 DELIVERABLES
5.1.1 No specific deliverables for this task
5.1.2 Communications and Reporting
• Monthly invoices and progress reports
• Monthly schedule updates.
5.2 Design Phase:
Jacobs(formally CH2M)will review the design documents at the milestones of 30, 60, 90,and 100- percent for
completeness and in relation to the Design-Build contract,Texas Water Development Board (TWDB)
requirements,and TCEQ requirements. At each milestone, pertinent engineering disciplines as noted below will
be included. At the end of each review,the comments will be compiled on Jacobs'standard QC form and
delivered to the City who can incorporate these comments into the formal City comments on each deliverable.

• Design review lead to attend one 4-hour workshop.
• Assumption: Level of Effort for the 90 Percent Review assumes that there are no major changes to the
design concept as presented in the 60 Percent Design Package.
100 Percent Progress
• Review 100-Percent drawings and specification prior to the meeting; review team will include all
appropriate engineering disciplines(architectural, process,structural,civil, HVAC,fire protection,
electrical, instrumentation and control).
• Review final submittal package to TWDB and TCEQ prior to submission,to include the final design
package and Engineering Design Report.
• Provide review comments to City on Jacobs'review form.
• Design review lead to attend one 4-hour workshop.

• Prefabricated Building Design—Review by structural and architectural disciplines for compliance with
local codes and TWDB requirements.
• Early Foundation Work Design—Review by geotechnical and structural engineers.
Monthly Progress Meetings
• Attend monthly progress meetings. Agenda and minutes prepared by others.
Contract and Pricing Review:
• Review contract document proposed addenda as needed.
• Review proposed addenda to anticipate effects to Guaranteed Maximum Price (GMP)and work with City
staff to develop mitigation actions to offset price increases.
Task 5.2 ASSUMPTIONS

Task 5.2 DELIVERABLES
• Comments to City for each Synagro document reviewed, provided on Jacobs'standard QC form, in
electronic format. Comments may also be provided in-document in "comments mode"for documents
provided electronically for review.
S.3 Construction Phase:
Jacobs will provide observation of construction activities, review construction submittals, provide specialty
inspections, and participate in construction progress meetings on an as-needed and City-directed basis to verify
compliance with the Design-Build Contract.Jacobs will also provide assistance during startup and commissioning
of the new equipment.
Jacobs'role during construction,startup,and commissioning is intended to be as part of the City's independent
Quality Assurance Program,and not as part of Synagro's Quality Management Program.Jacobs will provide the
City with verbal and/or written observations whenever it observes that the progress or quality of the construction
is believed not to be in conformance with the Performance Guarantee requirements and Technical Specifications.
Specific tasks will include:
• Assist in review of shop-drawings and construction submittals upon request of Owner.
• Attend and participate in monthly construction progress meetings.
• On-site engineering coordination and assistance during construction. Provide an engineer on-site to
provide observation assistance and coordination between the Synagro team and the City on construction
issues for the duration noted below. Site engineer will:
o Provide on-site technical representation to resolve issues encountered during construction.
o Coordinate and review submittals and requests for information (RFIs).
o Provide observation of the work by a technical resource to assist the City and Synagro in identifying
and resolving construction issues.
o Provide the capability to gather detailed field information (photos, sketches, etc.) for Jacobs
engineers to respond to construction issues.

o Provide a written report for each site visit during which field activity was observed.

this task is based on the assumed number of hours for each key discipline noted in the level of effort:

o Fire protection
o Electrical
o Instrumentation and control
• Coordinate Owner-directed testing and inspection services.Jacobs will provide oversite and guidance,
and relay testing results to Owner.
• Performance Testing and Startup—Jacobs will provide comments on Synagro's testing and startup
procedures/protocols.Comments will be made by Jacobs staff who have specific experience testing and
starting up similar dewatering and rotary drum dryer facilities.Jacobs will also observe the dewatering
and dryer performance testing and startup activities,and provide a written report of observations and
results to the City.
Task 5.3 ASSUMPTIONS
• On-site support level of effort is based on one half-day site visit per week(6 hours per week total, based
on a half-day at the site,and time to document and follow up on observations). Half of the site visits will
be performed by a senior engineer, and half by a mid-level engineer for 30 months,with completion by
the end of 2022.
• Level of effort assumes that one Jacobs employee will attend one 2-hour construction progress meeting
per month,to be held on the same day as the half-day site visits.
• Review of contractor pay applications is not included.
• Level of effort for Testing services is assumed at an allowance value of$45,000.These services would be
billed to the City directly(with standard markup). Refer to the attached pricing and rate schedule for
testing.
• Factory inspections and/or observation of factory testing of equipment is not included in the level of
effort, but can be added as an Additional Service.

5.4 Other Assumptions
• Level of effort proposed is based on the assumptions noted in this scope of work,and the assumptions
noted in the level of effort table,attached.Jacobs will work closely with the City's PM, monitor
expenditures,and inform the City if the required level of effort is exceeding the level anticipated. If this is
the case,Jacobs will obtain direction from the City regarding whether Jacobs should reduce the level of
effort being expended,or request additional time and materials funding to support Jacobs'support of
the biosolids improvements project.

RECOMMENDATION:
It is recommended that the City:
1. Authorize the execution of Amendment No.3 to City Secretary Contract No.50018,an Engineering Agreement with CH2M Hill Engineers,
Inc.in the Amount of$539,620.00,for a revised contract amount of$1,145,199.00,for the Village Creek Biosolids Management and
Beneficial Reuse Facility Project Owner On-site Representation(City Project No. 101961);
2. Adopt the attached Resolution Expressing Official Intent to Reimburse Expenditures with Proceeds of Future Debt for the Village Creek
Biosolids Management and Beneficial Reuse Facility Project; and
3. Adopt the attached Appropriation Ordinance increasing estimated receipts and appropriations in the Water and Sewer Bond 2020A Fund,
from available funds, in the amount of$715,000.00 for the Village Creek Biosolids Management and Beneficial Reuse Facility Project.
DISCUSSION:
On November 14,2017(M&C C-28475),the City Council authorized an Engineering Agreement in the amount of$282,822.00 with CH2M Hill
Engineers, Inc.,for the Village Creek Biosolids Management and Beneficial Reuse Facility Project Update.Amendment No. 1,in the amount of
$77,296.00,was administratively authorized on September 4,2018,for additional wastewater solids process modeling work, long-term growth
projections and additional alternatives analysis,as well as the preparation of an engineering feasibility report submitted to the Texas Water
Development Board(TWDB)as part of a Clean Water State Revolving Fund(CWSRF) Loan application.Amendment No.2,in the amount of
$245,461.00,was approved on February 12,2019(M&C C-29039)to develop the Request for Qualifications(RFQ)and Request for Proposals
(RFP)as part of the procurement process for a design-build-operate contract for biosolids management project and responding to requests for
information(RFls)during the procurement process,for providing technical analysis and recommendations during the evaluation of vendor
submittals and during the negotiation of the agreement.
On December 10, 2019(M&C 19-0381),the City Council authorized Design-Build-Operate-Maintain Services with Synagro of Texas-CDR, Inc.,
for the Village Creek Water Reclamation Facility Biosolids Management and Beneficial Reuse Project including the Design-Build cost of
$58,001,558.00 for the construction of the new dryer facility.With construction to start in the near future,the City will require the use of
this engineering firm to provide inspection,construction materials and testing, equipment testing and construction administration. CH2M Hill
Engineers, Inc.,will provide these services as part of Amendment No.3 for a fee not to exceed$539,620.00.
In addition to the contract amount,$50,000.00 is required for contingency allowance and$125,380.00 is required for project management and
associated Water Department staff time.
Funding for the Village Creek Water Reclamation Facility Biosolids Management&Reuse project is as depicted in the table below:

This project will have no impact on the Water Department's annual operating budget when completed.
This project is included in a pending revenue bond issue for the Water&Sewer Fund.The Water and Sewer System has a Council-authorized
system to allow it to initiate capital projects that will ultimately be bond funded, using available cash within the Water and Sewer portfolio and the
City's portfolio,along with the authority under the Callable Commercial Paper Program(CP)to provide interim financing for this project until the
debt is issued.To the extent resources other than the Water and Sewer portfolio are used to provide interim financing,the Water&Sewer Fund will
be charged interest that is equivalent to the overall rate of return being earned by the City portfolio(currently approximately 2.3 percent annually).
Should the City's portfolio not support the liquidity needed to provide an interim short-term financing source,another funding source will be
required,which could mean issuance of securities under the CP Program or earlier issuance of Water and Sewer revenue bonds than is currently
planned. Once debt associated with this project is sold, bond proceeds will be used to reimburse the Water and Sewer portfolio and the City's
portfolio in accordance with the attached Reimbursement Resolution.
The City Council approved the Water Department's Fiscal Year 2020-2024 Five-Year Capital Improvement Plan on September 17,2019.This City
Council approved plan includes this specific project,with funding identified through the CP program to be reimbursed with future revenue bonds.
Debt must be issued within approximately three years of an expense being incurred in order to provide reimbursement. If that does not occur,costs
are no longer reirnbursable by issuing tax-exempt debt,and the funding source must be made whole through budgetary methods.Adoption of a
reimbursement resolution does not obligate the City to sell bonds but preserves the ability to reimburse the City from tax-exempt bond proceeds.
In this case, because the bonds that will provide the ultimate funding have already been authorized and sold (with a total interest cost(TIC)of
1.89%)but the closing has not yet occurred,what had been the Water&Sewer Commercial Paper Fund (56017)has already been renamed to
reflect the bond sale.
M/WBE OFFICE: CH2M Hill Engineers, Inc., is in compliance with the City's BIDE Ordinance by committing to eight percent SBE participation on
amendment No.3 on this project.The City's SBE goal on Amendment No.3 on this project is eight percent.
This Project serves the entire City and is located in COUNCIL DISTRICT 5.
A Form 1295 is not required because: This contract will be with a publicly-traded business entity or a wholly-owned subsidiary of a publicly-traded
business entity: CH2M Hill Engineers,Inc.
FISCAL INFORMATION/CERTIFICATION:
The Director of Finance certifies that upon approval of the above recommendations and adoption of the attached appropriation ordinance,funds
will be available in the Water and Sewer Bond 2020A Fund for the engineering services for the future growth at the Village Creek Water
Reclamation Facility Biosolids Management& Reuse project. Prior to any expenditure being incurred,the Water Department has the responsibility
to validate the availability of funds.
