FOR PROFESSIONAL SERVICES This Fifth Extension and Second Amendment (the "Extension and Amendment") is entered into by and between the City of Fort Worth ("City "), a home -rule municipality in the State of Texas, acting through Jay Chapa, its duly authorized Assistant City Manager, and Bermex, Inc. ("Consultant") by and through Henry Mello, its duly authorized President. WHEREAS, the City and Consultant, entered into that certain agreement identified as City Secretary Contract No. 41019 for a term beginning October 1, 2010 and ending September 30, 2011; and WHEREAS, such Contract provided for five (5) consecutive one (1) year renewal options, provided all other conditions remained the same as detailed in the Contract; and WHEREAS, the parties have exercised its first four (4) renewal options and now wish to enter into its fifth option renewal; and NOW, THEREFORE, for and in consideration of the mutual covenants contained herein, and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged and confessed, the parties hereto agree as follows: I. Fifth Renewal Option. The parties hereby exercise the fifth renewal option to City Secretary Contract No. 41019, effective October 1, 2015 and expiring on September 30, 2016. II. Section 1: Scope of Services. Section 1 of the Contract shall be amended to as follows: Consultant hereby agrees to provide the City with professional consulting services for the purpose of ensuring that monthly water meter readings are conducted accurately throughout the City. Attached hereto and incorporated for all purposes incident to this Agreement is Exhibit "A", Scope of Work, more specifically describing the services to be provided hereunder. The parties agree to follow the procedures below when performing services for the daily hand delivery of Delinquent Account Notices (DAN). The City notifies customers on a daily basis when their water accounts are delinquent. The delinquency notices are generated daily by the City and placed on the customer's front door or wedged into the door frame. The City notifies approximately 200,000 customers annually that their account is delinquent and allows the customer 48 hours to make payment prior to terminating water services for that customer. A. Exhibit A is amended to add the requirement that the Consultant shall be responsible for the daily hand delivery of Delinquent Account Notices (DAN). Based on the estimated requirement to deliver 200,000 DANs annually and there are approximately 257 work days (excluding 8 holidays and weekends), the contractor will be required to deliver an verageof approximately 820 DANs OFFICIAL RECORD CITY SECRETARY Ft WORTH, TX CSC No. daily. The actual number of delivery tags required to be delivered will vary daily. The City estimates that the Consultant will have a monthly delivery requirement of approximately 17,159 DANs B. The City will print out the Delinquent Account Notices on a daily basis and provide them to the Consultant each day when the hand held meter reading equipment is picked up in the morning; prior to 7:00 a m C. The Consultant s representative will complete a daily Field Activity Sheet recording the address and time that the notice is delivered or not delivered; with explanation. A meter reading will be recorded on the Field Activity Sheet as proof that the Consultant delivered the DAN to the correct address An original copy of the daily Field Activity Sheets, signed by the Consultant, will be returned to the City the following morning when the. Consultant picks up the next day's notices. D. The Consultant will perform routine field audits, at least once per week, as a quality control measure making sure that the Delinquent Account Notices are being delivered to the correct address and accurate meter readings are recorded by the Consultants Field Service Representatives E. The Consultant will be allowed 30 days to transition quality trained people, in place, to perform these services If necessary, the City will provide the Consultant with training on the procedures to deliver the DANs at no cost to the Consultant. IlI. Section 3: Compensation: Section 3 of the Contract shall be amended to include the following paragraph to read as follows: For the fifth option period, Consultant shall provide the water meter reading services at the cost per meter as shown on Exhibit B to the Contract, which is fifty-one cents ($0.51). Exhibit B is amended to include the Consultant's performance of hand delivery of Delinquent Account Notices at a cost to the City of two dollars ($2.00) per DAN delivered VI. Other Terms and Conditions. All other terms and conditions of City Secretary Contract No. 41019 remain in full force and effect except that if there is a conflict with Exhibit B and this Extension and Amendment, this Extension and Amendment shall control the terms of the Contract.
