ADDENDUM TO CITY SECRETARY CONTRACT 41077
MATERIALS TRANSFER AGREEMENT
THIS ADDENDUM TO CITY SECRETARY CONTRACT 41077 — MATERIALS
TRANSFER AGREEMENT ("Addendum") is made and entered into by and between the City
of Fort Worth (the "City"), a home -rule municipal corporation of the State of Texas, acting by
and through its duly authorized Assistant City Manager, and the University of North Texas
Health Science Center at Fort Worth ("UNTHSC"), a division of the University of North Texas,
a legally constituted Texas public university, acting by and through its duly authorized Associate
Vice President for Technology Transfer & Commercialization.
RECITALS
WHEREAS, the City and UNTHSC are parties to a Materials Transfer Agreement, the
same being Fort Worth City Secretary Contract 41776 (the "Contract"); and
WHEREAS, pursuant to the terms of the Contract, City transferred custody of certain
socio-economic and health -related data that the City had collected in connection with a
Community Needs Assessment and a Women's Health Initiative (collectively, the "Materials")
to UNTHSC for use in its health -related programs, projects, and goals; and
WHEREAS, UNTHSC has organized and structured some of the data from the Materials
and wishes to allow researchers, community health organizations, and other community services
and health -related professionals to access and analyze this de -identified information via an
internet web portal; and
WHEREAS, the parties wish to execute this Addendum to affirm City's agreement to the
proposed use and UNTHSC's authority to allow access to the de -identified data in this manner.
NOW THEREFORE, City and UNTHSC do hereby agree as follows:

Notwithstanding any language to the contrary in Section 2.1.2, 2.1.3, or 4.1 of Foist orth -City
Secretary Contract 41077, the City, as evidenced by the signature of its authorized
Addendum to City Secretary Contract 41077 Page 1 of 2
representative, hereby grants UNTHSC authority to use de -identified data extracted from the
Materials for the purposes of establishing, maintaining, or contributing to public health data
repositories that are accessible by researchers, community health organizations, and other
community services and health -related professionals, including, but not limited to, searchable
databases accessible via the website www.healthyntexas.org. Data made available in this
manner shall not include identifying information of any individual.
2.
In using and granting access to data pursuant to Section 1 of this Addendum, UNTHSC shall
comply with all other duties and obligations under City Secretary Contract 41077.
