That in consideration of the Contractor's promise to: a. Reimburse Safe City Commission for a minimum of 64 participants at $50.00 each enrolled in the School Safety Course for a total of $3,200.00 b. Reimburse Safe City Commission $8,100.00 for payment of trainer from the Public Agency Training Council for two- day training for School Initiative Officers. c. Total contracted amount $11,300. II. Safe City Commission agrees to: a. b. c. d. Provide all course materials and handouts necessary for successful completion of the courses. Provide certificates for all participants who attend and complete the course. Provide TCLEOSE report and hours for training. Provide a web site for online registration. III. Miscellaneous provision and conditions: a. Either party may terminate this contract at any time by giving written notice to the contactor or Safe City Commission at the following address: Safe City Commission 201 Main Street Fort Worth, Texas 76102 City of Fort Worth Police Department Gerald L. This contract contains the entire agreement between the parties relating herein granted and the obligations herein assumed. Any oral representation or modifications concerning this instrument shall be of no force or effect excepting a subsequent modification in writing, signed by the parties or their representatives and attached hereto. c. This agreement constitutes the only agreement of the parties and supersedes any prior understanding or written or oral agreements between the parties respecting the within subject matter d. This agreement shall be construed under and in accordance with the laws of the State of Texas, and all obligations of the parties. e. It is expressly understood and agreed in the execution of this contract; neither part waives or shall be deemed hereby to waive immunity The parties agree that nothing in the contact waives any immunity, protection right limitation or cap on damages, as recognized in the Texas Tort Claims Act as to either of the parties, or as to any third part. f. Each party shall operate hereunder as an independent contractor and not as an officer, agent, servant, or employee of the other party. g. No waiver by the parties hereto of any default or breach or that failure to insist upon the performance of any term, condition, provisions or covenant of this contract shall be deemed to be a waiver ore relinquishment to any extent of any other breach of the same or any other term, condition, provision, or covenant herein or the right of the parties to asses or rely upon any such term. h. The undersigned officer and/or agents of the parties hereto are the properly authorized officials and have the necessary authority to execute this contract on behalf of the parties hereto.
