HomeMy WebLinkAboutContract 41766 (2)its CITY SECRETA `if TRACT Nots_ IlacioSp This contract is entered into between the City of Fort Worth, Texas as represented by its Police Department, hereinafter known as "Fort Worth", and Law Advisory Group, inc., an Ohio Corporation, hereinafter referred to aw "Law Advisory" pursuant to the authority of its Chief Executive Officer, Patricia Holecek. It shall be effective when both parties have executed it as set forth at the end of the document and can only be amended by mutual agreement of the parties, properly documented. When signed by both parties, this two -page document is the contract between City of Fort Worth Police Department, hereinafter "Police" and LAW ADVISORY GROUP, INC., hereinafter "Law Advisory, under which Law Advisory will present the copyrighted program previously shown to you as : BEST PRACTiCES IN POL_iCE-SCHOOL PARTNERSHIPS UNDER TEXAS LAW The following terms apply: 1) Program Dates and Time: July 25 26, 2011, 8 am. to 4 p.m. Fort Worth may at any time change these dates to any other date acceptable to Law Advisory. The instructors will arrive in the Fort Worth vicinity on July 24 and will be available thereafter until the evening of the 26". Fort Worth may adjust the times of presentation each clay to serve its needs but in no event will the instructors be able to actually engage in presentation for more than eight full hours each day.. T 2) Program Content: The program outline has been previously presented by Law Advisory to Fort Worth. Fort Worth may request changes until 114 days prior to the program at no charge. Law Advisory and the instructors will attempt to accommodate Fort Worth with regard to such changes. . 3) Instructors: Law Advisory will provide instruction by Gary Avery, J. D , of Lighthouse Point, Florida and Dan Tiller of Cibolo, Texas Dr. Avery is a national consultant on school law and a former prosecutor and school board attorney. Mr. Tiller is a former Texas Chief of Police, Sheriff and a current adjunct instructor with the Institute of Criminal Justice Studies of Texas State University. 4) Foe and Payment: a) Total cost of presentation, including preparation and communications, customization of the program as mentioned above and, provision of sixty-eight (68) textbooks, "Safety, Order and Discipline in American Schools", is Eight Thousand Eight Hundred and Forty -Five Dollars [$8815.001 from which Law Advisory will pay all related travel, transportation, housing, general overhead and other incidental expenses for its instructors not specifically related to additional requests by Fort Worth. b) Deposit: In order for Law Advisory to order the printing of the books in time for delivery to Police, the cost a'. which is parr of the above amount a non-refundable deposit of $500 will be due on or before June 1, 2011. Law Advisory will invoice Fort Worth through Fort Worth's electronic billing system for the deposit and, later, for the balance as set forth in the next paragraph. c) The balance of the above amount is due within © days after invoice upon completion of the program presentation. . In the event of cancellation by Fort Worth, the $500 deposit is non-refundable. Otherwise, Police may cancel not less than 30 days prior to presentation without penalty. Cancellation within 30 days prior to the program will cause Fort Worth to be responsible for any documented out of pocket non-refundable costs incurred by Law Advisory. Cancellation by Law Advisory for the reasons stated below will result in refund of the deposit by Law Advisory unless other arrangements have been made for representation or use of the books. 5) iViaterials • Handouts: Police have the option to purchase additional copies of the latest revision of Law Advisory Group's textbook, "Safety, Order and Discipline in American Schools" (retail $79.95) at $56.00 each plus actual shipping costs until November 1, 2011. • OFFICIAL RECORD CITY SECRETARY FT. WORTH FOR s \NORTH POLICE DEPARTMENT July 25-26 Presentation Contract Page Two 6) Fort Worth's Obligations: Fort Worth is responsible, at its cost, for providing a suitable location and amenities for the instruction. . The forum should be classroom style. Fort Worth will be expected to provide audio-visual equipment consisting of projector, screen and computer for PowerPoint presentation An adequate sound system is recommended, especially if the audience exceeds 75 people. 7) Audience Size: The audience size is strictly at the discretion of Fort Worth but shall not exceed 300 people. Fort Worth may invite guests. Fort Worth may also generally share the cost of this program with other educational, law enforcement or government agencies but may not remarket the program for profit on an individual payment basis where the individual payments substantially exceed the actual per person cost. Should Fort Worth violate this clause, Law Advisory reserves the right to cancel and/or charge reasonable additional fee. 8) Tapes and Photographs; Audio recording is permitted and recordings may be distributed for Police training but may not be sold. Video recording is not permitted unless specifically agreed in writing in advance. Video -recording without permission is a substantial breach of this contract for which damages may be sought. If Fort worth chooses to invite the local news media, they may tape as necessary for their purposes. Still photography is permitted. . Excessive use of flash cameras is discouraged. in any event copies of video records in their native format must be provided to Law Advisory, 9) Cancellation: This is an agreement for personal services_ If either of the instructors should be unable to do the program for causes beyond his control; including death; illness or family emergency, Law Advisory will attempt to provide Foit Worth with an acceptable substitute or a suitable alternative date. Fort Worth will have the option of canceling the program under the conditions for refund specified above. 10) Contacts: All matters involving changes to this contract are subject to communication by and between: Sergeant Michael Henry for Fort Worth Mrs. Patricia Holecek, CEO of Law Advisory at the addresses, phone numbers and e-mail addresses on file with each party. • IN WITNESS WHEREOF, the parties have executed this contract on the dates indicated below and have electronically transmitted a copy of same, with electronic recording of signature, with 24 hours thereafter to patholecek@aol.com on behalf of Law Advisory Group Inc. or michael.henry a,fortworthgov,org on behalf of the City of Forth Worth.
