HomeMy WebLinkAboutContract 41768 (2)CITY SECRETARY CONTRACTNO 11 STATE OF TEXAS WITNESSETH: COUNTY OF TARRANT This contract, made by and between the City of Fort Worth, a local governing entity, hereinafter called CITY, and the State of Texas, acting herein by and through the Texas Department of Transportation, hereinafter called STATE, is as follows: WHEREAS, certain land needed for I.H. 30 right of way was conveyed to the STATE by virtue of that certain instrument of record in Volumes/Pages respectively 7490/37, 7973/1807, 3171/151, 3168/25, 3168/27, 3150/193, 3148/182, 3163/365, 3160/215, 3185/613, 3200/603, 3171/154, 8277/906 and 7505/444 of the Official Public Records of Tarrant County, Texas; and WHEREAS, the parties hereto mutually agree that the realignment and reconstruction of certain highway facilities on IH 30 may have caused a portion of the existing right of way to become surplus to the STATE's purposes, said surplus right of way having a value of $3,958,857 and being hereinafter called SURPLUS LAND and being more particularly described in Exhibit A, attached hereto made a part hereof; and • WHEREAS, the parties hereto mutually agree that highway realignment and reconstruction of SH 121 will require that CITY convey to STATE certain other land needed for the project, said land having a value of $8,696,197 and being hereinafter called NEW RIGHT OF WAY and being more particularly described in Exhibit B, attached hereto and made a part hereof; and Sfirrahtot wittimsAvia WHEREAS, the CITY passed a rese -ut-ien- on (date), agreeing to the exchange of NEW RIGHT OF WAY for SURPLUS LAND. NOW, THEREFORE, in consideration of the above premises, the parties hereto agree as follows: 1. The STATE, at it earliest opportunity after the SURPLUS LAND becomes eligible to be conveyed, will, subject to obtaining approval by the Texas Transportation Commission and by the Office of the Attorney General of Texas, recommend that the Governor of Texas execute a deed without warranty instrument conveying its rights, title and interest in the SURPLUS LAND to the CITY, subject to the SURPLUS LAND being declared surplus in accordance with V.T.C.A., Transportation Code, Chapter 202, Subchapter B. Further, the extent of the STATE's liability and obligation, subject to the requisite approvals and subject to said statute, is to recommend that the Governor execute a deed without warranty instrument conveying its rights, title and interest in the SURPLUS LAND to the CITY, as mutually agreed upon and as provided hereinafter, in exchange and as consideration for the conveyance of the NEW RIGHT OF WAY to the STATE. The difference in values between the SURPLUS LAND and the NEW RIGHT OF WAY of $4,73 7,3 40 will be donated to the State. 2. The CITY will execute a STATE right of way deed form conveying fee title, less oil, gas and sulphur, in the NEW RIGHT OF WAY to the STATE. The conveyance instrument will recite consideration as being "Ten dollars ($10.00) and other good and valuable consideration" and will be delivered to STA'1E's authorized representative within thirty (30) days after final date of this contract. 3. No waiver by the parties hereto of any default or breach of any term, condition or covenant of this contract shall be deemed to be a waiver of any subsequent default or breach of the same or any other term, condition or covenant contained herein. The terms, conditions and covenants contained in this contract shall apply to and inure to the benefit of successors in interest and legal representatives except as otherwise herein expressly provided. All rights, powers, privileges, immunities and duties of STATE under this contract, including, but not limited to, any notices required or permitted to be delivered by STATE to CITY hereunder, may be exercised at STATE's option or performed by STATE's agent or attorney at the address below or to another address of which the CITY give written notice to the STATE. In case any one or more of the provisions contained in this contract shall for any reason be held to be invalid, illegal or unenforceable in any respect, such invalidity, illegality or unenforceability shall not affect any other provision thereof, and this contract shall be construed as if such invalid, illegal or unenforceable provision never had been contained herein. The SURPLUS LAND, to be a deed without warranted to the CITY, is subject to the rights of any and all existing public utilities or common carriers in accordance with V.T.C.A., Transportation Code, Chapter 202, Subchapter B, Section 202 029. The relocation of any such facility will be at the CITY's expense. The STATE's deed without warrant of the SURPLUS LAND is subject to all matters of public record and to all easements, leases, agreements or licenses, or other interests which affect the property, and to any matter which would be disclosed by title examination, survey, investigation or inquiry, including but not limited to the rights of parties in possession. The effective date of this contract is the date that STATE signs the contract. In the event, for any reason, the STATE does not or is unable to deed without warrant its rights, title and interest in the SURPLUS LAND to the CITY, then this contract and agreement shall automatically without further action become null and void and of no further force and effect.
