WHEREAS, this SECOND RENEWAL AGREEMENT is between the City of Fort Worth, ("CITY"), and CDM Smith, Inc., authorized to do business in Texas, ("ENGINEER"), which renews the ORIGINAL AGREEMENT (City Secretary Number 41638), said ORIGINAL AGREEMENT and RENEWALS approved by M&C C-24700 (Approved on 01/25/2011), for the PROJECT generally described as: General Engineering Support for Water and Wastewater Projects; and WHEREAS, the FIRST RENEWAL of the AGREEMENT was authorized by the Assistant City Manager on July 17, 2012; and WHEREAS, this SECOND RENEWAL AGREEMENT was authorized by the City Council on January 25, 2011 via M&C C-24700, with the appropriation of funds in the Water or Wastewater Budget. NOW, THEREFORE, it is agreed by the CITY and ENGINEER as follows: Article I The Scope of Services as set forth in the ORIGINAL AGREEMENT has not changed. Article II The ENGINEER's compensation, as set forth in the ORIGINAL AGREEMENT, shall be increased by an amount not to exceed $500,000.00 and total agreement amount will not exceed $1,500,000.00. Article III Except as otherwise noted, there are no changes to the Terms of Payment. Article IV Except as otherwise noted, there are no changes to the Obligations of the Engineer. Article V Except as otherwise noted, there are no changes to the Obligations of the City. Article VI Except as otherwise noted, there are no changes to the General Legal Provisions. Article VII Except as otherwise noted, there are no changes to the Attachments, Schedules, and Signatures. Second and Final Renewal of Agreement CDM SMITH, INC. DISCUSSION: The Water Department has a need for general engineering support work generally for assistance with in- house design projects like lift station, water pump stations and wholesale customer meter stations. In addition, it is important that the ability to have engineering evaluation and design capability immediately available in an emergency situation The Engineer would provide on call services for numerous potential assignments with using available engineering capabilities the following potential services: • Water and Wastewater Treatment Process Design • Lift Station and Water Pump Station Design • Water and Sanitary Sewer System Hydraulic Design • Electrical, instrumentation and SCADA design • Emergency Services • Other professional engineering or construction services As engineering work is required, the Engineer will be issued an assignment from the City for which a cost determination must be prepared and approved before work begins. Emergency or directed work will be directly invoiced for reasonable costs. Camp, Dresser and McKee, Inc., is in compliance with the City's M/WBE Ordinance by committing to 20 percent M/WBE participation The City's goal on this project is 20 percent. In addition to the contract amount, $25,000.00 is required for staff project management. This Agreement may be renewed for up to two additional general engineering support phases at the City's option. Execution of the renewal option does not require specific City Council approval, provided that the City Council has appropriated sufficient funds to satisfy the City's obligations during the renewal phase This project is located in ALL COUNCIL DISTRICTS.
