This Unified Sign Agreement covers real property located at • Fort Worth, Texas, and more particularly described in Exhibit "A" attached hereto and made a part hereof for all purposes (the "Property"). 2. Fort Worth Midtown LD, LLC, (the "Owner") whose address is 8333 Greenway Blvd. Suite #200, Middletown, Wisconsin 53562, is the owner of all the Property subject to this Unified Sign Agreement. 3. Signs shall be constructed on the Property in accordance with the sign plan attached hereto as Exhibit "B" (the "Sign Plan"). No signs shall be constructed on the Property or allowed to remain on the Property, except as reflected on the Sign Plan. 4. All parties hereto covenant and agree that the Property covered by this Unified Sign Agreement will be collectively treated as a single premises for the limited purpose of determining the number, size and location of on -premise signs permitted in accordance with Section 6.410 of the Comprehensive Zoning Ordinance of the City of Fort Worth, being Ordinance No. 13896, as amended. 5. The covenants, limitations and restrictions contained herein shall be covenants running with the land with respect to the Property and shall be binding on Owner and all parties having any right, title or interest in or to th.e_ Property, or any part thereof, and their heirs, successors and assigns. Owner agrees to defend, indemnify and hold harmless the City of Fort Worth from and against all claims or liabilities arising out of or in connection with this Unified Sign Agreement. 7. This Unified Sign Agreement will be governed by the laws of the State of Texas. 8. This Unified Sign Agreement may be amended or terminated only in accordance with Section 6.410(G)(2) of the Comprehensive Zoning Ordinance of the City of Fort Worth, Ordinance No. 13896, as amended, which reads as follows: 2. A Unified Sign Agreement may be amended or terminated as follows: a. The amendment or termination agreement shall be executed by all owners of the properties included in the Unified Sign Agreement, and all lien holders, other than a taxing entity, that have an interest in land covered by the agreement or an improvement on such land. b. A termination agreement shall be approved by the City Council if all signs on the property governed by the agreement are in compliance with City sign regulations, as if no Unified Sign Agreement had been executed. Any signs that are not in compliance shall be removed or brought into compliance prior to approval of the agreement by the City Council. c. In considering whether to approve an amendment to a Unified Sign Agreement, the City Council shall consider the criteria for approval of Unified Sign Agreements set out in Paragraph B. Most nearby developments are typical of a suburban setting with a sea of parking in front of the building and an emphasis on isolated individual land uses that force multiple trips by car. Extensive public participation from near by neighborhoods, the City of Fort Worth and Fort Worth South, Inc. resulted in a denser, mixed use scheme that accommodates the needed parking while resulting in a more pedestrian friendly solution. The mixed use development proposed for the site consists of three uses: hotel, office and retail as summarized in the table that follows: Proposed Use Hotel -Hilton Garden Inn Hotel -Homewood Suites Retail Office Amount of Development 157 rooms 110 rooms 24,000 square feet 60,000 square feet Number of Floors Four Four One Four The uses are arranged around a street grid that shifts the patron's experience from being in a series of isolated developments with few pedestrian connections to an integrated project with unified architectural elements and an emphasis on walkable public spaces. The completed property will allow visitors to walk to retail, employment or hospitality services after parking their car. Raymond Management Company (RMC) is acting as the master developer for the project and undertaking the hotel development and operation. We have agreements for the development of the medical office and the retail components with firms that are familiar with the local market and have considerable pre -leasing momentum. The addition of retail, office and hospitality components makes this project a compelling opportunity. Raymond LOCATION Midtown Village West Roundels St. at forest Park Blvd. Site Plan The site for the proposed development is well suited to serve a number of sources of demand given its transportation linkages and proximity to commercial activity. Immediately to the east is the Fort Worth Medical District that includes over 3,000 hospital beds, medical offices and associated activities. The Medical District is the largest concentration of employment Tarrant County after the Fort Worth CBD The Fort Worth Central Business District (CBD) is located approximately two miles north east of the site with ready access from a number of nearby streets. The CBD is home to regional and local governments as well as a number of important private employers including XTO Energy, Pier One Imports, Tandy/Radio Shack as well as a variety of law firms and other professional services firm. Just north of the site is the Fort Worth Cultural District which includes the Will Rogers Memorial Center. The Will Rogers Center consists of several venues including the Will Rogers Auditorium., the Amon G. Carter, Jr. Exhibits Hall and the Will Rogers Equestrian Center. Since the opening of this $16 million facility in 1987, it has been recognized as one of the finest equestrian centers in America. With the addition of the $11 million Moncrief and the Richardson -Bass buildings, these facilities at the Will Rogers Coliseum & Auditorium include a 1,934-seat show arena, a 1,000-seat show arena, a 640-seat sale arena, meeting rooms, and show offices. Combined with additional facilities, the center can provide stalls for more than 2,000 horses. In addition to the Will Rogers Center, the Kimbell Art Museum is located in the Cultural District. The Kimbell is noted as an outstanding architectural achievement of the modern era. Designed by the American architect Louis I. Kahn (1901-1974), the Museum has won acclaim for its modem building. Opened in 1972, the building's extensive use of natural light and definition of space and materials enhance the art viewing experience. A small collection of less than 350 works, the Kimbell Art Museum has become a byword for quality and importance at the highest level The Museum's holdings range in period from antiquity to the 20th century spanning cultures, styles and artistic periods. There are other nearby cultural attractions including the National Cowgirl Museum and Hall of Fame, the only museum dedicated to honoring women of the American West and the Fort Worth Museum of Science and History - One of the largest Science and History Museums in the Southwest. It includes the Noble Planetarium and the Omni Theater. Immediately to the east of the site is the upscale University Shopping Corridor. This area includes a number of high quality stores including Barnes and Noble William and Sonoma, and other specialty shops. The University Avenue corridor is also home to the Fort Worth Zoo as well as Colonial Country Club. Started in the early 1900's and completely renovated in 1992, the Fort Worth Zoo is currently one of the most popular attractions in the Dallas/Fort Worth area. The Zoo has been ranked as a top zoo in the nation by Family Life magazine, the Los Angeles Times and USA Today; Southern Living also named the zoo one of the top zoos in the South as well as and being named the number one attraction in the Dallas/ Fort Worth Metroplex by Zagat Survey U.S. Family Travel Guide. Finally, the campus of Texas Christian University (TCU) is located 2.6 miles south west of the Midtown site Founded in 1872, TCU currently has an enrollment of approximately 9,000 students and 1,700 employees and faculty. Recent investments of approximately $200 million created a world class campus. TCU receives research funding from in excess of 100 agencies. The University is especially well known for its research into drug policy and behavioral research in addition to conducting research into interdisciplinary approaches to teaching science and math. Nicknamed the Horned Frogs, TCU competes in NCAA division 1-A sports. The Midtown site is uniquely positioned to serve a variety of business, leisure and group businesses given its proximity to many of the forces that drive the local economy.
