AMENDMENT NO. 1 TO ECONOMIC DEVELOPMENT PROGRAM AGREEMENT .1U1-`g 2020 (CITY SECRETARY CONTRACT NO. 52382) C1T`(�FCE��AF�Y This AMENDMENT NO. 1 TO CITY SECRETARY CONTRACT NO. 52382 ("Amendment") is made and entered into by and between the CITY OF FORT WORTH, TEXAS ("City"), a home rule municipality organized under the laws of the State of Texas, and 714 MAIN REAL ESTATE HOLDINGS, LLC, a Delaware limited liability company ("Developer"). The City and Developer hereby agree that the following statements are true and correct and constitute the basis upon which the City and Developer have entered into this Amendment: A. On or about June 4, 2019 the City and Developer entered into that certain Economic Development Program Agreement on file in the City Secretary's Office as City Secretary Contract No. 52382 (the "Agreement"). Under the Agreement, Developer agreed to, among other things, renovate and redevelop an existing historic building located at 714 Main Street into a full-service hotel (the "Hotel"), as more specifically set forth in the Agreement. In return, the City agreed to pay Developer up to ten (10) annual economic development program grants, as authorized by Chapter 380, Texas Local Government Code (the "Program Grants"). B. In order to receive the Program Grants, the Agreement requires Developer to operate the Hotel at a certain minimum level, defined in the Agreement as the "Minimum Hotel Operating Standards". Developer has requested that the Agreement be amended to broaden the definition of this term to include certain equivalently high standards established by other recognizable hospitality industry rating guides. The City is willing to consent to this request in accordance with the terms and conditions of this Amendment. NOW, THEREFORE, for good and valuable consideration, the receipt and adequacy of which are hereby acknowledged, the City and Developer agree as follows: 1. Section 4.8 of the Agreement (Minimum Hotel Operating Standards) is hereby amended to read as follows: 4.8. Minimum Hotel Operating Standards. Throughout the Term, the Hotel must at all times be marketed and operated as a full-service hotel in accordance with (i) Kimpton brand standards; (ii) a four star rating by Forbes Travel Guide, as more specifically outlined in Exhibit "F", attached hereto and hereby made a part of this Agreement for all purposes; (iii) a four diamond rating by Page 1 - - Amendment No. 1 to CSC No. 52382 Economic Development Program Agreement with 714 Main Real Estate Holdings,LLC j the American Automobile Association, as more specifically outlined in Exhibit "F"; or (iv) a substantially equivalent standard published by another recognizable hospitality industry rating guide, provided that such is acceptable to the City, in the City's sole, but reasonable, discretion, and as evidenced in writing by the City Manager or the Director (the "Minimum Hotel Operating Standards"). In the event that the Hotel is not operated in accordance with all Minimum Hotel Operating Standards for a period of more than ninety (90) consecutive calendar days (except on account of a casualty beyond Developer's control (or remodel or renovation), and provided that Developer is diligently and continuously attempting to remedy the casualty (or complete the remodel or renovation), in which case Section 19 shall apply), Developer shall be in breach of this Agreement (an"Operating Standards Breach"), and Section 9.4 will apply. 2. The American Automobile Association diamond rating guidelines attached hereto are hereby added as part of Exhibit"F" of the Agreement. 3. All terms in this Amendment that are capitalized but not defined herein shall have the meanings assigned to them in the Agreement. 4. All terms and conditions of the Agreement that are not expressly amended pursuant to this Amendment shall remain in full force and effect.
