This AGREEMENT is between the City of Fort Worth, a Texas home -rule municipality
(the "CITY"), and US Peroxide, LLC, authorized to do business in Texas, an independent
contractor (Consultant"), for a PROJECT generally described as: Hydrogen Sulfide Control
Demonstration Program.
Article
Scope of Services
(1) Consultant hereby agrees to perform as an independent contractor the services set
forth in the Scope of Services attached hereto as Attachment "A". These services
shall be performed in connection with Hydrogen Sulfide Control Demonstration
Program.
(2) Additional services, if any, will be requested in writing by the City. City shall not pay
for any work performed by Consultant or its subconsultants, subcontractors and/or
suppliers that has not been ordered in writing. It is specifically agreed that
Consultant shall not be compensated for any alleged additional work resulting from
oral orders of any person.
Article II
Compensation
Consultant shall be compensated in accordance with the Fee Schedule shown in
Attachment "B". Payment shall be considered full compensation for all labor, materials,
supplies, and equipment necessary to complete the services described in Attachment "A".
However the total fee paid by the City shall not exceed a total of $33,394 unless the City
and the Consultant mutually agree upon a fee amount for additional services and amend
this Agreement accordingly.
The Consultant shall provide monthly invoices to the City. Payment for services rendered
shall be due within thirty (30) days of the uncontested performance of the particular
services so ordered and receipt by City of Consultant's invoice for payment of same.
Acceptance by Consultant of said payment shall operate as and shall release the City from
all claims or liabilities under this Agreement for anything related to, done, or furnished in
connection with the services for which payment is made, including any act or omission of
the City in connection with such services.

Article III
Term
Unless terminated pursuant to the terms herein, this Agreement shall be for a term of 180
days, beginning upon the date of its execution, or until the completion of the subject matter
contemplated herein, whichever occurs first.
Article IV
Independent Contractor
Consultant shall operate hereunder as an independent contractor, and not as an officer,
agent, servant, or employee of the City Consultant shall have exclusive control of and the
exclusive right to control the details of its work to be performed hereunder and all persons
performing same, and shall be solely responsible for the acts and omissions of its officers,
agents, employees, contractors and subcontractors. The doctrine of respondent superior
shall not apply as between City and Consultant, its officers, agents employees, contractors,
and subcontractors and nothing herein shall be construed as creating a partnership or joint
venture between City and Consultant.
Article V
Professional Competence and Indemnification
(1) Work performed by Consultant shall comply in all aspects with all applicable local,
state and federal laws and with all applicable rules and regulations promulgated by
the local, state and national boards, bureaus and agencies. Approval by the City
shall not constitute or be deemed to be a release of the responsibility and liability of
Consultant or its officers, agents, employees, contractors and subcontractors for the
accuracy and competency of its services performed hereunder.
(2) In accordance with Texas Local Government Code Section 271.904, the Consultant
shall indemnify, hold harmless, and defend the City against liability for any damage
caused by or resulting from an act of negligence, intentional tort intellectual
property infringement or failure to pay a subcontractor or supplier committed by the
Consultant or Consultant's agent, consultant under contract, or another entity over
which the Consultant s exercises control.

Article VI
Insurance
(1) Consultant shall not commence work under this Agreement until it has obtained all
insurance required under this Article and the City has approved such insurance, nor
shall Consultant allow any subcontractor to commence work on its subcontract until
all similar insurance of the subcontractor has been so obtained and approval given
by the City; provided, however, Consultant may elect to add any subconsultant as
an additional insured under its liability policies.
Commercial General Liability

$1,000,000 each accident (or reasonably equivalent limits of
coverage if written on a split limits basis). Coverage shall be
on any vehicle used in the course of the Project.
Worker's Compensation

(2) Additional Insurance Requirements
a. Except for employer's liability insurance coverage under Consultant's worker's
compensation insurance policy, the City, its officers, employees and servants shall
be endorsed as an additional insured on Consultant's insurance policies.
b. Certificates of insurance shall be delivered to the Fort Worth Water Department,
Attention: Travis Andrews, Asst. Water Director, 1608 11th Avenue, Fort Worth, TX
76102, prior to commencement of work.
c. Any failure on part of the City to request required insurance documentation shall
not constitute a waiver of the insurance requirements specified herein.
d. Each insurance policy shall be endorsed to provide the City a minimum thirty days
notice of cancellation, non -renewal, and/or material change in policy terms or
coverage. A ten days notice shall be acceptable in the event of non-payment of
premium.

e. Insurers must be authorized to do business in the State of Texas and have a
current A M Best rating of A: VII or equivalent measure of financial strength and
solvency.
f. Other than worker's compensation insurance, in lieu of traditional insurance, City
may consider alternative coverage or risk treatment measures through insurance
pools or risk retention groups. The City must approve in writing any alternative
coverage.
g.
Workers' compensation insurance policy(s) covering employees employed on the
Project shall be endorsed with a waiver of subrogation providing rights of recovery
in favor of the City.
h. City shall not be responsible for the direct payment of insurance premium costs
for Consultants insurance.
Consultant's insurance policies shall each be endorsed to provide that such
insurance is primary protection and any self -funded or commercial coverage
maintained by City shall not be called upon to contribute to loss recovery.
j. In the course of the Agreement, Consultant shall report, in a timely manner, to
City's officially designated contract administrator any known loss occurrence which
could give rise to a liability claim or lawsuit or which could result in a property loss.
k. Consultant's liability shall not be limited to the specified amounts of insurance
required herein.
I. Upon the request of City, Consultant shall provide complete copies of all
insurance policies required by these Agreement documents.
Article VII
Transfer or Assignment
City and Consultant each bind themselves, and their lawful successors and assigns, to this
Agreement Consultant, its lawful successors and assigns, shall not assign, sublet or transfer
any interest in this Agreement without prior written consent of the City.
Article VIII
Termination of Contract
(1) City may terminate this Agreement for its convenience on 30 days' written notice.
Either the City or the Consultant for cause may terminate this Agreement if either
Party fails substantially to perform through no fault of the other and does not

commence correction of such nonperformance with 5 days of written notice and
diligently complete the correction thereafter
(2) If City chooses to terminate this Agreement under Article 8, upon receipt of notice of
termination, Consultant shall discontinue services rendered up to the date of such
termination and City shall compensate Consultant based upon calculations in Article
2 of this Agreement and Exhibit "B" attached hereto and incorporated herein.
(3) All reports, whether partial or complete, prepared under this Agreement, including
any original drawings or documents, whether furnished by the City, its officers
agents, employees, consultants, or contractors, or prepared by Consultant shall be
or become the property of the City, and shall be furnished to the City prior to or at
the time such services are completed, or upon termination or expiration of this
Agreement.
Article IX
Right to Audit
(1) Consultant agrees that the City shall, until the expiration of three (3) years after final
payment under this Agreement, have access to and the right to examine any directly
pertinent books, documents, papers and records of Consultant involving transactions
relating to this Agreement. Consultant agrees that the City shall have access during
normal working hours to all necessary facilities and shall be provided adequate and
appropriate workspace in order to conduct audits in compliance with the provisions of
this section. City shall give Consultant reasonable advance notice of intended audits.
(2) Consultant further agrees to include in all its subcontracts hereunder, a provision to
the effect that the subcontracting consultant agrees that the City shall, until the
expiration of three (3) years after final payment under the subcontract, have access
to and the right to examine any directly pertinent books, documents, papers and
records of such sub -consultant, involving transactions to the subcontract, and
further, that City shall have access during normal working hours to all sub -
consultant facilities and shall be provided adequate and appropriate work space in
order to conduct audits in compliance with the provisions of this article. City shall
give Consultant and any sub -consultant reasonable advance notice of intended
audit.
(3) Consultant and sub -consultants agree to photocopy such documents as may be
requested by the City The City agrees to reimburse Consultant for the cost of copies
at the rate published in the Texas Administrative Code in effect as of the time copying
is performed.

Article X
Minority and Women Business Enterprise (M/WBE) Participation
In accordance with City Ordinance No. 15530, the City has goals for the participation of
minority business enterprises and woman business enterprises ("M/WBE') in City contracts.
Consultant acknowledges the M/WBE goal established for this Agreement and its
commitment to meet that goal. Any misrepresentation of facts (other than a negligent
misrepresentation) and/or the commission of fraud by the Consultant may result in the
termination of this Agreement and debarment from participating in City contracts for a period
of time of not less than three (3) years.
Article XI
Observe and Comply
Consultant shall at all times observe and comply with all federal, state, and local laws and
regulations and with all City ordinances and regulations which in any way affect this
Agreement and the work hereunder, and shall observe and comply with all orders, laws
ordinances and regulations which may exist or may be enacted later by governing bodies
having jurisdiction or authority for such enactment. No plea of misunderstanding or ignorance
thereof shall be considered. Consultant agrees to defend, indemnify and hold harmless City
and all of its officers, agents and employees from and against all claims or liability arising out
of the violation of any such order, law, ordinance, or regulation, whether it be by itself or its
employees.
Article XII
Venue and Jurisdiction
If any action, whether real or asserted, at law or in equity, arises on the basis of any
provision of this Agreement, venue for such action shall lie in state courts located in
Tarrant County, Texas or the United States District Court for the Northern District of Texas
— Fort Worth Division. This Agreement shall be construed in accordance with the laws of
the State of Texas.
Article XIII
Contract Construction
The Parties acknowledge that each party and, if it so chooses, its counsel have reviewed
and revised this Agreement and that the normal rule of construction to the effect that any
ambiguities are to be resolved against the drafting party must not be employed in the
interpretation of this Agreement or any amendments or exhibits hereto.

Article XIV
Severability
The provisions of this Agreement are severable, and if any word, phrase, clause,
sentence, paragraph, section or other part of this Agreement or the application thereof to
any person or circumstance shall ever be held by any court of competent jurisdiction to be
invalid or unconstitutional for any reason, the remainder of this Agreement and the
application of such word, phrase, clause, sentence, paragraph, section, or other part of this
Agreement to other persons or circumstances shall not be affected thereby and this
Agreement shall be construed as if such invalid or unconstitutional portion had never been
contained therein.
Article XV
Notices
Notices to be provided hereunder shall be sufficient if forwarded to the other Party by
hand -delivery or via U.S. Postal Service certified mail return receipt requested, postage
prepaid, to the address of the other Party shown below:

Article XVII
Counterparts
This Agreement may be executed in one or more counterparts and each counterpart shall,
for all purposes, be deemed an original, but all such counterparts shall together constitute
but one and the same instrument.

HYDROGEN SULFIDE CONTROL DEMONSTRATION PROGRAM
The scope set forth herein defines the work to be performed by the CONSULTANT in
completing the project. Both the CITY and CONSULTANT have attempted to clearly define
the work to be performed and address the needs of the Project.
WORK TO BE PERFORMED
Hydrogen Sulfide Control Demonstration Program
Peroxide Regenerated Iron -Sulfide Control (PRI-SCTM),
Ferrous Chloride (EeC!2) & Hydrogen Peroxide (H2O2)
City of Fort Worth -Saginaw M-292 Line
A. Project Description and Objectives
The City of Fort Worth (Fort Worth) is contracting with US Peroxide, LLC (USP) to conduct
a hydrogen sulfide odor and corrosion control demonstration program using Peroxide
Regenerated Iron -Sulfide Control process technology (PRI-SCTM). The PRI-SCTM process is a
proprietary hydrogen sulfide odor and corrosion control technology that combines the use
of iron salts and hydrogen peroxide in a unique fashion, whereby iron salts (either
FeC12/FeC13/FeSO4) are added as the primary sulfide control agent in the upper reaches of
the collection system, and hydrogen peroxide (H202) is added at specific points downstream
to "regenerate" the spent iron (FeS). The regeneration step effectively oxidizes the sulfide to
elemental sulfur and in the process "frees up" the iron for subsequent sulfide or
phosphorous control further downstream. PRI-SCTM is an ideal treatment technology within
interceptor systems and for integrating sulfide control into the treatment plant.
In this project, an iron storage and dosing system will be installed at Blue Mound Road, and
a hydrogen peroxide dose site will be installed at a location prior to the Rub -Dub car wash.
US Peroxide will use a portable peroxide system to test a few locations, to determine the
optimal peroxide feed location. A USP employee will man this portable site while it is
running. Under the PRI-SC scenario, the iron will be fed at Blue Mound road to control
sulfides throughout the length of this line. The H202 system will have the effect of oxidizing
the spent iron sulfide and regenerating the iron to ferrous. The additional regenerated iron
and residual peroxide will maintain the dissolved sulfides to a level of 0.1 mg/1 or less at
the car wash. The trial program will be conducted for a period of 90 days during the higher
sulfide loading months (May to November). The primary project objectives and Scope of
Work include:

1. Conduct detailed baseline H2S sampling (liquid and vapor) on Segment M-292 from
Blue Mound road to the siphon (see model in Technical Approach) .
2. Prove the underlying concept, the cost and operational efficacy of the PRI-SCTM
program for controlling hydrogen sulfide odors and corrosion. The treatment
targets for both liquid and vapor sulfide levels will be agreed to prior to starting the
demonstration by all parties. In addition, the sampling frequency and schedule will
be determined and agreed to by all parties prior to the start of the demonstration.
3. Optimize feed rates as well as optimize performance throughout M-292 line.
4. At the end of the 90 days provide a recommended treatment approach and an
annualized budgetary estimate for full -service PRI-SCTM program.
The demonstration study Scope of Work will be delivered as a full service project conducted
over a 90 day period at a not to exceed total project cost of $33,394 as detailed below. US
Peroxide recommends conducting the program during the City's higher sulfide months to
demonstrate under the worst case conditions and evaluate the maximum performance
benefits. This not to exceed cost estimate is based on the sulfide concentration data collected
over the past 6 months. A baseline survey conducted by US Peroxide prior to the start of
the demonstration will be performed in order to provide a proper baseline of current levels
required for comparison to demonstration results.
The project delivery scope includes the hydrogen peroxide (H202-5(3%), ferrous chloride
(FeC12 — 25%), H202 storage and dosing equipment system, ferrous chloride storage and
dosing equipment, analytical instrumentation, and all of the labor for project management,
operating and maintenance services and reporting. The actual project costs will be based on
the final volume of hydrogen peroxide and ferrous chloride consumed during the program,
and are structured on a not -to -exceed basis.
B. Technical Approach
The technical approach is based on the sulfide data collected and information provided by
the City of Ft. Worth. A simplified model of the technical approach, including a schematic
of approximate application points and monitoring points, is shown below. A variety of test
conditions (i.e. dose response feed rates of both iron and hydrogen peroxide) will be
evaluated during the course of the demonstration. As discussed above, the final test
conditions, elements of the technical approach and cost estimate will be based on a baseline
survey conducted at the start of the program.

o A final report in electronic format that provides: (1) an executive summary of
the demonstration, its findings, results, cost, and recommendations; (2) an
analysis of any impact on Village Creek Water Reclamation Facility
operations, and related system cost impacts; and (3) charts and tables
containing detailed data and observations collected during the
demonstration.
D. US Peroxide Equipment
D1. Hydrogen Peroxide Dosing System
Each integrated storage and dosing system proposed for this program includes the
following:
• One 3,000 US gallon double contained, high density polyethylene, storage tank. The
secondary containment is sized to provide 110% of storage capacity. Each tank
comes equipped with a reverse level indicator, fill line, overflow port into the
secondary containment, and pressure relief device specific to hydrogen peroxide
service. Labels and placards compliant with local codes shall be supplied.
• A ChemWatch monitor, remote telemetry system, which provides tank level
readings in gallons. The system monitors inventory, pump health, and skid
diagnostics. The system communicates daily with the ChemWatch Control Center.
This allows for managing delivery logistics by forecasting demand, and
automatically scheduling future deliveries. The system can also remotely operate
the pumps, to allow for complete US Peroxide program management.
• A Process Chemical Management system (PCM) will be designed and implemented
for Fort Worth to access. This is a web based system that can be accessed by USP
and Fort Worth to essentially see complete details of the M-292 line in "real time".
Fort Worth will have access to Odalog data, liquid sulfide data, tank levels, ongoing
chemical usage rates and cost information, yearly budget information, performance
data, maintenance requests, program management requests, compliance records,
alarms, target/goal tracking information, monthly/quarterly reports, etc. This will
be built and populated throughout the course of the demo.
• A skid mounted chemical metering pump dosing system. The pumps are capable of
local, or remote, control. All transfer piping is passivated 304L tubing for product
safety and ease of use. There is an automated product degassing valve, back
pressure valve, calibration cylinder, and pressure indicator. PRV's specific to
peroxide service are used. An environmentally friendly, weather resistant, enclosure
houses the entire skid to provide leak containment.
• An electrical distribution panel, which provides breakers for all high -draw
components, and an isolated lockable main disconnect switch.

• A combination eyewash/safety shower and a MSDS right -to -know station.
D2. Iron Salt Dosing Skid
Each integrated storage and dosing system proposed for this program includes the
following:

components, and an isolated lockable main disconnect switch.
• A combination eyewash/safety shower and a MSDS right -to -know station.
E. US Peroxide Services
Equipment services include installation, safety training, start-up and maintenance of the
system during the demonstration period. US Peroxide will provide all the necessary
interconnecting piping and tubing for installation. Hydrogen peroxide safety training will
be provided to all designated personnel during start-up. Approximately 4 to 5 days will be
required for equipment installation, start-up and establishment of initial dose rates.
US Peroxide will provide safety training for anyone that works with or near the hydrogen
peroxide system. The training consists of two PowerPoint presentations: one for the ferrous
chloride and one for the hydrogen peroxide. The training takes about 1 hour. The training
for each product includes first exposure to the chemicals, required personal protective
equipment, feed system materials, and what to do if there is a spill. We will take all
designated personnel to the systems and give them an equipment safety orientation.

During start-up, and at regular intervals during the demonstration, US Peroxide will
provide on -site field services to adjust the H2O2 and iron salt feed rates to perform dose
response testing with respect to achieving targeted levels of H2S control. This includes
sampling and monitoring of gaseous H2S (Odalog — continuous data logging H2S monitors),

US Peroxide will also sample and monitor for iron levels and speciation. US Peroxide will
provide weekly project updates to the designated Ft. Worth Engineers and at the end of the
demonstration, a final report will be prepared that summarizes the treatment results,
conclusions and recommendations, and projects annualized program costs based on actual
results and cost benefit factors.

F. City of Ft. Worth Responsibilities
In order to help facilitate and support the demonstration program and installation of
chemical dosing facilities US Peroxide requests that the City of Ft. Worth provide the
following:

Conduit run, electrical service of 110 VAC, 60 HZ, 20A, terminating in a junction box
within 10 feet of each skid location.
A clear area approximately 18' x 18' to place the H202 storage tank and 18' x 36' to
place the FeC12 storage tank. A 4" bed of concrete, or coarse crushed aggregate, is
preferred for the tank pad. However, other surfaces may be acceptable.
A potable water supply capable of delivering 0.4 GPM at 30 PSI, is required prior to
the first fill.
A crane will be required to offload equipment systems upon arrival at each site.
Any trenching, tapping of lines, drilling through concrete, etc. required to run
chemical injection tubing to the application point.
Procurement of appropriate permits and other external items to chemical storage
and dosing systems that may be required by permitting authorities.
Temporary roads /driveways as needed to support safe delivery of chemicals
Provide Village Creek Water Reclamation Facility data needed to determine any
impact of demonstration treatment on plant operations.

Upon execution of this agreement, USP will schedule a visit by its engineering team to
conduct a detailed assessment of the FeC12 installation site at the Blue Mound Road location,
and of proposed hydrogen peroxide equipment upstream of the car wash.
US Peroxide will have the equipment systems on -site and installed within roughly 4-5
weeks of receipt of a formal notice to proceed.
H. Program Extension
Prior to or upon completion of a successful demonstration, and with mutual agreement of
all parties, the program can be extended at the same pricing terms for an additional length
of time at a minimum of 30 day increments.

I. Compensation
Project Costs and Not-tonExceed Budget
US Peroxide offers the demonstration as an all inclusive full -service program, including the
supply of hydrogen peroxide (H202-50%), ferrous chloride (FeC12 — 25%), equipment, and
project and application services as described above. The program will be charged on a unit cost
of hydrogen peroxide and ferrous chloride basis (e.g. actual volume of product consumed) at a
price of $4.95/gallon 50% H202 delivered and $1.50/gal 25% FeC12 delivered respectively. In
addition, there will be one-time project and equipment mobilization charge of $7,500 for the
equipment systems. The program will also have a $700 monthly facility fee for the duration the
equipment is installed.
Note also that as PRI-SCTM is a patented process technology; the purchase of the program, as
defined as chemicals (hydrogen peroxide and or iron salts), equipment and services at the above
pricing from US Peroxide is inclusive of the cost for and constitutes an implied license to
practice the process "Method For Reducing Hydrogen Sulfide Emissions From Wastewater", as
described in United States Patent No. 6,773,604 B2 and 7,147,783.
US Peroxide Demonstration Cost
Based on the Scope of Work, the 90 day project budget not to exceed amount is as follows:
Hydrogen Peroxide — 50% $8,044 (-1,625 gal x $4.95/gal)
Ferrous Chloride — 25% $15,750 (-10,500 gal x $1.50/gal)

To obtain a not -to -exceed project cost, estimated average liquid phase sulfide concentration is 5.0 mg/L.
Sampling indicates actual level should be significantly lower, and —30% savings are anticipated with
optimization and diurnal patterns.

A The CONSULTANT shall be paid monthly payments as described in Section II -

Method of Payment
A. The CONSULTANT shall be paid by the City based upon an invoice created on
the basis of statements prepared from the books and records of account of the
CONSULTANT, based on the actual hours and costs expended by the
CONSULTANT in performing the work.
B. Each invoice shall be verified as to its accuracy and compliance with the terms of
this Agreement by an officer of the CONSULTANT.
