Ener&vConnect Agreement for Access to ERCOT Emergency Response Service
Program
This Agreement, by and between The City of Fort Worth, Texas ("Customer") and EnergyConnect, Inc., a Johnson
Controls company, ("EnergyConnect") is entered into and effective this 22nd day of June, 2012.
Section 1— General
Customer hereby designates EnergyConnect as its exclusive demand response provider, during the term of this
Agreement, to register, represent and manage the Customer's participation in the Electric Reliability Council of
Texas (ERCOT) Emergency Response Service program (ERS). The program pays Customers that agree to reduce
electrical loads in response to grid events or emergencies (Event or Events) called by ERCOT. The ERS Program
terms and parameters are outlined in Appendix 1, and can change at the discretion of ERCOT.
EnergyConnect is a Demand Response Provider (DRP) and is registered with ERCOT as a Qualified Scheduling Entity
(QSE). Customer is the owner and/or manager of the Properties identified in Appendix 2, attached hereto
("Property" or 'Properties"). References to Customer in this Agreement are limited to Customer as
owner/manager of the Property and do not extend to other Properties Customer may own or manage. Additional
facilities may be added under this agreement with mutual consent.
Section 2 — Participation Details
This agreement applies to the ERCOT 30-minute pilot Customer is responsible to reduce electric consumption
when notified by EnergyConnect of ERS Program Event, according to the terms below. EnergyConnect is
responsible for settlement with ERCOT and payment to Customer.
2.1 Term
This agreement defines a relationship between Customer and EnergyConnect through the 2012-2013 ERCOT
season (from July 15, 2012 to May 31, 2013), extendable upon mutual consent. ERS participation will take place in
the contract windows described in Appendix 1, with the exception that for 2012 the summer period will begin on
July 15 due to the modified ERS pilot program (30-minute pilot).
2.2 Notification
Customer will be notified 30 minutes before any Event. Customer is expected to reduce electrical Toad until receipt
of Event termination signal.
2.3 Compensation
Compensation is paid by ERCOT in the form of standby payments that depend on how much load the Customer is
capable of cutting back when called ("Reduction Potential"). The initial Reduction Potential is estimated in
Appendix 2 for each of the four blocks described in Appendix 1. The Reduction Potential may be adjusted based on
mutual consent of the Customer and EnergyConnect. Customer's compensation is contingent on ERCOT's
selection of EnergyConnect's ERS Program resources, and Customer's performance during curtailment events
(actual Toad reduction), as calculated with Customer's interval data recorder and in accordance with ERCOT
accepted methodology.
Compensation is calculated based on the capacity auctions held by ERCOT. EnergyConnect will pay Customer 65%
of the Capacity payments available from ERCOT. EnergyConnect anticipates receiving payment from ERCOT within

70 days of the end of contract term. EnergyConnect will pay Customer within 45 days of receiving payment from
ERCOT.
Customer will not be required to pay for service under any circumstances. There are no penalties for under
performance other than the reduction in payment to Customer to reflect actual Toad reduction.
The Parties hereby approve and accept these terms.

Appendix 1= ERS Program Terms and Parameters
ERCOT defines three contract windows during which Customers may bid load reductions:
Contract 1. June 1— September 30 (2012 starts on July 15 and ends on September 30)
Windows 2. October 1 —January 31
3. February 1— May 31
The ERCOT program divides the hours of the day into four blocks:
• Business Hours 1 (BH1) - HE 0900 through 1300, Monday thru Friday except ERCOT
Holidays; 420 hours
Hours of • Business Hours 2 (BH2) - HE 1400 through 1600, Monday thru Friday except ERCOT
Participation Holidays; 252 hours
• Business Hours 3 (BH3) - HE 1700 through 2000, Monday thru Friday except ERCOT
Holidays; 336 hours
• Non -Business Hours (NBH) - All other hours; 1,920 hours
Notification Time At least 30 minutes prior to event
Measurement & Actual Load Reduction will be calculated in concordance with ERCOT rules for the ERS
Verification program.
Metering ERCOT requires interval metering as a requirement for participation in the ERS program.
Test Events
ERCOT may require Customer to demonstrate ability to reduce load during one test event per
year, provided no actual events have been called in the past year.
