FIRST AMENDMENT TO CITY SECRETARY CONTRACT NUMBER 42046 PROFESSIONAL SERVICES AGREEMENT This FIRST AMENDMENT TO CITY SECRETARY CONTRACT NO. 42046 PROFESSIONAL SERVICES AGREEMENT ("First Amendment") is made and entered into by and between the City of Fort Worth, a home -rule municipal corporation of the State of Texas ("City"), acting by and through its duly authorized Assistant City Manager, and Pacheco Koch Consulting Engineers, Inc., a Texas corporation ("Consultant"), acting by and through its duly authorized President. WHEREAS, the City and Consultant are parties to a contract whereby Consultant provides City with certain professional services related to the development of an enterprise database application for the management and tracking of natural gas pipeline agreements, said contract being Fort Worth City Secretary Contract No. 42046 (the "Agreement"); and WHEREAS, Consultant has worked with the City to complete the concept design for the database and to develop a database prototype using that design; and WHEREAS, City staff has determined that on -going functionality of the database would be greatly enhanced by including data regarding all pipeline -related natural -gas -drilling activities, including freshwater and saltwater pipeline permits and agreements and City alignment reviews; by making improvements to the database compatibility and interoperability with current and future technology; and by development of a web -based application; and WHEREAS, the parties wish to amend the Agreement to broaden the scope of work to encompass these functionality enhancements, to increase the compensation to the Consultant based on the additional work, to extend the term, and to make a clarification regarding the ownership of work product. NOW, THEREFORE, City and Consultant do hereby covenant and agree as follows: 1. That Fort Worth City Secretary Contract No. 42046 is hereby renewed and extended through (the "First Renewal Period"), unless terminated . a wa- in aeeor ranc ' ith the terms of the Agreement. That Fort Worth City Secretary Contract No. 42046 is hereby amended to add a new Article lA to be entitled "Additional Services" and to read as follows: ARTICLE 1A. ADDITIONAL S1-RVICES Consultant covenants and agrees, with good faith and due diligence, to perform professional consulting services as set forth in the document ` Scope of Seivices — Additional Services," which is attached hereto as Attachment "A-1" and incorporated herein for all purposes as though it were set forth at length. These additional services shall be referred to as City Natural Gas Pipeline Database Enhancement Project or "Enhancement Project." 3. That any duty or obligation applicable to the `Project" under Fort Worth City Secretary Contract No. 20246 shall apply equally to the ` Enhancement Project." 4. That Fort Worth City Secretary Contract No. 42046 is hereby amended to add a new Article 2A to be entitled "Compensation for Additional Services" and to read as follows: ARTICLE 2A COMPENSATION FOR ADDITIONAL SERVICES Section 1 For completion of the Enhancement Project, Consultant shall be compensated in accordance with the document entitled ` Fee Schedule for Additional Services," which is attached hereto as Attachment B-1" and incorporated herein for all purposes as though it were set forth at length. Payment shall be considered full compensation for all labor, materials, supplies, and equipment necessary to complete the Enhancement Project and additional services described in Attachment "A-1," provided, however that the total fee paid by the City for the Enhancement Project shall not exceed a total of $225,999.00, of which $34,581.00 shall come from savings realized from the initial Project. Consultant acknowledges and agrees that City shall not be obligated to pay more than $191,418.00 in additional compensation beyond the amount provided under Article 2. Section 2. The Consultant shall provide invoices to the City for all work performed with each such invoice referencing specific tasks and milestones outlined in Attachment B. Payment for services rendered shall be due within thirty (30) days of the City's receipt of a deliverable item and receipt by City of Consultant's acceptable invoice for payment of First Amendment to Professional Services Agreement with Pacheco Koch Consulting Engineers, Inc. Page 2 of 10 same. In the event of a disputed or contested billing, only that portion so contested may be withheld from payment, and the undisputed portion will be paid. No interest will accrue on any contested portion of the billing until mutually resolved. City will exercise reasonableness in contesting any billing or portion thereof 5. That Fort Worth City Secretary Contract No. 42046 is hereby amended to add a new Article 6A, "Intellectual Property for Additional Services," to read as follows: ARTICLE 6A. INTELLECTUAL PROPhRTY ASSOCIATED WITH WI-B-BASED APPLICATION Section 1 Applicability of this Article Notwithstanding any language or implication in this Agreement to the contrary, this Article 6A shall govern the intellectual property rights of each party with respect to the web -based pipeline data management application developed by Consultant's subconsultant as part of the Additional Services. Any intellectual property created or developed directly by Consultant shall be subject to and governed by the terms and conditions of Article 6 of the Agreement. Section 2. Rights in data. The City shall have unlimited rights in all data delivered and/or first produced in connection with the development of the web -based pipeline data management application developed by Consultant's subconsultant as part of the Additional Services. Section 3. Intellectual property rights and ownership of the web based pipeline data management application. The web -based pipeline data management application web -based to be developed by Consultant's subconsultant as part of the Additional Services under the terms of this First Amendment (the Application") shall, upon delivery to the City, become the sole property of the City. The City agrees, however, that the Application will be used for the City's own internal purposes only and that the City will not, without the advance written approval of the Consultant, duplicate, distribute, sublicense, sell or transfer the Application or any derivatives thereof nor will the City knowingly permit same. The City agrees that any preexisting or third party, software, software applications, application components, and any and all inventions, discoveries, developments, and innovations that are developed, created or utilized in development of the Application ( `Third Party IP") shall remain the sole and exclusive property of the respective developers, creators, or owners of said Third Party IP First Amendment to Professional Services Agreement with Pacheco Koch Consulting Engineers, Inc. Page 3 of 10 Consultant on behalf of itself and its subconsultant hereby grants to the City a perpetual, royalty -free, non-exclusive license to use and modify, for the City's own internal purposes, such Third Party IP to the extent such Third Party IP is owned, developed, or created by Consultant or its subconsultant. The City's rights under said license do not include the rights of duplication, sale, distribution, sublicensing or transfer of any kind of any such Third Party IP without the written approval of the Consultant. The City may not remove or knowingly permit removal of any copyright or other proprietary rights notices contained in or placed upon the Application. Consultant agrees for itself and its subconsultant that it will not sell or transfer the Application to any third party without the express written consent of the City. 6. That all other terms and conditions of City Secretary Contract No. 42046 that are not amended herein shall remain in full force and effect. Page 4 of 10 ATTACHMENT A-1 SCOPE OF SERVICES - ADDITIONAL SERVICES The scope set forth herein defines the work to be performed by the CONSULTANT in completing the project. Both the CITY and CONSULTANT have attempted to clearly define the work to be performed and address the needs of the Project. Under this scope "CONSULTANT" is expanded to include any sub -consultant employed or contracted by the CONSULTANT. OBJECTIVE The CONSULTANT has previously developed a database concept and prototype application to manage and track natural gas pipeline license agreements for the CITY. The CONSULTANT will provide additional features requested by the CITY not previously included in the original scope of work. The CONSULTANT will then use the CITY approved prototype as a basis to develop a web -based application to manage and track pipeline license agreements for the CITY's Planning and Development Department. The user interface will be available through the CITY's Intranet with a database connection to SQL Server 2008. The following items define the scope of service required to develop this application for the CITY. WORK TO BE PERFORMED TASK 1. EXPANDED SCOPE TASK 2. WEB -BASED CONVERSION TASK 3. PROJECT IMPLEMENTATON TASK 4. TECHNICAL SUPPORT (1 YEAR) TASK 1: EXPANDED SCOPE The CONSULTANT shall revise the prototype with additionally requested features. These features include: data entry and review for four (4) additional departments (P&D Wells, TPW, Water, and Parks), tracking of saltwater and freshwater pipelines, draft M&C document and license agreement generation, concept and engineering review of pipeline alignments, survey permits, temporary waterline permits and, document uploading capabilities. The purpose of the prototype is to provide a functional demonstration of intended workflow, features and capabilities needed in the final application. 1.1 Prototype Development • Update prototype with additional requested features. To include: o additional departments (P&D Wells, TPW, Water, and Parks) o tracking of saltwater and freshwater pipelines o draft M&C documents and license agreements generation o survey permits o temporary waterline permits o concept & engineering review o document uploading capabilities 1.2 Prototype Approval — The CONSULTANT will prepare an outline of the finalized prototype for CITY approval. The outline will be used to document the intended workflow, features and capabilities needed in the final application. Final CITY comments o n the outline will be incorporated into the final application. • Prepare an outline of all features, functions and processes included in the prototype o oting CITY comments for inclusion in the final web -based application. Page 5 of 10 The CITY will provide written approval of the prototype concept prior to proceeding with TASK 2. Approval indicates the CITY acknowledges the general workflow and features contained in the prototype and outline are acceptable in concept and no new features or processes will be added during the Web Based Conversion phase (TASK 2). DELIVERABLES: • Working prototype application (desktop version with dbf tables) demonstrating required features and processes to manage and track pipeline data. • Outline documenting all features, functions and processes of the application with any final CITY comments noted. TASK 2 WEB -BASED CONVERSION The CONSULTANT will use the CITY approved prototype and outline as a basis to develop a web -based application to manage and track pipeline license agreements for the CITY's Planning and Development Department TPW, Water and Parks. All features, functions and processes provided in the prototype and outline will be incorporated into the web -based application. 2.1 SQL Database — The CONSULTANT will design and create a SQL database for the application. A functional review of the prototype and outline will be incorporated into the design of the SQL database to ensure compatibility and optimization of data for the web - based applications. SQL database design includes the following tasks: • Design SQL tables (types, schemas, structures, relationships, views, indexes and referential integrity constraints) Design SQL database (events required scheduling, backend processing, batch processing, store procedures, replication and backup jobs) • Create SQL tables (application, support, security and system control) • Review with client as needed throughout process • Provide database description (list of tables and related attributes) • 2.2 Web -Based Application — The CONSULTANT will design a user interface based on the features, functions and processes described by the approved prototype and outline. Development and design of the web based user interface will include the following tasks: • Design of user interface for security groups (login, access restrictions, etc.) • Design of main application tabbed user interface components • Design of application web components (pages, grids, dialogs, ajax callbacks, etc.) o Table maintenance grids o Application data management grids o Location grids (locating data to edit) o Standard reports and documents process to complete and publish o Report grids • Develop backend and batch processing application scripts • Develop reporting application components • Develop user defined application functions • Unit test all developed components First Amendment to Professional Services Agreement with Pacheco Koch Consulting Engineers, Inc. Page 6 of 10 2.3 Quality Assurance & User Acceptance Testing — The CONSULTANT will develop and execute a test plan of the application. The test plan will include user acceptance testing and testing support. Once the application is fully vetted and accepted by the CITY, the CONSULTANT will proceed to TASK 2.4 — Implementation. • Develop test plan • Execute test plan • Issue resolution • Test server setup • Conduct on-line vetting • Provide support for user acceptance • Prepare draft database and application documentation 2.4 Web Implementation — The CONSULTANT will work with CITY staff to setup, configure and document the server environment for the application. The CONSULTANT will assist with the development of a disaster recovery plan for the application. The application will be tested in the production environment and the database will be reset to go live. The CONSUTANT will complete the following tasks during implementation: • Server environment setup and configuration o Assist with server configuration o Assist with setup of hosted/internal servers with Alpha Five Web Application Servers o Assist with set up of VPN o Configure, implement and test load balancer, as required o Load, configure and test required third party software (Cron, Curl, Always Up) o Assist with implementation of SSL Certificates as required o Setup server health monitoring o Test server setup and environment to ensure it is functioning as designed o Document server setup and configuration • Assist with disaster recovery planning, testing and documentation as required • Implementation into production environment • Production environment testing support • Reset database to go live • Prepare Final documentation of the application and database ASSUMPTIONS: • Database will be running in a cluster redundant environment. • Application and SQL database will include weekly and/or daily backup for recovery purposes on existing CITY system. • Database migration (population of historical data) will be performed by CITY staff after application is implemented. • Permits Plus and other applications can be linked through SQL tables but is not part of this project. • A SQL read only view will be created for connection to CITY GIS data. The CITY's GIS department will make any necessary data connections through ArcGIS Server. • Modifications to the application beyond what is described in the approved prototype and outline will be considered additional services and may alter the project schedule. Page 7 of 10 TASK 3: PROJECT IMPLEMENTATION — The CONSULTANT shall attend meetings and provide response to CITY comments as required. All meetings will be documented with meeting minutes and action items will be submitted to the CITY after each meeting. 3.1 Managing the Team • Lead, manage and direct design team activities • Ensure quality control is practiced in performance of the work • Communicate internally among team members • Task and allocate team resources 3.2 Communications and Reporting • Conduct meetings with the CITY during the performance of each task. • Conduct and document design team meetings. • Conduct City Staff training sessions for use of application • Prepare invoices in accordance with Attachment B to this Standard Agreement and submit monthly in the format requested by the CITY. ASSUMPTIONS: • A total of six (4) meetings are anticipated • A total of two (2) training sessions are anticipated. DELIVERABLES: • Meeting summaries with action items • Monthly invoices • Baseline schedule • Monthly progress report with updated schedule TASK 4• TECHNICAL SUPPORT (1 YEAR) — The CONSULTANT shall provide one (1) year of technical support for the web -based application Technical support will start after the application has been approved and accepted by the CITY. The CITY has the option to renew technical support as needed with a reassessment of terms and conditions at that time. Technical support will include backend software updates as well as phone and email support. ASSUMPTIONS: • Technical support does not include application modifications other than the correction of material errors. • Phone and email support occurs on weekdays between 8:00am and 4:O0pm. DISCUSSION: On July 19, 2011, (M&C G-17317) the City Council approved a contract with Pacheco Koch for design of the Oil and Gas Pipeline Geographic Information System Mapping and Database Project. The terms of the contract provided for design and implementation of a database application and GIS layer to track natural gas pipelines that impact City properties. During the design phase of the database application Staff determined that the initial scope of the project would need to be expanded to include all pipeline activities associated with natural gas drilling, including freshwater and saltwater pipeline permits and Agreements, review of pipeline alignments by various departments, and compatibility with existing and future City IT systems. Additionally, it was determined that a web -based application would provide long-term functionality of the application across City departments and systems. The concept design and prototype of the database application have been completed with input from Staff in the Planning and Development, Water, Transportation and Public Works, and Parks and Community Services Departments.
