This AGREEMENT is between the City of Fort Worth, a Texas home -rule municipality
(the "CITY"), and Dunaway Associates, L.P., authorized to do business in Texas, an
independent contractor ("Consultant"), for a PROJECT generally described as: Randol Mill
Road Improvements.
Article
Scope of Services
(1) Consultant hereby agrees to perform as an independent contractor the services set
forth in the Scope of Services attached hereto as Attachment "A". These services
shall be performed in connection with 01809 - Randol Mill Road (IH820 to Precinct
Line Road).
(2) Additional services, if any, will be requested in writing by the City. City shall not pay
for any work performed by Consultant or its subconsultants, subcontractors and/or
suppliers that has not been ordered in writing. It is specifically agreed that
Consultant shall not be compensated for any alleged additional work resulting from
oral orders of any person.
Article II
Compensation
Consultant shall be compensated in accordance with the Fee Schedule shown in
Attachment "B". Payment shall be considered full compensation for all labor, materials,
supplies, and equipment necessary to complete the services described in Attachment A.
However the total fee paid by the City shall not exceed a total of $515,633 unless the City
and the Consultant mutually agree upon a fee amount for additional services and amend
this Agreement accordingly.
The Consultant shall provide monthly invoices to the City. Payment for services rendered
shall be due within thirty (30) days of the uncontested performance of the particular
services so ordered and receipt by City of Consultant's invoice for payment of same.
Acceptance by Consultant of said payment shall operate as and shall release the City from
all claims or liabilities under this Agreement for anything related to, done, or furnished in
connection with the services for which payment is made, including any act or omission of
the City in connection with such services.

Article III
Term
Unless terminated pursuant to the terms herein, this Agreement shall be for a term of 177
Calendar Days, beginning upon the date of its execution, or until the completion of the
subject matter contemplated herein, whichever occurs first.
Article IV
Independent Contractor
Consultant shall operate hereunder as an independent contractor, and not as an officer,
agent, servant, or employee of the City. Consultant shall have exclusive control of and the
exclusive right to control the details of its work to be performed hereunder and all persons
performing same, and shall be solely responsible for the acts and omissions of its officers,
agents, employees, contractors and subcontractors. The doctrine of respondent superior
shall not apply as between City and Consultant, its officers, agents employees, contractors,
and subcontractors and nothing herein shall be construed as creating a partnership or joint
venture between City and Consultant.
Article V
Professional Competence and Indemnification
(1) Work performed by Consultant shall comply in all aspects with all applicable local,
state and federal laws and with all applicable rules and regulations promulgated by
the local, state and national boards, bureaus and agencies. Approval by the City
shall not constitute or be deemed to be a release of the responsibility and liability of
Consultant or its officers, agents, employees, contractors and subcontractors for the
accuracy and competency of its services performed hereunder.
(2) In accordance with Texas Local Government Code Section 271.904, the Consultant
shall indemnify, hold harmless, and defend the City against liability for any damage
caused by or resulting from an act of negligence, intentional tort, intellectual
property infringement or failure to pay a subcontractor or supplier committed by the
Consultant or Consultant's agent, consultant under contract, or another entity over
which the Consultant s exercises control.

Article VI
Insurance
(1) Consultant shall not commence work under this Agreement until it has obtained all
insurance required under this Article and the City has approved such insurance, nor
shall Consultant allow any subcontractor to commence work on its subcontract until
all similar insurance of the subcontractor has been so obtained and approval given
by the City provided, however, Consultant may elect to add any subconsultant as
an additional insured under its liability policies.
Commercial General Liability
$1,000,000 each occurrence
$1,000,000 aggregate
Automobile Liability
$1,000,000 each accident (or reasonably equivalent limits of
coverage if written on a split limits basis). Coverage shall be
on any vehicle used in the course of the Project.
Worker's Compensation
Coverage A: statutory limits
Coverage B• $100,000 each accident
$500,000 disease - policy limit
$100,000 disease - each employee
(2) Additional Insurance Requirements
a. Except for employer's liability insurance coverage under Consultant's worker's
compensation insurance policy, the City, its officers, employees and servants shall
be endorsed as an additional insured on Consultant's insurance policies.
b. Certificates of insurance shall be delivered to the Transportation and Public Works,
Attention: Dennis Ingram, 1000 Throckmorton Street, Fort Worth, TX 76102, prior
to commencement of work.
c. Any failure on part of the City to request required insurance documentation shall
not constitute a waiver of the insurance requirements specified herein.
d. Each insurance policy shall be endorsed to provide the City a minimum thirty days
notice of cancellation, non -renewal, and/or matenal change in policy terms or
coverage. A ten days notice shall be acceptable in the event of non-payment of
premium.

e. Insurers must be authorized to do business in the State of Texas and have a
current A.M. Best rating of A: VII or equivalent measure of financial strength and
solvency.
f. Other than worker's compensation insurance, in lieu of traditional insurance, City
may consider alternative coverage or risk treatment measures through insurance
pools or risk retention groups. The City must approve in writing any alternative
coverage.
g. Workers' compensation insurance policy(s) covering employees employed on the
Project shall be endorsed with a waiver of subrogation providing rights of recovery
in favor of the City.
h. City shall not be responsible for the direct payment of insurance premium costs
for Consultant s insurance.
i. Consultants insurance policies shall each be endorsed to provide that such
insurance is primary protection and any self -funded or commercial coverage
maintained by City shall not be called upon to contribute to loss recovery.
j.
In the course of the Agreement, Consultant shall report, in a timely manner, to
City's officially designated contract administrator any known loss occurrence which
could give rise to a liability claim or lawsuit or which could result in a property loss.
k. Consultant's liability shall not be limited to the specified amounts of insurance
required herein.
I. Upon the request of City Consultant shall provide complete copies of all
insurance policies required by these Agreement documents.
Article VII
Transfer or Assignment
City and Consultant each bind themselves, and their lawful successors and assigns, to this
Agreement. Consultant, its lawful successors and assigns, shall not assign, sublet or transfer
any interest in this Agreement without pnor written consent of the City.
Article VIII
Termination of Contract
(1) City may terminate this Agreement for its convenience on 30 days' written notice.
Either the City or the Consultant for cause may terminate this Agreement if either
Party fails substantially to perform through no fault of the other and does not

commence correction of such nonperformance with 5 days of written notice and
diligently complete the correction thereafter
(2) If City chooses to terminate this Agreement under Article 8, upon receipt of notice of
termination, Consultant shall discontinue services rendered up to the date of such
termination and City shall compensate Consultant based upon calculations in Article
2 of this Agreement and Exhibit "B" attached hereto and incorporated herein.
(3) All reports, whether partial or complete, prepared under this Agreement, including
any original drawings or documents, whether furnished by the City, its officers
agents, employees, consultants, or contractors, or prepared by Consultant, shall be
or become the property of the City, and shall be furnished to the City prior to or at
the time such services are completed, or upon termination or expiration of this
Agreement.
Article IX
Right to Audit
(1) Consultant agrees that the City shall, until the expiration of three (3) years after final
payment under this Agreement, have access to and the right to examine any directly
pertinent books, documents, papers and records of Consultant involving transactions
relating to this Agreement. Consultant agrees that the City shall have access during
normal working hours to all necessary facilities and shall be provided adequate and
appropriate workspace in order to conduct audits in compliance with the provisions of
this section. City shall give Consultant reasonable advance notice of intended audits.
(2) Consultant further agrees to include in all its subcontracts hereunder, a provision to
the effect that the subcontracting consultant agrees that the City shall, until the
expiration of three (3) years after final payment under the subcontract, have access
to and the right to examine any directly pertinent books, documents, papers and
records of such sub -consultant, involving transactions to the subcontract, and
further, that City shall have access during normal working hours to all sub -
consultant facilities and shall be provided adequate and appropriate work space in
order to conduct audits in compliance with the provisions of this article. City shall
give Consultant and any sub -consultant reasonable advance notice of intended
audit.
(3) Consultant and sub -consultants agree to photocopy such documents as may be
requested by the City. The City agrees to reimburse Consultant for the cost of copies
at the rate published in the Texas Administrative Code in effect as of the time copying
is performed.

Article X
Minority Business and Small Business Enterprise (MBE)(SBE) Participation
In accordance with the City's Business Diversity Enterprise Ordinance No. 20020-12-2011,
as amended, the City has goals for the participation of minority business enterprises and/or
small business enterprises in City contracts. Consultant acknowledges the MBE and SBE
goals established for this Agreement and its accepted written commitment to MBE and SBE
participation. Any misrepresentation of facts (other than a negligent misrepresentation)
and/or the commission of fraud by the Consultant may result in the termination of this
Agreement and debarment from participating in City contracts for a period of time of not less
than three (3) years.
Article XI
Observe and Comply
Consultant shall at all times observe and comply with all federal, state, and local laws and
regulations and with all City ordinances and regulations which in any way affect this
Agreement and the work hereunder, and shall observe and comply with all orders, laws
ordinances and regulations which may exist or may be enacted later by governing bodies
having jurisdiction or authority for such enactment. No plea of misunderstanding or ignorance
thereof shall be considered. Consultant agrees to defend, indemnify and hold harmless City
and all of its officers, agents and employees from and against all claims or liability arising out
of the violation of any such order, law, ordinance, or regulation, whether it be by itself or its
employees.
Article XII
Venue and Jurisdiction
If any action, whether real or asserted, at law or in equity, arises on the basis of any
provision of this Agreement, venue for such action shall lie in state courts located in
Tarrant County, Texas or the United States District Court for the Northern District of Texas
— Fort Worth Division. This Agreement shall be construed in accordance with the laws of
the State of Texas.
Article XIII
Contract Construction
The Parties acknowledge that each party and, if it so chooses, its counsel have reviewed
and revised this Agreement and that the normal rule of construction to the effect that any
ambiguities are to be resolved against the drafting party must not be employed in the

interpretation of this Agreement or any amendments or exhibits hereto.
Article XIV
Severability
The provisions of this Agreement are severable, and if any word, phrase, clause,
sentence, paragraph, section or other part of this Agreement or the application thereof to
any person or circumstance shall ever be held by any court of competent jurisdiction to be
invalid or unconstitutional for any reason, the remainder of this Agreement and the
application of such word, phrase, clause, sentence, paragraph, section, or other part of this
Agreement to other persons or circumstances shall not be affected thereby and this
Agreement shall be construed as if such invalid or unconstitutional portion had never been
contained therein.
Article XV
Notices
Notices to be provided hereunder shall be sufficient if forwarded to the other Party by
hand -delivery or via U.S. Postal Service certified mail return receipt requested, postage
prepaid, to the address of the other Party shown below:

for all purposes, be deemed an original, but all such counterparts shall together constitute
but one and the same instrument.

Scope for Enaineerina Design Related Services for Street Improvements
The scope set forth herein defines the work to be performed by the ENGINEER in
completing the project. Both the CITY and ENGINEER have attempted to clearly define the
work to be performed and address the needs of the Project.
OBJECTIVE
The objective of this Council District 4 project is to develop an alignment for the future
widening of Randol Mill Road from a 2-lane asphalt road to a 4-lane concrete major arterial
that will be protected from the flooding of a 100 - year event by the Tnnity River.
Additionally, this project will develop alternative alignments for Cooks Lane and Precinct
Line Road at their intersection with the future Randol Mill Road.
The proposed project limits are.
• Randol Mill Road (East Loop I - 820 northbound service road east to Racquet Club
Drive), a distance of approximately 3.2 miles;
• Cooks Lane (from north of Meadow View Trail to Randol Mill Road), a distance of
approximately 4,000 ft; and
• Precinct Line Road (from north of the West Fork Trinity River to Randol Mill Road), a
distance of approximately 4,000 ft.
This project will consist of two phases:
Phase One
Concept Level Alignment Studies, Traffic Studv. and Drainage Studv will be conducted
resulting in alternative alignments and profiles for Randol Mill Road, Cooks Lane and
Precinct Line Road.
These alignments will be presented to the City along with the Engineer's recommendations,
and the preferred preliminary alignments will be selected by the City for further
development.
Phase Two
Design, SUE and Topographic Survey will be conducted along preferred alignment for
Randol Mill Road (from Loop 820 NB frontage road to Racquet Club Road). In addition to
survey work, Dunaway will provide services in support of a Park land Conversion, which is
expected to result as part of this project

TASK 1 DESIGN MANAGEMENT
ENGINEER will manage the work outlined in this scope to ensure efficient and effective use
of ENGINEER's and CITY's time and resources ENGINEER will manage change,
communicate effectively, coordinate internally and externally as needed, and proactively
address issues with the CITY's Project Manager and others as necessary to make progress
on the work.
1.1 Managing the Team
• Lead, manage and direct design team activities.

1.2 Communications and Reporting
• Attend a pre -design project kickoff/chartering meeting with CITY staff to confirm and
clarify scope, understand CITY objectives, and ensure economical and functional
designs that meet CITY requirements
• Conduct and document in writing bi-weekly project update meetings with CITY Project
Manager.
• At the end of each design phase, conduct and document in writing review meetings
with the CITY.
• Conduct and document in writing weekly design team meetings.
• In accordance with Attachment B to this Standard Agreement, prepare and submit
monthly invoices in the format requested by the CITY.
• Prepare and submit monthly progress reports in the format provided by the respective
CITY Department.
• As required in Attachment D to this Standard Agreement and according to the City of
Fort Worth's Schedule Guidance Document; prepare and submit an initial baseline
Project Schedule. Prepare monthly Project Schedule updates with a schedule
narrative.
• At the end of the project, complete Monthly M/WBE Report Form and Final Summary
Payment Report Form.
Coordinate with other agencies and entities as necessary for the design of the
proposed infrastructure. Provide and obtain information needed to prepare the
design. Such coordination will also include the work necessary to update the Master
Thoroughfare Plan to reflect the planning alignments. It is expected that this work will
include one (1) presentation to the Planning Committee and one (1) presentation at
the City Council Public hearing on the proposed alignments.
• ENGINEER shall communicate with permitting authorities confirming that their
regulatory requirements are appropriately reflected in the designs. As part of the
design scope ENGINEER shall work with regulatory authorities to obtain approval of
the designs and make necessary changes to meet their requirements

• Personnel and Vehicle Identification: When conducting site visits to the project
location, the ENGINEER or any of its sub -consultants shall carry readily visible
information identifying the name of the company and the company representative.
1.3 Scoping
• Verify project scope by conducting initial investigations of project elements and
proposed solutions.

TASK 2 CONCEPT DESIGN
The Concept Design shall be submitted to CITY per the approved Project Schedule.
The purpose of the concept Design is for the ENGINEER to establish alignments for future
improvements to Randol Mill Road, Precinct Line Road, and Cooks Lane and obtain the
CITY's endorsement of these alignments before proceeding to Schematic Design. Should
the CITY determine upon completion of TASK 2 CONCEPT DESIGN not to proceed with the
Schematic design, this contract can be terminated and Dunaway will be paid for all work
completed up to notice of termination. Once paid, the ownership of all information studies,
drawings, and notes, whether written or in electronic form shall become the property of the
CITY.
ENGINEER will develop the Concept Design of the infrastructure as follows.
2.1 Data Collection
• In addition to data obtained from the CITY, the ENGINEER will research and
make every effort to obtain pertinent information aiding in coordination of the
proposed improvements and any planned future improvements that may
influence the project ENGINEER will also identify and seek to obtain data from
existing conditions that could impact the project, including utilities agencies
(TxDOT, FEMA, USACE and railroads), City Master Plans, and property
ownership as available from the Tax Assessor s office
2.2 Subsurface Utility Engineering
• Provide Subsurface Utility Engineering (SUE) per Task 6.

2.3 The Concept Design Package shall include the following:
2.3.1 Alignment Study
• A maximum of three (3) preliminary alternative alignments of Randol Mill
Road, Cooks Lane, Sandy Lane (future) and Precinct Line Road will be
investigated by the ENGINEER The secondary roadways of Stone View
Circle, Old Randol Mill Road, Trinity Court, Flyaway Lane, Golden Eye Lane,
Lowery Road, John T White Road Leisure Drive, and Williams Road will not
have alternative alignments investigated
• The investigation will consist of documenting the preliminary alignments
improvements to mobility, ROW requirements (with projected cost),
deviations from design criteria, and the estimated cost of four (4) major items:
pavement culverts wider than twenty (20) feet (measured along the roadway
centerline), bridge, and earthwork.
2.3.2 Drainage Study
• A Drainage Study will be conducted to determine the preliminary culvert
sizes, the approximate length of Precinct Line Road Bridge over the Trinity
River, and the effect of Randol Mill Road improvements on the floodplain.
HEC-RAS will be used with available CDC and USACE models for floodplain
analysis and to verify the CDC requirements for conveyance and valley
storage are met. The CITY's2009 LIDAR will be used to develop drainage
areas for sizing of the preliminary culverts.
• Develop an initial new alignment of Channel WF-1, proposed channel profile,
and proposed channel typical section that works with preliminary alignments of
Randol Mill Road.
2.3.3 Traffic Study
• Traffic patterns for both existing and future conditions will be analyzed to
determine the effect of the improvements and optimize the design. The traffic
study will consist of two phases: Planning Services Phase and Operational
Services Phase.
A. Planning Services Phase
• Using road tubes, collect 24-hour bi-directional traffic counts on the
following roadways:
o Randol Mill Road - east of IH 820
o Randol Mill Road - west of Racquet Club Drive
o Randol Mill Road - west of Precinct Line Road
o Randol Mill Road - east of Precinct Line Road
o Randol Mill Road west of Cooks Lane
o Precinct Line Road - north of Randol Mill Road
o Cooks Lane - south of Randol Mill Road
• By observation, collect AM/PM peak period turning movement counts
at the following locations:

o Randol Mill Road at Precinct Line Road
o Randol Mill Road at Cooks Lane
Obtain Year 2035 traffic projections from North Central Texas Council
of Governments for Randol Mill Road, Precinct Line Road and Cooks
Lane.
Develop existing/anticipated peak hour and daily traffic volumes for
the following time frames:
o Existing - Year 2012
o Roadway Opening - Year 2015
o Horizon Year - Year 2020
o Pavement Design - Year 2035
B. Operational Service Phase
• Prepare AM and PM peak hour operational analysis for the
intersection of Randol Mill Road at Precinct Line Road/Cooks Lanes
for the following time frames:
o Existing - Year 2012
o Roadway Opening - Year 2015
o Horizon Year - Year 2020
• Make recommendation for appropriate traffic control for the
intersection of Randol Mill Road at Precinct Line Road/Cooks Lane for
the abovementioned time frames.
2.3.4 Alternative Selection Meeting
• A meeting will be held with the project stakeholders to determine the
preferred alternative that will be taken to a 100% schematic design. At this
meeting, the ENGINEER will present the Alternative Alignments in a 1:100
exhibit, Alignment Study, Drainage Study and Traffic Study.
2.3.5 Preferred Alignment Design Decision
•
The Engineer will produce a Technical Memorandum documenting the
preferred alternative selected by the City This submittal will contain and
identify control data, as well as alignment and profile data for selected
alignments of Randol Mill Road, Cooks Lane, Sandy Lane and Precinct Line
Road.
2.4 Project Decision Log
• Documentation of key design decisions.
2.5 Construction Cost Estimate
• Estimate of probable construction cost for the preferred concept design
alternative.

ASSUMPTIONS
• The CITY will provide the Engineer with the 2009 LIDAR information.
• The Conceptual Design Package will contain:
o An Alignment Study consisting of a Technical Memorandum documenting
study procedures, findings, and recommendations.
o A Drainage Study consisting of a Technical Memorandum documenting study
procedures, findings, and recommendations.
o A Traffic Study consisting of a Technical Memorandum documenting study
procedures, findings, and recommendations
• DWF files created from design CAD drawings will be uploaded to the designated
project folder in Buzzsaw.
• ENGINEER shall not proceed with Schematic Design activities without written
approval by the CITY of the Conceptual Design Package.
DELIVERABLES
A. The Conceptual Design Package.
TASK 3 BID PHASE SERVICES
There will be no Bid Service with this Contract.
TASK 4 CONSTRUCTION PHASE SERVICES
There will be no Construction Phase Service with this Contract.
TASK 5 ROW/EASEMENT SERVICES
ENGINEER will support and perform activities related to ROW and land as outlined below,
per scoping direction and guidance from the CITY's Project Manager.
5.1 ROW Research
• The ENGINEER shall determine existing property ownership so that the correct
rights -of -way and easement needs for construction of the project can be
prepared. Required temporary and permanent easements will be identified
based on available information and recommendations will be made for approval
by the CITY.
ASSUMPTIONS
•
ROW research includes review of property/right-of-way records based on current
Internet based Tarrant Appraisal District (TAD) information available at the start

DELIVERABLES
A. ROW Map.
TASK 6 SURVEY AND SUBSURFACE UTILITY ENGINEERING SERVICES
ENGINEER will provide survey support as follows.
6.1 Design Survey
• ENGINEER will perform field surveys to collect horizontal and vertical elevations
and other information needed by ENGINEER in design and preparation of plans
for the project. Information gathered during the survey shall include topographic
data, elevations of all sanitary and adjacent storm sewers, rim/invert elevations,
location of buried utilities, structures, trees (measure caliper, identify overall
canopy and have qualified arborist identify species of trees), and other features
relevant to the final plan sheets. Existing drainage at intersections will be verified
by field surveys. Spot elevations will be shown on intersection layouts with cross
slope to fit intersecting grade lines.
• The minimum survey information to be provided on the plans shall include the
following:
A Project Control Sheet showing ALL Control Points, used or set while
gathering data Generally on a scale of not less than 1:400
The following information about each Control Point,
a. Identified (Existing. CITY Monument #8901, PK Nail, 5/8" Iron Rod)
b. X, Y and Z Coordinates, in an identified coordinate system, and a
referred bearing base. Z coordinates on CITY Datum only.
c. Descriptive Location (Ex. Set in the centerline of the inlet in the South
curb line of North Side Drive at the East end of radius at the Southeast
corner of North Side Drive and North Main Street).
Coordinates on all P.C.'s, P.T.'s, P.I.'s, Manholes, Valves, etc., in the
same coordinate system, as the Control.
No less than two horizontal bench marks, per line or location.
Bearings given on all proposed centerlines, or baselines.
Station equations relating utilities to paving, when appropriate.
6.2 Temporary Right -of -Entry Preparation and Submittal
• Prior to entering property, the ENGINEER shall prepare, mail and obtain
Temporary Right -of -Entry from landowners.
• The documentation shall be provided in conformance with the checklists and
templates available on the CITY's Buzzsaw site.
6.3 Subsurface Utility Engineering
Provide Subsurface Utility Engineering (SUE) to Quality Level B as described below.
The SUE shall be performed in accordance with Cl/ASCE 38-02.

Quality Level D
• Conduct appropriate investigations (e.g., owner records, County/CITY records,
personal interviews, visual inspections, etc.), to help identify utility owners that
may have facilities within the project limits or that may be affected by the project.
Collect applicable records (e.g., utility owner base maps, "as built' or record
drawings, permit records, field notes, geographic information system data, oral
histories, etc.) on the existence and approximate location of existing involved
utilities.
• Review Records For Evidence or indication of additional available records;
duplicate or conflicting information; need for clarification.
• Develop SUE plan sheets and transfer information on all involved utilities to
appropriate design plan sheets, electronic files and/or other documents as
required. Exercise professional judgment to resolve conflicting information. For
information depicted, indicate: utility type and ownership; date of depiction;
quality level(s); end points of any utility data; line status (e.g , active, abandoned,
out of service); line size and condition; number of jointly buried cables; and
encasement.
Quality Level C (includes tasks as described for Quality Level D)
Identify surface features, from project topographic data and from field
observations that are surface appurtenances of subsurface utilities.
• Include survey and correlation of aerial or ground -mounted utility facilities in
Quality Level C tasks.
• Survey surface features of subsurface utility facilities or systems, if such features
have not already been surveyed by a professional surveyor If previously
surveyed, check survey data for accuracy and completeness.
• The survey shall also include (in addition to subsurface utility features visible at
the ground surface) determination of invert elevations of any manholes and
vaults; sketches showing interior dimensions and line connections of such
manholes and vaults; and any surface markings denoting subsurface utilities,
furnished by utility owners for design purposes.
• Exercise professional judgment to correlate data from different sources, and to
resolve conflicting information.
• Update (or prepare) plan sheets, electronic files, and/or other documents to
reflect the integration of Quality Level D and Quality Level C information.
• Recommend follow-up investigations (e.g., additional surveys, consultation with
utility owners, etc.) as may be needed to further resolve discrepancies.
Provide Quality Level C to identify overhead utilities on the project and provide
the overhead utility information on the SUE plan sheets
Level B (includes tasks as described for Quality Level C)
• Select and apply appropriate surface geophysical method(s) to search for and
detect subsurface utilities within the project limits and/or to trace a particular
utility line or system

• Based on an interpretation of data, mark the indications of utilities on the ground
surface for subsequent survey Utilize paint or other method acceptable for
marking of lines.
• Unless otherwise directed, mark centerline of single -conduit lines, and outside
edges of multi -conduit systems
• Resolve differences between designated utilities and utility records and surveyed
appurtenances
• Recommend additional measures to resolve differences if they still exist.
Recommendations may include additional or different surface geophysical
methods, exploratory excavation, or upgrade to Quality Level A data.
• As an alternative to the physical marking of lines, the ENGINEER may, with
CITY's approval, utilize other means of data collection, storage, retrieval, and
reduction that enables the correlation of surface geophysical data to the project's
survey control.
Level A
• Expose and locate utilities at specific locations.
• Tie horizontal and vertical location of utility to survey control.
• Provide utility size and configuration.
• Provide paving thickness and type, where applicable.
• Provide general soil type and site conditions and such other pertinent information
as is reasonably ascertainable from each test hole site.
6.4 Topographical Survey
• Establish horizontal and vertical control for the project. The horizontal control
shall be on NAD83, North Central Zone surface coordinates using a TxDOT
surface factor of 1.00012 and the control shall be set at 500-foot intervals. The
vertical control shall be tied to existing City of Fort Worth vertical datum (NAVD
1988) and temporary benchmarks shall be set every 1,000 feet for construction.
Tie all improvements X, Y & Z (water valves, storm drains, manholes, driveways,
curbs, all landscape trees and trees 6" and larger, signs, buildings (with finished
floor elevations), power poles etc.) along the proposed route. Provide flowline
elevations of all sanitary sewer, storm drainage inlets and manholes along the
route. For the length of the project, the survey shall include 50-foot cross -
sections extending an average of 20 feet with a minimum of 15 feet left and right
of the proposed 110-foot ROW. The topographic survey shall extend 200 feet up
all intersecting roadways.
• Provide Topographic Survey in the three (3) defined areas along the south side
of Randol Mill Road totaling approximately 6 acres for the proposed drainage
improvements to the existing channel area. The Topographic Survey shall tie all
improvements X, Y & Z (water valves, storm drains, manholes, driveways curbs,
trees 6' and larger, signs, buildings (with finished floor elevations), power poles,
etc.) within the defined area. For the length of the project, the survey shall
include 50-foot cross -sections extending from the proposed south ROW line of
Randol Mill to the south limits of the drainage areas.

• Prepare a final design/topographic drawing in an AutoCAD 2011 file format
showing all features located in the field, property lines and ROW lines, ownership
information, one -foot interval contours and a XML file. Deliverables shall include
a copy of the field notes, an ASCII coordinate file of all points located in the field
and a hard copy of the coordinates.
ASSUMPTONS
• The setting of line and grade stakes and route inspection of construction shall be
performed by the City
DELIVERABLES
A. Copies of field survey data and notes signed and sealed by a licensed surveyor.
B. Drawing of the project layout with dimensions and coordinate list.
C. SUE plan drawings sealed by a professional engineer registered in the State of
Texas.
D. Level A SUE survey to be provided on an as needed basis through contract
amendment.
TASK 7 PERMITTING
ENGINEER will provide permitting support for the CITY by identify agreements and permits
normally required for a project of this size and type. In addition, a portion of the project
crosses land under control of the Parks and Community Services Department (PACSD).
Dunaway will support the City with Park Land Conversion, which includes the following:
• The ENGINEER will attend up to two coordination meetings with the PACSD.
• The ENGINEER will attend one field meeting with the CITY to review the project
impacts to the park land and address feasible and prudent alternatives. Ensure
reasonable efforts have been considered to minimize impacts to park lands and
that the project is viable for approval.
ASSUMPTIONS
• This project will include Park Land Conversion activities for one city park.
DELIVERABLES
A. One Park Land Conversion exhibit.
ADDITIONAL SERVICES NOT INCLUDED IN THE EXISTING SCOPE OF SERVICES
CITY and ENGINEER agree that the following services are beyond the Scope of
Services described in the tasks above; however, ENGINEER can provide these
services, if needed, upon the CITY's written request. Any additional amounts paid to
the ENGINEER as a result of any material change to the Scope of the Project shall
be agreed upon in writing by both parties before the services are performed. These
additional services include the following:
• Negotiation of easements or property acquisition.

Lump Sum Project
A. The ENGINEER shall be compensated a total lump sum fee of $515,633 as
summarized in Exhibit B-1 — Engineer Invoice and Section IV — Summary of Total
Project Fees. The total lump sum fee shall be considered full compensation for
the services described in Attachment Al including all labor materials, supplies,
and equipment necessary to deliver the services.
B. The ENGINEER shall be paid monthly payments as described in Section II Method of Payment.
II. Method of Payment
A. Partial payment shall be made to the ENGINEER monthly upon City's approval of
an invoice prepared and submitted by the ENGINEER in the format and including
content as presented in Exhibit B-1, Progress Reports as required in item III. of
this Attachment B, and Schedule as required in Attachment D to this Agreement.
B. The estimated current physical percent complete as required on the invoice shall
be calculated from the progress schedule as required in Attachment D to this
Standard Agreement and according to the current version of the City of Fort
Worth's Schedule Guidance Document.
The cumulative sum of such monthly partial fee payments shall not exceed the
total current project budget including all approved Amendments.
Each invoice shall be verified as to its accuracy and compliance with the terms of
this Agreement by an officer of the ENGINEER.
III. Progress Reports
A. The ENGINEER shall prepare and submit to the designated representative of the
Transportation and Public Works Department monthly progress reports and
schedules in the format required by the City.

Attachment D - Project Schedule
This PROTECT requires a Tier D3 schedule as defined herein and in the Citti's Schedule Guidance
Document.
D1. CONSULTING SERVICES SCHEDULE DEVELOPMENT: The CONSULTANT shall
prepare schedules for consulting services that meet the requirements described in this
specification, showing by Critical Path Method (CPM) the planned sequence and timing of
the Work associated with the Agreement. All submittals shall be submitted in PDF format,
and schedule files shall also be submitted in native file format (i.e. file formats associated
with the scheduling software). The approved scheduling software systems for creating the
schedule files are:
Primavera (Version 6.1 or later or approved by CITY)
Primavera Contractor (Version 6.1 or later or approved by CITY)
Microsoft Project (Version 2003/2007 or later or approved by CITY) (PHASING OUT)
D2. BASELINE CONSULTING SERVICES SCHEDULE: Following notice -to -proceed, the
CONSULTANT shall develop, submit and review the draft detailed baseline consulting
services schedule with the CITY to demonstrate the CONSULTANT's understanding of the
Agreement requirements and approach for performing the work. The CONSULTANT will
prepare the final detailed baseline consulting services schedule based on CITY comments, if
any, and submit to the CITY no later than the submittal of the first project invoice.
The following guidelines shall be adhered to in preparing the baseline schedule, and as
described in further detail in the CITY's Schedule Guidance Document.
a. The scope shall be subdivided by work breakdown structure (WBS) representing the
tasks, subtasks, and activities associated with delivering the work.
b. The schedule shall accurately describe the major work activities, key milestones, and
dependencies/relationships as appropriate to the work.
c. The schedule should include appropriate meetings, review periods, critical decision
points, including third party utility dependencies and reviewing agencies.
D3. PROGRESS CONSULTING SERVICES SCHEDULE:. The CONSULTANT shall prepare
and submit monthly to the CITY for approval the updated schedule in accordance with D1
and D2 and the CITY's Schedule Guidance Document inclusive. As the Work progresses,
the CONSULTANT shall enter into the schedule and record actual progress as described in
the CITY's Schedule Guidance Document.
The updated schedule submittal shall also include a concise schedule narrative that
highlights the following, if appropriate and applicable:
• Changes in the critical path,
• Expected schedule changes,
• Potential delays,
• Opportunities to expedite the schedule,
• Coordination issues the CITY should be aware of or can assist with,

e Other schedule -related issues that the CONSULTANT wishes to communicate to the
CITY.
D4. PERFORMANCE AND CONSULTING SERVICES SCHEDULE: If the work
accomplished falls behind that scheduled due to factors within the CONSULTANT's
control, the CONSULTANT shall take such action as necessary to improve the progress of
the Work In addition, the CITY may require the CONSULTANT to submit a revised
schedule demonstrating the proposed plan to make up the delay in schedule progress and
to ensure completion of the Work within the allotted Agreement time.
D5. SCHEDULE TIERS SPECIAL INSTRUCTIONS:
The requirements for the schedule are determined based on the nature and needs of the
project. The schedule tier for this project is stated at the top of this document.

RECOMMENDATION:
It is recommended that the City Council authorize the execution of an Engineering Services Agreement
with Dunaway Associates, L.P., in the amount of $515,633.00 for the design of Randol Mill Road from
East Loop 820 to Precinct Line Road utilizing funds from the 2008 Bond Program to provide for design
services, City project management and design review for a project total in the amount of $608,633.00.
DISCUSSION:
This Agreement is for design services associated with concept level schematic design for the expansion of
Randol Mill Road from a two-lane asphalt road to a four -lane divided artenal from East Loop 820 to
P recinct Line Road in accordance with the City's Master Thoroughfare Plan. This work includes preparing
concept level alignment studies, a traffic study and drainage study, and determining the optimum roadway
alignment. This project also includes developing alternative alignments for Cooks Lane and Precinct Line
Road at their intersection with Randol Mill Road This project is needed to accommodate additional traffic
demands in eastern Fort Worth resulting from continued growth and development and to mitigate flooding
of Randol Mill Road by the Trinity River due to 100 year storm events
Dunaway Associates, L.P., proposes to perform the design services for a fee in the amount of
$515,633.00. Staff considers this fee to be fair and reasonable for the scope of services to be performed.
In addition, the amount of $93 000.00 will be included for project management and design review. Funds
are available in the 2008 Capital Improvement Program Funds for design only.
Dunaway Associates L.P., is in compliance with the City's BDE Ordinance by committing to 13 percent
S BE participation on this project. The City's SBE goal on this project is 13 percent.
This project is located in COUNCIL DISTRICT 4, Mapsco 66K, 66L, 66M, 66P and 67J.
FISCAL INFORMATION / CERTIFICATION:
The Financial Management Services Director certifies that funds are available in the current capital
budget, as appropriated, of the Street Improvements 2008 Fund.
