HomeMy WebLinkAboutContract 43577 (2)iiTY SECRETARY CONTRACT NO. _� MEMORANDUM OF UNDERSTANDING BETWEEN U.S. GENERAL SERVICES ADMINISTRATION AND CITY OF FORT WORTH 1. BACKGROUND: General Services Administration (GSA) partners with local public agencies, and downtown organizations to help maintain the prosperity and vitality of American cities. GSA looks at its presence as not just another part of the Federal Government, but as a "Good Neighbor". GSA welcomes the invitation of City of Fort Worth (COFW) to participate as "Good Neighbors" by joining together in this Memorandum of Understanding (MOU). COFW has expressed an interest in acquiring .31 acres of land owned by GSA ("GSA Land"). They desire this land to complete their new Police/Fire Training Facility. Located within the .31 acres is an active water meter which services GSA's adjacent facilities. 2. OBJECTIVES: This MOU is entered into for the limited purpose of memorializing an agreement in principle between the COFW and GSA (the "Parties") as to their goals, roles and responsibilities in connection with COFW relocating, for its convenience, an existing water meter and after such relocation, GSA initiating a process for the disposal of real estate, as discussed in this MOU. This Memorandum is non -binding and non -enforceable. Nevertheless, the Parties intend to cooperate in exploring together means of attaining their objectives. In furtherance of these goals, the Parties express interest in working together to: A. WATER METER RELOCATION COFW to relocate GSA's existing water meter, installing a new meter at the location approved by GSA, at no cost to GSA. (see Exhibit "A") B. REAL PROPERTY DISPOSAL Upon completion of the water meter relocation, GSA will report the .31 acre parcel excess, and will begin the disposal process, pursuant to 40 USC 541 et seq. COFW will be able to express their formal interest in acquiring the property via negotiated sale during the public body screening phase of that process. GSA grants a conditional Right of Entry to COFW for performing surveying and soil, engineering, and environmental sampling, testing, and investigations, and such other tests, studies, and investigations as COFW deems necessary or desirable to evaluate the GSA Land or as may be required by applicable laws, regulations or codes. 3. GSA grants COFW a Temporary Construction License for the water meter relocation. 4. COFW initiates water meter relocation. 5. COFW completes water meter relocation and GSA approves. 6. GSA submits a Report of Excess to the Real Property Utilization and Disposal Division. 7. GSA disposes of the GSA Land pursuant to 40 USC 541 et. seq. 4. MISCELLANEOUS PROVISIONS AND UNDERSTANDINGS: A. Fees and Costs - No Party shall be responsible for reimbursing or otherwise paying or repaying any costs, fees, or expense incurred by or on behalf of any other Party or any other person or entity associated with this Agreement, unless otherwise agreed upon by separate agreement B. Approvals - The Parties acknowledge that they do not have control over the actions of the Federal and local legislative bodies, which are or may be necessary to complete the Project. GSA and its officials make no representations or commitments as to the decisions to be made by the Federal, state and local agencies and legislative bodies, which may be required to implement this Agreement. COFW makes no representations or commitments regarding the approvals of its City Council that are, or may be, required to implement this Agreement. C. Modifications - This Memorandum may be modified by an amendment that shall be signed by all Parties and affixed to this Memorandum. D. Authority/Non-Binding Agreement - Nothing in this Memorandum shall be construed to limit or affect the respective authority of any of the Parties or to limit the sole and absolute discretion of each of the Parties to determine whether or not the terms of any future agreement(s) are acceptable to it. E Funding - Nothing contained in this Memorandum shall be construed as binding any party to expend any monies whatsoever.
