This License Agreement ("Agreement") is entered into by and between the City of Fort
Worth (the "City"), a home -rule municipal corporation of the State of Texas, acting by and
through its duly authorized Assistant City Manager, and Senior Citizen Services of Greater
Tarrant County, Inc. ("SCS"), a Texas non-profit corporation, acting by and through its duly
authorized Executive Director.
RECITALS
WHEREAS, since 1996, the City and SCS have been parties to a series of agreements to
allow SCS use of space at various City Community Centers and the Fellowship Corner Senior
Center (collectively "Centers") to provide programming and services to benefit senior citizens
living in the vicinity of the Centers; and
WHEREAS, the senior citizens in the neighborhoods and areas surrounding the Centers
continue to receive benefit from the services provided by this citywide program; and
WHEREAS, the City and SCS wish to continue in their relationship by executing this
new agreement so that SCS can continue to provide services to senior citizens at the Centers.
NOW THEREFORE, in consideration of the mutual covenants herein expressed, the
parties agree as follows:
AGREEMENT
1. LICENSED PREMISES.
A. Identification. For and in consideration of the rental payments to be paid under this
Agreement and the mutual covenants of the parties expressed herein, City does hereby grant to
SCS a non-exclusive license to use a total of approximately 18,000 square feet of specifically
designated space at certain identified Community Centers and the Fellowship Corner facility
(collectively the "Centers") for the purpose of providing senior citizen services and activities to
area residents. The following Centers are included under this Agreement:

The location and boundary of the designated space at each Center (excluding Fellowship
Corner) is identified in Exhibit "A " which is attached hereto and incorporated herein for all
purposes as though it were set forth at length. SCS shall have a non-exclusive license to the
entire Fellowship Corner facility. For purposes of this Agreement, the designated space for each
Center, as identified in Exhibit A and the entire Fellowship Corner facility are referred to as the
"Licensed Premises."
B. Acceptance of Premises. SCS takes all portions of the Licensed Premises and all
appurtenances in "AS IS" condition without any express or implied warranty on the part of the
City. SCS accepts the Licensed Premises in their present condition, finds them suitable for the
purposes intended, and further acknowledges that it is thoroughly familiar with such condition
by reason of a personal inspection and does not rely on any representations by the City as to the
condition of the Licensed Premises or their suitability for the purposes intended. SCS accepts
the Licensed Premises subject to any and all previously recorded easements that may have been
granted on, along over, under, or across said property, and releases the City from any and all
damages, claims for damages, loss, or liabilities that may be caused to invitees, licensees, or
trespassers by reason of the exercise of such rights or privileges granted in said easements.

SCS's taking possession of the Licensed Premises shall be conclusive evidence that: (i) the
Premises are suitable for the purposes and uses for which same are licensed; and (ii) SCS waives
any and all defects in and to the Licensed Premises and all appurtenances thereto. The City
shall not be liable to SCS, its agents, employees, contractors, subcontractors, invitees,
licensees, guests, volunteers, or program participants for any damage to any person or
property due to the acts or omissions on the Licensed Premises of SCS, its agents,
employees, contractors, subcontractors, invitees, licensees, guests, volunteers, or program
participants.
C. Hours of Use.
(i) Subject to limitations outlined in this subsection, the City grants to SCS:
(1) non-exclusive use of the Licensed Premises at Fellowship Corner between the
hours of 8:00 AM and 4:00 PM, Monday through Friday and (2) non-exclusive
use of the Licensed Premises at all other Centers between the hours of 8:00 AM
and 3.00 PM, Monday through Friday. The Centers will be closed and
unavailable for use by SCS on all regular City holidays, furlough days, and any
other City closure of the Licensed Premises. City shall have use of all portions of
the Licensed Premises at all times outside SCS's designated hours of use and
retains the right to rent the multi -purpose rooms and kitchens at the Centers to
outside parties during SCS's designated hours of use. Except due to emergency
circumstances City agrees to notify SCS of any change in the hours of operation
of any Center by providing SCS with written notice at least five (5) working days
prior to the change taking effect. City agrees to provide similar notice to SCS
should any of the Licensed Premises be unavailable to SCS due to special events,
scheduled maintenance, or other non -emergency closures.
(ii) If SCS requires access at times other than the normal operating hours set
forth herein, SCS shall notify the City by providing City with written notice at
least five (5) working days prior to the needed change. Access by SCS to the
Licensed Premises at times other than during the normal operating hours shall be
within the discretion of the City, and City may charge SCS the hourly rate for the
actual staff time required to open, monitor and close a Center. This charge shall
include a forty percent (40%) overhead rate to be applied to the total salary cost

incurred.
2. TERM OF AGREEMENT. This Agreement shall govern all use of the Licensed
Premises by SCS for a period of five (5) years, beginning on April 1, 2016 and terminating on
March 31, 2021. SCS shall have the option to renew this Agreement for one additional five (5)
year term. SCS must give notice of its intent to exercise such option to renew at least ninety (90)
days before the expiration of the initial term.
3. CONSIDERATION. Compensation to be provided to the City for use of the
Licensed Premises by SCS shall consist of both monetary and non -monetary consideration.
A. As monetary consideration for the public purpose use of the Licensed Premises by
SCS to provide meals, health and wellness programs to senior citizens in the community, SCS
agrees to pay to City the sum of One Dollar ($1.00) per year payable on or before the first day of
April of each year. Payment of the annual rental shall be made at the administrative office of the
Neighborhood Services Department located at 908 Monroe, 3rd Floor, Fort Worth, Tarrant
County, Texas or at any other location so designated by the Neighborhood Services Director or
that individual's designee ("Director"). Alternatively, SCS may elect to pay the fee for the entire
term at the execution of this Agreement or of any subsequent renewal or extension thereof.
B. As non -monetary compensation for use of the Licensed Premises pursuant to this
Agreement, SCS shall, throughout the term of this Agreement, materially comply with all
covenants and promises expressed in this Agreement and shall operate one or more programs to
provide senior citizens activities and services during the designated hours of use.
C. The parties agree that the consideration detailed above fairly compensates the
City for the public purpose use of the Licensed Premises by SCS to provide meals, health and
wellness programs to senior citizens in the community which promotes healthy aging by
reducing senior hunger and isolation. The City acknowledges the adequacy of this consideration.
D. To ensure the public purpose is being carried out, the Neighborhood Services and
Park and Recreation Departments meet regularly with SCS staff to review classes and activities.
Additionally, the Neighborhood Services and Park and Recreation Department's class database
is used to track programs and activities offered, attendance and number of people served. SCS
will be required to complete reports similar to that attached hereto as Exhibit "C" when
requested by Neighborhood Services Department staff.

4. USE OF LICENSED PREMISES.
A. Scope of Use; Additional Conditions. SCS covenants and agrees to use the
Licensed Premises solely for the operation of its social services, recreational activities, and
nutrition programs for senior citizens and to comply with the additional conditions for use of
each Center as outlined in Exhibit "B," which is attached hereto and incorporated herein for all
purposes as though it were set forth at length. Further, SCS agrees not to, in any way, obstruct
or interfere with the rights of the City or injure or annoy other tenants or users of the Centers. In
addition, SCS agrees to abide by Policies and Procedures set forth by the Neighborhood Services
Department and Park and Recreation Department Directors or that individual's authorized
designee. If SCS desires to use the facilities for additional public purpose use other than what is
outline in the Agreement, SCS is required to obtain permission and approval from the
Neighborhood Services Department Director or the Park and Recreation Department Director,
where applicable, or designated city staff prior to use.
B. Prevention of Hazards. SCS shall not do, or permit to be done, anything in or on
any portion of the Centers or bring or keep anything therein or thereon which will in any way
conflict with the conditions of any insurance policy on the Centers or any part thereof. SCS shall
not cause in any way an increase in the rate of fire insurance on the buildings or property. SCS
agrees that no decorative or other materials shall be nailed, tacked, screwed, or otherwise
physically attached to any part of the property of the City without written approval from the
Neighborhood Services Director, the Park and Recreation Director or authorized designee.
C. Utilities. The City will be responsible for all expenses associated with water,
sewer, electricity, gas and waste disposal utilities involving existing service lines. SCS will be
responsible for all communications utility expenses, including local and long distance telephone
charges, computer charges, internet and exclusive requested cable television charges. Any
additional electrical or utility service and/or service lines required by SCS will be at the sole
expense of SCS.
D. Eauipment.
(i) Repair and Maintenance Costs. SCS and City mutually agree that, except as
provided below, any expenses related to the repair, maintenance, and/or replacement of
Commercial Equipment shall be shared on a "70-30" basis by the City and SCS respectively,
subject to the availability of funding by the City. For purposes of this provision, the term

"Commercial Equipment" shall include, but not be limited to, the refrigerator, freezer,
dishwasher, oven, steam table, and any other appliances or similar equipment the cost of which
exceeds $500.00. If Commercial Equipment needs repair, maintenance, and/or replacement due
to the negligence of one party, the negligent party shall assume full responsibility for all expense
arising out of said negligence. A written inventory documenting all shared appliances and
Commercial Equipment existing at the Centers as of the beginning of the Term of this
Agreement will be signed by both parties and attached as an appendix to this Agreement. SCS
shall be solely responsible for the cost of repair, maintenance, and/or replacement of all
equipment not meeting the definition of Commercial Equipment. The City is not responsible for
providing any Commercial Equipment that is not already provided in the centers.
(ii) Invoicing of Costs. On at least a quarterly basis, the City will invoice SCS
for its portion of the costs of repair, maintenance, and replacement costs of Commercial
Equipment, if any. No invoice period may exceed three consecutive months. City will submit
invoices to SCS no less than thirty (30) days after the end of the period being invoiced and
agrees that delay in invoicing may result in a day -for -day delay of payment by SCS.
E Membership Cards SCS clients who wish to access areas of the Centers outside
of the Licensed Premises to participate in programs and open play activities not associated with
this Agreement or SCS will be required to purchase an annual membership card ("Membership")
from the Neighborhood Services Department and Park and Recreation Department staff. In
addition, to take advantage of City transportation, SCS clients will have to obtain a valid center
Membership card. If transportation is requested by SCS, then SCS shall coordinate with the
individual Center Coordinator/Supervisor and follow all of the City's policy requirements for
reservations. Fees for individual memberships may differ, and membership cards are only valid
for one year from the date of purchase at City facilities.
5. WASTE: MAINTENANCE. SCS agrees that it will not make or suffer any waste
on the Licensed Premises. SCS shall not make any alterations to the Licensed Premises without
first obtaining written approval from the Neighborhood Services Department Director or the
Park and Recreation Department, where applicable, or that authorized designee. SCS further
agrees to maintain and pick up litter and perform minor housekeeping as necessary to keep the
Licensed Premises in a clean, orderly and sanitary condition at all times. City shall perform any
major cleaning, e.g., strip, buff and wax floors, at standards and frequencies that may be

established by City. SCS will remove garbage and deposit in dumpster in accordance with
established procedures.
6. UNLAWFUL, IMPROPFiR OR OFFENSIVE USE SCS agrees that neither it
nor its officers, agents, employees, licensees, invitees, volunteers, or program participants shall
make any unlawful, improper or offensive use of the Licensed Premises or any part thereof as
determined by the City.
7. RIGHT OF ACCESS. The City reserves to itself, its officers, agents, assigns, and
employees the right to enter the Licensed Premises at any time for the purpose of ascertaining
compliance with the terms and provisions of this Agreement, making inspection of the Licensed
Premises; and maintaining and making repairs and improvements to City -owned property. In
addition, the City does not relinquish the right to control the management of the Licensed
Premises as community centers or the right to enforce all necessary and proper rules for the
management and operation of the same. Members of the City's police, fire, parks, code
compliance, health, and other designated departments shall have the right at any time to enter
any portion of the Licensed Premises (without causing or constituting a termination of the
Agreement) for the purpose of inspecting the facilities, maintaining City -owned property, and
performing any and all activities necessary for the proper conduct and operation of public
property, provided that no unreasonable interference, as determined by the City with SCS's use
of the Licensed Premises is caused by such access. The City will at all times have keys with
which to unlock all doors and gates associated with the Licensed Premises, and SCS will not
change or alter any lock without the City's permission and shall provide new keys to the City
within forty-eight (48) hours of making any approved change.
8. INDEPENDENT CONTRACTOR STATUS. SCS shall exercise its rights and
privileges as an independent contractor, and not as an officer, agent, servant, or employee of the
City. SCS shall have exclusive right to control the details of its operations on the Licensed
Premises and all persons performing same and SCS shall be solely responsible for the acts and
omissions of its officers, agents servants, employees, contractors, subcontractors, invitees,
licensees, volunteers, patrons, and program participants. The doctrine of respondent superior
shall not apply as between City and SCS, its officers, agents, servants, employees, contractors,
subcontractors invitees, licensees, volunteers, patrons, or program participants. Nothing herein
shall be construed as creating a partnership or joint enterprise between City and SCS.

Further, it is expressly understood and agreed that no officer, agent, servant, employee,
volunteer, or subcontractor of SCS is in the paid service of City, nor shall any person
participating in SCS's operations be considered an officer, agent, servant, or employee or the
City of Fort Worth.
9. INDEMNITY. SCS agrees to and does hereby indemnify, hold harmless, and
defend the City, its officers, agents, servants, and employees from and against any and all claims
or suits for property damage or loss and/or personal injury (including, but not limited to, death)
to any and all persons, of whatsoever kind of character, whether real or asserted, arising out of or
in connection with directly or indirectly, the licensing, maintenance, use, occupancy, existence,
or location of the Licensed Premises during the term or this Agreement, unless such claims or
suits are a result of the sole alleged negligence of officers, agents servants, employees, separate
contractors, subcontractors, licensees, or invitees of the City. This section shall survive the
expiration or termination of this Agreement.
10. ThRMINATION.
A. In the event SCS fails or refuses to fully perform and satisfy all of its covenants and
obligations, whether expressed or implied, the City may terminate this Agreement at any time,
enter and obtain possession of the Licensed Premises, and remove SCS without notice to SCS,
without being deemed guilty of trespass, and without any liability whatsoever on the part of the
City. Such removal and termination shall not relieve or release SCS from any liability or
obligation unto the City previously incurred under this Agreement. SCS hereby grants a lien to
the City in and on all personal property belonging to SCS in or on the Licensed Premises as a
possessory pledge to secure the timely performance by SCS of all of its obligations hereunder.
In the event of default by SCS, the City is and shall be empowered and authorized to seize and
hold all of the personal property belonging to SCS in or on the Licensed Premises to secure such
performance. Pursuant to said seizure, City is authorized to sell same at public or private sale
and to apply the proceeds thereof first to pay the expenses of sale and to pay all amounts due the
City hereunder, holding the balance remaining for payment to or on behalf of SCS. A copy of
this Agreement shall be the only warrant required.
B. City may terminate this Agreement at any time for any reason on thirty (30) days'
written notice delivered to SCS. In the event that SCS fails to comply with or breaches any of

the terms and provisions of this Agreement, City shall have the right to immediately declare this
Agreement terminated without notice to SCS.
C. SCS may terminate program services at one or more Centers without terminating the
entire Agreement by providing City with thirty (30) days' written notice. All provisions relating
to termination, surrender of premises, and SCS's post -termination obligations shall remain in full
force and effect as to the terminated Center(s), and all of the terms and conditions of this
Agreement shall remain in full force and effect as to all other Centers that are not included in the
notice of termination.
11. DELIVERY OF LICENSED PREMISES SCS further agrees that it will,
following termination of services at a Center or at the termination or expiration of this
Agreement, peaceably deliver up to the City the Licensed Premises and all appurtenances or
improvements thereon in a state of good repair, vacant, unencumbered, and in good and
tenantable condition.
12. RULES, REGULATIONS AND OPERATION. The Licensed Premises shall be
subject to the same rules regulations, and methods of operation as any other public facilities
operated by the Neighborhood Services Department or the Park and Recreation Department for
the public benefit. SCS shall comply with all ordinances and regulations of the City and with the
laws of the State of Texas and of the United States of America applicable to the use of said
Licensed Premises. SCS shall obtain and pay for all necessary permits and licenses required or
used in connection with SCS's use of the Licensed Premises.
13. DAMAGE TO PERSONAL PROPERTY. If the City allows third party use of
the Licensed Premises and such use results in loss, injury, or damage to any personal property
that (i) belongs to SCS and (ii) is properly secured and placed in the Licensed Premises by SCS,
City shall, together with the third party, bear liability for the loss. City shall bear no liability for
personal property that is not properly secured and placed in the Licensed Premises by SCS.
14. CONCESSION FEES. No goods and/or services may be sold at the
Licensed Premises without the prior written approval of the Neighborhood Services Director or
the Park and Recreation Department when applicable. Prior to any goods and/or services being
sold SCS shall submit a price list to the office of the Neighborhood Services Department
Director or the Park and Recreation Department Director, when applicable, for approval. SCS

covenants and agrees to post, in a conspicuous place on the Licensed Premises, a list of all
authorized prices charged for any items of goods or services sold hereunder.
15. INSURANCE.
A. SCS agrees to supply to the City a certificate of public liability insurance such
insurance shall be in effect for the term of this Agreement and any renewals thereof and shall
provide the following types and amounts of liability coverage:
Property damage $1,000,000.00
Bodily injury, including death, each person $1,000,000.00
Bodily injury, including death, each accident $1,000,000.00
City may, in its sole discretion, require SCS to increase or revise the types and amounts
of coverage by issuing a written request to SCS, and SCS covenants and agrees that it shall
procure the revised types and amounts of coverage within thirty (30) days of receiving a written
request from the City.
B. Each policy of insurance required under this Agreement shall list the City of Fort
Worth as a Certificate Holder and shall be endorsed to name the City is an additional insured.
Reference to this endorsement shall be included in the "Description" section of each insurance
certificate, and the City of Fort Worth shall be listed on the certificate as a Certificate Holder.
16. NOTICES Notices to be provided hereunder shall be sufficient if forwarded to
the other party by hand -delivery or via U.S. Postal Service certified mail, postage prepaid, to the
address of the other party shown below:

17. FUNDING LIMITATIONS. As to the City's performance of its obligations under
this Agreement, SCS acknowledges and agrees that (i) the City is a governmental entity and (ii)

because of statutory, constitutional and City Charter provisions, the City cannot commit to the
funding for the obligations described herein beyond the fiscal year. Therefore, the funding
obligations of the City described herein are subject to and conditioned on the City Council
appropriating for each fiscal year funds to satisfy such obligations.
18. ADDITIONAL FACILITIES. SCS and City may, by mutual written consent,
agree to the addition of new facilities under the same terms and conditions of this Agreement.
19. ASSIGNMENT. SCS shall not assign or subcontract all or any part of its rights,
privileges, or duties under this Agreement without the prior written consent of City. Any
attempted assignment of subcontract without the City's prior written approval shall be void and
constitute a breach of this Agreement. If City grants consent to an assignment, the assignee shall
execute a written agreement with the City and SCS under which the assignee agrees to be bound
by the duties and obligations of SCS under this Agreement. SCS and the assignee shall be
jointly liable for all obligations under this Agreement prior to the assignment. If the City grants
consent to a subcontract the subcontractor shall execute a written agreement with SCS
referencing this Agreement under which the subcontractor shall agree to be bound by the duties
and obligations of SCS under this Agreement as such duties and obligations may apply. SCS
shall provide the City with a fully executed copy of any such subcontract.
20. COMPLIANCE WITH LAW. SCS, its officers, agents, servants, employees,
volunteers, and subcontractors shall abide by and comply with all federal, state, and local laws,
rules, and regulations, including, but not limited to, all ordinances, rules, and regulations of City.
It is agreed and understood that if City calls to the attention of SCS any violation on the part of
SCS or any of its officers, agents, servants, employees, volunteers, or subcontractors, then SCS
shall immediately desist from and correct such violation.
21. NON-DISCRIMINATION. In the execution performance, or attempted
performance of this Agreement, SCS will not discriminate against any person or persons because
of disability, familial status, sex, race, religion, color, national origin, sexual orientation, or any
other class of person protected by law nor will SCS permit its officers, agents, servants,
employees, volunteers, or subcontractors to engage in such discrimination. This Agreement is
made and entered into with reference specifically to the Code of Ordinances of the City of Fort
Worth relating to discrimination in employment practices, and SCS hereby covenants and agrees
that SCS, its officers, agents, employees, volunteers, and subcontractors have fully complied

with all provisions of same and that no employee or employee -applicant has been discriminated
against by either SCS, its officers, agents, employees, volunteers, or subcontractors.
22. RIGHT TO AUDIT. SCS agrees that the City shall, until the expiration of three
(3) years after final expiration or termination of this Agreement, have access to and the right to
examine any directly pertinent books, documents, papers and records of SCS involving
transactions relating to this Agreement. SCS agrees that the City shall have access during
normal working hours to all necessary SCS facilities and shall be provided adequate and
appropriate workspace in order to conduct audits in compliance with the provisions of this
section. The City shall give SCS reasonable advance notice of intended audits. SCS further
agrees to include in all of its subcontractor agreements hereunder a provision to the effect that
the subcontractor agrees that the City shall, until the expiration of three (3) years after final
payment under the subcontract have access to and the right to examine any directly pertinent
books, documents, papers and records of such subcontractor involving transactions to the
subcontract, and further that City shall have access during normal working hours to all
subcontractor facilities and shall be provided adequate and appropriate workspace in order to
conduct audits in compliance with the provisions of this section. City shall give subcontractor
reasonable advance notice of intended audits. This section shall survive the expiration or
termination of this Agreement.
23. NON -WAIVER. The failure of either party to insist upon the performance of any
term or provision of this Agreement or to exercise any right herein conferred shall not be
construed as a waiver or relinquishment to any extent of City's or SCS's right to assert or rely on
any such term or right on any future occasion.
24. DISCLOSURE OF CONFLICTS. SCS hereby warrants to the City that SCS has
made full disclosure in writing of any existing or potential conflicts of interest related to SCS's
execution of this Agreement and provision of services. In the event that any conflicts of interest
arise after the execution of this Agreement, SCS hereby agrees to make full disclosure to the
City in writing immediately on learning of such conflict.
25. GOVERNMENTAL POWERS. Both parties agree and understand that the City
does not waive or surrender any of its governmental powers by execution of this Agreement.

26. SEVERABILITY. If any provision of this Agreement is held to be invalid,
illegal, or unenforceable, the validity, legality, and enforceability of the remaining provisions
shall not in any way be affected or impaired.
27. FORCE MAJEURE If either Party is unable, either in whole or part, to fulfill its
obligations under this Agreement due to acts of God; strikes, lockouts, or other industrial
disturbances; acts of public enemies; wars; blockades; insurrections; riots; epidemics; public
health crises; earthquakes; fires; floods; restraints or prohibitions by any court, board,
department, commission, or agency of the United States or of any state; declaration of a state of
disaster or of emergency by the federal, state, county, or City government in accordance with
applicable law; issuance of an Imminent Threat Alert or Elevated Threat Alert by the United
States Department of Homeland Security or any equivalent alert system that may be instituted by
any agency United States; any arrests and restraints; civil disturbances; or explosions; or some
other reason beyond the party's reasonable control (collectively, "Force Majeure Event"), the
obligations so affected by such Force Majeure Event will be suspended only during the
continuance of such event. If a Force Majeure Event occurs, the City may, in its sole discretion
close or postpone the opening of its community centers, parks, or any City -owned and operated
properties and facilities in the interest of public safety and operate them as the City sees fit. SCS
hereby releases the City from and against any and all claims for damages that it may have
resulting from any Force Majeure Event.
28. GOVERNING LAW AND VENUE This Agreement shall be governed by and
construed in accordance with the laws of the State of Texas. If any action, whether real or
asserted, at law or in equity, arises on the basis of any provision of this Agreement, venue for
such action shall lie in state courts located in Tarrant County, Texas or the United States District
Court for the Northern District of Texas - Fort Worth Division.
29. HEADINGS NOT CONTROLLING. Headings and titles used in this Agreement
are for reference purposes only and shall not be deemed a part of this Agreement.
30. REVIEW OF COUNSEL. The parties acknowledge that each party and its
counsel have had the opportunity to review and revise this Agreement and that the normal rules
of construction to the effect that any ambiguities are to be resolved against the drafting party
shall not be employed in the interpretation of this Agreement or exhibits hereto.

31. AMENDMENT. No amendment, modification, or alteration of the terms of this
Agreement shall be binding unless the same is in writing, dated subsequent to the date hereof,
and duly executed by the parties hereto.
32. SIGNATURE AUTHORITY. The person signing this Agreement hereby
warrants that he or she has the legal authority to execute this Agreement on behalf of his or her
respective party, and that such binding authority has been granted by proper order, resolution,
ordinance or other authorization of the entity. The other party is fully entitled to rely on this
warranty and representation in entering into this Agreement.
33. ENTIRE AGREEMENT. This written instrument (together with any attachments,
exhibits, and appendices) constitutes the entire understanding between the parties concerning the
use of the Licensed Premises and the services to be performed, and any prior or
contemporaneous, oral or written agreement that purports to vary from the terms hereof shall be
void.

EXHIBIT B
Additional Conditions Applicable to Each Center
The following additional conditions shall apply to SCS's use of the various Centers under this
Agreement. The parties may, with the approval of the assigned District Superintendent in the
City's Neighborhood Services & Park and Recreation Department negotiate for temporary
changes in the allocation of space, hours of operation, or enforcement of these procedures to
allow for special events or unforeseen circumstances. Any permanent changes to these
conditions shall require a formal signed, written amendment in accordance with Section 31 of the
Agreement.
1. Space Utilization:
a) Arrangements to use rooms or amenities outside of designated space must be made with
Center staff within 5 business days of request; this includes but is not limited to computer
lab, fitness area, gymnasium and activity rooms.
b) City staff shall have mutual joint use of the Kitchen area at all times.
2. Holidays, Inclement Weather Days, and School Breaks:
a) Holidays: SCS shall not have use of the Center on Christmas Eve on City holidays (New
Year s Day, MLK Day, Memorial Day, Independence Day, Labor Day, Thanksgiving
Day and the Friday following, and Christmas Day), or on other dates (including but not
limited to, furlough days) on which the City is not open for business.
b) Inclement Weather Days - Closure: SCS shall not have use of the Center on days when
FWISD schools are closed due to inclement weather.
c) Inclement Weather Days — Late Opening: On days on which the opening of FWISD
schools is delayed due to inclement weather, the opening of the Center will be equally
delayed, and SCS shall not have access to the Center before the delayed opening time.
SCS shall contact the Center Director as soon as practicable to provide notice of whether
SCS will be operating on a delayed -opening day.
d) School Breaks: During FWISD in-service days and Fall/Winter/Spring Breaks, space
usage and hours of operation will be negotiated with the assigned District
Superintendent.
3. Paper supplies: SCS shall provide toilet paper, paper towels, hand towels and other paper
products for the Center.
4. Building Conditions: SCS Staff will complete a Building Inspection checklist each day
that SCS uses the Center and will inform Center staff that day of any problems
discovered. City of Fort Worth facilities are ADA compliant, and the City shall

undertake reasonable measures to ensure that ADA accessibility is maintained and that
repairs are performed as required.
5. Cleaning: Each day that SCS uses the Center, SCS agrees to maintain and police the
areas it uses, performing minor housekeeping as necessary to keep these areas in a clean,
orderly, and sanitary condition at all times. Minor housekeeping includes, but is not
limited to, trash removal, sweeping, and mopping minor spills.
6. Calendars: SCS shall provide a copy of its monthly activity calendar to the Center staff
by the first of each month and shall promptly notify Center staff of any schedule changes
or additions.
7. Building Repair and Maintenance: If Center staff receives notification of any planned or
scheduled building repair or maintenance, Center staff shall notify SCS that same day.
Repair and maintenance may only occur when City staff is present in the building. The
City will maintain contractual extermination services. SCS will promptly notify Center
staff if emergency extermination services are needed.
8. Access; Deliveries: SCS may not giant access to any portion of the Center outside the
Licensed Piemises. SCS shall be responsible for accepting all deliveries associated with
SCS or its programs; all such deliveries must be made directly to SCS and may occur
only during SCS's designated hours of operation. City staff shall not be responsible for
accepting any deliveries on behalf of SCS.
9. City Keys: SCS will assist City staff in inventorying and receipting all keys in the
possession of SCS and its staff. This inventory will be kept current and updated to reflect
any changes in personnel.
10. Unauthorized Access: When the Center is open foi SCS activities, SCS staff shall be
responsible for ensuring no unauthorized individual uses of access SCS's designated
portions of the Center. In the event SCS discovers someone in its designated area who is
not affiliated with SCS's services, SCS will notify the: (i) Center Director or Designee,
(ii) Recreation Programmer, or (iii) Community Center Aide.

1) Last year SCS served over 208,000 meals at 26 centers valued at over $1.3M, with 62,118 meals
(30%) at 8 FW recreation centers valued at $411,221.
2) Each meal provided 1/3 of the minimum Recommended Daily Intake for seniors.
3) Menus were prepared by a Registered Dietician after consultation with SCS.
4) Nutrition education was also provided to all meal participants each month.
5) 56% of frequent participants (3+ days a week) report that this meal is their most important source

RECOMMENDATION:
It is recommended that the City Council:
1. Authorize the execution of a License Agreement with Senior Citizen Services of Greater Tarrant
County, Inc., to use various area community centers to provide meals and activities to serve senior
citizens in the community;
2. Authorize less than market value fees for the use of the area community centers; and
3 Find that authorizing less than market value fees serves to carry out the public purpose of
providing meals, health and wellness programs to the aging population in the community, which
promotes healthy aging, reduces senior hunger and prevents isolation and that adequate controls are
in place through the Neighborhood Services and Park and Recreation Departments to carry out such
public purpose
DISCUSSION:
For many senior citizens hunger, isolation and unhealthy aging is a way of life Senior Citizen
Services of Greater Tarrant County, Inc. (SCS) has requested that the City of Fort Worth (City)
partner with it to offer services to reduce hunger and provide a better quality of life for senior citizens
within the Fort Worth community.
This License Agreement between SCS and the City is for use of various area community centers to
promote healthy aging, reduce hunger and isolation by providing meals, activities and health and
wellness programs to area senior citizens within the community.
SCS has requested a Tess than market value of the license fees of $1.00 per year for use of the area
community centers in support of this public purpose to provide area seniors with quality meals and
other services to increase safety and maintain independent living.
The License Agreement term is for a period of five years, back dated beginning on April 1, 2016 and
terminates on March 31, 2021 with the option to renew for one additional five year term to expire
March 31, 2026
The following controls are in place to ensure the public purpose use is adequately being carried out:
1. Neighborhood Services and Park and Recreation Departments will meet regularly with SCS
staff
to review classes and activities;

2. Neighborhood Services and Park and Recreation Departments' databases will be used to
programs, activities offered, attendance and number of people served; and
3. SCS will be required to provide a report detailing number of participants, breakdown of the
population being served, meals served program outputs and outcomes.
City staff will use this information to evaluate whether the public is being served by partnering on this
endeavor with SCS and will regularly consider whether the Tess than market rate of the license fee is
adequately supporting the aging population within the community.
This program is located in COUNCIL DISTRICTS 2, 3, 5, 8 and 9.
