NEGOTIATED SETTLEMENT AGREEMENT
This agreement ("Agreement" or '`Settlement Agreement") is made between the
City of Fort Worth (''City"), by its authorized Assistant City Manager, and Timberview
Golf Club, Inc. ("Tirnberview").
WHEREAS, the City is a home rule municipality of the State of Texas; and
WHEREAS, the City and "himbervie\v are sometimes individually referred to as a
"Party" and collectively as the 'Parties"; and

WHEREAS, the City tiled suit against Timberview in Cause
Number 11-005304 1, to condemn and acquire the tracts or parcels of land described in
the C tty's petition; and
WHEREAS, three special commissioners were subsequently appointed to preside
over and to hear the parties in this proceeding to determine the fair market value of the
land to be taken and the damages, i f any, to the remainder; and
WHEREAS, the City and Timberview agree that bona fide disputes and
controversies exist between them; and
WHEREAS, the City and Timberview desire to compromise and settle any and all
claims and/or causes of action between the Parties; and
WHEREAS, the City has agreed to settle all disputes between it and Timberview
for the five permanent sewer facility easements and four temporary construction
e asements described and depicted in Exhibits 1 through 5 and Exhibits A through R
attached and incorporated into this document for all purposes by: payment to Timberview
o f$125,000.00; and
WHEREAS, this Agreetnent supersedes any previous agreements and contracts,
and any such previously executed agreements or contracts, whether or not executed, are
n ull and void.
NOW, THEREFORE, in consideration of the recitals set forth above, the mutual
promises and agreements made herein, and other valuable consideration, the receipt and
sufficiency of which is acknowledged, the City and Timberview agree:

1. Recitals. The recitals contained in this Agreement: (a) are true and correct
as of its effective date; (b) form the basis upon which the Parties negotiated and entered
into this Agreement; and (c) reflect the final intent of the Parties with regard to the
subject matter of this Agreement. In the event it becomes necessary to interpret any
provision of this Agreement, the intent of the Parties, as evidenced by the recitals, shall
be taken into consideration and, to the maximum extent possible, given full effect. The
Parties have relied upon the recitals as part of the consideration for entering into this
Agreement.
2. Mutual Release. For and in consideration of the recitals set forth above and
the actions to be taken under the terms of this Settlement Agreement as described below,
Timbeiview on the one hand and the City on the other hand do hereby RELEASE,
ACQUIT, and FOREVER DISCHARGE each other and their agents, servants,
employees, executors, heirs, and assigns, and all persons, natural or corporate, in privity
with it or any of said persons from any and all claims, demands, or causes of action of
any kind whatsoever, at common law, statutory, or otherwise, which they have now,
known or unknown, existing, directly or indirectly, attributable to the circumstances
made the basis of the above entitled and numbered cause of action, it being intended by
the Settlement Agreement to RELEASE, ACQUIT, and FOREVER DISCHARGE all
claims of any kind which the parties might have against each other, whether asserted in
the above entitled and numbered cause of action, or not. Each Party understands that this
release includes any attorney's fees or expenses and that no such fees or expenses shall
be available.

3. Dismissal of Case. The City and Timberview agree that a motion to
dismiss this case (in the form of the attached Exhibit S) will be presented to the Court,
dismissing all causes of action asserted by the City in the above cause and acknowledging
that Timberview is relinquishing any and all claims and/or causes of action that
Timberview might assert against the City because of this condemnation action. Further,
the City and Timberview agree that an order of dismissal (in the form of the attached
Exhibit T) will be presented to the Court to dismiss this case, taxing court costs against
the City.
4. Consideration. For and in consideration of the recitals and releases set
forth above and other provisions set forth below, to fully and finally settle this lawsuit
and to obtain the property described in the documents attached as Exhibits 1 through 5
and Exhibits A through R, all exhibits attached and incorporated in this Agreement, the
City agrees:
To pay Timberview the total amount of $125,000.00 for the five permanent and
four temporary construction easements that are further described in Exhibits 1 through 5
and Exhibits A through R;
5. Easement Document. Timberview, at the signing of this Agreement, will
execute and deliver to the City casement documents in the form of Exhibits 1 through 5
conveying five permanent and four temporary construction casements described in
Exhibits A through R. The documents include exhibits, surveys and metes and bounds
descriptions for the properties that Tunberview is conveying the City.

6. Parttes Bound. This Agreement shall be binding upon and inure to the
benefit of the Parties to this Agreement and their heirs, executors, administrators, legal
representatives, successors, and assignees.
7. Prior Agreements Superseded. This Agreement constitutes the only
agreement of the City and Timberview for settlement of any and all claims arising from
the condemnation action against Tunberview; and it supersedes any prior understandings
and written or oral agreements between the Parties respecting the settlement of this case.
8. Texas Law to Apply. This Agreement shall be construed under, and in
accordance with, the laws of the State of Texas, and all obligations of the Parties created
by this Agreement are performable in Tarrant County, Texas.
9. Legal Construction. If any of the provisions contained in this Agreement
shall for any reason be held to be invalid, illegal, or unenforceable, the invalidity,
illegality, or unenforceability shall not affect any other provision of this Agreement, and
this Agreement shall be construed as if the invalid, illegal, or unenforceable provision
had not been included in the Agreement.
10. Remedies. If either Party commits a breach of this Agreement, the non --
breaching Party may, in its sole discretion, and without prejudice to any other right under
this Agreement, law, or equity, seek any relief available at law or in equity, including, but
not limited to, an action under the Uniform Declaratory Judgment Act, specific
performance, mandamus, and injunctive relief; provided, however, that the non -breaching
Party shall not be entitled to terminate this Agreement. The Parties specifically waive
any right that they have or in the future may have to terminate this Agreement. In

addition, the prevailing party in any such action shall be entitled to reasonable attorney's
fees and costs of litigation as determined in a final, non -appealable order in a court of
competent jurisdiction.
l 1, Amendment. No amendment, modification, or alteration of the terms of
this Agreement shall be binding unless it is in writing, dated subsequent to the date of this
Agreement, and duly executed by the City and Timberview. Q"�P

RECOMMENDATION:
It is recommended that the City Council:
1. Approve the acquisition of an easement interest in 1.910 acres of land for five Permanent Sewer
Facility Easements and 0.703 acres of land for four Temporary Construction Easements located at
4301 Timberview Drive and 4508 Enon Road from Timberview Golf Club, inc.;
2. Find that the total negotiated amount of $125,000.00 for the five permanent sewer facility
easements and the four temporary construction easements is just compensation; and
3. Authonze the acceptance and recording of appropriate instruments and payment of the estimated
closing costs in the amount up to $6,000.00.
DISCUSSION:
Due to current and expected population growth in southeast Fort Worth and the wholesale customer
cities of Burleson and Crowley, additional wastewater capacity is required to meet future demand.
The easements listed below are required to construct the Sanitary Sewer Main 257 Upper and Middle
Village Creek Parallel Relief Main Part 1 Project.This project is a part of the Fort Worth Wastewater
Program efforts to comply with the Agreement with Texas Commission on Environmental Quality to
alleviate and prevent sanitary sewer overflows and bypasses in the wastewater collection system.
An independent appraisal was performed on the property and an offer to purchase was made by Staff
but rejected by the property owner. On April 5, 2011, (M&C L-15165) the City Council authorized
condemnation by eminent domain action to acquire the easements needed for the project. The City
and Timberview Golf Club, Inc., have since agreed to the negotiated settlement price of $125,000.00
in lieu of condemnation by eminent domain. The City will pay closing costs in the amount up to
$6,000.00. The easements for this project will be purchased using funding from the Sewer Capital
Projects Fund.

Grantor, for the consideration paid to Grantor and other good and valuable consideration,
hereby grants, sells, and conveys to Grantee, its successors and assigns, an exclusive,
perpetual easement for the construction, operation, maintenance, replacement, upgrade, and
repair of a Permanent Sewer Line Facility, hereafter referred to as "Facility". The Facility
includes all incidental underground and aboveground attachments, equipment and
appurtenances, including, but not limited to manholes, manhole vents, lateral line connections
pipelines, junction boxes in, upon under and across a portion of the Property and more fully
described in Exhibit "A" attached hereto and incorporated herein for all pertinent purposes,
together with the right and privilege at any and all times to enter Property, or any part thereof,
for the purpose of constructing, operating, maintaining, replacing, upgrading, and repairing said
Facility.
In no event shall Grantor (I) use the Property in any manner which interferes in any material way
or is inconsistent with the rights granted hereunder, or (II) erect or permit to be erected within
the easement property a permanent structure or building, including, but not limited to,
monument sign, pole sign, billboard, brick or masonry fences or walls or other structures that
require a building permit. However, Grantor shall be permitted to maintain any existing concrete
driveway or road on the Property. Grantee shall be obligated to restore the surface of the
Property at Grantee's sole cost and expense, including the restoration of any sidewalks,
driveways, or similar surface improvements located upon or adjacent to the Easement Tract
which may have been removed, relocated, altered, damaged, or destroyed as a result of the
Grantee's use of the easement granted hereunder Provided, however, that Grantee shall not
be obligated to restore or replace irrigation systems or other improvements installed in violation
of the provisions and intended use of this Easement.
TO HAVE AND TO HOLD the above -described easement, together with all and singular the
rights and appurtenances thereto in anyway belonging unto Grantee, and Grantee s successors
and assigns forever; and Grantor does hereby bind itself and its successor and assigns to
warrant and forever defend all and singular the easement unto Grantee, its successor and
assigns, against every person whomsoever lawfully claiming or to claim the same, or any part
thereof.

metes and bounds as follows:
COMMENCING at a 1/2 inch iron rod found for the most westerly northwest corner of said
Block 2, said 1/2 inch iron rod being the southwest corner of a tract of land described as Tract I
deeded to Richard C. Wasson as recorded in Volume 12267, Page 2116 of said Deed Records of
Tarrant County, Texas, said 1/2 inch iron rod also being in the east right-of-way line of

pipelines, junction boxes in, upon under and across a portion of the Property and more fully
described in Exhibit "A" attached hereto and incorporated herein for all pertinent purposes,
together with the right and privilege at any and all times to enter Property, or any part thereof,
for the purpose of constructing, operating, maintaining, replacing, upgrading, and repairing said
Facility
In no event shall Grantor (I) use the Property in any manner which interferes in any material way
or is inconsistent with the rights granted hereunder, or (II) erect or permit to be erected within
the easement property a permanent structure or building, including, but not limited to,
monument sign, pole sign, billboard, brick or masonry fences or walls or other structures that
require a building permit. However, Grantor shall be permitted to maintain any existing concrete
driveway or road on the Property. Grantee shall be obligated to restore the surface of the
Property at Grantee's sole cost and expense, including the restoration of any sidewalks,
driveways, or similar surface improvements located upon or adjacent to the Easement Tract
which may have been removed, relocated, altered, damaged, or destroyed as a result of the
Grantee's use of the easement granted hereunder Provided however, that Grantee shall not
be obligated to restore or replace irrigation systems or other improvements installed in violation
of the provisions and intended use of this Easement.
TO HAVE AND TO HOLD the above -described easement, together with all and singular the
rights and appurtenances thereto in anyway belonging unto Grantee, and Grantee s successors
and assigns forever; and Grantor does hereby bind itself and its successor and assigns to
warrant and forever defend all and singular the easement unto Grantee, its successor and
assigns, against every person whomsoever lawfully claiming or to claim the same, or any part

PERMANENT SEWER FACILITY EASEMENT AND TEMPORARY CONSTRUCTION EASEMENT

easement for the construction, operation, maintenance, replacement, upgrade, and repair of a
Permanent Sewer Line Facility, hereafter referred to as "Facility". The Facility includes all incidental
u nderground and aboveground attachments, equipment and appurtenances, including, but not
limited to manholes manhole vents, lateral line connections, pipelines, junction boxes in, upon,
u nder and across a portion of the property and more fully described in Exhibits "A" and "B",
attached hereto and incorporated herein for all pertinent purposes together with the right and
privilege at any and all times to enter property, or any part thereof, for the purpose of constructing
o perating, maintaining, replacing upgrading, and repairing said Facility and a temporary
construction easement, as described in Exhibits "C" and "D", attached hereto and made a part
hereof, to use in connection with the construction of said Facility, said temporary construction
e asement to expire upon completion of construction and acceptance by Grantee of said Facility.
In no event shall Grantor (I) use the Property in any manner which interferes in any material way or
is inconsistent with the rights granted hereunder, or (II) erect or permit to be erected within the
easement property a permanent structure or building, including, but not limited to, monument sign,
pole sign billboard, brick or masonry fences or walls or other structures that require a building
permit. However, Grantor shall be permitted to maintain any existing concrete driveway or road on
the Property Grantee shall be obligated to restore the surface of the property at Grantee's sole
cost and expense, including the restoration of any sidewalks, driveways, or similar surface
improvements located upon or adjacent to the Easement which may have been removed, relocated,
altered, damaged or destroyed as a result of the Grantee's use of the easement granted
hereunder. Provided, however, that Grantee shall not be obligated to restore or replace irrigation
systems or other improvements installed in violation of the provisions and intended use of this
Easement.
TO HAVE AND TO HOLD the above -described permanent easement, together with all and singular
the rights and appurtenances thereto in anyway belonging unto Grantee, and Grantee s successors
and assigns forever; and Grantor does hereby bind itself and its successor and assigns to warrant
and forever defend all and singular the easement unto Grantee, its successor and assigns, against
every person whomsoever lawfully claiming or to claim the same, or any part thereof.
TO HAVE AND TO HOLD the above described temporary construction easement, together with, all
and singular the rights and appurtenances thereto in anyway belonging unto Grantee, and
Grantee's successors and assigns until the completion of construction and acceptance by Grantee.
Grantor hereby bind themselves, their heirs, successors, and assigns, to warrant and defend all
and singular, said easement unto Grantee, its successors and assigns, against every person

e asement for the construction, operation, maintenance, replacement, upgrade, and repair of a
Permanent Sewer Line Facility, hereafter referred to as "Facility". The Facility includes all incidental
u nderground and aboveground attachments equipment and appurtenances, including, but not
limited to manholes manhole vents, lateral line connections pipelines, junction boxes in, upon
u nder and across a portion of the property and more fully described in Exhibits "A" and "B",
attached hereto and incorporated herein for all pertinent purposes together with the right and
privilege at any and all times to enter property, or any part thereof, for the purpose of constructing
o perating, maintaining, replacing, upgrading, and repairing said Facility; and two temporary
construction easements, as described in Exhibits "C" and 'D' , attached hereto and made a part
hereof, to use in connection with the construction of said Facility, said two temporary construction
easements to expire upon completion of construction and acceptance by Grantee of said Facility
In no event shall Grantor (I) use the Property in any manner which interferes in any material way or
is Inconsistent with the rights granted hereunder, or (II) erect or permit to be erected within the
easement property a permanent structure or building including, but not limited to, monument sign
pole sign, billboard, brick or masonry fences or walls or other structures that require a building
permit. However, Grantor shall be permitted to maintain any existing concrete driveway or road on
the Property. Grantee shall be obligated to restore the surface of the property at Grantee's sole
cost and expense, including the restoration of any sidewalks, driveways or similar surface
improvements located upon or adjacent to the Easement which may have been removed relocated,
altered, damaged or destroyed as a result of the Grantee's use of the easement granted
hereunder. Provided, however, that Grantee shall not be obligated to restore or replace irrigation
systems or other improvements installed in violation of the provisions and intended use of this
Easement.
TO HAVE AND TO HOLD the above -described permanent easement, together with all and singular
the rights and appurtenances thereto in anyway belonging unto Grantee, and Grantee s successors
and assigns forever; and Grantor does hereby bind itself and its successor and assigns to warrant
and forever defend all and singular the easement unto Grantee, its successor and assigns, against
every person whomsoever lawfully claiming or to claim the same, or any part thereof.
TO HAVE AND TO HOLD the above described temporary construction easement, together with, all
and singular, the rights and appurtenances thereto in anyway belonging unto Grantee, and
Grantee's successors and assigns until the completion of construction and acceptance by Grantee.

e asement for the construction, operation, maintenance, replacement, upgrade, and repair of a
Permanent Sewer Line Facility, hereafter referred to as "Facility". The Facility includes all incidental
u nderground and aboveground attachments, equipment and appurtenances, including, but not
limited to manholes manhole vents, lateral line connections, pipelines, junction boxes in, upon
u nder and across a portion of the property and more fully described in Exhibits "A" and "B",
attached hereto and incorporated herein for all pertinent purposes together with the right and
privilege at any and all times to enter property or any part thereof, for the purpose of constructing
o perating, maintaining, replacing upgrading, and repairing said Facility and a temporary
construction easement, as described in Exhibits `C" and "D', attached hereto and made a part
hereof, to use in connection with the construction of said Facility, said temporary construction
e asement to expire upon completion of construction and acceptance by Grantee of said Facility.
In no event shall Grantor (I) use the Property in any manner which interferes in any material way or
is inconsistent with the rights granted hereunder, or (II) erect or permit to be erected within the
e asement property a permanent structure or building, including, but not limited to, monument sign,
pole sign, billboard, brick or masonry fences or walls or other structures that require a building
permit. However, Grantor shall be permitted to maintain any existing concrete driveway or road on
the Property. Grantee shall be obligated to restore the surface of the property at Grantee's sole
cost and expense, including the restoration of any sidewalks, driveways, or similar surface
improvements located upon or adjacent to the Easement which may have been removed, relocated,
altered, damaged or destroyed as a result of the Grantee's use of the easement granted
hereunder. Provided, however, that Grantee shall not be obligated to restore or replace irrigation
systems or other improvements installed in violation of the provisions and intended use of this
Easement.
TO HAVE AND TO HOLD the above -described permanent easement, together with all and singular
the rights and appurtenances thereto in anyway belonging unto Grantee, and Grantee's successors
and assigns forever; and Grantor does hereby bind itself and its successor and assigns to warrant
and forever defend all and singular the easement unto Grantee, its successor and assigns, against
every person whomsoever lawfully claiming or to claim the same, or any part thereof.
TO HAVE AND TO HOLD the above described temporary construction easement, together with, all
and singular, the rights and appurtenances thereto in anyway belonging unto Grantee, and
Grantee's successors and assigns until the completion of construction and acceptance by Grantee.
Grantor hereby bind themselves, their heirs, successors, and assigns, to warrant and defend all
and singular, said easement unto Grantee, its successors and assigns, against every person
whomsoever lawfully claiming or to claim the same, or any part thereof.

Timberview Golf Club, Inc. as recorded in County Clerk's File No. D203398140 of the Deed
Records of Tarrant County, Texas, said 45.0' permanent sanitary sewer easement being more
particularly described by metes and bounds as follows:
BEGINNING at a point for an exterior ell corner in the north line of said Block 2, said point
being the northeast corner of a tract of land described as Tract II deeded to Richard C. Wasson as
recorded in Volume 12267, Page 2116 of said Deed Records of Tarrant County, Texas, said
point also being in the south line of a 19.35 acre tract of land (by deed) described as Tract 1,
deeded to Mark Edwin Sanders as recorded in Volume 15785, Page 117 of said Deed Records of
Tarrant County, Texas, from which a 5/8 inch iron rod found for reference bears North 82
degrees 52 minutes 36 seconds West, a distance of 2.30 feet;
