Dear Mr.Moulder:
Please be advised that closeout of the above-referenced project is seriously past due. This letter
selves as a final warning, establishes certain timelines for completion and outlines the
consequences for failure to comply.
Please note the following:
1, The effective date of Notice to Proceed (NTP) for this contract was September 12,
2016, with original duration (Final Acceptance) of 545 days from the NTP. Original
contractual completion date was March 11,2018,

2. There was a milestone to reach substantial completion for electrical distribution site
work of 270 days from the NTP. This does not affect the overall contract's timeline
and we are not considering this contractual date.
3. Substantial Completion for the Project was realized to be February 13, 2019. The
mutually agreed two-year Warranty start date for items installed was February 01,
2019.

4. The Preliminary Punch list was issued in January 2019. There were multiple updates
and follow up as work slowly progressed (e.g. July 2019, August 2019, October 2019, j

January 2020, and Feb 2020). As per most recent update in March 2020, however,
there are still around 10 items remaining on punch list.
5. Keeping everything in perspective,the City will extend the contract time to substantial
completion to accommodate the Oncor delays and seasonal plant shutdowns,and by an
additional 120 days-to June 15,2019, for the punch list work completion: However,
that leaves your firm exposed to liquidated damages,at$650/day,from June 15,2019
to the present.
6. The punch list must be completed ASAP and the project must reach Final
Acceptance no later than April 10, 2020. Failure to do so will subject Texsun to
further financial losses as the City will close the contract, perform or have
performed any remaining punch list items and withholding not only the accrued
liquidated damages to that date but also the cost to complete the punch list items.
7. The City will consider any justifiable time relief should it be presented on or before
Final Acceptance or April 10,2020,whichever occurs first.

The time extension of 460 days is correct and this is how it is estimated:
• Notice to Proceed (NTP): September 12, 2016
• Original Completion Date March 11, 2018 (with 545 calendar days)
• Actual Substantial Completion given February 13, 2019.
• The contract extended to June 15, 2019, by giving additional 120 days for long punchlist (-140 items).
• Hence the total time extension given 460 days;time calculated between Original completion date
(311112018) and Extended completion date (611512019). Not sure, how 420 days came about!!
• FYI, here is some 300 days between Extended completion date (611512019)and the Legal letter Time
(4110120);for which there is no time extension given, and is subject to LID and final payment
negotiations.

Here is my write up....
Justification (Summary of reasons)for additional 429 days(460 days)
1. Overall Contract Details:
a. Notice to Proceed (NTP): September 12,2016
b. Overall Duration (Final Acceptance)545 days. Original Completion Date March 11, 2018
c. Actual Substantial Completion given February 13,2019. We have the functional use of facility, since July
2018.
2. Oncor coordination and work delays:

o. Per original construction schedule, Oncor work to begin 1/6/2017 and energize 3/27/2017
b. Dialogue with Oncorstarted September 2O16 and Oncoragneementfina|k/executed 3/3/ZD17 �
($268,640). OnceUncoragremmentIovoicepaid, G/1f/2D17, on|ythaoDncormobiUzedtothe |
site. Oncor work completed ~1Z/3l/2O17. |

c. There were multiple RHWTP shutdowns to incorporate and tie in Oncor substation new gear with plant
new electrical gear, overall, there were eight shutdowns, started in October 2017 and the last one was
inJune2U1O. |
3. Other Miscellaneous challenges causing delays: !
a. Operational and seasonal shutdowns, The shutdown ofH3PS only allowed
'during winter months

h. Heavy rain during 2017 and 2018 and Contractor(Texsun) being the electrical contractor, not fully
equipped to deal with aftereffects of ponding and mud puddles;and not usedto beingthe prime
contractor.
c. The preliminary/initial punch list issued in January Z019 (~14Oitcms). Because ofa long list ofitems,
additional gO days were given to complete the punch list.
d. Contractor says/maintained that because of initial delays,they assigned additional workers to another
' job. Moreover,they claimed that they had challenges in retaining and hiring field personnel.
e. Site superintendent being a good electrician,may not be an efficient or right field supervisor!
