HomeMy WebLinkAboutContract 54310 CSC No. 54310 INTERLOCAL AGREEMENT BETWEEN FORT WORTH AND HASLET ALLIANCE TEXAS/HASLET ACCESSIBILITY IMPROVEMENT PROJECT STATE OF TEXAS § COUNTY OF TARRANT § This Interlocal Agreement("Agreement")is entered into between the City of Fort North, Texas,a home-rule municipality acting by and through its duly authorized Assistant City Manager ("Fort Worth") and the City of Haslet, Texas, a type A general law municipality acting by and through its duly authorized City Administrator ("Haslet"), collectively referred to herein as the "Parties"), I. RECITALS WHEREAS,Chapter 791 of the Texas Government Code,the Interlocal Cooperation Act, authorizes municipalities to enter into interlocal agreements for the providing of governmental functions and services; and WHEREAS, each governing body, in performing governmental functions or in ftinding the performance of governmental functions hereunder, shall make that performance or those payments from current revenues legally available to that party; and WHEREAS,each governing body finds that the performance of this Agreement is in the common interest of both parties,that the undertaking will benefit the public and that the division of costs fairly compensates the performing party for the services or functions under this Agreement;and WHEREAS, the Alliance Texas/Haslet Accessibility Improvement Project consists of reconstructing Avondale-Haslet Road from the western Haslet city limits to FM 156, and constructing two(2)new roadways; 1. FM 156 to IH 35W; and 2. from Intermodal Parkway to the new road extension from FM 156 to IH 35W, along with water and sewer infrastructure within the road right-of-way, and associated drainage improvements, as further described and depicted on the attached Exhibit"A"incorporated herein by reference(the"Project"); and WHEREAS, the Project will benefit the public as a needed transportation project to provide east/west connectivity across and through Haslet to major employment centers, and will promote and attract new commercial enterprises to the area; and WHEREAS, Haslet has partnered with Tarrant County,North Central Texas Council of Governments and the Texas Department of Transportation ("Project Partners") with regard to funding and construction of the Project; and 1 XAReal PropertylACQUISITIONS\Venabtes\Haslet ROW Ded Request-AlHance\CITYOFHASLBTULAFW.ATHAIP ROW CoFW- OFFICIAL RECORD 7-15-20.dcox Page 1 CITY SECRETARY FT.WORTH, TX ` WHEREAS, Haslet and its Project Partners have undertaken the design of the Project, which is nearing completion; and WHEREAS, the Project crosses five (5)parcels of real property owned by Fort Worth, designated as Parcels 0 and 0 DE, and Parcels 3 and 3DE on the Project description attached as Exhibit"A"; and WHEREAS,Fort Worth agrees to reserve, set apart and dedicate at no cost the right-of- way easements and drainage easements needed on each parcel owned by Fort Worth in the form of the easements attached hereto as Exhibits"B"and"C"respectively for Parcels 0 and 0 DE,and Exhibits"D"and"E"respectively for Parcels 3 and 3 DE(the"Easements"); and WHEREAS, Haslet and its Project Partners agree to be responsible for all constriction costs for the Project,and Fort Worth shall not be responsible for any charges,assessments,fees,or costs relating to the Project construction or maintenance;and WHEREAS,Haslet agrees to be responsible for all repair,maintenance, or reconstruction costs associated with the Project. NOW,THEREFORE,Fort Worth and Haslet agree as follows; H. TERMS AND CONDITIONS A. Construction of the Project. 1. Haslet, and its Project Partners shall be responsible for the cost of the preparation of the design, plan and specifications, to include all roadway improvements, and associated water and sewer infrastructure and drainage improvements, for the Project as further detailed in Exhibit"A." 2. Haslet, through its Project Partners, shall bid the construction contract for the Project, and shall construct the Project in accordance with the approved plans and specifications. Haslet and its Project Partners shall be responsible for all Project construction costs. After acceptance of the completed Project,Haslet shall be responsible for all maintenance, repair or reconstruction of the Project. 3. No charges, assessments, or fees shall be owed by Fort Worth relating to the roadway, water,sewer,or other infrastructure improvements as a result of the Project. B. Dedication of Easements. Fort Worth agrees to reserve,set apart and dedicate in perpetuity the Easements on Parcels 0 and 0 DE attached hereto as Exhibits"B"and"C", and the Easements on Parcels 3 and 3DE attached hereto as Exhibits "D" and"E"respectively. Fort Worth further agrees that it will not grant any other easement or real property interest in Parcel 0 and Parcel 3 which unreasonably interfere with the uses or intended purposes of the Easements. Nothing in the performance of this Agreement shall impose any liability for claims against either Fort Worth or Haslet, other than claims for which the Texas Tort Claims Act may impose liability.Nothing contained herein shall be deemed to waive any immunity or defense or constitute a waiver of governmental immunity by Fort Worth or Haslet. 2. No Third Party Beneficiaries. The provisions of this Agreement shall be binding upon and inure to the benefit of the Parties and their respective successors and permitted assigns. It is understood by the Parties that this Agreement is entered into for the mutual convenience and purposes of Haslet and Fort Worth and it is the Parties intent that no other person shall be construed as a beneficiary of this Agreement. Further,the Parties do not intend for any third party to obtain any right by virtue of this Agreement. 3. No Creation of Rights. By entering into this Agreement,the Parties do not intend to create any obligations express or implied other than those stated in the Agreement. Further, this Agreement shall not create any rights in any party not a signatory to the Agreement. 4. Severability. In the event any section, subsection, paragraph, subparagraph,sentence,phrase,or word of this Agreement is held invalid,illegal,or uinenforceable by a court of competent jurisdiction, the balance of this Agreement shall be enforceable, and shall be read as if the parties intended at all times to delete said invalid section,subsection,paragraph, subparagraph,sentence,phrase,or word. In such event there shall be substituted for such deleted I provision a provision as similar in terms and in effect to such deleted provision as may be valid, legal and enforceable. S. Amendment, This Agreement may only be amended, altered, or revolted by written instrument duly authorized and signed by the parties to such amendment. 6. Notice. Any notice provided for or permitted under this Agreement shall be made in writing and may be given or served by(i)delivering the same in person to the party to be notified, or (ii) depositing the same in the mail,postage prepaid, certified with return receipt requested, and addressed to the party to be notified, or (iii) sending by electronic means, with a copy thereof sent by registered mail on the same day. If notice is deposited in the mail pursuant to (ii)or(iii)of this Article,it will be effective upon receipt or refusal. Entire Agreement. This Agreement, including any exhibits attached and made a part hereof, is the entire Agreement between the parties and supersedes all prior or contemporaneous understandings or representations,whether oral or written,respecting the subject matter herein. 8. Interpretation. Regardless of the actual drafter of this Agreement, this Agreement shall, in the event of any dispute over its meaning or application, be interpreted fairly and reasonably, and neither more strongly for or against any party. 9. Applicable Law. This Agreement is made, and shall be construed and interpreted under the laws of the State of Texas and venue shall lie in Tarrant County,Texas, 10. Approval by City of Fort Worth. On August 11, 2020, Fort Worth City Council authorized the reservation and dedication of the Easements needed for the Project and execution of the necessary documents to reserve and dedicate the Easements. 11. Approval by City of Haslet. This Agreement was approved by the City Council of Haslet at its meeting on RO , 2020 In Witness Whereof, each of the parties hereto has caused this Agreement to be executed by its duly authorized representative, and this Agreement shall be effective as of the date last written by a signatory below. Hopkins Survey,Abstract No.646 and J.A.Ashford Survey,Abstract No. 1776,Tarrant County, Texas,Necessary for the Construction of Haslet Parkway between F.M. 156 and IH-35,Tarrant County,Texas(COUNCIL DISTRICT 7) RECOMMENDATION: 1. Authorize the dedication of a reservation of right of way easement of approximately 9.927 acres and of a drainage easement in 6.141 acres in City fee-owned land situated in the E. Hopkins Survey,Abstract No.646 and J.A.Ashford Survey,Abstract No. 1776,Tarrant County, Texas,necessary for the construction of Haslet Parkway between F.M. 156 and IH-35,Tarrant County,Texas;and 2. Authorize the City Manager or his designee to execute the necessary documents to reserve and dedicate the right-of-way easement and drainage easement interests. DISCUSSION: The purpose of this M&C is to approve the reservation and dedication of approximately 9.927 acres of right-of-way and 6.141 acres drainage easement interests on City fee-owned property to support the construction, maintenance,and operation of Haslet Parkway from FM 156 to IH-35. The North Central Texas Council of Governments received a$20,000,000 Build Grant Award from the U.S. Department of Transportation(DOT)for the Alliance Texas/Haslet Accessibility Improvement Project(Project). The DOT program provides grants to local governments for surface transportation projects. The Project provides for the construction of Haslet Parkway as a new 4-lane divided thoroughfare from IH-35 W to FM 156 and widening of Avondale-Haslet Road to a 4-lane divided thoroughfare from FM 156 to the Haslet City limits. The total Project cost is $59,000,000,with cost participation from the City of Haslet, Haslet's Type A and Type B corporations,Tarrant County,TIRZ/TIF, Private Funds, MPO,and the Build Grant Award. The Project is needed to improve overall regional mobility by filling in a critical east-west thoroughfare gap between two major north-south highways, IH-35 and US 287. It is expected to relieve existing and future congestion on connecting and parallel thoroughfares to support continued growth within the cities of Haslet and Fort Worth,and nearby communities. The Texas Department of Transportation will construct the roadway and related infrastructure improvements. Upon completion,the City of Haslet will be responsible for all future roadway maintenance and repairs. Construction is tentatively scheduled to begin January 2021. The City owns approximately 21.31 acres of land located at 650,680, and 700 Harmon Road and 17.94 acres of land located at 888,895, and 959 Harmon Road within the City of Haslet as identified on the attached site map. The properties were purchased with use of FAA grant funds to support the Noise Compatibility Program (NCP)at Alliance Airport. Because limited funds are available for easement acquisitions,the City of Haslet has asked the City of Fort Worth to support the Project through the dedication of the necessary rights-of-way easement and drainage easements required to facilitate the construction of the planned roadway.The FAA has reviewed the planned reservation and dedication of easement rights and found no objection as long as future proceeds received from the sale of the properties will be reinvested with 100%of FAA's share of the proceeds used to further support the Alliance Fort Worth Noise Mitigation Program in accordance with FAA's Noise Management and Requirements for Disposal of Noise Land or Development Land Funded with AIP. The FAA considers the roadway a compatible land use and,therefore,acceptable under the conditions of the grant. An appraisal of the property interests required for the project was prepared by Colliers International Valuation&Advisory Services. The value of the requested right-of-way and drainage easements is$1,751,000. Attached are the legal descriptions and sketches of the proposed right-of-way and drainage easements to be dedicated for the Project. The new road and related infrastructure will improve access to the city owned properties and enhance their market value. The City of Haslet has agreed to execute an Interlocal Agreement which stipulates in exchange for the reservation of right-of-way and easement interests needed for the Project,the City of Fort Worth will not be responsible for,or be assessed,the cost to construct, repair,and maintain the road and related infrastructure. The Haslet Parkway project is located in Council District 7. A Form 1295 is not required because:This M&C does not request approval of a contract with a business entity.
