Home My WebLink AboutContract 52743-R2A1 CSC No.52743-R2A1 AMENDMENT NO. 1 AND RENEWAL NO. 2 TO CITY OF FORT WORTH CONTRACT 52743 This Amendment and Renewal is entered into by and between the City of Fort Worth (hereafter "City"), a home rule municipality, with its principal place of business at 200 Texas Street,Fort Worth,Texas,and Bibliotheca,LLC DBA Bibliotheca(hereafter"Vendor")a limited liability company authorized to do business in the State of Texas,located at 3169 Holcomb Bridge Road, NW, Suite 200, Norcorss, Georgia. City and Vendor shall be referred to individually as a "Party" and collectively as the "Parties." WHEREAS, the Parties have previously entered into City of Fort Worth City Secretary Contract No. 52743 (the "Agreement"); and WHEREAS, the Agreement was executed for Vendor to provide the City maintenance and an extended warranty of specific items used throughout the City's library system ("Agreement"); and WHEREAS, the Agreement began on September 1, 2018 ("Effective Date") for a one year term ("Initial Term") and was renewed for a one year term beginning on September 1, 2019 and expiring on August 31, 2020 ("First Renewal Term"); and WHEREAS, the Parties now wish to amend the Agreement in order for Vendor to provide a new subscription called Open+, a comprehensive system that allows libraries to provide more flexible hours and become more accessible to the community; and WHEREAS,Open+subscriptions are based on a 3-year minimum term with subsequent years being invoiced annually; and WHEREAS, the Parties now wish to amend the Agreement to allow for a three-year term beginning September 1, 2020 and ending August 31, 2023 ("Amended Term"),necessary for the implementation of the new Open+ subscription; and WHEREAS, the Parties also wish to renew the Agreement for the Amended Term as stated below. NOW, THEREFORE, the Parties, acting herein by the through their duly authorized representatives, enter into the following agreement: 1. AMENDMENTS TO AGREEMENT The following terms are hereby amended to replace the referenced terms in the Agreement and shall be binding and enforceable as if they were originally included therein. AGREEMENT DOCUMENTS is hereby amended and replaced in its entirety with the following: The Agreement documents shall include the following: 1. This Vendor Services Agreement; 2. Exhibit A— Scope of Services for Initial Term; 3. Exhibit A-1 — Scope of Services for Renewal Periods; 4. Exhibit B—Price Schedule for Initial Term; 5. Exhibit B-1 —Price Schedule for Renewal Periods; and 6. Exhibit C—Verification of Signature Authority Form. B. Section 1, SCOPE OF SERVICES is hereby amended and replaced in its entirety with the following: 1. SCOPE OF SERVICES. Vendor shall provide maintenance and an extended warranty on specific items throughout the City's library system. Additionally, beginning with the Amended Term, Vendor shall provide City with Open+products and support. Exhibit"A,"-Scope of Services for Initial Term or Exhibit "A-1" — Scope of Services for Renewal Periods, depending on which term is then current, more specifically describes the services to be provided hereunder. C. Section 2, TERM is hereby amended and replaced in its entirety with the following: 2. TERM. This Agreement began on September 1, 2018 ("Effective Date") for a one year term ("Initial Term")and was renewed for a one year term beginning on September 1,2019 and expiring on August 31, 2020 ("First Renewal Term"). Following the First Renewal Term, this Agreement may be renewed for one three-year term beginning September 1,2020 and ending August 31,2023 ("Amended Term"). Following the Amended Term, City shall have the option for unlimited one- year renewal options. The City shall provide Vendor with a Contract Renewal Notice indicating its intent to renew at least thirty (30) days prior to the end of each term. The City shall provide Vendor with written notice of its intention not to renew at least thirty (30) days prior to the expiration of the Amended Term or any Renewal Term. D. Section 3, COMPENSATION is hereby amended and replaced in its entirety with the following: 3. COMPENSATION. City shall pay Vendor in accordance with the provisions of this Agreement and the then current price schedule,attached as Exhibit`B," Price Schedule for Initial Term or`B-1" Price CFW/BIBLIOTHECA CSC 52743 Amendment No. 1,Renewal No. 2 Page 2 of 5 Schedule for Renewal Periods,which shall be updated every term. Total payment made under this Agreement for the Initial Term and the First Renewal Term by City shall be in the amount of Ninety-Six Thousand Four Hundred and Fifty-One Dollars and Sixty-Seven Cents ($96,451.67) per year. Total payment made under this Agreement for the Amended Term and any subsequent renewal terms shall not exceed the amount ninety nine thousand dollars ($99,000.00). Each term, Vendor will provide an updated Scope of Services and Price Schedule at the time of renewal, but in no event will any renewal price schedule exceed the amount included in this paragraph. Vendor shall not perform any additional services or bill for expenses incurred for City not specified by this Agreement unless City requests and approves in writing the additional costs for such services. City shall not be liable for any additional expenses of Vendor not specified by this Agreement unless City first approves such expenses in writing. The City and Vendor shall include the amount for any renewal terms in the renewal notice. E. The following Exhibits are hereby amended and replaced in their entirety with the following, attached hereto: EXHIBIT "A"— Scope of Services attached to the Agreement is hereby amended and replaced in its entirety with the EXHIBIT "A" — Scope of Services for Initial Term; and EXHIBIT "A-1" — Scope of Services for First Renewal Period attached to the Agreement is hereby amended and replaced in its entirety with the EXHIBIT "A-1"— Scope of Services for Renewal Periods; and Exhibit `B" — Price Schedule attached to the Agreement is hereby amended and replaced in its entirety with EXHIBIT"B"—Price Schedule for Initial Term; and Exhibit`B-1"—Price Schedule for First Renewal Period attached to the Agreement is hereby amended and replaced in its entirety with EXHIBIT"B-1"—Price Schedule for Renewal Periods. 2. RENEWAL OF AGREEMENT The term of the Agreement,as amended,is hereby renewed for the Amended Term to begin on September 1,2020 and expire on August 31, 2023,unless terminated earlier in accordance with the Agreement. 3. ALL OTHER TERMS SHALL REMAIN THE SAME All other provisions of the Agreement which are not expressly amended herein shall remain in full force and effect. Hardware:In consideration of payment of the agreement price,and according to service level purchased,Bibliotheca will furnish labor and replacement parts necessary to maintain the Equipment specified in this agreement in proper operating condition during the term of this agreement,provided that the Equipment is installed by an authorized Bibliotheca Service Provider and used as directed.This Service Agreement covers Equipment failure during normal usage.Bibliotheca agrees to provide: • On-site remedial maintenance during On-Site Coverage Hours(except for depot repair agreements) When Bibliotheca is notified that the Equipment is not in good working order.Bibliotheca will provide a toll-free telephone number for Customer to place,and Bibliotheca will receive,Equipment maintenance service calls twenty-four(24) hours per day,seven (7)days per Week. • All labor,service parts and Equipment modifications Bibliotheca deems necessary to maintain the Equipment in good working order.All service parts will be furnished on an exchange basis and will be new parts or parts of equal quality.For certain Equipment,Bibliotheca reserves the right to replace the entire unit with new equipment or equipment of equal quality when Bibliotheca determines that replacement is more economical than on-site repair.All Equipment and service parts removed for replacement become the property of Bibliotheca. Software:In consideration of payment of the agreement price,Bibliotheca will furnish over-the-phone software support and remote troubleshooting of the Bibliotheca Software specified in this agreement as well as updates necessary to maintain the Bibliotheca Software specified in this agreement in proper operating condition during the term of this agreement,provided that the Bibliotheca Software is installed and used as directed.Bibliotheca agrees to provide: • All software configuration modifications Bibliotheca deems necessary to maintain the Bibliotheca Software in good working order • Bibliotheca Software updates • Internet Filter list updates(as applicable) • A toll-free telephone number for Customer to place and Bibliotheca to receive software support calls.Over-the-phone software support calls may be placed twenty-four(24) hours per day,seven (7) days per week.Calls will be addressed during Bibliotheca Software Support Coverage Hours in the order they were received. WHAT IS NOT COVERED:The basic maintenance fee does not include and Bibliotheca is not obligated to provide or perform repair of damage or increase in service time caused by(i)failure of Customer to provide continually a proper operating environment and supply of power as prescribed by the Equipment manufacturer, (ii)accident; (iii)Acts of God,including but not limited to fire,flood,water,wind and lightning; (iv) neglect,abuse or misuse; (v) failure of Customer to follow Bibliotheca's published operating instructions;(vi) modification,service or repair of the Equipment by other than Bibliotheca authorized personnel; (vii) use of Equipment for purposes other than for which designed; (viii) painting or refinishing the equipment; (ix) relocation of the equipment; (x) replacement of broken or damaged cabinetry;to include items such as lattices, base covers,book check covers,etc.;(xi) electrical work external to the Equipment; (xii) cosmetic restoration (e.g.,filling of holes in floor or walls, plugging or wire run openings,removal of tape residue,etc.)after removal or relocation of equipment for any reason; (xiii)restoration of Equipment performance when it has been degraded by placement of unauthorized interference sources within the affected range of said equipment; (Av)service requests related to use of markers(strips) other than those manufactured by Bibliotheca or its authorized distributor(s), (xv) modification,or repair of the Bibliotheca Software by other than Bibliotheca authorized personnel; (xvi) use of the Bibliotheca Software for purposes other than for which designed; (xvii)virus/hacker activity; (xviii) Non-Bibliotheca Software related updates and upgrades including, but not limited to,Operation System,Anti-Virus,Intrusion Detection. (Ax) labor or materials associated with consumables such as receipt printer paper,separator jaws,patron counter batteries,and similar items. RENEWAL:This agreement is NOT automatically renewable.If a renewal agreement is offered by Bibliotheca,the agreement price quoted will reflect the age of the product and the service costs at the time of renewal.
