Re: Cancellation of Contract between the City of Fort Worth, Texas ("City"), and
Boutchantharaj Corporation d/b/a DFW Security Protective Force for security
guard services dated on or about June 10, 2020 (City Secretary Contract No.
53993, as amended) ("Agreement")
Dear Mr. Boutchantharaj:
The purpose of this letter to provide you with written notice of the City's intent to
terminate the Agreement in two phases pursuant to Section 2 of the Agreement.
1. TownePlace Suites (4200 International Plaza). The City is hereby terminating the
Agreement as to the Services provided at TownePlace Suites, effective
immediately.
2. 300 E. Vickery and 1100 E. Lancaster. As you may be aware, the City is ending
its well-sheltering activities on September 30, 2020. As such, the City is
terminating the Agreement as to the remaining Services for 300 E. Vickery and
1100 E. Lancaster, effective September 30, 2020.
Because termination of this Agreement as to the TownePlace Suites shelter does not
affect termination as to the other two shelters under the Agreement, your company will still be
obligated to perform security services, as requested, at the other two locations through
September 30, 2020.
This termination of services will release both parties of any and all obligations under the
Agreement for each of the shelter locations on the applicable date of termination, except those
obligations that accrued as of the effective date of termination and those which survive such
termination.

Any payments due for services rendered will be paid in accordance with the terms of the
Agreement. Please note that the City will not be liable for payment of any Services rendered
after the applicable date of termination for each of the shelters listed above.
Please note, the City regularly conducts audits of services agreements once the agreement has
terminated to ensure compliance. In accordance with the "Right to Audit" provision set forth in
the Agreement, please retain all records related to this Agreement for a minimum of 7 years after
the expiration of the final payment under this Agreement. The City will provide you advance
reasonable notice of any intended audits.
The City has enjoyed its working relationship with DFW Security Protective Force. We
wish you the best in the future.
