TO CITY SECRETARY CONTRACT NO.46319
WHEREAS, the City of Fort Worth ("City") and SLF IV—Chisholm Trail, L.P. ("Owner")
made and entered into a Transportation Impact Fee Credit Agreement, City Secretary Contract
No. 46319 (the"Agreement"); and
WHEREAS, Amendment 1 (City Secretary Contract No. 46319-A1) to reallocate certain
credits was executed on March 12, 2019; and
WHEREAS, Amendment 2 (City Secretary Contract No. 46319-A2) to reallocate certain
credits was executed on November 5,2019; and
WHEREAS, it has become necessary to execute this Amendment No. 3 to said Agreement,
as amended,to reallocate certain credits and replace Exhibit"F-2"with Exhibit"F-3"attached to this
Amendment 3.
NOW THEREFORE, City and Owner, acting herein by and through their duly authorized
representatives, enter into the following agreement that amends the Agreement:
1.
$278,055.00 of credits have been allocated to Tract 6B (approximately 19.6 acres),being a
reallocation of credits from Tract 6A(approximately 19.26 acres),with Tract 6A's allocation of
credits now being$339,190.54, as shown in Exhibit"F-3"attached hereto,leaving an unallocated
balance of$0.00, subject to reallocation by Owner in accordance with the Agreement.

Exhibit"F-2"to the Agreement shall be replaced with the Exhibit"F-3"attached hereto and
incorporated herein by this reference.
3.
All other provisions of the Agreement which are not expressly amended herein shall
remain in full force and effect.

IN WITNESS WHEREOF, the undersigned parties have executed this Agreement to be
effective as of the date subscribed by the City's designated Assistant City Manager.
