This Amendment is entered into by and between the City of Fort Worth (hereafter "City"), a home rule municipal corporation situated in portions of Tarrant, Denton and Wise Counties, Texas, with its principal place of business at 1000 Throckmorton Street, Fort Worth, Texas, and Gartner, Inc., (hereafter "Consultant"), a Delaware Corporation, with its principal place of business at 56 Top Gallant Road, Stamford, CT, 06904, individually referred to as a "Party,"and collectively referred to as the"Parties." WHEREAS, the parties have previously entered into City of Fort Worth City Secretary Contract No. 39065 (the "Contract"), which was authorized by the Fort Worth City Council via M&C C-23728 on August 18, 2009; and WHEREAS, the Contract involves consulting services to assist the City in the management and execution of a strategic plan for outsourcing the City's Information Technology Solutions department; and WHEREAS, the Contract is on a fixed cost basis for completion of certain agreed upon deliverables and milestones; and WHEREAS, the City and Gartner now wish to expand the scope of the Contract to include additional services to conduct a comparative financial analysis of proposals received in response to the City of Fort Worth IT Outsourcing Request for Proposals No. 10-0407. NOW, THEREFORE, the City and Gartner, acting herein by and through their duly authorized representatives, enter into this agreement which amends the Contract as follows: 1. Exhibit A, Statement of Work, is hereby amended to expand the scope to include additional services to conduct a comparative financial analysis of proposals received in response to the City of Fort Worth IT Outsourcing Request for Proposals No. 10-0407 as set forth in the attached Change Order Request. The Change Order Request is attached hereto and incorporated into Exhibit A of the Contract for all purposes.
