DESIGN PROCUREMENT AGREEMENT FOR DESIGN SERVICES BASSWOOD BOULEVARD SECRETAIVI ONTRACT WHEREAS, DR Horton — Texas, Ltd., a Texas limited liability company, ("Developer") and the City of Fort Worth, a Texas municipal corporation ("City"), each desire to make certain roadway and street improvements to Basswood Boulevard in the City of Fort Worth, Texas, from FM 156 to I-35W including related water, sewer, bridge and drainage improvements (the "Project") as further described on Attachment "A"; and WHEREAS, Developer is a company authorized to do business in Texas and is willing to advance the Project on an earlier schedule than it might otherwise have been implemented; and WHEREAS, Developer and City desire to enter into this Design Procurement Agreement ("Agreement") in order to accomplish the goals of the Parties; and WHEREAS, Developer will retain the services of Peloton Land Solutions, LLLP. ("PLS") to provide for the design of the Project; and WHEREAS, Staff has reviewed both the scope, fee, and schedule for the design of the Project and find there to be fair and reasonable; and WHEREAS, It is understood that this Agreement may be amended from time to time to accommodate expanded scope and cost participation; and WHEREAS, Construction of the Project may be accomplished in phases; and WHEREAS, City and Developer intend to execute a Community Facilities Agreement, or other similar agreement, that provides for the Developer to award and construct the Project and seek reimbursement from the City for construction costs and eligible construction expenses of the Project subject to the availability of funding and based on a public bid process. NOW, THEREFORE, For and in consideration of the covenants and conditions contained herein, the City and the Developer do hereby agree as follows: I. General Requirements A. Project will generally consist of certain paving, streetscape, and drainage infrastructure improvements related to the construction of Basswood Boulevard from FM 156 to I-35W as further described on Attachment "B" here to. Developer will retain Peloton Land Solutions, LLLP. as the "Engineer" for the Project pursuant to a written agreement approved by the City (the "Engineering Contract") attached as Attachment "C". C. City agrees to reimburse Developer for the City's share of the actual cost to design the Project, an estimated amount not to exceed $458,639.00 upon presentation of plans for the Project, including, as appropriate, engineering drawings, studies, renderings, contract specifications, estimates, and other documents, (collectively the "Work Product") necessary to construct the improvements contemplated by this Agreement. D. The Developer covenants and agrees to, and by these presents does hereby, indemnify and hold the city, its officers, agents and employees harmless against any and all suits, actions, or claims of any character, including, but not limited to, those for property damage or loss and/or personal injury including death, that may relate to, arise out of or be occasioned by (i) Developer's breach of any of the terms of this Agreement or (ii)any act or omission of Developer or any of its affiliates, their officers, agents, associates, employees, contractors or subcontractors, related to the Project, except that the indemnity provided for in this paragraph shall not apply to any liability resulting from the sole negligence of the City its officers, agents, employees, or separate contractors, and in the event of joint and concurrent negligence of both Developer and the City, responsibility, if any, shall be apportioned comparatively in accordance with the laws of the state of Texas. E. Developer agrees to require Engineer to, pursuant to Texas Local Government Code Section 271.904, indemnify, hold harmless, and defend the City against liability for any damage caused by or resulting from an act of negligence, intentional tort, intellectual property infringement, or failure to pay a subcontractor or supplier committed by the Engineer or Engineer's agent, consultant under contract, or another entity over which the Engineer exercises control. F. Developer agrees that the Engineering Contract shall include provisions granting to the City the right to enforce such contracts as an express intended third party beneficiary of Basswood Boulevard DPA Page 2 such contract. ACCORDINGLY, the City, through its Assistant City Manager, and Developer, through its authorized signatory, have each caused this instrument to be executed in multiple counterparts to be effective as of the date subscribed by the Assistant City Manager. PRELIMINARY DESIGN: Attend one (1) kick-off meeting with the Owner and the City to discuss and formalize the project scope, schedule and design parameters. Scope shall include coordination of the Memorandum of Understanding (MOU) and the Design Procurement Agreement (DPA) Conduct field topographic surveys of the Basswood Boulevard right-of-way and the Robert Downing Road right-of-way areas. Surveys shall consist of a 50' grid of the project area, surface structures fences tops and toes of any slopes and floodplain areas determined for necessary permitting of the Basswood Bridge. 3. Prepare a preliminary alignment layout, centerline profiles and proposed storm drainage infrastructure plans for the proposed improvements These documents will be submitted to the Owner, City and/or contractor for review and comment prior to preparation of the final construction documents. Scope includes addressing one (1) set of comments from the Client and/or City. Peloton Land Solutions, LLLP. Basswood Boulevard PELOTON mLAND SOLUTIONS 10/24/13 4. PLS will subcontract for Geotechnical design and report for construction of Basswood Boulevard and the Basswood Bridge. The Geotech report shall include pavement design recommendations for Basswood Boulevard, recommendations for bridge foundations, slope stability, and up/down stream protection. Scope includes up to the (5) borings for the bridge design and standard boring spacing for pavement design as per the City of Fort Worth requirements. 5. Prepare U.S. Army Corps of Engineers (USACE) permitting necessary for the Basswood Bridge. It is assumed that a Nationwide 14 or 25 permits will be applicable without notification of the USACE for the construction of the Basswood Bridge. Scope includes the review of previous delineations for this area, preliminary jurisdictional determination report, Section 404 permitting assistance, modifications to the delineation maps (if required) and coordination with the Owner, City and USACE. This scope does not include an Individual Permit or Preconstruction Notification coordination. It is assumed based on preliminary observations that the mitigation impacts to the Waters of the U.S. are estimated between $15 000 and $50 000, depending on market price and credit availability at the time of the transaction. 6. PLS will subcontract for Hydrologic and Hydraulic studies necessary for the Basswood Bridge design to meet City of Fort Worth standards. Based on the preliminary layout and design of the Basswood Bridge area and the previous flood studies that have been prepared and approved PLS shall provide a revised. flood study and a flood development permit necessary for construction Prepare preliminary cost estimates for construction based on the preliminary layout. Cost shall utilize City of Fort Worth standard unit prices for construction of public infrastructure. B. CONSTRUCTION DOCUMENTS: Prepare roadway construction plans including engineering, design and drafting for the proposed infrastructure improvements. The construction plans shall be submitted to the City for review at four (4) different submittals; 30% 60% 90% and Final set of plans. These plans will be prepared in accordance with the City of Fort Worth criteria and include the folloss ing: o Paving plan and profile, and typical section consisting of additional turning movement lanes and driveways per the City of Fort Worth standards. Associated pedestrian access, ramps, street crossings and intersection improvements will be included in this design if warranted. o PLS shall subcontract with an outside engineering firm for the design of the Basswood Boulevard Bridge. PLS will include the design plans and details within the overall set of plans for construction of Basswood Boulevard The bridge design shall include approach slabs, foundations substructure, superstructure and grading and slope protection under the structure. The bridge is assumed to be a typical span bridge with a concrete deck on girder superstructure. Basswood Boulevard PELOTON 11111 LAND SOLUTIONS o Temporary and Permanent Traffic control measures and staging. o Demolition plans to be included within the construction plans. 10/24/13 o Grading plans for the proposed rough grading with grades showing connection back into the existing ROW grades. o Drainage area map and the associated hydraulic calculations in accordance with City of Fort Worth iSWM. o Drainage infrastructure plans and profiles for storm drain improvements / extensions across the roadway alignment. o PLS will subcontract for electrical design of street lights as required by the City of Fort Worth and based on client selection of light standards. Design shall include street light placement conduit sizing, conductor sizing, hand-hole/pedestal location, transformer locations and details. The electrical engineering design for the referenced project will be provided with sufficient detail to receive construction bids from contractors and in sufficient detail to install the system in accordance with applicable codes. Deliverable will be included and processed with the civil construction plans. o Miscellaneous City of Fort Worth pavement, utility and storm drain details. o Pavement signage / striping plans and associated details. o Erosion/sediment control plan and details. 2. Prepare a ROW Final Plat in accordance to the COFW criteria for conveyance of the Basswood ROW. This scope includes plat preparation, coordination and clearance of the Final Plat comments Prepare the TPDES Permit/Storm Water Pollution Prevention Plan (SWPPP) and the Construction Site Notice to be submitted to the City of Fort Worth for approval. 4. Prepare construction contracts, specifications and construction quantities required for bidding purposes Construction specifications and contracts shall follow and utilize the format for Developer awarded projects Separate Instrument Easements or legal descriptions for dedication of ROW, utility extensions, slope easements or access shall be prepared by PLS. Ten (10) Legal descriptions or easements are anticipated. Additional easements shall be invoiced as an additional hourly service or $1,000/easement. PLS shall use standard City of Fort Worth language on all easements. Coordination or modification of easement Language shall be invoiced as an hourly expense. Peloton Land Solutions, LLLP. Inspection Fees, Materials Testing Fees and appropriate Developer financial guarantee to be provide by the Developer *All contractors must be pre -approved by the City of Fort Worth and must be able to provide Payment, Performance and Maintenance Bonds. 7. Prepare a Letter of Map Revision (LOMR) to be submitted to the City and ultimately to FEMA for the Basswood Bridge design. The LOMR shall be based on the previously approved Flood Study (FPO1111 FS) and field -verification of the proposed grading plans and flood plain cross -sections. C. CONSTRUCTION PHASE SERVICES: 1. Provide the following service: o Prepare and conduct one (1) public bid for the construction of Basswood Boulevard Scope shall include creation of the bid documents, advertising the bid, preparing necessary addendums/changes to the bids and coordination of questions and comments regarding the bids. o Assist the Owner with opening and tabulation of bids for construction and recommended course of action. o Attend pre -construction conference at the City of Fort Worth. (Assumes 2 meetings) o Establish a minimum of 2 horizontal and 1 vertical control networks for survey construction staking by others. o Prepare and process change orders and review shop drawings with respect to industry standard relevance and other submittals by the contractor (anticipates 8 submittals). o Attend a "Final Inspection or Acceptance" meeting for the project conducted by the City of Fort Worth. Provide franchise utility coordination for the construction of the project. Upon substantial completion of the construction plans, PLS shall conduct one (1) coordination meeting each franchise utility company to coordinate plans for relocation of necessary utilities. 3. Horton - Texas, Ltd. (D R. Horton), has been designing and constructing portions of Basswood Boulevard east of FM 156 and portions of Robert W. Downing Road south of Basswood Boulevard to meet their subdivision access and public infrastructure requirements for their portion of the Parr Trust subdivision. The Transportation and Public Works Department desires to accelerate the engineering design for the remainder of Basswood Boulevard, including a bridge, to complete full design and eventual construction of Basswood Boulevard from FM 156 to I-35W. In addition, Transportation and Public Works desires to complete the design of Robert W. Downing Road south of Basswood Boulevard to connect to existing pavement approximately 300 feet north of Lou Menk Drive. The execution of this Design Procurement Agreement will allow D.R. Horton to advance the engineering design for all of Basswood Boulevard from Cloudcroft Lane to Horseman Road and Robert W. Downing Road from Basswood Boulevard south to Lou Menk Drive. D.R. Horton will be responsible for its proportional share of the design costs, with additional contributions being made to the design effort by Retasal I, L.P , which owns a large portion of the property on the north side of the future Basswood Boulevard.
