The SCC agrees to: (1) Administer the training course entitled Policing in Schools: Keeping Kids Safe On and Off Campus, which will be conducted at Tarrant County College, Northwest Campus, 4801 Marine Creek Parkway, Fort Worth, Texas 76104 on August 6-7, 2014. (2) Provide all course materials and handouts necessary for successful completion of the course. (3) Provide certificates for all participants who attend the full 16 hours and successfully complete the course. (4) Provide TCOLE report of training, if available. II. The City agrees to: (1) Render payment to SCC for a minimum of 61 participants, billed at $100.00 each, enrolled in Policing in Schools: Keeping Kids Safe On and Off Campus at Tarrant County College, 4801 Marine Creek Parkway, Fort Worth, Texas 766179 to be held August 6-7, 2014. III. Miscellaneous provisions and conditions: (1) Either party may terminate this contract at any time by giving written notice to the City or SCC at the following address: For Safe City Commission: Brenda O'Quin 1100 Hemphill Street Fort Worth, Texas 76104 For City: City of Fort Worth Police Department Aya Ealy, Contract Compliance 350 W. Belknap Street Fort Worth, Texas 76102 (2) This contract contains the entire agreement between the parties relating to the rights herein granted and the obligations herein assumed. Any oral representations or modifications concerning this instrument shall be of no force or effect excepting a subsequent modification in writing, signed by the parties or their representative and attached hereto. (3) This agreement constitutes the only agreement of the parties and supersedes any prior understanding or written or oral agreements between the parties respecting the within subject matter. (4) This agreement shall be construed under and in accordance with the laws of the State of Texas, and all obligations of the parties. (5) It is expressly understood and agreed that in the execution of this contract, neither pa deemed hereby to waive immunity. The parties agree that nothing in the contract waives l of 3 ? it 17/ 7 11 i,IL l�U ipyi; \ini()1Ziril;L; `u'Ls'fs any immunity, protection, right, limitation or cap on damages, as recognized in the Texas Tort Claims Act as to either of the parties, or as to any third party. (6) Each party shall operate hereunder as an independent contractor and not as an officer, agent, servant or employee of the other party. (7) The failure of either party to insist upon the performance of any term or provision of this Agreement or to exercise any right herein conferred shall not be construed as a waiver or relinquishment to any extent of the City's or SCC's right to assert or rely on any such term or right on any future occasion. (8) The undersigned officers and/or agents of the parties hereto are the properly authorized officials and have the necessary authority to execute this contract on behalf of the parties hereto. (9) SCC agrees that the City shall, until the expiration of three (3) years after final payment under this contract, have access to and the right to examine at reasonable times any directly pertinent books, documents, papers and records of SCC involving transactions relating to this contract at no additional cost to the City. SCC agrees that the City shall have access during normal working hours to all necessary SCC facilities and shall be provided adequate and appropriate work space in order to conduct audits in compliance with the provisions of this section. The City shall give SCC reasonable advance notice of intended audits. SCC further agrees to include in all its subcontractor agreements hereunder a provision to the effect that the subcontractor agrees that the City shall, until expiration of three (3) years after final payment of the subcontract, have access to and the right to examine at reasonable times any directly pertinent books, documents, papers and records of such subcontractor involving transactions related to the subcontract, and further that City shall have access during normal working hours to all subcontractor facilities and shall be provided adequate and appropriate work space in order to conduct audits in compliance with the provisions of this paragraph.
