COST SHARING AGREEMENT

THIS AGREEMENT made this October 1, 2013, by and between The City of
Fort Worth (City) and the Federal Aviation Administration ("FAA").
WHEREAS,
The City wishes to participate in the FAA's Contract Tower Cost Sharing
Program (the "Program"), and
The FAA has performed a benefit/cost study relating to the feasibility of placing
air traffic control services at Fort Worth-Spinks Airport , an airport operated and
controlled by the City, and
The FAA and the City have agreed that, as a result of the outcome of the
benefit/cost study, the City is eligible to participate in the Program, and
The City has entered into an agreement (the "Service Agreement") with Robinson
Aviation, Inc., (RVA) (the "Contractor"), whereby among other things, the City agreed to
pay the Contractor $10,447.00 per month for air traffic services at said Airport, all as
more fully described in the said agreement.
NOW THEREFORE,
Pursuant to the authority granted in 49 U.S.C. 106(1) and the Department of
Transportation Appropriations Act for Fiscal Year 1999, and in consideration of the
terms, conditions and covenants set forth herein, it is mutually agreed as follows:
a) The City shall promptly and timely satisfy its obligations under the Service
Agreement, including the payments described above. The parties further agree the terms
and conditions of the parties' cost sharing allocations and payments are effective
October 1, 2013.
b) Upon notification, by any means, that the City is in arrears on its payments to the
Contractor, the FAA will remove all air traffic control services at the subject Airport.
Upon such removal, the City will not be eligible for further participation in the Program.
The continued operation of air traffic control services by the Contractor at the Airport,
after notification of arrearage to the FAA, shall not be construed as a waiver by the FAA
of any of its rights under this agreement.
c) The City shall reimburse the FAA, including interest calculated as per the
Federal Aviation Agency's Management System (FARMS) Clause 3.3.1-9 (April,
1996), for all sums paid by the FAA to the Contractor for services provided by the
Contractor to the City on and after the date the City went into arrears.

d) The parties agree that the payment to the contractor will be adjusted when the
Department of Labor wage rates are determined.
e) The parties agree that if the FAA Contract Tower benefit/cost analysis
demonstrates a change in the applicable benefit -to -cost ratio, the parties may renegotiate
this agreement.
e) Execution of this Agreement does not constitute a commitment by the FAA to
provide air traffic control services, via contract or otherwise, to said Airport. This
Agreement is subject to the laws and regulations of the United States, as are in force and
effect now, or as may be in the future.

Authorize Application and Accept, if Offered, a Cost Share Agreement with the Federal Aviation
Administration Contract Tower Program for Partial Funding of Air Traffic Control Services and
Authorize Execution of a Contract with Robinson Aviation, Inc., at Fort Worth Spinks Airport
RECOMMENDATION.,
It is recommended that the City Council authorize the City Manager to:
1. Apply for and accept, if offered, a cost share agreement with the Federal Aviation Administration
for partial funding of the Air Traffic Control Services at Fort Worth Spinks Airport, and
2. Authorize execution of a contract with Robinson Aviation, Inc., in an estimated amount of $128,784
annually from the Municipal Airports Fund for the operation of Air Traffic Control Services at Fort Worth
Spinks Airport.
DISCUSSION:
The City currently operates the Air Traffic Control (ATC) Services at Fort Worth Spinks Airport. Under the
proposed cost share agreement, the Federal Aviation Administration (FAA) and the City would share the
cost of outsourcing the ATC services to a contractor. Based on a recent cost benefit analysis by the FAA, it
was concluded the FAA would pay 74 percent of the cost of the contract. The City will pay the remaining 26
percent with the potential of 100 percent funding in the future based on the annual operations of the
Airport.
The FAA currently contracts with Robinson Aviation, inc., (RVA) for ATC services in the Southwest
Region. Upon approval by the FAA for entry into the FAA Control Tower Program, the Aviation department
along with the FAA will enter into a contract with RVA totaling $495,325.00. The City's 26 percent of the
contract will be an estimated amount of $128,784 annually The term of the contract will be for one year
beginning September 26, 2007 ending September 25, 2008. After September 25, 2008, the contract will be
renewed on an annual basis.
The FAA Contract Tower Program which began in 1982, allows the FAA to contract ATC Services to the
private sector at visual flight rule (VFR) airports. The primary advantages of this program are enhanced
safety, improved ATC services and significant VFR ATC cost savings to FAA. Currently, 226 smaller
airports participate in the program, representing 45 percent of all control towers in the U S In addition the
FAA contracts out approximately 25 percent of control tower aircraft operations for about 10 percent of the
FAA's budget to operate all control towers in the U.S.
Renewal Options - This contract may be renewed annually without specific City Council approval provided
funds are sufficiently appropriated to satisfy the City's obligation during the renewal period.
