HomeMy WebLinkAboutContract 45472 (2)C orl 8EC ..5ETIVAV COP 9TG- T (45'4 �1 t Assignment and Assumption of Leases THIS ASSIGNMENT AND ASSUMPTION OF LEASES (the "Assignment") dated as of March T' 2014, is between STATION VENTURE OPERATIONS, LP, a Delaware limited partnership ("Assignor"), and CITY OF FORT WORTH, TEXAS ("Assignee"). A Assignor has agreed to transfer the land more particularly described on Exhibit "A" attached hereto (the "Land"), and the tower on such Land (the "Tower") and all of the Assignor's right, title and interest in and to the building, structures, fixtures and other improvements on the Land (the "Improvements") on the terms and conditions contained therein. B. Assignor desires to assign its interest in and to all leases and licenses pursuant to which any portion of the Land or Improvements is used or occupied by anyone other than Assignor (the "Leases") to Assignee, and Assignee desires to accept the assignment thereof, on the terms and conditions below. The Leases include those lease listed on Exhibit "B" attached hereto. ACCORDINGLY, the parties hereby agree as follows: 1. Assignor hereby assigns to Assignee all of its right, title, and interest in and to the Leases, and Assignee hereby accepts such assignment and assumes all of the lessor's or licensor's obligations under the Leases arising from and after the date hereof. 2. This Assignment shall be binding upon and inure to the benefit of the parties hereto and their respective successors and assigns. 3. This Assignment may be executed in any number of counterparts, each of which shall be deemed an original, but all of which taken together shall constitute one and the same instrument. WORTH TX Exhibit "A" to Assignment and Assumption of Leases Description of Real Property BEING 26.4903 acres of land more or less situated in the City of Fort Worth, Tarrant County, Texas being part of the E Johnson Survey, Abstract No. 852 and being more particularly described as follows: BEGINNING at a 7/8 inch iron in the East line of said Johnson Survey for the Southeast corner of the 83.80 acres tract described in the deed to Carter Publications, Inc., recorded in Volume 2040, Page 298 of the Tairant County Deed Records; THENCE' N 88 degrees 09 minutes 00 seconds W, along the South line of said 83.80 acres tract, 995.10 feet to a galvanized iron; THENCE' N 00 degrees 00 minutes 15 seconds W, 630.50 feet to a 1/2 inch iron rod found; THENCE' N 35 degrees 30 minutes 00 seconds E, 865.00 feet to a galvanized iron; THENCE' N 88 degrees 41 minutes 00 seconds E, 300.80 feet to a 1/2 inch found iron in the West line of Barnett Avenue; THENCE' Southeasterly, along said street line, along a curve to the left with a radius of 206.34 feet a distance of 264.10 feet to a metal plug in concrete walls in the East line of said 83.80 acres tract and being in the west line of original block 4 of Scenery Hill Addition, and the chord of said arc bears S 53 degrees 11 minutes 00 seconds E, 246.44 feet; THENCE' along the East line of said 83.80 acres tract and with said Survey line: South, at 692.05 feet passing a "Y" cut in the top of the North curb of Normandy Drive, and in all a total of 702.80 feet to a point; THENCE' S 00 degrees 37 minutes 30 seconds W, 523.30 feet to the PLACE OF BEGINNING and containing 26.4903 acres of land. Exhibit "B" to Assignment and Assumption of Leases 1. Ground Lease, dated as of November 1, 2004, between Station Venture Operations, LP and Vanguard Wireless. 2. All leases and licenses on the Tower including the current AT&T lease.
