NEGOTIATED SETTLEMENT AGREEMENT

This agreement ("Agreement" or "Settlement Agreement") is made between the
City of Fort Worth ("City"), by its authorized Assistant City Manager, and Mark Edwin
Sanders ("Sanders").
WHEREAS, the City is a home rule municipality of the State of Texas; and
WHEREAS, the City and Sanders are sometimes individually referred to as a
"Party" and collectively as the "Parties"; and
WHEREAS, the City filed suit against Sanders in Cause Number 11-006457- 2,
to condemn and acquire the tracts or parcels of land described in the City's petition; and
WHEREAS, three special commissioners were subsequently appointed to preside
over and to hear the Parties in this proceeding to determine the fair market value of the
land to be taken and the damages, if any, to the remainder; and
WHEREAS, the Cityand Sanders agree that bona ode disputes and controversies

exist between them; and
WHEREAS, the City and Sanders desire to compromise and settle any and all
claims and/or causes of action between the Parties; and

Sanders the consideration described in this Agreement for the property that is described
in the City's petition, a 204 square foot tract or parcel in fee to be used as a permanent
sewer facility easement; a 30,925 square foot tract or parcel to be used as a permanent
sewer facility easement; and a 34,687 square foot tract to be used as a temporary
construction easement. The property is described in the metes and bounds and surveys
attached as Exhibits A-F ; and
WHEREAS, this Agreement supersedes any previous agreements and contracts,
and any such previously executed agreements or contracts, whether or not executed, are
null and void.
NOW, THEREFORE, in consideration of the recitals set forth above, the mutual
promises and agreements made herein, and other valuable consideration, the receipt and
sufficiency of which is acknowledged, the City and Sanders agree:
1. Recitals. The recitals contained in this Agreement: (a) are true and correct
as of its effective date; (b) form the basis upon which the Parties negotiated and entered
into this Agreement; and (c) reflect the final intent of the Parties with regard to the
subject matter of this Agreement. In the event it becomes necessary to interpret any
provision of this Agreement, the intent of the Parties, as evidenced by the recitals, shall
be taken into consideration and, to the maximum extent possible, given full effect. The
Parties have relied upon the recitals as part of the consideration for entering into this
Agreement.
2. Mutual Release. For and in consideration of the recitals set forth above and
the actions to be taken under the terms of this Settlement Agreement as described below,

Sanders on the one hand and the City on the other hand do hereby RELEASE, ACQUIT,
and FOREVER DISCHARGE each other and their agents, servants, employees,
executors, heirs, and assigns, and all persons, natural or corporate, in privity with it or
any of said persons from any and all claims, demands, or causes of action of any kind
whatsoever, at common law, statutory, or otherwise, which they have now, known or
unknown, existing, directly or indirectly, attributable to the circumstances made the basis
of the above entitled and numbered cause of action, it being intended by the Settlement
Agreement to RELEASE, ACQUIT, and FOREVER DISCHARGE all claims of any
kind which the parties might have against each other, whether asserted in the above
entitled and numbered cause of action, or not. Each Party understands that this release
includes any attorney's fees or expenses and that no such fees or expenses shall be
available.
3. Dismissal of Case. The City and Sanders agree that a motion to dismiss
this case will be presented to the Court, dismissing all causes of action asserted by the
City in the above cause and acknowledging that Sanders is relinquishing any and all
claims and/or causes of action that Sanders might assert against the City because of this
condemnation action. Further, the City and Sanders agree that an order of dismissal will
be presented to the Court to dismiss this case, taxing court costs against the City.
4. Consideration. For and in consideration of the recitals and releases set
forth above and other provisions set forth below, to fully and finally settle this lawsuit
and to obtain the property described in the City's condemnation petition that is further
described in Exhibits A-F, all exhibits attached and incorporated in this Agreement, the

City agrees to:
a. pay Sanders $44,100.00 for all of the property interests described in the
City's petition and further described Exhibits A-F; and
b. erect and maintain a temporary security fence with two gates along the
southern end of Sander's property extending northeasterly along the
western perimeter of the temporary construction easement terminating
at Sanders' northern property line according to the specs attached to this
Agreement as Exhibit G; and
c. engage in dust control as described by the specs attached to this
Agreement as Exhibit H so that dust or other harmful or annoying
substances or effects are minimized to prevent injury to persons and
damage to property; and
d. erect and maintain a temporary silt fence during construction as
described by the specs attached to this Agreement as Exhibit I.
e. e. remove and replace soil according to Exhibit J.
5. Conveying Document. Sanders, at the signing of this Agreement, will
execute and deliver to the City documents necessary to convey the property interests
described in the City's petition and further described in Exhibits A-F, including any
releases (ie. mortgage, liens, etc.) necessary to convey good title to the City.
6. Temporary Construction Easement. Sanders agrees to allow the City to
begin use of the temporary construction easement at its sole discretion.
7. Parties Bound. This Agreement shall be binding upon and inure to the

benefit of the Parties to this Agreement and their heirs, executors, administrators, legal
representatives, successors, and assignees.
8. Prior Agreements Superseded. This Agreement constitutes the only
agreement of the City and Sanders for settlement of any and all claims arising from the
condemnation action against Sanders; and it supersedes any prior understandings and
written or oral agreements between the Parties respecting the settlement of this case.
9. Texas Law to Apply. This Agreement shall be construed under, and in
accordance with, the laws of the State of Texas, and all obligations of the Parties created
by this Agreement are performable in Tarrant County, Texas.
10. Legal Construction. If any of the provisions contained in this Agreement
shall for any reason be held to be invalid, illegal, or unenforceable, the invalidity,
illegality, or unenforceability shall not affect any other provision of this Agreement, and
this Agreement shall be construed as if the invalid, illegal, or unenforceable provision
had not been included in the Agreement.
11. Remedies. If either Party commits a breach of this Agreement, the non -
breaching Party may, in its sole discretion, and without prejudice to any other right under
this Agreement, law, or equity, seek any relief available at law or in equity, including, but
not limited to, an action under the Uniform Declaratory Judgment Act, specific
performance, mandamus, and injunctive relief; provided, however, that the non -breaching
Party shall not be entitled to terminate this Agreement. The Parties specifically waive
any right that they have or in the future may have to terminate this Agreement. In
addition, the prevailing party in any such action shall be entitled to reasonable attorney's

fees and costs of litigation as determined in a final, non -appealable order in a court of
competent jurisdiction.
12. Amendment. No amendment, modification, or alteration of the terms of
this Agreement shall be binding unless it is in writing, dated subsequent to the date of this
Agreement, and duly executed by the City and Sanders.

1 2. Coordinate any event that will require connecting to or the operation of an existing
2 City water line system with the City's representative.

6 c. In the event that a water valve on an existing live system be turned off and on
7 to accommodate the construction of the project is required, coordinate this

10 a) Failure to comply will render the Contractor in violation of Texas Penal
11 Code Title 7, Chapter 28.03 (Criminal Mischief) and the Contractor

15 G. Public Notification Prior to Beginning Construction
16 1. Prior to beginning construction on any block in the project, on a block by block
17 basis, prepare and deliver a notice or flyer of the pending construction to the front
18 door of each residence or business that will be impacted by construction. The notice
19 shall be prepared as follows:
20 a Post notice or flyer 7 days prior to beginning any construction activity on each
21 block in the project area.
22 I) Prepare flyer on the Contractor's letterhead and include the following
23 information:
24 a) Name of Project
25 b) City Project No (CPN)
26 c) Scope of Project (i.e. type of construction activity)
27 d) Actual construction duration within the block
28 e) Name of the contractor's foreman and phone number
29 f) Name of the City's inspector and phone number
30 g) City's after-hours phone number
31 2) A sample of the 'pre -construction notification' flyer is attached as Exhibit

2. Control site waste such as discarded building materials, concrete truck washout
2 water, chemicals, litter and sanitary waste at the construction site.
3 3. If, in the opinion of the Engineer, the Contractor cannot control soil erosion and
4 sedimentation resulting from construction operations, the Engineer will limit the
5 disturbed area to that which the Contractor is able to control. Minimize disturbance
6 to vegetation.
7 4. Immediately correct ineffective control measures. Implement additional controls as
8 directed. Remove excavated material within the time requirements specified in the
9 applicable storm water permit.
10 5. Upon acceptance of vegetative cover by the City, remove and dispose of all
11 temporary control measures, temporary embankments, bridges, matting falsework,
12 piling, debris, or other obstructions placed during construction that are not a part of
13 the finished work, or as directed.
14 C. Do not locate disposal areas, stockpiles, or haul roads in any wetland, water body, or

Land Preparation and Restoration Requirements based on Recommendations
of the Samuel Roberts Noble Foundation
Remove the top 10-12" of topsoil' by dozing or excavating from the site that will be excavated or
otherwise damaged by excavation activities or traffic and store separately until all other
excavated material is replaced and the appropriate grade established (crowning of the excavated
site is to be done to compensate for settling of the disturbed subsoil) The removed topsoil is to
be segregated and protected from contamination from subsoil or other materials that might be
unearthed during excavation or from traffic operations. Since the affected site mostly resides in
a flood way, the retained topsoil is to be protected from erosion and protected from contamination
in the event the area is flooded_ After preparations .for replacement of the topsoil are complete,
spread the topsoil over the entire disturbed site and level to appropriate grade.
"if additional topsoil (free of clay and rock) is required to be removed, Mr_ Sanders
retains the right to keep this soil. Measure will be taken to remove this topsoil with
minimal contamination with underlying clay and rock materials, Mr Sanders will
designate an appropriate and reasonable location on his property for it to be placed.
Mr. Sanders also reserves the right to retain any and all other soils and rock excavated on
his affected easements. Mr Sanders will designate an appropriate and reasonable location
on his property for it to be placed.
Disk and harrow the disturbed site until suitable as a prepared seedbed. Expect to disk soils at
least twice to breakdown clods and smooth out uneven areas. Follow disking with a harrow or
drag to firm up soils. The end result is to be a soil that is firm and free of clods.
Collect soil samples for nutrient analysis within the distanbed site and from the adjacent aton-
disturbed areas of the pasture. Send to The Samuel Roberts Noble Foundation for analysis. The
appropriate nutrient/fertilizer treatments) to be performed for reestablishment of the grasses
involved will be based on the analysis findings_
All operations prior to following sprigging and reseeding restorations need to be completed
before the month of March.
North Hay Pasture Restoration: Sprig disturbed site with a hybrid berrnuda grass such as Alicia
or Coastal. Since Alicia is currently the predominant bermuda grass, it would be preferable to
sprig with this variety. However, Alicia may be difficult to find and Coastal would be a
satisfactory variety as sprigs are easier to locate. Planting in late winter or early spring into good
moisture soil is critical to propagation.
a. Apply Direx herbicide to the sprigged area immediately following sprigging and before
emergence of new growth from the sprigs. Apply at a rate of 1.5 quarts per acre for pre -
emergent control of annual weeds and grasses early in the growing season.
South Natural Habitat Restoration: Reseed with mixture of native grasses that are consistent with
those present in undisturbed areas adjacent to temporary and permanent easement paths.

RECOMMENDATION,:
It is recommended that the City Council:
1. Declare that negotiations between the City and the landowner to acquire two Permanent Sewer Facility
Easements and a Temporary Construction Easement interest in 1.51 acres of land, owned by Mark Edwin
S anders and known as 8405 Anglin Drive, Abstract No. 1375, Block 47, Shelby Country School Land
S urvey, City of Fort Worth Tarrant County, Texas, were unsuccessful because of the inability to agree on
a purchase price and other terms;
2. Declare the necessity to take by condemnation the easement interests in the subject property for the
S anitary Sewer Main 257 Upper and Middle Village Creek Parallel Relief Main, Part 1;
3. Authorize the City Attorney to institute condemnation proceedings to acquire the permanent sewer and
temporary construction easement interests in the property; and
4. Authorize the acceptance and recording of appropriate instruments.
DISCUSSION
The Water Department has initiated a sanitary sewer project based upon an Agreement with the Texas
Commission on Environmental Quality to alleviate and prevent sanitary sewer overflows and bypasses in
the wastewater -collection system. Additional pipeline capacity is needed to meet current demands and to
accommodate future growth in the southeast part of Fort Worth and its wholesale customer cities of
Burleson and Crowley. The proposed main will begin north of Everman-Kennedale-Burleson Road, east of
Anglin Drive and will end south of Shelby Road.
An independent appraiser established the total market value at $38,000.00 for the easement interests
needed by the City. The Transportation and Public Works Department, Right -of -Way and Easement
Division has been unable to reach an Agreement on the purchase price and other terms for the
easements and recommends that the City Council authorizes the City Attorney to institute condemnation
proceedings to acquire the easement interests in the property.
