INTE1tLOCAL AGREEMENT BETWEEN
THE CITY OF FORT WORTH
AND
TARLETON STATE UNIVERSITY
REGARDING THE POLICING CERTIFICATE
PROGRAM AND THE LEADERSFIIP
SURVEY AND TRAINING PROGRAM
This INTERLOCAL AGREEMENT is made by and between Tarleton State University (TSU), a
member of the Texas A&M University System, an agency of the State of Texas, with its primary
nffices located in Stephenvilte, Texas and ti�e City of Fort Worth, by and through khe Fort Worth
Police DepArtment (FWPD), a home rule municipal corporation of the State of Texas.
WHEREAS, this Agreement is made under the authority �ranted by and pursuant to
Chapter 791 af the Texas Government Code; and
WHEREAS, the governing bodies of the two parties find that the undertaking is necessary
for the benefit of the public and forwarding the Fort Worth Police Department's mission of
providing quality service in partnership with the community to create a safe environment for all.
NOW TkIEREFORE, TSU shall perform such services in connection with the project in
accordance with the fallowing articIes of the Agreement:
I.
TSU AGREES TO:
A. Coordinate the Intemational Professional Policing Training Program "IPPCP" with the
United Arab Emirate government and senior police officers from the Abu Dhabi Police
Department "student" on topics that cover professionai policin�, including communiry
policing, cultura! issues and views, and l�w enforcement leadership and management.
B. Provide training facility and instructors for the IPPCP.
C. In consultation with FWPD staff and Police Officers Association, design a voluntary
survey for sergeants and lieutenants to obtain kheir opinions regarding [eadership,
mentorship and officer's pride at FWPD ta be disseminated by email. Once surveys are
received, TSU will use Nvivo soflware to evatuate survey resu[ts.
D. Provide khe City with a capy of the resuIts of the survey broken down by rank and
evaluation within 45 days of close.
E. Work with FWPD training staff to develop leadership training and an implementation
plan. Provide framework and implement leadership training to 165 sergeants and 45
lieutenants at the Police Academy based on survcy and evaivation results. Two to four
training sessions will be conducted for serg n s sessions will be

canducted for lieutenants. The training togics wilt focus on providir�g visic�n and a sense
of mission, communions, ethics, Ieadership, prablem solving, organizatiot�al changes and
confidence enhancement.
F. Conduct a post successian value survey with leadership trainin� participants at the end of
each training session and provide those resuits to FWPD. At the conclusion of each
training session participants will be surveyed by TSU.

A. Collaborate with TSU to provide an 8Q hour, 2 week course ta 2Ll students on American
Policing that starts on N[ay 20, 20i3 by providing a training facility, and instructors with
expertise in prafessional and community poIicin�, law enforcerrlent leadership and
mana�ement.
B� Provide Ib hour ride along for each student participating in the IPACP.
C. Provide TSU with emai! addresses for all sergeants and lieutenants and send out initial
blanket emails to sergeants and lieutenants regarding the va�untary teadership survey,
D. Collaborate with TSU to develop the leadership training program and impier�entation
�lan discussed in section I of this A�reement.

The Parties agree to identify and make all reasonable efforts to resolve any issue related to the
implementatio� of this A�re�ment includin�, but not limited Yo course schedutin�, personnel,
facilities, technoiogy, leadership survey and evaluation.

The term of this Agreement wili be�in on the date of full signature execution and will extend
througfi March 30, 2014. All survsys and taadership training deseribed in Section I of this
Agreement to be performed by TSU must be complete by July 30, ZOt4.

TERMINATIUN:
Either party may terminate this Agreement with thirty (30) days advance written natice to the
other party by sending a Notice ko the person identified in Section VI(B). If the Ieadership
survey, evaluation and trainin� do not occur, TSU will reimburse the City $ I 9,500.00 for
FWPD's participatian in the IPPCP. In the event that the survey is rendered and this Agreement
is terminated prior to completion of the teadership survey, evaluation and training as described in
s�Ction I af this Agre�ment, TSU agrees to reimburse FWPD 59,750.00.
VI.
MISCELLANEOUS:
A. Assig�ability -- neither party may assign its rights or duties under this Agreement
without the prior written consent of the other Farties;
l3. Notice � Any notice, demand, or communication required, permitted, or desired to be
given under tlli5 A,greement, shalt be deemed effectively given when delivered
personally or, mailed by prepaid Certified Mail, rett�rn receipt requested, addressed to

C. Enforceability -- shouid any provision of the Agreement be hetd invalid or
unconstitutianal by any governmental body or court of competent jurisdiction, that
holding shall not diminish the validity of any other provision of this Agreement.
D. This Ageement shall be �averned by and interpreted in accordance with the taws and
the Constitution of the State of Texas. Shauld any action, whether real or asserted, at
law ar in equity, arise out of the execution, performance, attampted performance af
this Agreement, venue for said action shall lie in Tarrant County, Texas.

E. Construction — cpmmon nouns and pronouns and al1 other terms shall be deemed to
refer to the masculine, feminine, neuter and singular or plural, as the identity of th�
person or p�rsons, �irm or association may in the context reyuire.
F. Bindin� Effect -- The provisions of the Ageernent shall insure to the benefit of, an�i
shall be binding upon the personal representatives and tegatees of each of the Farties.
G. IVlul�iple Copies � this Agreement and its Amendments, if any, shail be in writing and
tnay be execated in multiple copies. Each multiple copy, if any, shaIi be deemed an
original, but alI muttiple capies together shalI constitute one and the same instrument.
I-€. Exclusivity � F�IJPD is noi in any way iimited irom pursuing sirnilar type o�'
agreements with other universities or private parties. TSU is in na way limited fram
pursuing similar type agreements with other public or private partie�.
I, Waiver of Breach — the waiver by either Party of a breach or vioiation of any
provision of the ?►greement shall not operaEe as, or be canstrued to be, a waiver af
any subsequent breach of the same or another provision.
J. Amendment — this p►greement may not be amended or modified except by a written
instrument executed by both parties.
K. Regulatory Impact -- if either party believes, in its sole discretion, that any action
required by this Agreement or the Agreement itself wouId potentially have an adverse
impact on its accreditation, or a party's Iicense or exemption issued by a state
educational board or commission, ar otherwise violates any law or regulalion, the
party shall not be requircd to take any such action, or alternatively, may immediateIy
terrninate the Agreement in writing ta those identified in Sectzon VI(B) "Notice"
without penalty.
L. Inteltectual Property -- Except as required under the Texas Public Information Act,
the Intellectual Property associated with each party hereto is the sale and exclusive
propercy of that party and the ather party shalt not acquire any right or interest in the
IntellectuaI Property of the ather. In addit�on, and without timitation of the foregoing,
to the sxtent marketin� material or content of either party, regardless of inedium, is:
a) used by the other party; b} jointly developed between the parties; or c) deveIoped
by ane party on behalf of the other, that rnaterial or content may only be used for
advanc�ng the purposes speciftcally stated in this Agreement, and Inteileckuat
Property shared between the parties for advancing the purposed of this Agreement
shait be treated as confidentfal and proprietary infarmation by the receiving party and
the receiving party shail use it as set forth in this Agreement and shal! otherwise take
such means to protect is as it uses to protect its own Inteltectual Property. The term
"Intellectual Property" includes, but is not limited to, a party's trademarks, service
rn�rks, trade secrets, copyrights, business methods, processes, and patents. For
purposes of this paragraph whenever the term "party" or "parties" is used, such
references shall also include any parent, subsidiary or affiliate of TStJ. Each party

acknowledges that the unauthorized use or disclosure of the other p�rty's Intellectual
Property wauld cause irreparable harm to the other patty. TSU will clear[y idantify
aIl documents or correspondence that constitutes its Intellectuat Property before
praviding it to FWPD. If the FWPD lo�o is us�d in a manner that the City does not
a�ree with than the FWPD can immediately demand that it stop being used. If th� use
of TSU's logo is used in a manner that is not consistent with TSU standards, TSU can
immediately demand that ik cease being used.
IN WITNESS WHERF�OF, the Parties have executed this Agreement in duplicate originals

SUBJECT: Authorize Execution of an Interlocal Agreement with Tarleton State University Regardinc
Collaboration on the International Professional Policing Certificate Program and
Development and Implementation of a Leadership Training Program for Fort Worth
Police Department Sergeants and Lieutenants (ALL COUNCIL DISTRICTS)
RECOMMENDATION:
It is recommended that the City Council authorize the execution of an Interlocal Agreement with
Tarleton State University regarding collaboration on the International Professional Policing CertificatE
Program and development and implementation of a leadership training program for Fort Worth PolicE
Department sergeants and lieutenants.
DISCUSSION:
The City of Fort Worth Police Department (FWPD) and Tarleton State University (TSU) agreed to
collaborate on conducting the International Professional Policing Certificate Program. Commencing
on May 20, 2013, senior police officers from the Abu Dhabi Police Department attended an 80 hour
course on professional policing, with topics including community policing, cultural issues and views
and law enforcement leadership and management. The Fort Worth Police Department is responsibl�
for conducting 16 hours of "ride alongs" for each student and providing executive staff to assist with
the training program.
In exchange for this collaboration, TSU has agreed to survey FWPD's sergeants and lieutenants anc
evaluate the results of the survey in order to develop a leadership training program and
implementation plan. Training topics will include, but are not limited to, ethics, leadership, problem
solving and organizational changes. Sergeants will receive two to four training sessions and two to
three training sessions will be conducted for lieutenants.
TSU will not charge the City for these services. The Interlocal Agreement outlines the roles of TSU
and the City. Chapter 791 of the Texas Government Code provides authority for local governments
to enter into Interlocal Agreements.
FISCAL INFORMATION/CERTIFICATION:
The Financial Management Services Director certifies that this action will have no material effect on
City funds.
