REIMBURSEMENT AGREEMENT
Atmos Energy Corporation, ("Company'), whose address is 5420 LBJ Freeway, Suite 1700, Dallas, TX
75240,and The City of Fort Worth("Applicant"),whose address is 200 Texas Street,Fort Worth,TX 76102,
for good and valuable consideration,the receipt and sufficiency of which is hereby acknowledged, agree
as follows:
1. The Project, as defined herein, consists of that certain work to extend gas service to the City of Fort
Worth Village Creek Wastewater Reclamation and Biosolids Management and Beneficial Reuse
Facility (VCWRBMBRF) located at 2501 Greenbelt Road, Fort Worth Texas, 76118 ("Facility"). The
work includes tapping the existing 10-inch steel gas main on the east side of Greenbelt Road,installing
an isolation valve on the east side of Greenbelt Road, installation of a four-inch steel gas line across
Greenbelt Road and the Facility's flood control levee, and installation of a pressure regulating and
metering station ("Station") inside of the Facility. The gas line and Station will be sized to supply an
initial demand of 62,466 SCFH and a future demand of 124,932 SCFH at a minimum pressure of 15
psig.
2. Upon execution of this Agreement,Applicant will deposit with Company$932,270.00 which is equal
to the preliminary Ballpark Estimate for the Project, attached hereto as Exhibit A. Within 120 days
after the completion of the Project, Company will forward a statement to Applicant setting forth the
total of the actual costs incurred by Company for the Project. If said actual costs are in excess of said
Ballpark Estimate, then Applicant will, within 90 days after receipt of such statement (subject to
Applicant's governing body's authorization, if required), reimburse Company for all such additional
costs. If the statement establishes that the actual costs for the Project were less than the Ballpark
Estimate, then Company will, together with the statement, refund to Applicant the difference
between the actual costs for the Project and the Ballpark Estimate.
3. Company will provide easement documents along with exhibits to Applicant in the form of a certified
(Texas Registered Professional Land Surveyor) plat and metes/bounds description of the new
easement. Applicant will return to Company an executed and notarized original of the easement. In
addition,Applicant agrees to provide Company necessary temporary working easement and access to
the easement in order to design and construct Project. Company also requires ongoing access to the
facility for inspection and maintenance activities. Except to the extent provided in the easements,
the Applicant's access to the project area necessary to construct, operate, or maintain existing or
future infrastructure will not be restricted.
4. The Company acknowledges the VCWRBMBRF desires gas service by September, 2021 and Company
will use good faith efforts to complete its Project by such date.
5. Company shall coordinate control points with ongoing construction project at the facility.
6. Company and Applicant acknowledge that Halff Associates, Inc. ("Halff') originally designed and
assisted Applicant in certifying the levee under 44 CFR 65.10. Halff TriTex, Inc., a subsidiary of Halff,
will also be responsible for the design of the work contemplated by this agreement. Company will
assist Applicant in obtaining a written letter from Halff TriTex, Inc. that the design of the work is in
compliance with the applicable portions of 44 CFR 65.10. Company shall not be responsible for
making any certification regarding the levee integrity.

7. Within 30 days after completion of construction activities the Company shall assist Applicant in
obtaining from Halff Tritex, Inc. a certification statement sealed by the project engineer that states all
design and construction work conforms with applicable levee requirements of 44 CFR 65.10.Company
shall not be responsible for making such certification. As part of the certification statement, Halff
Tritex, Inc. shall demonstrate that the installation of the gas line will not impact the following:
a) Freeboard
b) Closures
c) Embankment protection
d) Embankment and foundation stability
e) Settlement
f) Interior drainage
g) Maintenance plans and criteria
8. Company will be responsible for any landscape restoration work required after Company has
completed the Project. Landscape restoration will include providing 4-inches of topsoil and hydro
mulch seed and/or sod over disturbed areas not receiving a paved surface. Topsoil material and
placement shall be in accordance with Fort Worth Standard Specification Section 32 9119 included
as Attachment B. Hydro mulch seed and/or sod shall match existing materials and be provided in
accordance to Fort Worth Standard Specification 32 92 13 included as Attachment A. Appropriate
erosion control measures including watering will be provided until vegetation is established.
9. Company will provide the Applicant with 60 and 90 percent review drawings for coordination with
ongoing construction at the site. Company will also provide a set of as-built plans of the gas line to
the Applicant within 60 days following the completion of the project.
10. Title to the Project, including appurtenances, connections thereto, and extensions thereof, and
including the right to use,operate, and maintain the same,will forever be and remain exclusively and
unconditionally vested in Company, its successors and assigns.
11. Applicant will be responsible for any additional costs incurred by Company because of Applicant's
failure to perform any of the obligations required of Applicant under this Agreement.
12. THIS AGREEMENT WILL BE CONSTRUED IN ACCORDANCE WITH THE LAWS OF THE STATE OF TEXAS,
IRRESPECTIVE OF ANY CONFLICT OF LAWS PROVISIONS. THIS AGREEMENT SHALL BE PERFORMED IN
TARRANT COUNTY,TEXAS AND VENUE FOR ANY LEGAL ACTION SHALL BE IN THE SAME COUNTY.
13. In no event will any Party be liable to any other Party or any third party for any incidental, special,
indirect, consequential, punitive,or exemplary damages that might occur as a result of,relating to,or
arising out of the Party's obligations under this Reimbursement Agreement.
14. This Agreement constitutes the final expression of agreement between the parties and parole or
extrinsic evidence is inadmissible to explain,vary, or contradict the express terms of this Agreement.
It is understood and agreed that this Reimbursement Agreement is conditioned on the approval of Atmos
Energy's management as evidenced by Atmos Energy's execution in the space provided below and by
approval of the Applicant's governing body. The parties shall execute two (2) original copies. Following

average first freeze in the fall.

a. Plant sod specified after the area has been completed to the lines and grades
shown on the Drawings with 6 inches of topsoil.
b. Use care to retain native soil on the roots of the sod during the process of
excavating,hauling and planting.
c. Keep sod material moist from the time it is dug until planted.
d. Place sod so that the entire area designated for sodding is covered.
e. Fill voids left in the solid sodding with additional sod and tamp.
f. Roll and tamp sod so that sod is in complete contact with topsoil at a uniform
slope.
g. Peg sod with wooden pegs(or wire staple) driven through the sod block to the
firm earth in areas that may slide due to the height or slope of the surface or
nature of the soil.
3. Watering and Finishing
a. Furnish water as an ancillary cost to Contractor by means of temporary
metering/irrigation,water truck or by any other method necessary to achieve
an acceptable stand of turf as defined in 3.13.13.
b. Thoroughly water sod immediately after planted.
c. Water until established.
d. Generally, an amount of water that is equal to the average amount of rainfall
plus 1/2 inch per week should be applied until accepted. If applicable,plant
large areas by irrigation zones to ensure areas are watered as soon as they are
planted.
B. Seeding
1. General
a. Seed only those areas indicated on the Drawings and areas disturbed by
construction.
b. Mark each area to be seeded in the field prior to seeding for City approval.
2. Broadcast Seeding
a. Broadcast seed in 2 directions at right angles to each other.
b. Harrow or rake lightly to cover seed.
c. Never cover seed with more soil than twice its diameter.
d. For wildflower plantings:
1) Scalp existing grasses to 1 inch
2) Remove grass clippings,so seed can make contact with the soil.
3. Mechanically Seeding(Drilling):
a. Uniformly distribute seed over the areas shown on the Drawings or as directed.
b. All varieties of seed and fertilizer may be distributed at the same time provided
that each component is uniformly applied at the specified rate.
c. Drill seed at a depth of 1/4 inch to 3/8 inch utilizing a pasture or rangeland type
drill.
d. Drill on the contour of slopes
e. After planting roll with a roller integral to the seed drill, or a corrugated roller
of the "Cultipacker"type.
f. Roll slope areas on the contour.
4. Hydromulching
a. Mixing: Seed,mulch, fertilizer and water may be mixed provided that:
1) Mixture is uniformly suspended to form a homogenous slurry.

2) Mixture forms a blotter-like ground cover impregnated uniformly with
grass seed.
3) Mixture is applied within 30 minutes after placed in the equipment.
b. Placing
1) Uniformly distribute in the quantity specified over the areas shown on the
Drawings or as directed.
5. Fertilizing: uniformly apply fertilizer over seeded area.
6. Watering
a. Furnish water by means of temporary metering/irrigation,water truck or by
any other method necessary to achieve an acceptable stand of turf as defined in
3.13.B.
b. Water soil to a minimum depth of 4 inches within 48 hours of seeding.
c. Water as direct by the City at least twice daily for 14 days after seeding in such
a manner as to prevent washing of the slopes or dislodgement of the seed.
d. Water until final acceptance.
e. Generally, an amount of water that is equal to the average amount of rainfall
plus 1/2 inch per week should be applied until accepted.

City.

a. Measurement for this Item shall be by cubic yard of Topsoil in place.
2. Payment
a. The work performed and materials furnished in accordance with this Item and
measured as provided under"Measurement"will be paid for at the unit price
bid per cubic yard of Topsoil.
b. All excavation required by this Item in cut sections shall be measured in
accordance with provisions for the various excavation items involved with the
provision that excavation will be measured and paid for once,regardless of the
manipulations involved.

A. Finishing of Parkways
1. Smoothly shape parkways,shoulders, slopes,and ditches.
2. Cut parkways to finish grade prior to the placing of any improvements in or
adjacent to the roadway.
3. In the event that unsuitable material for parkways is encountered, extend the depth
of excavation in the parkways 6 inches and backfill with top soil.
4. Make standard parkway grade perpendicular to and draining to the curb line.
a. Minimum: 1/4 inch per foot
b. Maximum: 4:1
c. City may approve variations from these requirements in special cases.
5. Whenever the adjacent property is lower than the design curb grade and runoff
drains away from the street,the parkway grade must be set level with the top of the
curb.
6. The design grade from the parkway extends to the back of the walk line.
7. From that point(behind the walk),the grade may slope up or down at maximum
slope of 4:1.

RECOMMENDATION:
It is recommended that the City Council:
1. Authorize the execution of a reimbursement agreement with Atmos Energy Corporation in the
amount of$932,270.00 to extend gas service to the Village Creek Water Reclamation Facility
Biosolids Management and Beneficial Reuse project; and
2. Adopt the attached Appropriation Ordinance increasing receipts and appropriations in the Village
Creek Water Reclamation Facility Biosolids Management and Beneficial Reuse project (City Project
No. 101961) in the amount of$1,112,000.00 from available funds in the Water and Sewer Capital
Projects Fund, and reducing the balance of the Unspecified project(City Project No. UNSPEC) by
the same amount.
DISCUSSION:
On December 10, 2019 Mayor and Council Communication (M&C 19-0381), the City Council authorized
the execution of a design-build-operate-maintain (DBOM) contract with Synagro of Texas-CDR, Inc. (City
Secretary Contract No. 53332) for short-term management of the current biosolids dewatering/land
application process, simultaneous design and construction of the biosolids drum drying facility, and long-
term management of the new facility including disposal of the biosolids end product. The new drum dryer
will require natural gas service. By the terms of the contract with Synagro, natural gas connection is the
responsibility of the City.
Atmos Energy Corporation proposes to extend gas service to the biosolids facility for a fee of
$932,270.00. The fee includes design, real property acquisition, and construction costs for the installation
of the gas line. The natural gas service line connection cost is based on an estimate_The funds will be
deposited with Atmos. At the end of the project, the actual cost will be determined and any remaining
funds will be refunded to the City. If the actual amount exceeds the connection cost estimate, the City
will pay Atmos the additional cost.
In addition to the contract amount, $179,730.00 is required for inspection and associated Water
Department staff time.

FISCAL INFORMATION /CERTIFICATION:
The Director of Finance certifies that funds are currently available in the UNSPEC project within the W&S
Capital Projects Fund and upon approval of the above recommendations and adoption of the attached
appropriation ordinance, funds will be available in the W&S Capital Projects Fund for the VCWRF
Biosolids Mgmt& Reuse project to support the approval of the above recommendations and execution of
the reimbursement agreement. Prior to an expenditure being incurred, the Water Department has the
responsibility of verifying the availability of funds.
