FOURTH AMENDMENT TO
FORT WORTH CITY SECRETARY CONTRACT NO. 48192
Professional Service Agreement—SL-serco, Inc.
This Amendment is entered into by and between the City of Fort Worth (hereafter "City"), a
home rule municipal corporation situated in portions of Tarrant, Denton and Wise Counties,
Texas, with its principal place of business at 200 Texas Street, Fort Worth, Texas, 76102 and
SL-serco Inc, (hereafter "Contractor"), a Minnesota Corporation, acting by and through Laurie
Allen, it duly authorized Chief Financial Officer, each individually referred to as a "party" and
collectively referred to as the "parties."
WHEREAS, FORT WORTH and SL-serco Inc. entered into an Agreement identified as
Fort Worth City Secretary Contract No. 48192 , which was executed on September 22,2016; and
WHEREAS, the Contract is for the purpose of providing the City with professional
services in the successful completion of the City's five phased Advanced Metering
Infrastructure, AMI, Program for the design, planning and full implementation of the AMI
system; and
WHEREAS, the City and Contractor agree that the agreement be amended to provide
specialized technical expertise in this phase of the program to assist with the development of a
meter testing program and a third party meter audit to assess the accuracy of the meters being
replaced and the new meters being installed through the program.
NOW THEREFORE, KNOWN ALL BY THESE PRESENT: City and Contractor acting
herein by and through their duly authorized representatives, enter into the agreement to amend
the contract as follows:
1. Develop test protocol, sampling plan, and test budget
a. Design testing program (initial verification and long term)
b. Develop test budget(initial verification and longterm)
c. Develop statistical sampling method for representative selection meters
d. Deliverables
i. Test budget
ii. Test program memorandum
iii. Statistical sampling memorandum
2. Compile information on testing labs based on City selection criteria
a. Identify five qualified meter testing laboratories f'or evaluation
b. Facilitate interactions with team and testing labs and compile information for a
fair and complete evaluation by City
c. Deliverable
i. ''able summary of testing and shipping costs, schedule, and test lab
qualifications

3. Contract with selected test lab
a. Contract with the qualified lab selected by City
b. Deliverables
i. Lab testing
ii. Return shipping of new meters
4. Analyze and report results
a. Collection of new testing data
b. Collection of existing testing data (factory test results and available City in-house
test results)
c. Analysis of test data
d. Deliverable
i. Report documenting test protocol, sample selection, test results, and
analysis
5. Operations support
a. Quality control and quality assurance
b. Data analytics and any other related technical services
Fort Worth City Secretary Fourth Amendment to Contract No. 48192 is hereby amended to be
effective on or about February 10, 2021.
Compensation. City shall pay Contractor an amount not to exceed $55,000.00 for the
Services included in this Fourth Amendment. Vendor shall not perform any additional services
for City not specified by this Amendment unless City requests and approves in writing the
additional costs for such services. City shall not be liable for any additional expenses of
Contractor not specified by this Amendment unless City first approves such expenses in writing.
City agrees to pay all invoices of Vendor within thirty (30) days of receipt of such invoice.
All other terms,provisions, conditions, covenants and recitals of said Agreement not expressly
amended herein shall remain in full force and effect.

IN WITNESS WHEREOF, the parties hereto have executed this Agreement in multiples this
Feb 10,2021 day of 2021.
