TRANSPOR'I'ATION IMPACT FEE UMBIZLLLA AGREEMENT
'IHIS TRANSPURTATION IMPACT �EE CREDIT AND DISCOUNT
AGREEMENT (the "Agreement") is made and entered into effective as of the Effective
Date (as defined below), by and among THE CTI`Y OF FOiZT WOR'Y`H, TEXAS (the
"City"), a Texas home rule municipal corporation, and MANSIONS AT TTMBERLAND,
L.P., a Texas limited partnership authorized to do business in Texas (the "O�wner") (the
City and the O�nrner a"Party", and callectively, the "Parties").
RECITALS
WHEREAS, the Owner is the owner of approxirnately 25.456 acres in Tarrant
County, Texas, as described by metes and bounc�s in Exhit�it "A" (the "Property") located
�vithin the corporate boundaries o£ the City, cansisting of the Residential. Tract (19.276
acres) and the Cornmercial Tract (6.18 acres). A map of the Pr�perty showi�g its Iocation is
attached he�eto as Exhibit "I3"; and
WH�nEAS, the Owner dcsires to procced �rith develapment of the Praperty as
described or illustrated on the Development Plan, attached hereto as E�►ibit "C", which
Development I'lan ic�entifies the intended lana uses in relation to the lay-out of an-site and
off-site transportati�n faciIities necessary f�r serving full derrelopment di the Property; and
WHEREAS, the City has aciopted a Transportation Impacl Fee pragram pursuant to
Tex. Loc. Gov't Code Chapter 395, cac�ified in Chapter 30, Article VIII of the City's Code of
Ordinances, as amended ("Transportation Impact Fees Urdinance'), under �cvhich charges
("impact fees") are imposed on new development for i-ransportation facilities serving the
development anc� which are identified within the City's adapied transportation
impra��ements plan; �nd
'WHEREAS, the `T'ransportation Impact Fees Ordinance was amended effective
Apri11, 2013 ("2013 Ordinance"); and
'WIiEREAS, the Transportation Inipact �ee Ordinance uz e£fect immediafely prior to
April T, 2013 is known as the "200b Ordinance"; and
WHEREAS, the Owner's total property subj�ct ta Impact Fees and related credits or
discounts under this Agreement has not been fully plalled, and is bifurcatec� into the
Residential Tract and the Commercial Tract; and
WHLREAS, the credits may bc applied to either or both of the Residen�ial and
�ommercial Tracts; and

impraveme�ts sl�o�m on th� I7ev�lapm�nt Plan ij1 exc�tange for credits against fut�re
transportaiian impact fees; and
WHEREAS, based on the anticipated traffic impacts fram the development, the Cit�,
and Own�r contemplate rhe necessity fox• the construction of spstem facilities, rnrhich musf
be credited against tr�nsportation impact fees otherwis� c�ue; and
W�TER�AS, the final plat for khe 1Zesidential Tract was record�cl an 1Vlarch �.5, 2013,
known as FS1T.-181 All Storage C7id Denton, instrurnent Number D213066829; and
W�iEREAS, bas�d on the date af filing of the plat for the Ttesiden�ial `T'ract, the City,
in �ccordance vvith Chapter 395, has determined the znaximum tran�pc�rtation impact fees
to be charged agairtst new dev�Io�ment within the Residential Tract co�tiaixied in service
are� D to b� $987 p�r service unit; and
WHEREAS, O�rr�er has not yet subrr�ittec� a�1at to the City for t�te Comrnercial
Tract; ar�d
WHEIZEAS, the C7wner has r�c�ivec� approval for construct�on plans and �x�cuted a
Com�unity Faciliiies Agreernent and dedicated rig�ts-of-�vay far the fallo�nria�g:

1. RecitaIs. Th� reciials contain�d in this Agreement are true and carreci as of
the Effective Date and f�rm �1ie basis upan tiThich fhe Parties nega�iated and ent�r�d irito
this Agreernent.
2. Discounts. Impact fee cred.its set forth in �xhibit "E" exce�d �npact fees due
for th� R�sidential'Tract. Consequerttly, no discounts apply to the Residenti�l Tra�t. The
City agrees that th� Cornmercial Tract qualifies far th� adequat� p�blic faciiiities discount,
as evider�ced b� �xhibit "G". Should the Ow�ner plat t�e Cornmercial Tract wifhin the
effecfive period of the 2013 Ord�►ance and appl� For builc�ing permits within saic� �rac�
wiihin 2 years of the plat appravai date nr during the effective p�riod of the 2013
C�rdinance, each building permit will receive the �50% adequate publ�c facil�ties disco�t in
accordance wit�i the 2013 (�rdinance. Otherwise, the Commercial Tract will r�ceive the
adequate public facilities discaunt th�n in effect under the 'T'ransportafion Impact �ee�
Ordinance, as �mended.
3. Transportation Improvemen�s. Owner a�;rees ta ded'acate the righf�-of-way
for and construct the systcm facilities identificc� in �xhybit "i7", r�vhich is attached hcreta
and incorporated herein b� reference. For any transportatian 'rm��overnent which ha�
been aec�ic�ted or constructed by Owner on fhe �'rop�rty and accepted by tl7e City prior �a
execution of this Agreement, the improvemcnt shall be identifiec� as complefed on Exliibit

4. C�redits. The Parties agree that the estimated value af �Iie credits fo� each
transpo�tation irnprov�ment, expressed in current doIlars, shall be as set forth in Exhibit
"E". The valu� bf credifs assa�iated �vith the unprovements fiirst shall be reduced b� the
200$ Ordinance Scheci�.Ie 2 impace fee associatec� with any lot for which a bui�ding permit
has previously been issued, and the net value of credits sho�cvn on Ex%ii�it "�" shall b�
considered as exact.
5. PhdSin�. Th� iarti�s ackno�wledge that, where it is anticipated titat the
pro�ect shall be d��r�Ieped in phases, �11e axlticipated construcf�on of unprov�ments by
phase shaIl be as depicted in Exlaibi� "D."
6. A1location of Creciits by Phase. The �eneral allocation af crediis to each
phas� of the development shall be as shawn on Exhibif "1�", wvhich is attached hereto and
incorporated herein by ref�rence. The Parties agree that the credits ic��ntified in this
Agreement shall na� be deemed to have l�e�n created ixnt�l the system facility for �rrhich
credzt is gi�ren shall either be guaranteed thro�zgh an exec�ted Comrnur�uit�r Facilities
Agreement or approved and a�C�pted by the City. The Partzes fnrtizer agree �hat, prior fo
the application of a credit agaiuist transportation impact fees atherwise due far any unii of
developmertt; the follo�viz�g c�rents shall take place:

the dedication or constxucdon of the system facilif.y;
(b) The number of crec�its resulting frorn suc1Y improvement has been
val�ued; and
(c) Cancurrenti with final plat approval, a credit ailocation s1�1� be
pro�vided by the devclap�r for the phase of development to �hich the credit is Eo b�
a�plied, which allocation ma�r either �ssigri the cr�dit, �xpressed in dc�lia�s, to each finall�r
pIatted Iot or may create a credie-pool to be ut�lized by fhat phase of developrnent.
(d) To the extent that an� credit balanee r�maitts after allacaiion of credit:s,
t�is Ag�reement ma�> b� amended to �llUcafe such unused cr�dits to subsequ�nt phases of
the development.
7. Pro�ortionalitv. C?�wner agrees tl-�at the obligation ta dedicate a�nd construct
improvemenfis ta s�rve the de�velapment shorvn in Exhibit "D," as pravicTed in 8eciion � t�f
this Agreement, a7nd the credit�s against transportation impact fe�s attributed to such
contributions and �eneralI�r �lloc�ted to phases of the development herein, ar� xoughly
proportionate to tlae nature anc� extent of tihe development shown in Ex�ibit "D."
$. Term and Effective Date. In accordance with th� Transparfiation Irnpact Fees
C7rdinance, as arnend�d, the inid�l term af this Agr�ement shall be ten (10) years from its
Effective Date, whiCh shall be ihe date on which the last parfy execuies the Agreement.
9. Agre�ment ta Run with the Land. O��ter shal� have the right fo assign this
Agreement to any person or erttity ("OWn�r S AS5i�zlee'�) with the writien consent of the
City, pro�vided: (a} the assig�nment is in �vritirlg executed by t�e �wner and its assignee;
and (b) the assigrun�nt incozporates this Agreement by reference and binds the Oxrrter's
Assignee to p�rfo�m (to the �xtent of lhe abli�ations assigned) in �Ccardance �cvit� this
�greement. �ach Ov�Tner's Assignee shall become a Party to this Agreernent upan the
�xecuizan af such assigttment. Tn no �vent ma� this Agree�nent be construec� ta �utltorize
assi�rnnient of ar�y credits ati�ributable to a s�rstern faciliiy to b� dedicated or canstructed
hereunder for use outsic�e the bounda�ies of th� Propert�.
10. Amendment. This �greement shall not be modified or amended except as
fallo�vs:
(a) Any amendment or modificatior� ta fhis Agreement �r any Exhibit or
schedule hereto shall be in writing anc� signec� �y �h� Parii�s.
(b) Any revision, arnendment, or modification to this Agrr�emerit, tri.e
Developme�tt Plan, or any Exhibit or schedule ther�to, shall becdrne effect�.ve

on the date executed by the Parties or, as applicable, upon the date of
approval by the City Colrrtcil or desi�nated city atfiieial.
(c) The Cily may amenc� this Agreement by reducing the value of credit by the
discounted transportation impaet fees and de�line to apply fuhire discounts
if it determines the perfo�mance of the discorrnt is no lo�nger be�ng met.
11. E�chibits. 1'he exhibits altached to khis Agreement are incarporated as part of
this A�reement for all purposes as if set forth in hzll in the body of this Agreexnent.
