FIRST RENEWAL OF CITY SECRETARY CONTRACT NUMBER 52999,A
PROFESSIONAL SERVICES AGREEMENT BETWEEN
THE CITY OF FORT WORTH AND R. ALDEN MARSHALL &ASSOCIATES,LLC.
This FIRST RENEWAL OF CITY SECRETARY CONTRACT NO. 52999 ("First
Renewal") is made and entered into by and between the City of Fort Worth, a home-rule muni ipal
corporation of the State of Texas ("City"), acting by and through Dana Fernando Costa, its July
authorized Interim Assistant City Manager, and R. Alden Marshall&Associates,LLC., a limited liat ility
company, (the"Conservator") acting by and through Robert Alden Marshall, ATP, RP, its Director. City
has designated the Arts Council of Fort Worth and Tarrant County, Inc.,to manage this Agreement on its
behalf. The Contract Manager shall act through its designated Public Art collection manager ("Contract
Manager").
WHEREAS, the City is implementing the Fort Worth Public Art Program pursuant to the
Chapter 2, Section 2-56 through 2-61 of the Fort Worth Code of Ordinances to insure proper stewardship
of the City's public art collection;
WHEREAS, the City and Conservator entered into a Professional Services Agreemen for
specific services for the purpose of assisting with the care and maintenance of the Public Art Collection,
the same being City Secretary Contract("CSC"No. 52999)(the "Agreement") for a period of Octob r 1,
2019 through September 30, 2020;
WHEREAS,pursuant to the Agreement, Conservator has agreed to perform services for the City
on an as-needed basis through individual addenda;
WHEREAS,the Agreement provides for an initial one-year term and for the possibility of three
one-year renewals, at the sole discretion of the City;and
WHEREAS, prior to the Agreement's expiration, the City and Conservator agreed to continue
this relationship by extending and renewing the Agreement for the first one-year renewal period.
NOW,THEREFORE,City and Conservator do covenant and agree as follows:
1.
The City and Conservator hereby agree to renew and extend the Agreement for its first one-year
renewal period, effective on October 1, 2020 and expiring on September 30, 2021 ("First Ren wal
Term").
2.
All terms and conditions of the Agreement shall remain in full force and effect during the First
Renewal Term unless specifically amended herein.
3. -�All terms in this First Renewal that are capitalized but not defined shall have th ings
assigned to them in the Agreement.
