2021 CitySquare Summer Food Service Program Agreement— Partner Sites
Thank you for deciding to bring nutritious meals to kids at your organization this summer! CitySquare
receives funding through the Summer Food Service Program (SFSP) from the Texas Department of
Agriculture (TDA) and the U.S. Department of Agriculture (USDA) to provide meals to children 1-18
years old during the summer.
Meal service is provided at no cost to the site or the children participating. Before receiving meals,
sites must be determined eligible and approved by TDA. Any child 1-18 may receive a free meal at the
site (Note: some circumstances may require sites to limit service to enrolled children). Partner meal
service will operate Monday-Friday from June 1 -August 13 (Subject to changing ISD schedules).
By signing below,ALL site personnel understand and agree to the following:
Responsibilities of CitySquare:
• Manages the relationship with TDA including, but not limited to, submitting site applications,
site changes, other required documentation and compliance.
• Contracts a food service management company (the Vendor) to deliver meals to sites daily or
per agreed upon delivery schedule. All meals meet USDA meal requirements and are prepared
in a certified kitchen. CitySquare manages the Vendor relationship including, but not limited to,
compliance related to menu approval, delivery schedules &timeliness and quality assurance.
• Supports and monitors sites through site visits, open communication, and technical assistance.
Site visits may be conducted by CitySquare,TDA, USDA, or Health Department personnel at any
time with or without notice.
• Ensures that all sites are in compliance with TDA regulations regarding food safety, meal service,
documentation of meals served and other required reporting.
Responsibilities of Organization/Site:
• All site supervisors will attend pre-operational training prior to starting meal service. The
training is conducted by CitySquare and covers all TDA regulations.
• All TDA and USDA rules governing the SFSP must be followed at all times.
• Trained staff will maintain and report daily information to CitySquare including delivery receipts
and meal counts using electronic reporting system (backup: paper forms). Failure to report
meal counts may result in suspension of deliveries until reporting requirements are completed.
• Site staff will monitor daily food usage and orders to maintain food waste below 2%
• Site staff will participate in outreach to neighbors and promote the meal service to the
community. Sites that serve less than 2S children per day on average may be discontinued.
• All sites must meet local and state health and safety standards. If required by applicable health
and safety regulations, sites supervisors will obtain food handler training credentials.
• Organization and site staff will notify CitySquare of any changes to service including, but not
limited to, changes in meal times, meal types, service dates and field trips with fifteen (1S) day
notice prior to change. Organization will be notified when changes have been approved by TDA.

With five(5) business days' notice,sites may terminate meal service by written notice to Kay Thomason
at kthomason@citysquare.org or CitySquare, 1610 S Malcolm X Blvd Suite 250, Dallas, TX, 75226.
CitySquare may terminate meal service due to failure of a site to meet the criteria specified in this
agreement. If sites repeatedly fail to report meals served and/or waste food, CitySquare reserves the
right to bill the organization for their cost of the meals that can't be reimbursed. Additionally, if sites
fail to report meal usage for 2 consecutive days, CitySquare reserves the right to halt service until all
completed documents are received.
The agreement to participate in the Summer Food Service Program sponsored by CitySquare is
indicated by the signature of the authorized representative of each organization as shown below:

ADDENDUM TO SITE AGREEMENT
BETWEEN
THE CITY OF FORT WORTH
AND
CITY SQUARE FOOD
This Addendum to the 2021 Site Agreements for the Summer Food Service Program
("Addendum") is entered into by and between the City Square Food ("Sponsor") and the City of
Fort Worth ("City"), collectively the"parties."
The Contract documents shall include the following:
1. The City Square Food 2021 Summer Food Service Program Agreement;
3. This Addendum; and
2. Locations for Partnered Sites.
Notwithstanding any language to the contrary in the attached 2020 Site Agreement (the
"Agreement"), the Parties hereby stipulate by evidence of execution of this Addendum below by
a representative of each party duly authorized to bind the parties hereto, that the parties hereby
agree that the provisions in this Addendum below shall be applicable to the Agreement as follows:
1. Term. The Agreement shall become effective upon the signing of the Agreements
(the"Effective Date")and shall expire one(1)year after the Effective Date(the Expiration Date"),
unless terminated earlier in accordance with the provisions of the Agreement or otherwise
extended by the parties. The Agreement may be renewed for four one-year renewals at City's
option, each a "Renewal Term." City shall provide Sponsor with written notice of its intent to
renew at least thirty(30) days prior to the end of each term.
2. Funds. This Agreement is not an obligation or commitment of City funds, nor a
basis for the transfer of City funds. All obligations of and expenditures by each party are subject
to their respective entity's budgetary and fiscal processes and availability of funds pursuant to all
laws, regulations, and policies applicable thereto.
3. Termination. Either City or Sponsor may terminate the Agreement at any time and
for any reason by providing the other party with 30 days written notice of termination.
4. Law and Venue. The Agreement and the rights and obligations of the parties hereto
shall be governed by, and construed in accordance with the laws of the United States and state of
Texas, exclusive of conflicts of laws provisions. Venue for any suit brought under the Agreement
shall be in a court of competent jurisdiction in Tarrant County,Texas. To the extent the Agreement
is required to be governed by any state law other than Texas or venue in Tarrant County, City
objects to such terms and any such terms are hereby deleted from the Agreement and shall have
no force or effect.

5. Sovereign Immunity. Nothing herein constitutes a waiver of City's sovereign
immunity. To the extent the Agreement requires City to waive its rights or immunities as a
government entity; such provisions are hereby deleted and shall have no force or effect.
6. Confidential Information. City is a government entity under the laws of the State
of Texas and all documents held or maintained by City are subject to disclosure under the Texas
Public Information Act. To the extent the Agreement requires that City maintain records in
violation of the Act, City hereby objects to such provisions and such provisions are hereby deleted
from the Agreement and shall have no force or effect.In the event there is a request for information
marked Confidential or Proprietary,City shall promptly notify Sponsor.It will be the responsibility
of Sponsor to submit reasons objecting to disclosure.A determination on whether such reasons are
sufficient will not be decided by City, but by the Office of the Attorney General of the State of
Texas or by a court of competent jurisdiction.
7. Addendum Controlling. If any provisions of the attached Agreement, conflict with
the terms herein, are prohibited by applicable law, conflict with any applicable rule, regulation or
ordinance of City, the terms in this Addendum shall control.
8. LIABILITY AND INDEMNIFICATION. LIABILITY - SPONSOR SHALL
BE LIABLE AND RESPONSIBLE FOR ANY AND ALL PROPERTY LOSS, PROPERTY
DAMAGE AND/OR PERSONAL INJURY, INCLUDING DEATH, TO ANY AND ALL
PERSONS, OF ANY KIND OR CHARACTER, WHETHER REAL OR ASSERTED, TO
THE EXTENT CAUSED BY THE NEGLIGENT ACT(S) OR OMISSION(S),
MALFEASANCE OR INTENTIONAL MISCONDUCT OF SPONSOR, ITS OFFICERS,
AGENTS, SERVANTS OR EMPLOYEES.
INDEMNIFICATION - SPONSOR HEREBY COVENANTS AND AGREES TO
INDEMNIFY,HOLD HARMLESS AND DEFEND THE CITY,ITS OFFICERS,AGENTS,
SERVANTS AND EMPLOYEES, FROM AND AGAINST ANY AND ALL CLAIMS OR
LAWSUITS OF ANY KIND OR CHARACTER,WHETHER REAL OR ASSERTED,FOR
EITHER PROPERTY DAMAGE OR LOSS (INCLUDING ALLEGED DAMAGE OR
LOSS TO SPONSOR'S BUSINESS, AND ANY RESULTING LOST PROFITS)
PERSONAL INJURY, INCLUDING DEATH, TO ANY AND ALL PERSONS ARISING
OUT OF OR IN CONNECTION WITH THIS AGREEMENT,TO THE EXTENT CAUSED
BY THE ACTS OR OMISSIONS OF SPONSOR, ITS OFFICERS, AGENTS,
SUBCONTRACTORS, SERVANTS OR EMPLOYEES.
9. Right to Audit. Sponsor agrees that City shall have access to and the right to
examine any books, documents, papers and records of Sponsor which are directly pertinent to
transactions relating to this Agreement and that involve the obligation, commitment or transfer of
City funds.
10. Assignment and Subcontracting_To the extent that Sponsor assigns or subcontracts
any of its duties or obligations either under this Agreement or otherwise related to the provision
of TDA or USDA foods at City sites, Sponsor shall require such assignee or subcontractor to
execute a written agreement with Sponsor agreeing to be bound by the duties and obligations of

Sponsor under this Agreement. Such subcontract shall require the assignee or subcontractor to
indemnify, hold harmless and defend City and its officers, agents, servants and employees, from
and against any and all claims or lawsuits of any kind or character, whether real or asserted, for
either property damage or loss (including alleged damage or loss to Sponsor's business, and any
resulting lost profits) personal injury, including death, to any and all persons arising out of or in
connection with this Agreement or the provision of TDA or USDA foods at City sites,to the extent
caused by the acts or omissions of the assignee or subcontractor, its officers, agents,
subcontractors, servants or employees.

2021 CitySquare Summer Food Service Program Agreement — Partner Sites
Thank you for deciding to bring nutritious meals to kids at your organization this summer!
CitySquare receives funding through the Summer Food Service Program (SFSP) from the Texas
Department of Agriculture (TDA) and the U.S. Department of Agriculture (USDA) to provide meals
to children 1-18 years old during the summer.
Meal service is provided at no cost to the site or the children participating. Before receiving meals,
sites must be determined eligible and approved by TDA. Any child 1-18 may receive a free meal at
the site (Note: some circumstances may require sites to limit service to enrolled children). Partner
meal service will operate Monday-Friday from June 1 - August 13 (Subject to changing ISD
schedules).
