HomeMy WebLinkAboutContract 51951-A2CSC No. 51951-A2 SECOND AMENDMENT TO CITY SECRETARY CONTRACT NO. 51951 WHEREAS, the City of Fort Worth ("City") and Trinity Habitat for Humanity (hereafter "Agency"), made and entered into City Secretary Contract No. 51951 ("Contract") effective January 1, 2019; WHEREAS, the Contract provides funding to Agency pursuant to a grant received by City from the United States Department of Housing and Urban Development ("HUD") through the Community Development Block Grant Program ("CDBG"), Program No. B-18-MC-48-0010, Catalog of Federal Domestic Assistance No. 14.218; WHEREAS, the Contract is set to expire on March 31, 2021; WHEREAS, the City Council authorized the City Manager or his Designee to extend the Contract for an additional period of time if necessary for completion of the Program (M&C G-19326); WHEREAS, the Agency requested an additional extension of the Term of the Contract to expend remaining CDBG Funds for the repair of additional homes required for completion of the Program and the City agreed to such extension; WHEREAS, it is the mutual desire of City and Agency to amend the Contract to complete the Program and meet Contract objectives. NOW, THEREFORE, City and Agency hereby enter into this Amendment to memorialize the Parties' agreement to amend the Contract as follows: Section 3 TERM is hereby deleted and replaced with the following language: 3. TERM, The term of this Contract begins on the Effective Date and terminates on September 30, 2021, unless earlier terminated as proved in this contract. Section 5.2.4 Payment of CDBG Funds to Agency is hereby deleted and replaced with the following language: 5.2.4 Payment of CDBG Funds. CDBG Funds will be disbursed to Agency upon City's approval of Reimbursement Requests including submission of Complete Documentation to Ciry in compliance with Section 9. If Agency expends all funds budgeted for the Program prior to September 30, 2021, City may hold back a small amount of the CDBG funds until the end of the term. During this interim period, Agency must continue to submit Attachment III-Client Data Report in Exhibit "D" — Reimbursement Forms monthly. It is expressly agreed by the Parties that any CDBG Funds not spent or approved for reimbursement to Agency shall remain with City. II. All terms and conditions of the Contract not amended herein remain unaffected and in full force and effect, are binding on the Parties and are hereby ratified by the Parties. City and Agency may be referred to individually as a"Party" and jaintly as "the Parties". The Parties state as follows: WHEREAS, City receives grant monies from the United States Department of Housing and Urban Development through the Community Development $lock Grrant ("CDBG") Prograrn, Program No. B-18-MC-48-0010, Catalog of Federal Domestic Assistance No. 14.218; WHEREAS, a national objective of the GDBG program is to benefit low and moderate income citizens in accordance with 24 GFR Part 570, as amended from. time to time; WHEREAS, Agency submitted a proposal to use CDBG funds %r a program to serve individuals and families,100% af whom must be low and moderate income; WI�REAS, City citizens, the Community Development Council, and the City Council ha.ve deterrnined that CDBGr programs are needed by the City's citizens. NOW, THEREFQRE, the Parties understand and agree as follows: 1. INCORPORATI4N OF RECT�'ALS. City and Agency hereby agree that the recitals set forth above are true and correct and form the basis upon wh�ich the Parties have entered into this Contract. 2. DEFINIT'�ONS. In addition to terms defined in the body of this Contract, the terms set forth below shall ha.ve the definitions ascribed to them as follows: Area Median Income or AMI means the median family income for the Fort Worth-Arlingtan metropolitan statistical area as established annually by HUD. The 2017 income limits are attached hereto as EXHIB�T "A.-1" — 2018 HUD �ncome Limits. Business Diversiiy Enterprise Ordinance or BDE means the City's Business Diversity Ordinance, Ordinance No. 2U020-12-2Q11. CDBG Funds means the CDBG grant funds supplied by City tc� Agency wnder the terms of this Confiract. CDBG Regulations means regulations found at 24 CFR Part 570 et seq, DBE means disadvantaged business enterprise in accardance with 49 CFR Part 26. Director means the Director of the Neighborhood Services Department. Effective Date means January 1, 2Q19. HiJD means the United States Deparlrnent of Housing and Urbaii Development. IDIS means Integrated Disbursement Information System, HLTD's project tracking system. Income Eligible Client means a client whose annual income adjusted for family size does not exceed SO% of AMI using the most current HUD Income Guidelines and Technical Guidance for Deternuning Income and Allowances. The defirution of awival income to determine client income eligibility shall be the definition contained in 24 CFR Part 5.609; as amended frorn time to time. National Objective means �n activity that benefits low and moderate income persons. For the purposes of this Contract, I00°fo of the clients served by the Pi•ogram must be Income Eligible Clients. Neighborhood 5ervices Department means the City's Neighboi•hood Services Deparlrnent. OMB means the Office of Management and Budget. Program means the sezvices described in EXHISIT `�A" — Pro�;ram Summary. Reimbursement Request means all reports and other document�ition described in Section 9. Source Documentation means documentation of full household income of any type described under the defizzition of annual income in 24 CFR Part 5.609, incli�ding but not limited to copies of paychecks, Social Security and disahili#y verification letters, interest or rentai income statements, CDBG REHABILITATION CONTRACT 2019-2020 Page 2 Trurity Habitat for Humanity 2019-2020 Preserve A Home Pmgram retirement income statements, child support and alimony verification, unemployment benefit letters, and the like. Unduplicated Clients means a count of a11 clients served by the Program at least once in the Contract Term. Clients served by the Program more than once in the Contract Term will only be counted the frst time they are served when determining the total count of Unduplicated Clients, 3. TERM. The term of this Contract begins on the Effective Date and terminates on .Tune 30, 2020 unless earlier terminated as provided in this Contract. 4. DUTIES AND RESFONS�BILITIES OF CITY. 4.1 Provide CABG Funds. City shall provide up to $400,000.00 of CUBG Funds under the terms and co�ditions of this Contract for Agency's Preserve A Home Program. 4.2 Munitar. City will monitor the activities and performance of Agency and any of its contractors, subcontractors ox vendors as necessary, but no less than annually. Moinitoring by City will include determining whether Agency is meeting the National Objective during the term of this Contract. 5. DUTIES AND RESPONSIBILITIES OF AGENCY. 5.1 Reauired Services. Agency shall perform the services described in EXAIBI'I' "A" — Pragram Summary in aceordance with the terms and conditions of this Contract. S.2 Use of CDBG Funds. 5.2.�, Com liance with CDBG Re�ulations and Co�►tract. Agency shall be reimbursed for eligible Program costs with CDBG Funds only if Cit� determines in its sole discretion that: 5.2.1.1 Costs are eligible expendituxes in accordance with CDBG Regulations. 5.2.�.2 Costs are i�. connpliance with this Contract and are reasonable and consistent with industry norms. 5.2.13 Complete Documentation, as applicable, is sub�mitted to City by Agency. 52.2 Bud et. 5.2.2.1 The CDBG Funds wi�l be paid on a reimbursement basis in accordance CDBG REHABILZTATION CONTRACT 2019-2020 Page 3 Trinity Habitat for Humanity 2019-2Q20 Preserve A Home Program with EXFIIBIT "B" - Budget. 5.2.2.2 During the term of this Contract, Agency may submit written requests to increase or decrease line-item amounts in the Budget, includiuig an explanation of why such increases or decreases are necessary. All requests sh�ll be approved by Director in writing, with such approval being in the Director's sole discretion. If Director approves the Agency's proposed Budget amendment (as approved, the "Amended Budget"), then the Amended Budget will take effect on the first day of the month following the month in which it was approved by Director, unless otherwise specifted in the amend�aent. All requests for Budget amendments must be submitted by June 1, 2019. 5.2.3 Chan�e in Pro¢ram Bud�et. 5.2.3.1 Agency will notify City promptly of ariy additional funds it receives for operation of the Program, and City reserves the right to amend this Contract im such xnstances to ensure ccimpliance with HUD regulations governing cost allocation. 5.2.3.2 Agency agrees to utilize the CDBG I�unds to supplezrxent rather than supplant funds otherwise available for the Program. 5.2,4 Pavment of CDBG Fuads to Agencv. CDBG Funds will be disbursed to Agency upon City's approval of Reimbursement Requests including submission of Complete Documentation to City in compliance with Section 9. If Agency expends all funds budgeted for the Program prior to Ju ne 30, 2024, C�ty may hold back a small amount of the CDBG Funds untxl the end of the term. Duc-ing this interim period, Agency must continue to submit Attachment ITI — Client Data. Report in E7LHIBI'I' ��D" — Reimbursenaent Forms monthly. It is expressly agreed by the Parties that any CDBG Funds not spent or approved for reimbursement to Agency shall remain with City. 5.3 Proeram Performance Milestones. 5.3.1 Agency represents that the Program will achieve the following zxxilestones in accordance with EXHIBIT "A" — Program Summary and the table below: 5.3.2 Failure of Agency ta meet these milestones or a material deviatian from them as outlined in this Section 5.3 is a breach of this Contract. For the purpose of this Section, "material deviation" shall mean more than lU% Iower than the specified goal. In the event of such breach, CDBG REHABIL,ITA.TION CON"�RA.C� 2019-2020 Page 4 Trinity Habitat for Humanity 2019-2020 Preserve A Home Program City reserves the right in its sole option to (i) delay or withk�old payment af Reimbursement Requests, (ii) lower Agency's allocation of CDBG Funds, or (iii) terminate this Contract. 5.3.3 Failure to meet at least 80% of its performance milestones or serve 24 Unduplic�,ted Clients under this contract may, i� City's sole discretion, disqualify Agency for consideration under the City's Request for Proposals for subsequent Program Years for federal grant funds. 5.3.4 A:mendments to performance milestones regarding CDBG funds must be approved by the Director iin writing, with such approval being in the Director's sole cliscretio�n. If Director approves the Agency's proposed amended performance milestones,(as approved, the "Amended Performance Milestones"), then the A,mended Pex�orm�nce M�lestones wilTtake effect on the first day of the month following tfie month in which it was approved by birector, unless otherwise specified in the amendment. All requests for annendments to performance milestones must be submitted by September 30, 2019. Notwithstanding the above, any amendrnents to this Contra+ct shall not reduce the number of Unduplicated Clients sta.ted in Section 5.3.3 and in EXHIBIT "A" - Program Summary. � 5:4 `Identify Pro�ram Ezaenses Paid with'CDBG Funds. Agez�cy will kesp accounts and records in such a manner that City may readily xdentify and account for Program expenses reimbursed with CDBG Funds. These records shall be made available to Citqfor audit purposes and sha11 be retained as required hereundex. 5.5 1Vleet National Obiective, Agency'shall ensure that the activitieS carried out in the Program will meet the National Objective. 5.6 �'ro�ram Subcontracts. Agency shall not e�ter into a subcontract with anot�er agency, contractor, or vendox 'to �rovide a service to clients far any part of the Program thaf will be paid with CDBG Ftu�ds'withou# City'S written consent. 6. CLIENT ELIGIB�LITX VERIFICATION. 6.1 Client Eligibilitv. Agency'will document client eligibility as follows: �.1.1 ,A�$encv Clients. Agency must verify a11 new clients' income with Source Documentation. Agency must use the annna.� incame defanition in 24 CFR Part S.b09 to establish client income and must use the most current HUD Income Guidelines. The income of all Program clients must be documented and 100% of them must be Income Eligible Clients. 6.1.1.1 All Program clients must be reported on EXHIBIT "D" — Reimbursement Forms, Attachment III. Any Agency clients for which tl7e appropriate Source Documer�tation is not obtained shall be presumed ineligible. CDBG REHABILITATION CONTRACT 2019-2020 Page 5 Trinity Habitat for Humanity 20�9-2020 Preserve A Home Program 6.2 Submission of Comulete Documentation. Agency must submit copies of documentation of client eligibility described in Section 6.1 with Attachment III with each month's Reiwbursement Request for all Unduplicated Clients. 6.3 Maintain Documentation. Agency must maintain copies of all dacumentation required by this Section 6 for 5 years following the expiration of the Contract term. This Section shall survive the earlier ternunation or expiration of this Contraet. 7. ADDITIONAL CDBG REQUIREMENTS. Agency agrees to comply with all requirements of the CDBG Program as stated in the CDBG Regulations, includ.ing but not limited to the following; 7.1 Environmental Review. CDBG Funds will not be paid, and costs cannat be incui7ed on a given site urttil Ciiy ha.s conducted an environmental review and completed an Environmental Review Record for that site as required by 24 CFR Part 5$. The individual environmental reviews may result in a decision to proceed with, madify, or cancel the funding for the Prograrn. Furt�er, Agenc�y will n�ot undertake or commit an� funds to pbysical or choice limiting actians as described in any applicable federal regulations. Any violatinn of this provision wi�ll (i) cause this Contract to terminate immediately, and (ii) require Agency to repay City t:he CDBG Funds it has alread.y received atxd forfeit any futtue payments of CDBG Funds. 7.1.2 Environmental Miti�ation. If applicable, Agency must take the mitigation actions outlined in E7�TiBIT "A 2" — Lead-Safe / Preserve A Honae Program Partnership Environ�nental Review Process. Failure to complete the required mitigation action is an event of default tmder this Contract. 7.2 Contract Not Constitutin� Commitment of Funds. Notwithstanding any provision of ttus Contract, the Parties agree and acknowledge that this Contract does not constitute a con:vmitment of funds, and th�it such commitment of funds or approval may occur only upon (i) satisfactory completion of an environmental review and receipt by City of a.n authorization to use grant funds from HUD under 24 CFR Part 58, (ii) approval of City's 2018-2019 and 2019-2020 Action Plans respectively, and (iii) receipt by City of a grant agreement from HUD. 7.3 Monitoring. 7.3.1 Agency understands and agrees that it will be subject to monitoring by City for compliance with terms and provisions of this Contract and the CI7BG Regulations for the term of this Contract. Agency is subject to such monitoring during tlie, term of this Contract and for 5 years a£ter the Contra.ct term ends. Agency will provide reports and access to Program files as requested by City during this 5 year period. For purposes of thi5 Contract, this 5 year period for CDBG REHABILITATION CONTRACT 2019-2020 Page 6 Trinity Habitat for Humanity 2019-2020 Preserve A Iiome Program monitoring is deemed to begin immediately %llowing the expiration or termination af this Contract. 7.3.2 Representatives of City, HUI7, HL7D Office of Inspector General, �.a cne v�it�a Stat�s Comptroller General-shall have access during regular business hours, upon 4$ hours prio� notice, to Agency's offices and records pextainin$ to the use af the CDBG �unds, and to Agency's officers, directors, ager�ts, employees, contractors, subcontractors �z�d vendors for the purpose of such monitoring. 7.3.3 In addition to other provisions of tbis Contract regarding frequency of monitoxing, City reserves the right to perform desk reviews ar an-site monitoring of Agency's compliance witla the terms anc� conditions of this Contract. City sha11 provi�e Agency with a wntten report of the morutor's findings after each monitoring visit. If the monitoring repqrt notes deficiencies in Agency's performance, the report shall include requirements for the timely correction of said deficiencies by Agency. Failure by Agency to take the action specified in the monitoring;report may be cause for suspension or termination of this Contract as provided herein. 7.3.4 Subsections 7.3. I through 7.3.3 sha11 be applicable for the Contract ter.m and for 5 years thereafter and shall survive the earlier termination or expiration of ttus Contrac� 7.3.5 Agency shall provide City annually the results of any state or fedaral monitorinig of any of its programs and single audits. Suchresults shall be submitted within 60 days of receipt of such state ar federal monitoring report, or with the Januazy ReimbursementRequest, whichever is earlier. 7.4 Age».cv Procurement Stand�rds. Agency shall comply with all applicable federal, state and 1oca1 laws, regulations, and ordinatices for making procurem�nts under this Contract. In addition to the conflict; of interest provisions in Section I4.13.3, Agency shall estab�ish written procurement procedures to erisure that materials and services are obtained in a cost effective mann�r and that provide for full and open competition. Agency; shall provzde a copy of such procurement procedures to City before the first payment for constructian services is processed. CDBG REHABILITATTON CONTRACT 2019-2020 Page 7 Trinity Habitat for Humanity 2019-2020 Preserve A Home Program 7.5 Cost Principles/Cost �teasonableness. Agency shall administer its use of CDBG Funds in compliance with 2 CFR Part 200, as applicable. The eligibility of costs incurred for perFormance rendered shall be determined in accordance with 2 CFR Part 200.400 through 2 CFR Part 200.475. 7.6 Financial Manaeement Standarda. Agency agrees to comply with 2 CFR Part 200, as applicable. Agency also agrees to adhere to the accounting principles and pracedures required therein, utilize adequate internal controls, and maintain necessary supporting and back-up documentation for all costs incurred in accordance with 2 CFR Part 200.302 and Part 200.303. 7.7 Uniform Administrative Requirements, C'ost Princiales. and Audit Reauirements. Agency will comply with the Uniform Administrative Requirements, Cost Principles, and Audit Requirements for F�deral Awazds in 2 CFR Part 2U0, as applicable, or any reasonably equivalent procedures and requirements that City may require. ' 7.8 Terms Aunlicable to Contractors, Snbcontractors and Vendors. Agency understands and agrees that all ter�ns of this Contract, whether regulatory ar otherwise, shall apply to any and all contractors, subcontractors and vendors o�'Agency which are in any way paid with CDBG Funds or who perform any work in connection with the Program. Agency shall cause all applicable provisians of tlais Contract to l�e included in and made a part of any contract or subcontract executed in the performance of its obligations hereunder including its obligations regazding tiie CDBG Regtilations. Agency shall monitor the services and work �erformed by its contractors, subcontractors and vendors on a rc:gular basis for compliance with the CDBG Regulations and Contract provisions. Agency must cure all violatioris of the CDBG Regulations committed by its contractors, subcontractors or ven�iors. City maintains the right to insist on Agency's full compliance with the terms of this Contract and the CDBG Regulations and Agency is responsible for such compliance regardless of whether actions taken to fulfill the requirements of this Contract are taken by Agency or by Agency's contractors, subcontractors or vendors. Agency acknowledges that the provisions of this Section shall survive the earlier termination or expiration of this Contract and shall be applicable fbr 5 years after the Contract term ends. 7.9 Couvri�ht and Patent Ri�hts. No reports, znaps, or other documents produced in whole or in part under this Contract shall be the subject of an application for copyright by or on behalf af Agency. HUD and Ciiy shall possess all rights to invention or discovery, as well as rights in data, which may arise as a result of Agency's performance under tkus Contract. 7.10 Conflict of Interest Disclosure. Tn accordance with the requirements of Section 14.13 2.1 and 14.13.4, Agency shall esta.blish conflict of interest policies for federal awards. Agency� shall disclose to City in writing any potential conflict of interest. Additionally, all a�plicants for Agency services shall be required to complete the attached conflict of interest form iz�corporated herein as Exhibit "K"—Canflict CDBG REHABILITATION CONTR.ACT 2019-2020 Page 8 Trinity Habitat for Humanity 2019-2020 Preserve A Home Program of Interest Form and disclose any potential conflict of interest to both Agency and City. If the applicant chec�s "yes" to any items on the form, Agency m.ust submit the fortn to its designated Contraat Administrator. City Compliance Specialist(s) will review information to detertnine whether CDBG Conflict of Interest requirements will apply. The Contract Administrator will notify Agency Qf appropriate next steps at that time. 7.11 Comuliance with FFATA and WhistleblowerProtections. Agency shall comply vt►ith the requirements of 2 CFR 300{b), including provisions of the Federal Fundi.ng Accountabilxty and Transparency Act ("FFATA'� governing requirernents on executive compensation and provisions governing whistleblower protections contai�ned in 10 U.S.C. 2409, 41 U.S,C. 4712, l0 U.S.C. 2324, 41 U.S.C. 4304 and 41 U.S.C. 4310. 7.11.1 Agency shall provide City with its DLJNS number. 7.12 Internal Contro�s. In compliance with the requirements of 2 CFR Part 200.303, Agency sha1L 7.12.1 Establish and maintain effective internal controT over the CDBG Funds that provid�s reasonable assurance that Agency is managing the CDBG Funds in compliance with federal sta.tutes, regulations, and the terms and conditions of this Contract. These internal controls shall be in compliance with guidance in "Standards for Internal Control in the Federal Governtnent" issued by the Corn�troller General of 'the United States or the "Internal Control Integrated Framework" issued by the Committee o£ Sponsoring Organizations of the Treadway Commission '("COSU"); 7.12.2 Comply with federal statutes, regulations, and the terms and conditions o£ this Contract; 7.12.3 Evaluate and monitox Agency's compliance with staiutes, regulations and the terms and conditions of this Contract; 7.12.4 Take prompt action when instances of noncompliance are identified includi.ng noncompliance identified in audit findings; and 7.12.5 Take reasonable measures to safeguard protected personally identifiable information and other infarmation that HUD or City designates as sensitive or Agency considers sensitive consistent with applicable federal, state, local and tribal lavvs regarding privacy and obligations of confidentiality. 7.13 Lead Safe Housing Rule. Agency will ensure compliance with the Lead Safe Hausing Rule at 24 CFR Part 35, as applicable. This includes but is not limited to Provision of Lead Hazard Inform�ation �amphlet, use af Lead Certified cantractors, use of Lead-Safe work practices, and clearance of the work site, as applicable tu the age of the housing unit and the extent of rehabilitation, Agency shall certify that work affeets only "de minimus" areas as appropriate to specif'ic sites. "de minimus" thresholds as defined by HUD are as follows: 20 square feet (2 square meters) on exterior surfaces; 2 square CDBG REHABILITATION CONTRACT 2019-2020 Page 9 Trinity Fiabitat far Humanity 2019-2020 Preserve A Home Program feet (0.2 square meters) in any one interior room; or 10 percent of the total surface area on an interior or exterior type of component with a small surface area (such as window sills, baseboards, and trim). Agency sha11 submit EXHIBIT "J" — Lead Safe Hazard Certificatian to City when appropriate. 8. RECORD KEEPING: REPORTING AND DOCUMENTATION REQUIREMENTS; AUAIT. 8.1 Record Keenins. Agency shall maintain a record-keeping system as part oi' its performance of this Contraet and shall promptly pmvide City with copies of any document City deems necessary for the effective fulfillment of City's monitoring and evaluation respor►sibilities. Specifically, Agency will keep or cause ta be kept an accuxate record of a11 actions taken and a11 funds spent, with supporting and back-up documenta.tion. Agency will maintain all records and documentadon related ta this Contract for 5 years after the Contract term ends. If any claim, litigation, or �,udit is initiated before the e�tpiration of the 5 year period, the relevant xecords and documentation must be retained until a11 such claims, litigation or audits have been resolved. For purposes of this Contract, this 5 year period for record retention �is deemed to l�egin immediately following the expixation or termination of this Contract. 8.2 Access to Records. Representatives of City, HUD and any duly autharized ofiicials of the fed�ral government will have full access to, and the right to examine, audit, copy, excerpt and/or transcribe any of Agency's records pertaining to all matters covered by this Cont�•act for 5 years after the Contract term ends. Such access shall be during regular business hours and upon at least 48 hours prior notice. For purposes of this Confiract, this 5 year period for access to records is deemed ta begi.n immediately following the expiration or termination of this Contt�act. 8.3 Renorts. Agency will submit to City alI reports and documenta.tion �escribed in this Contract in such form as City may prescribe. Agency may also be required to submit a final perfarmance andlor final financial report if required by City at the ternaination of this Contract in such form and within such times as City may prescribe. Failure to submit to City any rcport or documentation described in this Contract shall be an event of default of this Contract dnd City may exercise a11 of its remedies for default under this Contract. 8.3.1 AdditionalInformation. Agency shall provide City with additional inforim�ation as may be rec�uired by state or federal agencies to substantiate Program activities andlor expenditure eligibility. 8.4 Chante in Reportins Requirements and Forms. City retains the right to change reporting requirernents and forms at its discretion. City will notify Agency in w�riting at least 15 days prior to the effect.ive date of such change, and the Parties shall execute an amendment to the Contract reflecting such change if necessary. 8.5 Audit. CDBG 1t�HABILITATION CONTRACT 2019-2020 Page 10 Trinity Habitat for Humanity 2019-2020 Preserve A Home Program $.5,1 Entities that Expend $750,000 or more in Federal Funds Per Year. All non-federal entities that ex�end $750,000 or more in federat funds within l year, regardless of the source af the federal award, must submit to City an annual audit prepared in accordance with s�ecific reference to 2�FR Part 200.501 thrQugh �art 200:521. The audit sha11 cover the Agency's fiscal years during which this Contract is in force. The audit nnust be prepared by an inde�endent certified public accounta.nt, be completed within b months following the end of the �eriod being audited and be submitted to City within 30 days of its campletion. Agency's audit certification is attached hereto as EXHIBYT ��C" - Aadit Certification Form and Audit Requirements. The Audit Certilication Form must be submitted to City prior to or with the first Reimburs�ment Reyuest. Entities that expend less than $750,000 a year in federal funds are exempt from federal audit requirennents for that yeaz, but records must be available for review or audit by appro�riate officials of the federal agency, Giry, and General Accounting Office. 8.5.2 Citv Reserves #he Ri�ht to Audit. City reserves the right to perform an audit of Agency's Program operations and finances at any time during the term of this Contract and for 5 years after the Contract term ends if Eity determines that sueh audit is necessary for City's complianca with the CDBG Regulations or other City policies. Agency agrees to a11ow access to all pertinent materials as described herein far such audit. For purposes of this Contract, this 5 year period for City audit is deemed ta begin unmediately following the expiration or termination of tlus Contract. If such audit reveals a questioned practice or expenditure, such questions must be resolved within 15 business days after notice'to Agency of such questioned practice or expe�nditure. Agency shall provide City with Cornplete Doc�umentadon and the %Ilowing re�orts as shown in EXHIBIT "D" —Reimbursement Forms with each' Reimbursement Request: 9.2.1 Attachment I — In�voice. This report shall contain the amount requested for reimbursement each month, the cumulative reimbursement requested to date (inclusive of that mcmth's request). 9.2.2 Attachment II — Exue�diture Worksheek This report shall itemize each expense requested for reirr►bursernent by Agenc� and shall include the Account conesponding the expense to a Budget line item. In order for this report to be complete the following must be submitted: 9.2,2.1 For payroll expenses, timesheets signei� by employees and approved b� sttpervisor for all payroll expenses list�d. Timesheets must distinguish between CDBG-funded time and non�-CDBG funded time and reflect actual time spent on CDBG-funded activities. Agency may not submit payroll expenses dated 60 calendar days �rior to the date of the Reimbursement Request. 9.2.2.2 For non-payroll expenses, invoices for each expense listed with an explanation as to how the invoiced e�pense pertains ta the Progxam. Agency may not submit invoices dated 60 c�lendaz days prior to the date of the Reimbursement Request. 9.2.2.3 Proof that each expense was paid b,y Agency, which pmof can be satisfied by cancelled checks, wire transfer documentation, �aid receipts or other appropriate banking docurnentation. 9.2.3 Attachment III — Client Data Report. This report shall list each Unduplicated Client served during the month along wzth his or her demographic information. In order for this report to be complete, the following must be submitted: 9.2.3.1 Source Documentation vf income verification for each Unduplicated Client the first time the client is served by the Program 9.2.4 Delivery of Reimbursement Request. Reimbursement Requests shall be submitted electronically via ZoomGrants.com. In the event tha.t zoomgrants.com experiences unforeseen issues or complications, Agency may subrnit 12eimbursement Requests via email, or by other agreed upon method(s), per the Agency's designated City contract administrator. 9.3 Withholdin� Pavment. CTTY SHALL HAVE NO OBLIGATION TO PAY A1VY REIMBURSEMENT REQUEST THAT IS NOT RECEIVED BY THE DUE DATE. F'ailure to timely submit Reimbursement Requests and Complete DocumentaHon along with any required reports shall be an evet►t of default. 10. DEFAULT AND TEitM�TATZON. 10.1 Failure to Submit Reimbursement Request or Required Documentation. 10.1.1 If Agency fails to submit a Reimbursement Request in accordance with Sectian 9, Agency shall be in default of this Contract. City will notify Agency in writing of such default and the Agency will have 10 business days from the date of the written notice to submit such Reimbuxseme�.t Request to cure the default. If Agency fails fo cure the default within such time, Agency shall forfeit any payme�ts otherwise due tha.t month. 10.1.2 I� Agency fails to submit requested information or missing documentation as set forth in Sectian 4.1.2, then Agency shall f�rfeit payment due that month az�d the failure to submit shall be considered an event of default that shall not be cured. 10.1.3 NOTWITHSTANDING THE PROVISIONS OF SECTION 10.1.1 OR 10.1.2, IF AGENCY FATLS TO SUBMIT THE REIMBURSEMEN'T REQUEST DUE JULY 1, 2020, 4R IF TH� SUBMITTED REIMBURSEMENT REQUEST FOR JULY 1, 2020 �S LATE, INCOMPLETE OR OTHERWISE NOT IN COMPLIANCE WITH THIS CONTRACT OR THE CDBG �GULATIONS AS DETERMINED BY CITY IN TTS SOLE DTSCRETION, THERE WILL �E NO CURE PERIOD AND ANY REIMBURSEMENT WILL BE FORFEITED. 10.1.4 In the event of (i) an uncured default under Section 10.1.1 or an event of default under 10. I.2 or (ii} more than 2 instances of default, cured or uncured, under these Sections, City reserves the right at its sole option to terminate this Contract effective unmediately upon written notice of such intent with no penalty or liability to City. 10.1.5 Notwi#hstanding anything to the contrary herein, City will not be required to pay any CDBG Funds to Agency during the period that any Reirnbursement Request, report or CDBG REHABILITATION CONTRACT 2019-2020 Page 13 liinity Habitat for Humanity 2019-2020 Preserve A Home Program documenta.tion is past due or is not in compliance with this Contract or the CDBG Regulations, or during any period during which Agency is in default of this Contract. 10.1.6 Tn the event of termination under this Section 10.1, all CDBG �unds awarded but unpaid to Agency pursuant to this Contract shall be imm.ediately forfeited and Agency shall have no further right to such funds. 10.2 Failure to Maintain Recards or Sa6mit Re�►orts and Documentation. If Agency fails to maintain a11 records azid documentation as required in Section 8, or if the maintained or submitted re�ort or documentation is not in compliance with ttus Contract or the CDBG Regulations as determined by City in its sole discretion, C?ity will notify Agency in writing and Agency will have 30 calendax days from the date of the written request to obtain or recreate the missing records and documentation or submit or resubmit anyF such repori or documentation to City. If Agency fails to maintain the required reports or documentation, or fails to submit or resubmit any such report or documentation within sueh time, City shall have the right to terminate this Contract effective im�mediately upon written notice of such intent with no penalty or liability to City. 10.2.1 In the event of termina.tion under this Section' 10.2, a11 CDBG Funds awarded but unpaid to Agency pursuant to this Contract shall be immedi�itely forfeited and Agency shall have no fiuther right to such funds, and any CDBG Funds paid t� Agency must be repaid to Ciiy within 3U days of teruiiination. Yf such CDBG Funds are not repaid to City within the 30 day period, City shall exercise all legal remedies available under this Coniract. 10.3 In General. 10.3.1 Subject to Section 10.2, and unless specifically provided otherwise in this Contract, Agency shall be in default under tkus Cont�act if Age�ncy breaches any term or condition of this Contract. Tn the event that such a breach remains uncured' after 30 calendar da.ys following written notice by City (or such other notice period as may be specified herein) or, if Agency has diligently and continuously attempted to cure following receipt of such written notice but reasonably requires rx�ore than 30 calendar days to cure, as determined by both Faxties mutually and in good faith, City shali have the right to elect in City's sole <liscretion ta (i) extend Agency's time to cure, (ii) terminate this Contract e�ective immediately upon written notice of such intent to Agency, or (iii) pursue any other legal remedies available to City under this Contract. 10.3.2 City's remedies may inciude: 10.3.2.1 Direct Agency to prepare and follow a schedule of actions for caxrying out the affected activities, � consisting of schedules, tunetables and rnilestones necessary to implement the affected activities. 10.3.2.2 Direct Agency to establish and i'ollaw a management plan that assigns responsibilities for carryin€; out the rennedial activities. 10.3.2.3 Reprogram CDBG Funds that ha�ve not yet been expended from CDBG REHABI%.TTATION CONTRACT 2019-2020 Page 14 Trinity Habitat for Humanity 2U 19-2020 Preserve A Home Program affected activities to other eligible activities or withhold CDBG Funds, 10.3.2.4 Any other appropriate action including but nat limited to any remedial action legally available such as declaratory judgnnent, specific per�armance, damages, temporary or permanent injuncrions, termination of this Contract or any other contracts vriith Agency, and �ny other available remedies. 10.3.3 In the event of terxr►ination under this Section 1Q.3, a11 CDBG Funds awarded but unpaid to, Agency pursuant to this -Contxact shall be immediately forfeited and Agency shall have no further right to such fu.nds,: and any CDBG Funds already paid to Agency must be repaid to City within 3p days of the termination, Failure to repay such CDBG Funds within the 30' day period will result in Gity exercising alllegal remedies available under this Contract. 10.4 No Funds Disbursed while in Breach. Agency understands and agrees that no CDBG Funds will be paid` to Agency nntil all d�faults are cured to City's satisfaction. 10.5 No Compensation after Date of Termination. Agency shall not receive any compensation for work undertaken after the date of the termination. 10.6 Ri�hts'of Citv Not A.ffected. Termination sha11 not affect or terminate any of the existing rights of City against Agency, or which may thereafter accrue because of Agency's default and this provision shall be in addition to any and all other rights and zemedies available to City under the 1aw. Such termination does not terminate any provisions of this Contract that have been expressly noted as surviving the term or termination of the Cantract. No delay or omission by City in exercising any right or remedy available to it under this Contract shall impair any such right or remedy or constitute a waiver or acquiesce�ce in any Agency default. 1�.7 Waiver of Breach Not Wairver of Subseauent Breach. The waiver of a default or breach of any term, covenant, or condition of this Contract shall not operate �s a waiver of any subsequent default or bxeach of the same or any other term, covenant or condition hereof. 10:8 Civil, Criminal and Administrative Penalties. Failure to pex�form all the Contract terms may result in civil, criminal or administrative �enaities, including, but not limited to those set dut in this Contract. 10,9 Termination for Cause. 10.9.1 City may temunate this Contract in the event of Agency's default, inability, or failure to perform subject to notice, gace and cure periods. In the event City terminates this Cantract for cause, al1 CDBG Funds awatded but unpaid to Agency pursuant to thi,s Contract sha11 be immediately rescinded and Agency shall have no further right to such funds and any CDBG CDBG REHABILITATION CONTRACT 2019-202Q Page 15 Trinity Habitat for Humanity 2019-2020 Preserve A Home Program Funds already paid to Agency must be repaid to City within 30 ciays of termination. Failure to repay such CDBG Funds within 30 days will result in City exercising all legal remedies available to City under this Contract. AGENCY ACHIYUWLEDGES AND AGREES THAT IF CITY TERMINATES THIS CONTRACT FOR CAUSE, AGENCY OR ANY AFFILIATES OF AGENCY SHALL NOT BE CONSIDERED FOR ANY OTl3ER CXTY CONTRACT �'OR CDBG FUNDS FOR A MINIMUM OF 5 YEARS FROM THE DATE OF TERMINATION. 10.9.2 Agency may terminate this Contract if City does not provide the CDBCr Funds substantially in accordance with this Contract. 10.I0 Terwination for Convenience. In ternunating in accordance with 2�FR Part 204, Appendix II, this Contract may be terniinated in whole or in part only as follows: 10.10. l, By City with the consent of Agency in which case the Parties shall agree upon the termination conditions, in.cluding the effective date and in the case of partial termination, the portion to be ternunated; or ' 10.10.2 By Agency upon at least 30 days written notification to City, setting forth the reasons for such termination, the effective da.te, and in the case of partial ternunatian, the portion to be terminated. In the case of a�artial termination, City may terininate the Contract in its entirety if City determines in its sole discretion that the remaining portion of the Contract to be performed or CDBG Funds to be spent will not accomplish the purposes for which the Contract was made. 10. X 1 Dissolution o� Aeency Terminates Contract. This Coniract shall terminate in the event Agency is dissolved or ceases to exist. In the event of terrnination under this Section, all CDBG Funds are subjc;ct to repayment and/or City may exercise all of its remedies under this Contract. 14.12 Reversion of Assets. ' Tn the event this Cantract is terminated with or without ca.use, all assets acquired by Agency with the CDBG Funds including cash, interest payments from lo�uas or otherwise, a11 outstanding notes, mortga�es or other security instruments, any accounts receivable attxibutable to the use of the CDBG Funds, and any real or personal property owned by Agency that was improved with the CDBG Funds shali automatically transfer to City or to such assignee as City may designate. 11. REPAYMENT OF CDBG FUNDS. All CDBG Funds are subject to repayment in the event the Program does not meet the requirements of this Contract or in the CDBG Regulations. If Agency takes any action th�t results in the City being required to repay a11 or any portiorn of the CDBG Funds to �i[7A, Agency agrees it wi11 reimburse City For such repayment. If Agency takes any action that resuits in City receiving a finding from HUD about the Progr;im, whether or not repayment of all or any portion of the CDBG Funds is required of City, A:gency agrees City may require that 10% of the CDBG Funds be repaid to City as liquidated ciamages. The Parties agree that City's damages in the event of either repayment to HUD bein� required or receiving a finding CDBG REHABILTTATION CONTRACT 2019-2020 Page 16 Trinity Habitat for Humanity 2019-202Q Preserve A Home Program from HUD are uncertain and would be difficult to ascertain and rn�ay include an impact on City's CDBG grant or other federal grant funds, in add.ition to the finding by HUD or a required repayrnent of funds to HUD by Cxty. Therefore, the Parties agree that �ayment under this Section of l.0% of the CDBG Funds by Agency to City is liquidated daznages and not a penalty. 12. CHANGE IN NON-PR4FIT STATUS. Agency must provide City with w�rxtten notificatipn of any changes to its non-profit staius withiri 15 calendar days of being notified of the change. Regardless of natice by Agency, if the non-profit atatus of Agency chax�ges af.tez the date of this Contract, City may but is not obligated to, ternunate this Contract: In the event of ternunation under this Section 12, all CDBG Funds awarded but not yetpaid to Agency pursuant to this Contract sha11`be immediately rescin�ed:and Agency shall have no further right to such funds: City, in its sole discrekion, may requize that atiy CDBG Funds alreadypaid to Agency must be repaid to City within 30 calendar days of termination under this Section. 13. SURVIVAL. Any provision of this Contract that pertairas to auditing, monitoring, client income eligibility, record keeping and reports, City ordinar�ces, or applicable CDBG requirements, and any default and enforcement provisions necessary to enfocce such ptovisions, shall survxve the termination of this Contract for 5 year� after the Contracf tetm ends and shall be enforceable by City against Agency. For purposes of this Contract, this 5 year period for survival of certain Contract provisions is deemed to begin immediately following the expiration or termination of this Contract. 14. GENERAL PROVISIONS. � 4�.1 Agencv an Indenendent Contractor. Agency sha11 o�rate hereunder as an independent contractor and �not as an of�'xcer, agent, servant ox employee of City. Agency shall have exclusive control of, and the exclusive right ta control, the details of the work aud sez�vices performed hereundex, and all persons pez�'orming same, and sha11 be solely responsible for the acts and omissions of its oi�'icers, members, agents, servants, employees, contractors, subcontractors, vendors, clients, licensees or invitees. 14,2 Doctrine uf Respondeat Sunerior. The doctrine of respondeat superior shall not apply as between City and Agency, or its officers, members, agents, servants, employees, contractors, subcontra.ctors, vendors, clients, licensees ar invitees, and nothing herein shall be construed as creating a partnership or joint enterprise between City and Agency. City does not have the legal right to control the details of the tasks pe;rformed hereunder by Agency, its officers, members, agents, employees, contractors, subcontractors, ve�dors, clients, licensees or invitees. City shall under no circumstances be responsible for any I�roperty belonging to Agency, qr its officers, members, agents, employees, contractors, subcontra�tors, vendors, clients, licensees or invitees that may be lost, stolen or destroyed or in any way damaged and AGENCY HEREBY INDEMNIFIES AND HOLDS HARMLESS CITY AND IT�i OFFICERS, AGENTS, AND EMPLOYEES FROM ANY AND ALL CLAIMS OR SUITS PERTAINING TO OR CONNECTED WITH SUCH PROPERTY. 14.5 ReliEious Or�anization. Agency shall comply with all applicable requirements as �nore particularly described in 24 CFR Part 5.109. No portion of the CDBGr Funds sha11 be use� in support of any sectarian or religious activity. �n addition, there must be no religious or membersiup criteria for clients of a CDBG-funded service. 14,5.1. Senaration of Egplicitiv Relisious Activities. Agency retains its independence and may cantinue to ca��ry out its mission, including the defuution, development practice, and expression of its religious beliefs, provided that it does not use CDBG Funds to support or engage in any explicitly religious activities (including activities that involve overt religious content such as worship, religious instruction, or proselykization), or in any other manner prohibited by law. 14.5.2 Explicitiv Reli�ious Activities. If Agency engages in explicitly religious activities (including activities that in�volve overt religiaus content such as worship, religious instruction, or proselytization), the explicitly religious activities must be ofFered separately, in time or locatian, from tk�e programs or activities supported by CDBCr Funds and participation must be voluntaty for clients c>f a CDBG-funded service. 14.5.3 Re4uired Notices. If Agency constitutes a Faith-based organization under 24 CFR Part 5.109, Agency must provide all clients of a CDBG-funded service wit� a Nadce of Be;neficiazy Rights, available upon request from City staff. Such notice shall be provided to the client prior to enrollment in any CDBG-funded program or activity. In addition, if a client or pros�ective client of a CDBG-funded service objects to the religious chazacter of Agency, tt�en Agency must promptly undertake reasonable efforts to identify and refer the client or prospective client to an alternate provider to which the client or prospective client has no such objection, as more particularly described in 24 CFIt Part 5.109. 14.6 Venue. Venue shall lie in Tarrant County, Texas for any action, whether real ar asserted, at law or in equity, arising out of the execution, performance, attempted perfarmance or non-performance of this Contract. 14.7 Governin� Law. This Contract shall be governed by and constsued in accordance with the laws of the State of Texas. If any action, whether real or asserted, at law or in equity, arises out of the execution, performancs or non-perfox�mance of this Contract or o� the basis of any provision herein, for any issue not governed by federal law, the choice of law s�:all be tk�e laws of the State of Texas. CDBG REHABILTTATiON CONTRA.C�' 2019-2020 Page 18 Trinity Habitat for Humanity 2019-2020 Preserve A Home Program 14.$ Severabilitv. The provisions of this ContracY are severable, and if foX any reason a clause, sentence, pazagraph or other �art of this Contract shall be determined to be invalid by a court or federal or state agency, board or commission having jurisdiction over the subject matter thereof, such invalidity sha11 not affect other provisions which can be given effect withaut the invalid provision. 14.9 ' Written A�reement Entire Contract. This written instnunent and the Exhibits, Attachments, and Addendums attached hereto, which aze incorporated by reference and made a part of this Contract for all purposes, constitute the entire agxeement by the Parties concerning the work and se�rvices to be performed under this Contract.: Any prior or conternporaneous oral or written agreement which purports to �vary the terms of this Contract shall be void. Any amendments to the terms of this Contracf must be in writing and executed by the Parties. 14.10 Paragraph Headin�s for Reference Onlv, No Le�a1 Significance; Number and Gender. The paragraph headings contained herein are for convenience in reference to this Contract and are not intended to define or to limitthe sco�e of any provision of this Contract. Agency shall esta.blish safeguards to prohibit its employees, board members, advisors and agents ftom using positions for a purpase that is or gives the appearance of being motivated by a desire for private gain for themselves or athers, particularly those with whom they have fatnily, business or otheX ties. Agency shall disclose to City any such conflict of interest or potential conflict of interest, immediately upon discovery of such: 14.14.2 General Prohibitions A�ainst Contlicts of Interest. No employees, agents, consultants, officers or elected officials or appointed officials of City or of Agency who exercise or have exercised any functions or responsibilities with respect to activities assisted with CDBG funds or who are in a position to participate in a decision-maldng process or gain inside information with regard to these activities may utilize CDBG services, may obtain a financial interest or benefit from a CDBG-assisted activity, or have an interesf in any contract, subcontract or agreement with respect thereto, or the proceeds thereunder, either for themselves or those wit� whom they have family or business ties, during their tenure or for I year thereafter. 14.14.2,1 Agency shall establish conflict of interestpolicies fox federal awards including the CDBG Funds and shall disclose in writing potential conflicts of interest to City as authorized by 2 CFR Part 200.112. 14.14.3 Conflicts of Interest Involying Pxocurement: The conflict of interest provisions of 2^CFR Part 200.31, shalF apply in the procurement of property and services by Agency. In a11 cases not governed by this Section, the provisions of 24 CFR Part 570.611 of the CDBG Regulations shall apply. 14.14.3.1 As more particulazly described in 2 CFR Part 2U0.318, Agency shall maintain and submit to City written `standards of conduct covering conflicts of interest and governing the performance o� its employees engaged in the selection, award, and administration of contracts. No employee, officer, or agent may participate in the selection, award, �r administration of a contract suppoxted by a federal award if he or she has a real or apparent conflict of interest. The standards of conduct must provide for disciplinary actions to be applied for violations of such standards by o�'ficers, employees, or agents of Agency. 14.143.2 The officers, employees, and agents of Agency sha11 neither: solicit nor a�cept gratuities, favors, or anything of monetary value from contractors or parties to subcontracts. CDBG REHABILITATION CONTRACT 2014-2020 Page25 Trinxty �Iabitat for Humaniry 2019-2020 Preserve A Home Program 14.14.33 Notwithstanding the prohibition contained in Section 14.13.3.2, Agency may set standards of con�iuct for situations in which the financial interest is not substantial or the gift is an unsolicited item of nominal value. Such standards of conduct must provide for disciplinary actions to be applied fc�r violations of such standards by Agency's officers, em�loyees or agents. 14.14.3.4 Agency shall maintain written standards of conduct covering organizational conflicts of interest. Organizatianal conflicts of interest means that because of relationships with a parent company, affiliate, or subsidiazy organization, Agency is unahle or appears to be unable to be impartial in conducting a procurement action involving a related arganization. ' 14.14.3.5 Agency must maintain records s��fficient to detail the history of procurement. These records will include, but are not necessarily limited to the following: rationale for the method of procurement, selection of contract t�pe, contractor selection or rejectian, and the basis for the contract price. 14.14.4 Disclosure of Conflicts of Iuteres� In compliance with 2 CFR Part 2U0.112, Agency is required to timely disclose to City in writing any potential conflict af interest, 14.14.5 Disclosure of Teaas Penal Code Violations. Agency will maintain coverage in the form of insurance or bond in the amount oif $100,000.00 to insure against loss fromthe fraud, theft or dishonesty of any of Agency's o�cers, agents, trustees, directors or employees. The proceeds of such insurance or bond shall be used to reimburse City for any and all loss of CDBG Funds occasioned by such misconduct. To effectuate such reimbursement, such fidelity coverage shall include a rider stating that reimbursement for any loss or losses shall narne the City as a Loss Payee. Agency shall fiunish to City in a timely manner, but not later than the Effective Date, certificates of insurance as proof that it has secured and paid for policies of commercial insuraz�ce as specified herein. Coverage shall protect not only the entiiy, but all past, present and future directors, officers, trustees, employees, volunteers and committee members. PROGRAM: The Pragram provides home repairs to low income parsons living in the Hillside-Morningside, Como, Carver Heights East, and Ash Crescent neighborhoods of Fort Worth. Eligible homeowners must be income eligible cliants, occupy the home as their principal residence and must not have the financial means or physioal ability to renovate their homes. Only exterior work will be completed, including replacing/repairing siding, roof replacement! repair, replacing/re-glazing windows or doors, replacing trim and painting. Agency or homeowner is responsible for submitting any applicadon for City permits or approvals. These approvals may include but are not limited to Historic & Cultural Landmarks Comumission, Board of Adjustment, Zoning approvals, and building inspections. Cost for permits or approvals axe reimbursable under this contract. Agency must coordinate with City to ensure compliance with the Lead Safe Housing Rule. Additionally, Lead Risk-Assessment costs are reimbursable under this contract. CDBG funds will be used to pay for materials, building permits, contractor labor for the home repairs and project delivery costs in the form of salaries and FICA insurance for staff directly dealing with clients. DISCUSSION: On February 9, 201 S, the Neighborhood Services Departmerit issued a Notice of Funding Availability (NOFA) and Request for Qualifications (RFQ) for available prior and current years Community Development Bfack Grant (CDBG) funds and HOME Investment Partnerships Pragram (H�ME) grant funds from the United States Department of Housing and U�ban Development (HUD) for eligib{e projects throughout the City. The purpose of the NOFA and RFQ was to integrate the use of federal grant funds with existing City priarities in order to maximize positive and visible outcomes for neighborhoods, Lognaxne: 19ADOPT_2018NOFA RECOMMENDATIONS Page 1 of 3 aNgn planning for the use of federal grant funds with the City's corporate decision-making processes for capital funding and identify and rank potential projects for both current and future years.
