FORT WORTH MEACHAM INTERNATIONAL AIRPORT
GROUND LEASE AGREEMENT
This AIVI�NDMENT N0.1("Amendment") is made and entered in�o by and between ihe CITY
OF FORT WORTH ("Lessor"}, a Texas home rule �x�.unicipal corporation acting by and through
Fernando Costa, its duly autk�orized Assistant City Manager, and RICHARDSON AVIATION
{"Lessee"), acting by and thro�gh Thomas W. White, its duIy authorized Vice Preside�xt.
RECITALS
WHEREAS, On or about October 22, 2010, Lessor azxd Lessee entered into City Secretary Contract
("CSC") No. 29135, a hangar and ground �ease agreement for a 260,569 square feet af graund space which
includes a 32,804 square foot hangar known as Lease Site 45S ("Leased Premises"), at Fort Worth
Meacham International Airport ("Airport"). CSC No. 40981 shall hereinafter be referred to as the
"Lease";
WHEREAS, On April 14, 2014, Lessor and Lessee entered into City Secretary Contract
("CSC"} No. 40981 A-1 expanding Lease Siie 45S to 334,ll6 square feet of ground space ("Ground")
including a 32,800 square fooi hangar ("Hangar") and 66,800 squa�re feet of aircraft parking ramp space;
WHEREAS, the Lessee wishes to extend Lease �ite 45S to include a 26,Q42 squaxe �eet of ground
s�ace adjacent to the current lease site Lessee is voluntarily maintaining. In addif�on, in the event Lessee
r�vokes their FBQ Pexmit, they may use this property for the purpose o� znstailing a fuel tank for which it
vvill be required to meet the current Minimum Standards as well as obtain alt Iicensing and permits required
for self-fi�eling;
WHEREAS, Lessar and Lessee now wi,sh to amend the Agreement to reflec� a change in the
square footage of the Leased �'re�x�.ises from 334,116 square feet of Grourid �pace to 360,158 total square
fe�t of Ground Space; and
WHEREAS, Due to the increase in sq�are foatage of Ground Space, Lessar az�d Lessee also
wish to amend th� monthly rent pxovision in the Agreement to reflect the xncxeased amount of square
footage fhat will be used in the calculation for monthly and annual xent each year; and
WHEREAS, Le�sor and Lessee �nrish fo repIace the existing "Exhibit A" to the Agreement with
a new `Bxhibii A" that will reflect the new property survey of the leased premises, which will be
attached ta fhis Amendznent; and
AGREEMENT
NOW, THEREFORE, for good and va.luab�e consideration, the receipt and adequacy of wl�ich are
k�exeby acknowledged, Lessor and Lessee hereby agree as follows:

The Agreemen� is hereby amended by deleting Section 1, "Property Leased" of the Agreezx�ent in its
entirety az�d replacing it with the following:
1. PROPERTY LEA�ED.
Lessor hereby derz�.ises to Lessee 360,158 square feet of Ground Space ("Ground")
including a 32,800 square fooi han.gar ("Hangar" and 66,800 square feei of aircraft parking
ramp space known as Lease Site 45� also known as 3800 Lincoln Avenue at Fort Worth
Meacham International Airport ("Airport") in Fort Warih, Tarrant County, Texas
("Premises"), as shown in Exhibit "A", attached hereto and hereby made a part of this
Lease for aIl purposes.

The Agreernent is hereby amended by deleting Section 3.1, "Rates and Adjustments" of the Agreement in its
eniirety and replacing it with the following:
3.1. Rates and Adiustments
3.1.1 Hangar Rate
Lessee shall com�ez�ce the payrnent of rent for the Hangar on the
Effective Date. Lessee hereby pramises and agrees to pay Lessor, as annual
rent for the Hangar, One Hundred Forty-Seven Thousand One Hundred
Thirty-Three Dollars and 301100 {$147,133.30), at a rate af $4.�8�'�i1394 per
square faot, payable in equal monthly insiallments of Twelve Thousand Two
Hundred Si�ty-�ne Dollars and 11/100 ($1�,�61.11).
3.1.� Ground Rate
Lessee sha11 commence ihe pay�xxent of rent for �ie Ground Space on
the Effective Date. Lessee hereby promises and agxees to pay Lessar, as
annual rent for the Ground Space, One Hundred Fifty-Two Thousand Four
Hundred Thirty Dollars and 75/100 ($1�2,430.75,}, at a rate of $0.423233403
per square foot, payable in equal monthly installments of Twelve Thousand
Seven Hundred Two Dollars and 56/10� {�12,'�02.�6).
The xental rates under this Lease are based on Lessor's current publzshed
Schedule of Rates and Charges. Rental rates are subjeci to increase beginning
October 1, 2421, and on October 1 S� of any subsequent year during the Initial
Term, to reflect any upward change in the Consuz�nex Price Index for the
Dallas/Fort Worth Metropolitan Area, as announced by the United States

Department of Labor or successor agency (i) for the first incxease, since the
Effective Date af this Lease and (ii) for each subsequent increase, since the
effective date of the last incxease; pravided, ho�uever, that Lessee's renia� rates
shall not exceed the then-cunrent rates prescribed by Lessor's published
Schedule of Raies and Charges for the type or types o£praperty similar to the
type or types of properiy that comprise ihe Prernises.

Exhibi� "A" (as amended) vvithin ihe Agreement is hereby deleted in. its entirety and
replaced with a new Exhibit "A", which is attached as Exhibit A to ihis Amendment.

Al� other terms and conditions of th.e Lease sk�all rernain in full force and effect.
5.
The statements set forth in the recitals above are true and correct and form the basis upon which
Lessor and Lessee have entered inio tlus Agreement. The Lease is a pubiic document on file in
Lessor's City �ecretary's Office and is incorporated herein by reference for all purposes.

Ifi is recammended that the City Council authorize fhe executfon of Amendmer�t No. 2 to City Secretary
Contract 40981, a hangar and ground lease agreement known as L�ease Site 45S witt� Richardson
AWiafion to include an adclitionaf 26,442 sc�uare feet of grou�d space adjacent to Lease Site 45S at
Fort Worth Meacham In#erna#ionaE Airport.
DfSCUSSIQi�:
On or abau# �ctaber 22, 2010, the City (Lessor) and Richardson Aviation (L.essee} enfered into City
Secretary Cantract (CSC) 4Q981, a hangar and graund lease agreemenf for the lease and use of real
property known as Lease Site 45S cor�sisting of a total of 260,569 square feet of hangar and ground
space at For# Wor�i� Meacham in#ernational Airport. C5C 40981 is currently in its firsi renerrval option
with twa additional ten-year options to renew for a potential expiration date of September 30, 2050.
On or abou# Apri[ 14, 2014, #he Lessee and Lessor entered in tfl CSC 40981-A1 to expand the
prerr�ises to include an aciditional 73,�47 sq�are feet af ground space for a total of 334,1�6 square
�Feet.
Lessee and Lessor naw wish to amend the iease to incfude 26,042 of ground space Lessee is already
rr�ain#aining adjacent to Lease Site 45S. Provided that alI requiremenfs are met and proper
agreements are executed, future use af the prpperky may include an above-gro�nd f�ael tank for the
purpose qf self-fuefing. The additional 2�,�42 square fee# will amend the tofal ground space leased to
360,�5$ square feet.
Annual revenue generated from #he ground space af the amended fease is $152,430.75, which will be
payable in mpnthly instalfinen#s of $12,702.5fi. Lessee currently pays Lessor, as annual rent for the
hangar, $147,133.30, payabfe in ec�ual mont�fy installments of $12,261.11, Hangar rates will not be
effected by this amendment.
On Octaber 1 af any given year, rental rates shal! be subject to an i�crease based on the upward
percentage change in fhe Co�sumer Price Index for the Dallas-Fort Worth Metropolitan area. At no
time will fhe adjusfed rate exceed the rate that is current in fhe Scheduie of Rates and Charges. A�I
terrns and conditions of the lease agreement will be in accordance wifh Cfty of Fort Worth and Aviation
Depa�tmenf policies.
ADVlSORY BOARD APPROVAL: On Navember 12, 2Q20, fhe Aviafion Advisory Board vated to
recommend �tha� #he Ci#y Council appro�e this acfion.
Fort Worth Meacham In#ernativr�a� Airport is lacated i� CC3UNCIL DISTRICT 2.
F[SCAL I�1�ORM�ITIOR�IC�RTI�ICATION:
The Director of Finance certifies that uport approval of the abo�e recommendation and execution of
the lease, funds wilf be deposited into the Municipal Airport Fund. The Aviafion Department (and
Financiaf Managemenf Services) is respor�sible for the collsction and deAosit of funds due to the City.
