FIRST AMENDMENT TO
FORT WORTH CITY SECRETARY CONTRACT NO. 52679
This First Amendment to Fort Worth
Amendment") is made between the City of Fort
and immixTechnology, Inc. ("Vendor").
City Secretary Contract No. 52679 ("First
Worth ("Fort Worth"), a municipal corporation
WHEREAS, Fort Worth and Vendor entered into an Agreement identi�ed as Fort Worth
City Secretary Contract No. 52679 beginning August 19, 2019 (the "Agreement"); and
WHEREAS, it is the collective desire of both Fort Worth and Vendor to amend the
Agreement to include additional purchases.
NOW THEREFORE, known by all these present, Fort Worth and Vendor, acting herein by
the through their duly authorized representatives, agree to the following terms, which amend the
Agreement as follows:
L The Agreement is hereby amended by replacing EXhibit A, Section 2.0, Milestone
Billing Cycle of the Agreement in its entirety with Attachment A, attached to this First
Amendment.
2. All other terms, provisions, conditions, covenants and recitals of the Agreement not
expressly amended herein shall remain in full force and effect.

2.0 Milestone Billing Cycle
Professional Services will be invoiced according to the above milestone billing cycle. The
Checkpoint document require a signature from the City of Fort Worth and Kronos to initiate an
invoice. A description of each deliverable follows:
Completion of initial Project Mana�ement Plan
The Kronos and City of Fort Worth will collaborate to develop the initial project management
plan. This plan will include an implementation schedule, project and resource plan, test strategy
plan and a status management plan. Upon agreement of the initial plan by both parties, Kronos
will invoice City of Fort Worth. The project management plan is a living document which will be
updated as the project progresses.
Signed Checkpoint document: Authorization to Proceed to Solution Development
This checkpoint authorization form document are agreement that we are ready to move forward to
Solutions Development. At this point, we agree that we are ready to move forward if the following
activities are complete or do not apply:
o We understand the desired outcomes and goals of the project and have established
success criteria
o We created a schedule to achieve value quickly
o The customer team has complete the Solutions Development Readiness checklist
items and delivered them to the Kronos team
o The testing strategy has been developed with guidance from Kronos, including
registering testers for training and formulation of the testing plan

o The customer team has planned change management activities and included those in
the project schedule
o The integration strategy has been developed with guidance from Kronos.
o A Phase Review has been scheduled
Sign-off of this checkpoint document indicates that we agree that the teams have accomplished the
tasks that allow the project to proceed.
Si�ned Checkpoint document: Authorization to Proceed to Testing
This checkpoint authorization form documents our agreement that we are ready to proceed to
Testing, At this point, we agree that we are ready to move forward if the following activities are
complete or do not apply:
o We have participated in a Final Walkthrough of the designed solution and understand
how each persona in the customer's organization will use it to achieve the desired
outcomes and goals of the project
o We have reviewed the proposed configuration and the customer has signed approval
on the solution documentation
o The customer testing team is scheduled to complete their Kronos training before the
start of testing
o The customer testing team is scheduled to complete their Kronos training before the
start of testing
o The customer has created a testing plan and is prepared to meet the testing schedule
o We have completed (or scheduled) the Testing Readiness Call and the test cases are
prepared
o Employee records have been imported into the database and are set up for testing
o The Kronos solution and testing tools are set up with the appropriate rights and access
for testers
o The proj ect schedule and budget are up to date
o A Phase Review has been scheduled

tasks that allow the project to proceed.
Signed Checkpoint document: Authorization to Proceed to Con�guration Cutover
This checkpoint authorization form documents our agreement that we are ready to proceed to the
cutover process — moving configuration from Testing Environment to Production Environment.
At this point, we agree that we are ready to move forward if the following activities are complete
or do not apply.
o The customer testing team has successfully tested the solution and signed off on all
outstanding issues in the testing activities, including testing of integration according to
scope

o The customer's end user training plan is being executed as strategized in the Change
management Plan, including incorporating any late changes from testing into the user
education materials
o Production Environment is scheduled to be updated from the test environment and tested
as applicable

the tasks the allow the project to proceed.
Si�ned Check�oint document: Authorization to Proceed to Pre-Go-Live Preparation
This checkpoint authorization form documents our agreement that we are ready to proceed to
prepare for launch of the system. At this point, we agree that we are ready to move forward if the
following activities are complete or do not apply:
o Kronos has successfully remediated any critical go-live issues. The customer testing team has
successfully tested the solution and signed off on all outstanding issues in the testing
activities, including testing of integration according to scope
o The customer's end user training plan has been executed as strategized in the Change
Management Plan; any late changes from testing have been incorporated into the user
education materials
o If applicable, timekeeping terminal users have been enrolled and/or trained to enter time
Signed Checkpoint document: Authorization to Proceed to Go-Live
This checkpoint authorization form documents our agreement that we are ready to proceed to
launch the system as a live environment. At this point, we agree that we are ready to move forward
if the following activities are complete or do not apply:
o Production Environment testing is complete including terminals, VPN testing,
authentication and file transfers wherever applicable
o The deployment checklist has been reviewed and is up to date
o A Phase Review has been scheduled
The Kronos project team support two validation runs and will then conduct a Project Close
meeting. The customer will then be transitioned to Kronos Global Support to continue the long-
term, successful relationship with Kronos.
Sign-off of this checkpoint document indicates that we agree that the teams have accomplished the
tasks that allow the project to proceed.
