F[�RT WURTH, a hame rule municipal carparation of Tarrant County, Texas ("City"),
acting 6y a��d kl�rc�ugh its duly authoriud City Managcr, Assistant City Mana�cr, or
D�rcctor of thc De�clopmcnt Scr�iccs Dcpartmcnt, and KFH-CRC {Texas), L.P., a
Texas lirnited partnership �"Licensee"), acting hy and through its duly auEhorized
manager af its �;eneral partner.
RECITALS
WHEREAS, Licensee i� the owner of t�ie real praperty located at 401 Hemphill
Street, Foi-t Warth, Texas 76104 {"Property"), beu�g mare particul�rly des�ribed II1 tf1E
attacl�ed Exhibit "A" whi�l� is in�or��arated herein for all purposes; and
WHEREAS, the City owns a variable vi�idth public right-af-way (the "Public
Prope rty") adjacent to the Property as shown in the attached Exhibit "B," ���hich is
incorporated herein for all pui-poses, and as recarded in the plat records of Tarrant Cnunty
as plat nunzber FS-19-�87; and
WHEREAS, l.icez�see d�sires to construct, place, and ar�ain�ain certain
i�nprove�ne��ts w�aich will encroach ira, an, abo�e, ar helaw the P«blic �'roperty; and
WHEREAS, to accam�noc�ate the needs of the Licensee, the City will allow the
en�raa�i�rr�ent under tlie tenns and canditions as set forth in thi�s A�-eement.
NDW, THEREFURE, the City and Licex�see agree as �'ollows:
AGREEMENT
1.
The Ciry, in consideration af tl�e payment by Licensee of the fee set out belaw
and cavenants and ag►-ee�nents hereinafter contained to �e kept and perforrr�ed by
Licensce, herehy �rants permission to Licensee to encraa�l� in, on, aE�ove, or below and
occupy a portion of the City's Public Property as des�ribed in and at tl�e lo�ation sllown
on Exhibit "C," �Ert only to the extent shown diereon, for the purpose nf constnicting,
installing, and maintainin� a dag run fenee (the "En�roa�hment"). Upan cornpletion
of the Encroactunent, Licensee agrees to be responsible �'ar maintaining the
Encroa�hment within the Public Properry. Licensee shall nat expand ar
otherwise cause the Encroacfunent to further i»fi-inge En or on �l�e Public Properiy
beyond what is specifcally c�escribed in Exhihit "C"

All construction, installation, maintenance, and operation of tl�e Encroaciunent
and tlie use or occupancy ot� the P�Eblic Property shall comply with and be performec! in
strict compliancc with this A�-ccmcnt and with thc chartcr, ordinanccs, cades, and
policies af t11e City. Priar ta the cortstrE.�ction or installatian of the Encroaclunent,
Licensee shall sub�nit all plans and specifiGatians tn the Director of the Deuelop�nent
Services Department ar duly auth4rized representati�e. Li�ensee shall nat cammence
constructian or installatioz� of tl�e Encroack�nent �or z��ake any use of t}�e Public Prope�ty
until after the execution of this Agreement.
3.
Li�ensee, at no expense ta the Ciiy, shal] ax�ake prvper pro�isions for tl�e
relocation and installation ot any existing or tutua�e uti[ities affected hy such
Encroach�nent and the use and accupancy of tl�e Public Property, includirtg #he securing
thc a�pro�al and cansent of the appropriate utiGty companics and a��ncies of the State of
Texas and its paGtical subdi�i�ions. In the e�ent that any installakion, reinstallation,
relocation, or repair nf any existing nr futt�r� �ctiliry or impra�ements Qwned hy nr
��nstructed hy ar on behaif af the puhlic ar at public expcn5c is made more costly by
virtue of' the �onstruc�ion, anaintenance, ar existence of tkle Gncroachnaent and use of
Public Praperty, Licensee shai] pay ta City an additional am�unt equal to such additional
cost as determined by the Director of Transportatiort and Public Works, the Director o#'
the Water Department, t��c Directar of the Dc�elopmer�t S�rvices Departinent, or thcir
duly atitharized representati�e. Notwrthstanding the foregoing, with respect to fut�v-e
utilities or improvements, City shall use comznercially reasanable efforts ta locate andlor
construct the sa�ne outside of the EncrQachment whene�er passible.
4.
Licensee a��rees that City may enter and utilize the Public Praperty at any time for
any public pw-pase, including installing, repairing, replacing, ar maintainin�
u�ipra�ements to its public facilities ar utilities necessa�•y for the healtl�, safety, aiid
welfare of the puhlic. The City shal] have no responsibility or liability for any damages
rel�ited to thc Encroachmcnt resulting frc�m thc City's use �f the Public PrQperty;
however, the City s�iall maE�e re�sanable effarts to mirtimi�e suct� damage.
5.
Upon tennination of this Ab eement, Licensee sl�all, at the optian of and at no
cxpcnsc �o �he �ity, r�mo�e thc Encroachment and restare thc Public Property to a
condition acc�ptable to the Director of' Transportation and Public Works, the Director ot'
the Water Departmeni, the Director of Ehe De�•elopment Services De�artment ar thev�
duly authorized re�resentati�e. Any 5uch remo�•al of the EncroachmenE shail be in
accardai�ce with tlZen-existu-ig City i-egulatio�zs and policies. It is understood and agreed
ta by Licensee that if this A�reement terminates and Licensee fails to remo�e the

Lncroacfunent and restore the Public Property, Licensee hereby gives City pen�lissioi� tv
remove the �ncroa�hcnent and any supporiing structures from the Public Property, to
resta�-e the Pub{ic P�-operty, and to assess a lien on t�e k'roperty for the costs expended by
the City in taki�g such actions.
6.
ln order to defray all costs of ir�spection and supervision which the City has
incurred or will incur as a result af the construction, maintenance, inspection or
management of� the Encraa�lunent and use of Public Properiy as provided for by this
Agreement, Licensee a�ees to pay to City at tl�e tune thi� Agreement i� requested an
appLi�ation fee in the suin of Fi�e Hundred Dollars (�540.04). Additianally, Licensee
agrees to pay a fee i� ttie amount o# $1.44 per squarel�near foot of tl�e enc�•aachment area
upon execution ot this A�reement and annually tttereafter.
"7.
The term nf thi5 A�*reement shall be fc}r thirty (30} years, cc�mmcncing on the
date thi5 A��-eement is execLited hy City. This A��-eement shall autaz��atically rcnew for
thz•ee (3) additional ten (]0) yeaz• perio�Es tinless either party gi�es notice ta the otlie��
party, nat less than ane h�tndred eighty t l 80} days priar to the scheduted expiration of
th�s Agree�nen#. Howe�er, the City inay terminate tllis A�reement upon Licensee's
nonco€npl�►nce with any of #lle terms of ti�is Agreeinent. City sl�all nfltify Licensee in
w�-iting of any such nan�ompliance and if Li�ensee does not ciire the noncainpliance
within thirty (3D) days of notice fram City, �ro�ided such noncampliance is of a type or
nature that can be cured within thirty (3�} days, the City may tern�inate tf�is A�reement.
lf the noncompliance is not ot a type ar nature that can be cured within t�iirty (3�} days,
thcn, so lon� as Liccnsee i� diligcntly pursuin� corrcctic�n thcrcc�f, in City'S sc�le
discretion, City will not terminate ti� Agreement.
8.
It i� fiu-ther understaod and agreed bctwecn the parties hereta t��at tlle Public
Pr�perty ta b� used and encr�ached �tpon i� held by City as trustce for the public; that
City exerci�es such pawers o�cr tho Public Property as ha�e becn dcicgatcd to it by tl�c
Constitution of the State of Texas or by the Texas Legislature; and t��at City canr�ot
cantract away its duty and its le�islative power to control the Public Properry fQr the use
and benefit of the public. It is accordingly a�reed ttiat if t��e gaverning body of City rnay
at any time during the te�m hereof determine in its 5ole discretion tn usc or cau5e or
p�rinit the Public Property to bc usEd for any othcr pubGc purpos�, ll1CILlCIl17g �7Llt not
being limited to undergraund, Surface, or a�erhead communicatinn, drainage, sanitary
5ewerage, transmission of natural gas ar electri�ity, or any other public purpo5e, w�ether
presently cantemplaced ar not, that the parties a�-ee ta negotiate ui gaod faith in order to
accammodate boih t�ie En�roachment and the public purpnse.

While tiiis A��eernent is in effe�t, Li�ensee agrees to fiirnish City with a
Certiticatc of Insurance narning City as certiCcatc holder as proaf that i� has s�cured and
paid for a pnlicy of �ublic �iability insu�•ance co�erir�g all public risks r�latcd to the
proposed use and occupancy ❑f pubEic pt-operty as located anc� described in Exhihit "C."

with the underst�nding and agreement by Licen�ec #hat such insurancc a�nounts may he
re��ed upward at Ciry's �ption and tl�at Licensee shall s� re�isc such amc�unts

shall not be canceled or a�nended without at least tflirry (34} days prior written notice ta
the Building Officiai of the City. A copy of slich Certificate of Insurance is attached as
Exhihit "D" and incorporated hereui for a11 purposes. Licensee agrees, binds, and
ob�igates itself and its successors and assigns to n�aintain and Eceep ui force such public
liabifity in5urance at all times durin� tl7e term af thi5 Agreement and until the re�na�al of
thc Encroachment and restorati��� �f thc Public Property. All insuran�e �o�erage
required hereu� sl�all include coverage of all Licensee's cantractars and subcontractvrs.

11.
Licensee agrees to deposit with the C:ity when this Agreement is executed a
sutficient sum of maney to be used to pay necessary fees to record this Agreement in the
rcal property rccc�r�s of thc c�unty ir� which thc Encroachmcnt i.5 locatc;d. Aftcr bcing
recorded, the original shall be returned to the City Secretary af tlze City af Fort Worth.
l2.
Licensee a�-ees to comply fully witli all applicable federal, state, and local laws,
stattrtes, ordu�an�es, codes, and regulations in connection with the constru�tion,
operatiai�, and maintenan�e of the Encroacfunei�t and �se of the PubGc Praperty.
]3.
Liccnsec a�rccs to pay pi-omptly whcn duc all fccs, taxcs, or rcntaLS prc��idcd for
by this Agreement or by any tederal, state, or local statute, law, or regulation.
14.
Li�ensee co�enarits and agrees that it shal] operate hereunder- as a� independent
contractor as to all rights and privileges �-anted hereunder and not as an officer, agent,
servant, or employee af City, and Licensee shall l7ave excl�tsive cantrol of and the
ex�lusi�e right to cont�•ol the details of its operations, ai�d all persans perfon�ning same,
and shali be sQlely responsb�e for ttle acts and omissians of its af�cers, agents, servants,
employees, cantractors, subcontractQrs, licensees, and invitees. The doctrine of
respondeat superior shall not appiy as hetween City and Licerlsee, its Qf�cers, agents,
ser�ants, employc�s, contractors, and subcontractors, and nothing hereir� shall be
construed as creating a partnership or joint enterprise between City and Licensee.

Licensee agrees and acknnwledges that tl� A�'eeinent is salely for tlie purpose
nf perinitting Licensee to con5truct, mairttau�, and locate tlie Encr�a�hment o�er or withu�
the PubG� Property and is not a car�veyance of any right, title, or interest in or to the
Pubiic Property, nor is it meant ta can�ey any right to use or occupy property in which a
third-parry may have an interest. Licensee agrees that it will obtain all necessary
permissions laefore occupyirtg such property.

In any aGtion hrouaht by the City for tl�e enfarcement of the obligations of the
Licensee, City sllall be entitled to reca�er u�tei-est and reasonabfe at[arneys' fees, if City
is deemed the prevaiiing party by a cou�-t of caYnpetent jurisdiction.

17.
The parties agree that the duties and abligatians contained in Section 5 shall
sur�vi�e the termulatian af this Agreernent.
18.
Li�ensee cor�ez�ants and agrees t�at it wi�ll z�ot assign all or any of its rigl�ts,
privileges, �r duties under this Agreemeni without the wrrtten a�pror�al of the �ity, and
any attempted assigrvnent without sucli written appro�al shall be �oid. �n t�ie e�ent
Licensee con�eys t�ie Property, Licensee inay assign all of i�s riglits and abligations under
this Agreement to the new owner of the Property, and Licensee shail be deeined released
from its duties and abligations hereunder upon City's approval �n wr�t�ing of such
assignment, which appro�val shall nat be unreasariably conditianed or withheld.
Forec�osure by a secured lender ot I�icerisee or assi�mer�t ko a secured leaufer by
Licer�see iri the c�cnt of' defauli or otherwi�e shall not require City appro�al pro�idcd t�at
said lender notifies City u� writing withn� sixty (60) days of such fore�lasure ar
assignmcnt and assumes al� of Li�ensee's rights and nbligat�ans hereunder. Hc�we�er, no
�hange af awnership due ta fnreclosure ar assi�nment to any sec�u'ed lender af Licensee
shalf be effecti�e as ta City unless and ur�til w�•itten notice of such foreclosure or
assignment is pro�ided to City.

Any cause of action for breach af this Agreement shall be brougl�t �n Tarrai�t
Counry, Texas. This Agreetnent shall be �o�erned by �he laws of tlle State of Texas.

21.
