THIS AGREEMENT is rnade and emered into by and betweei� THE CITY OF
FORT WORTH, a home rule municipal corporation of Tarrant Caunry, Texas ("City"),
acting by and through its duly autharized City Manager, Assistant City Manager, flr
Director of the Developnnent Services Department, and BPCO Properties, LLC, a
Colarado limited liability company ("Licensee"}, acting hy and through its duly
authorized Manager.
RECITALS
WHEREAS, Licensee is the own.er af the real property located ai i 3064 5a�inaw
Blvd., Fart Worth, Texas 76179 {"Property"), being more particularly described ii1 the
attached Exhibit "A" which is tncorporat�d herein for all purposes; and
\ WHEREAS, the City owns a 3Q' Water and Sanitary Sewer Easement and a 1 S'
Sani�ary Sewer Easement (the "Public Property") adjacent to the Property as shown in
the attached Exhibit "B," whzch is incorporated herein for all purposes, �and as recorded
in the deed records of Tarrant County by i�strument number D218�61704]; and
WHEREAS, Licensee desires to construct, place, and maintain certain
impravements whic� will encroach in, on, above, or below the Public Property; and
WHEREAS, to accammoda�e the needs of the Licensee, the City will allow the
encroachment under the terms and conditions as set forth in this Agreement.
NOW, THEREFORE, the City and Licensee agree as �ollaws:
AGREEMENT
1.
The City, in consideratian of the payment by Licensee af the fee set out belaw
and cavenants and agreements hereinafter contained to be kept and performed by
Licensee, herehy grants permission to Licensee ta encroach in, on, above, ar belaw and
occupy a portion of the City's Publie Property as described in and at the locatian shown
on Exhibit ��C," but only to tfie extent shc�wn thereon, for the p�rpose of constructing,
installing, and maintaining a Water, Electric, Gas and Storm Water lines crossing into
a 30' Wat�r and Sanitary Sewer easement; Sanitary and Storm Water lioes
encroaching into a 15' Sanitary Sewer Easement {the "Encroachment"}. Upon
comp�etior� of the Encroachment, Licensee agrees io be responsible for maintaining the

Encraachment within the Pub�ic Property. Except as set forth her�in, Licensee slaall not
expand or otherwis� cause the Encroachment ta further infringe in ar on the Public
Property beyond what is specifically described in Exhibit "C."

All canstructian, insta�lation, maintenance, and operation of the Encroachment
a��d ih� use or occupat�cy of the Public Property shalI comply with and be performed in
strict campliance with this Agreerr�ent and with the charter, ordinances, codes, and
policies of the City. Prior to the construction or instalIation of the Encroachment,
Licensee shall submit all plans and specifications to the Director of the Develapment
Services Department or du�y autktorized representative. Licertsee shall not commence
eonstruction or installation of the Encroachment ilor make any use of the Public Property
until af'ter the execution of this Agreeir�ent.
3.
Licensee, at no expense to the CiC�, shall make proper provisions for the
relocation and installatian of an� existing or future utilities affected by such
Encroachment and the use and occ�pancy of the Public Property, including the securing
the approval and consent of the appropriate utility Companies and ageracies of the State of
Texas and its politicaI subc�ivisions. In the event that any installation, reinstaIlation,
relocatian, or repair of any existing or future utility or improvemez�ts owned by or
eons#ructed by or on be�aIf af the public or at p�blic expense is made more costly by
virtue of the canstructian, maintenance, or existence of the Encroachment and use of
Public Praperty, Licensee shall pay to City ar� additional amount equal to such additional
cost as reasonably d�termined by the Director of Transportation and Public Works, the
Direc�or of the Water Departrnent, the Direct�r of the Developm�nt Services Department,
or their duly authorized representativ�.
4.
Licensee agrEes that City may ent�r and utilize the Public Praperly at any time for
any pulalic purpose, incl�ding installing, repairing, replacing, ar maintaining
innprovements to its public facilities or utilities necessary for the health, safery, and
welfare of the public. The City shall have no respon.sibiliry or liability for any darr�ages
related to the Encroachrnent resulting from the City's use of the Public Praperty;
however, fihe City shall make reasonable efforts to mininuze such damage and repair any
damage caused by its ent�y thereon.

Upon termination af this Agre�ment, Licensee shall, at the option of and at no
expense to the City, remove the Encroachment and restore the Public Property to a
condition acceptable to the Director of Transportation and Public Warlcs, the Director of
the Water Department, ihe Director of the Developrz�ent Services Department ar their

duly authorized representative. Any such removal of the Encraachment shall be in
accordance with then-existing City regulatians and policies. It is understood and agreed
to by Licensee that if this Agreement terminates and Licensee fails to remove the
E�craachment and res�ore the PubIic k'raperty, Licensee hereby gives City permissian ta
remove the Encraaehm�nt and any supporting structures from the Public Property, to
restore the Public Property, and to assess a lien on the Property for the costs expended by
the City in taking such actions.
G.
In order to defray alI costs o�' inspection and supervision which the City has
incurred ar witl incur as a r�sult of the construction, mair�tenance, inspectian or
management of the Eneroaehment and use af Pubtic Property as prc�vided far by this
Agreement, Lic�nsee agrees to pay to City at the time this Agreement is requested a one-
time application fee in the sum of Five Hundred DoIlars {$Sp0.00).
7.
The term af this Agreeznent shall �e for 30 years with auto-renewaI unless written
notification is provided to the Deve�opment Services Department ] 80 days prior ta
coniract �xpiration comrr�encing an the date this Agre�ment is executed by City.
Howeve�•, the City may terminate this Agreeir�ent upon Licensee's noncompliance with
any of the terms of this Agreement. City shall i�otify Licensee in writing of any such
noncompliance and if Licensee does not c�re the noncompliance within thirty (30) days
of notice from City, the City may terminate this Agreezne:nt. Ho�vever, the City may, at
its sole option, allow the Agreement to remain in effect so long as Licensee has taken
reasonable measures to cuz'e the noncompliance or is continuing to diligently attempt to
remedy the noncampliance.
8.
It is further understood and agreed between the parties hereto that the Public
Property to be used and encroached upon is held by City as trustee for the public; that
City exercises such powers over the Public Properiy as have been delegated to it by the
Constitution of the State of Texas or by the Texas Legislature; and that City cannot.
co�ltract away its duty an� iis legislative pawer to contral the Public Property far the use
and benefit af the public. It is accordingly agree� that if the goverr�ing body of City may
at any time during the term hereof determine in its sole discretion to use or cause or
permit the Public Property to be used for any other public purposc, including but not
being limited to underground, surface, or overhead communication, drainage, sanitary
sewerage, transmission of natural gas qr el�ctricity, or any other public purpase, whether
presently contemplated or not, that the parties agree to n�gotiate in good faith in order to
accommodate both the Encroachment and the public purpose.

FROM AND AGAlNST ANY AND ALL CLAIMS OR SUITS FOR PROPERTY
DAMAGE OR LOSs AND14R PERSONAL INJURY, INCLUDING DEATH, TQ
ANY AND ALL PERS4NS, OF WHATSDEVER KIND OR CHARACTER,
WHETHER REAL 4R ASSERTED, ARISING �UT OF OR IN CONNECTION
WITH, DIRECTLY QR INDIRECTLY, THE C4NSTRUCTIO�,
MAINTENANCE, OCCUPANCY, USE, EXISTENCE, OR LOCATIQN OF THE
ENCROACHMENT AND USES GRANTED HEREUNDER, WHETHER OR NOT
CAUSED, IN WHOLE OR IN PART, BY THE ALLEGED NEGLIGENCE OF
OFFICERS, AGENTS, SERVANTS, EMPLOYEES, CONTRACTORS,
SUBCONTRACTORS, LICENSEES, ELECTED OFFICIALS, OR INVITEES OF
THE CITY; AND LICENSEE HEREBY ASSUMES ALL LIABILITY AND
RESPONSIBILITY F�R SUCH CLAIMS OR SUITS. LICENSEE SHALL
LIKEWISE ASSUME ALL LIASILITY AND RESPONSIBILITY AND SHALL
INDEMNIFY CITY FOR ANY AND ALL INJURY OR DAMAGE TO CITY
PROPERTY AR�SING �i1T OF OR IN CONNECTION WITH THE
ENCROACHMENTS AND ANY AND ALL ACTS OR OMiS�IONS OF
LICENSEE, ITS OFFICERS, AGENTS, SERVANTS, EMPLOYEES,
CONTRACT4RS, SUBC�NTRACTORS, LICEN�EES, OR INVITEES.
10.
While this Agreement is in effect, Licensee agrees to furnish City with a
Certificate of Insurance naming Ciry as certificate holder as proof that is has secured and
paid for a policy of public liability insurance coverin� all public risks related to the
proposed u5e and occupancy of pub�ic property as Iocated and described in Exhibit "C."
The a�ounts af such insurance shall be not less than
� 1,040,000
with the understandit�g and agreement by Licensee that such insurance amounts may be
revised upward at City's option and that Licensee shall so re�ise such amounts
immediately following notice ta Licensee af such requirement. Such insurance policy
shall ��ot be canceled or a�nended withaut at least thirty (30} days prior written r�otice to
the Suilding Qtficial af the City. A copy of such Certificate of lnsurance is attached as
Exhibit "D" and incorporated herein for all purposes. Licensee agrees, binds, and
obligates itself and its successors and assigns to maintain and keep in force such public
liability insurance at all times during the term of this Agr�ement and until the removal of
the Encroachment and restoration of the Public Property. Ali insurance coverage
required herein shall include coverage of all Licensee's contractors and subcontractors.

11.
Licensee agrees to deposit with th� City when this Agreement is executed a
sufficient sum of money to be used to pay necessary fees to record this Agreement in the
real property records af the county in which ihe Encroachment is iocated. After being
recorded, the original shall be retumed to the City Secretary of the City of Fort Worth.
12.
Licensee agrees ta comply fully with all applicable federal, state, and local laws,
statutes, ordinances, codes, and regulatians in connection with the construction,
operation, and maintenance of the Encroachment and use of thE Public Property.
13.
Licensee agrees to pay promptly when due all fees, taxes, or rentals �rovided for
by this Agreement or by any federal, state, or loca] statute, law, ar regulatian.
14.
Licensee covenants and agr�es that it sk�all operate hereunder as an independent
contractor as to all rights and privileges granted hereunder and not as an olficer, agent,
servant, or employee of City, and Licensee shall have excIusive control af and the
exclusive right to control the details of its operaiions, and aIl persons performing same,
and shall be snlely responsible for the acts ar�d omissians af its afficers, a�;ents, servants,
employees, contractors, subcoiltractors, licensees, and invitees. The doctrine of
respoildeat superior shall not apply as between Ciiy and Licensee, its officers, agents,
servants, employees, contractors, and subcontractors, and nothing herein shall be
construed as creating a partnership or jaint entezprise between City and Licensee.

Licensee agrees and acknowledges that this Agreement �s solely for the purpose
of permitting Licensee to construct, maintain, and lacate the Encraachment over ar within
the Public Property and is not a conveyance ot any right, title, or interest in ar to the
Public Property, nor is it meant to convey aciy right to use or occupy property in which a
third-party may have an interest. Licensee agrees that it will obtain all necessary
permissions before occupying such property.
16.
In any action brought by the City for the enforcement of the obligations of the
Licel�see, City shall be entitled to recover interest and reasonable attorneys' fees.

17.
The parties agree that the duties and obligations contained in 5ection 5 shall
sut'vive the termination of this Agreement.
18.
Licensee covenants and agrees that it will not assign all or any of its rights,
privileges, or duties und�r t�is Agreement without the written approval of the Caty, and
any attempted assignment without such written approval sha�l be void. In the event
Lzcensee canveys the Property, License� may assign all of its rights and obligations under
this Agreetnent to the new owner of the Property, and Licensee shall be deemed released
from its duti�s and obligations hereunder upon City's approval in writing of such
assignment, which approval shall nat be unreasonably conditioned or withheld.
�'oreclosure by a secured lender of Licensee or assignment to a secured lender by
Licensee in the event of default ar otherwise shall not require City approval provided that
said lender notifies City in writing within sixty (60) days of such foreclosure or
assignment and assum�s all of Licensee's rights and obiigations hereunder. However, no
change of ownership due to foreclosure or assignment to any secured lender of Licensee
shall be effective as ta City unless and until written na#ice of such foreclosure or
assignmen� is provided to City.
19.
Any cause of action for breach of this Agreernent shall be brought in Tarrant
County, Texas. This Agreement shall be governed by the laws of the State ot� Texas.

This Agreement shalI be binding upon the parties �ereto and their successors and
assigns.
21.
This Agreement may be executed in multiple co�xnterparts, each of which shall be
considered an original, but all of which st�all constitute one instrurr�ent
