MA1N'I'ENANCE f1GREEMENT
THIS AGREEMENT, made and entered into this 7th �ay o� May
2Q 21 by and between Jennifer F,Ilcr, acting by and through Lennar Homes of Texas
Land and Constz��ction, LTD., hereinafter eeferred to as "Landowrter", and the City of Fo�t
Worth, heeeinafte�� refer�•ed to as "City".
WI'I'NESSETH
WHCREAS, t�e Landowner is the owner of ce�-tain real property described as an
appra�imately 2,000 squaz•e foot tract located in Fort Worth, Tarrant County, Texas
according to the easerr�ent recorded in D220072038, Official Public Records, T�rz•az�t
County, Texas and beingmore particula�•ly desc�•ibed by metes and bounds in �xhibit "A",
hereinafte�� called the "Pt�ope�•ty".
WIIEREAS, the Landowner is proceeding to build on and develop the Pcaperty
accoz•d'angto the Site PIan/Subdivision Plan known as NarthpointePhase 1B, hereinafter
called the "Plan", which is expressly made a part hereof, as approved or to be approved by
the City and the Landowner provides for the construction and t��aintenance ofa Retaining
Wall Faciiity on a po�•tion of the P�•opei•ty; and;
WHEREAS, t�e City and the Landowner, and thei�' st�ccessors and assigns, ag�•ce
that the healtl�, safety and welfare of the residents of the City of Fot•t Worth, Texas req�ire
that a Retaining Wall Facility be constructed and maintained on a portion of the Property;
and;

WH�REAS, ti�e City requices that a Retaining Wall I�acility ("�'acility"} as shown
on the Plan be constructed and adequately �naintained by the Landowner, its successors
and assigns, the lacation and dimensions ofwhich is shownon the attached Exl�ibit "B"
("Facility Property"); a�ld;
NOW, TI-IEREFORE, in consideration of the foregoing premises, the mutual
co�enanis contained hecein, and the following teims and conditions, ihe parlies hereto
agree as follows:
1. The L�.ndowner, its successoz•s and assigns, shall adequately canst��uct and
maintain the on-site Retaining Wal3 �iacility ("Facility") at no expense to the
City of Fort Worth in accot•dance with the design specifications for the Pacility,
attacheti as Exhibit "B", and the current stanclat•ds then in force and effect in
the City of Fort Wo�•th. Adequale maintenance is herein defined as good
working condition so that these facilities are perfortning their design functions.
2. The Landowner, its successors and assigns, shall inspect the Facility and
subrr�it an inspection reportto the City annually. The }�urpose ofthe inspection
is to assure safe and propez� functioning of the Facility. The inspection shali
coverthe entire Facility, which needs maintenaticeoz• ��eplacementto perfornn
their dcsign funciioza, shall be noted 'm the inspectian report along with the
corrective actions to be taken.
3. The Landowner, its successors and assigns, hercby grant pe�•missian to the
City, its autllorized agents and employees, to enter upon the Praperty and to
inspect the Facility Properry wl7enever the City deems iiecessary. Th e purpose
of inspection is to follow-up on z•eparted cfeficiencies andlor to respond to
citizen cainplaints. The City shall providethc Landovwner, lt5 SLiCC0SS01'S and
assigns, copies of lhe inspection findings and a di�•ective to comrnence with the
t•epairs if necessaiy.
4. In the event the Landowner, its successot•s and assigns, fails to rnaintain the
Facility in goad worlcing conditinn acccptable to the City, the City, its
authori�ed agenis and empioyees, may enter upon the Facility Property and

take whatever steps necessary ta correct d�ficiet�cies idctatified in the
inspection reporY and to charge the costs of such repairs �o the Landowner, its
successors and assigns. It is expressly uj�derstood aaad agreeci that the City
is u�der no obligation to routinely maintaitx or repair said Facility, at�d in
no evsnt shall tliis Agreement be construed to im�ose any such obligation
o�� t�e City, such obli�ation is Landowne�•'s.
5. The La.ndownec, its successors and assigns, will perform the worlc necessaty to
keep the l�acility in goad warlcing oz•det' as appi•opriate. In the event tk�e City
putstaant ia tllis AgreEtt�ent, performs work of any nature, ot� expends any fUnds
in performance af said work for laboz�, use afequipment, supplies, materials,
and the like, the Landovvner, its s�accessors and assigns, shall z•cimburse the
City upon demand, ovithin thirty (30) days ot�receipithereof foz• all actual casts
incurced by the City hereunder. In the e�entthatLandowne�•or its successors
or assigns fail ta pay the City forthe cosfs incurred underthis sectian, the City
shall impress a lie� for the eosts of such worl< upon other lats owt�ed by the
Landowner. Such lien shall bc perfected by Filing �n the affice of tlae Co unty
Clerk of Tarrant County, Texas an affidavit identifying thc prope�•ty to be
charged with such �ien, stating the amount thereof, and making z•cfexence to
this Agr�ement.
G. This A�-eeme�t imposcs no liability o� any kind whatsoever on the City. THE
LANllOWNER AGR�ES TO HOLD THE CITY �IARMLES� FROM
ANY LIABILITY IN THE EV�NT THE FACIL�TY FAILS TO
OPERATE P1tOPFRLY. LANDOWNER COVENANT AND AGREE
ANll D�ES HEItEBY INDEMNIFY, HOLD HARML�SS AND DEFEND
THE CITY OF FORT WORTH, �TS AG�NTS, SERVANTS AND
EMPLOYE�S FROM AND AGAINST ALL COSTS, �XPENSES,
LOSSES, DAMAGFS, CLAYMS OR CAUSES OF ACTION
WHATSOEVTR ARISING, OR WHIC�i MYGHT ARISE, FR�M THE
FAILURE OF OWNER OR ANY FUTUR� OWNERS OF THE ABOVE
FACILITITY �'ROPERTY TO MAINTAIN THE RETAYNING WALL
IN ACC�RDANC� HEREWITH, OR AS A R�SULT OF ANY
