TH�S AGREEMENT is made and entered into by and betw�en TH� CITY QF
FORT WORTH, a ho�ne rule rnunicipal corporation of Tarrant Caunty, Texas ("City"),
acting by and through its duly autllorized City Manager, Assistant City Manager, or
Directar of the Develap�nent Sezvices Departrr�ent, and VILLAGES OF SUNSET
POINTE HOMEOWNERS ASSOCIATTON, INC., a Texas non-profit corporatian
("Licensee"), acting by and through its duly authorized offic�r.
REC�TALS
WHER.�AS, Licensee is tile owner of the real property located at 8248 Surnmer
Creek Drive, Fort Worth, Texas 76123 ("Pro�eriy"), being more particularly descrzbed
in the attached Exhibit "A" whicl� is incorporated Ilerein for all puzposes; and
WHEREAS, the City owns a street (the "Publie Property") adjaeent to the
Praperty as sl�own in tlie attaehed Exhibit "B," w�3ic11 is incorporated herein for all
pua�poses, and as recorded in the plat records of Tarrant County as piat number FP-Q19-
035; and
WHEREAS, Licensee desires ta operate a��d anaintain certain iinprovements
vcrl�ich encraach in, on, abave, oz- below the Public i'roperty; and
WHEREAS, to accominadate tlze needs of the License�, the City will aliow the
encroaclunent under the tenns and conditians as set forth in this Agreeznent.
NOW, THEREFQRE, the City and Licensee agree as follows:
AGREEMENT
1.
Tl�e City, zn consideration of the payment by Licensee of the fee set out b�low
and covenaz�ts and agree�nents herei�lafter eontained to be kept and perfor�ned by
Licensee, Ilereby grants per�nission to Licensee to eneroach in, on, above, oar below and
occupy a portion of the City's PubIic Property as desc�zbed i�� and at the location shown
on Exhibit i`C," but only to the extez�t sl�own thereon, for the puipose of operatii�g and
maintainzng canduit �or landscape lighting (the "Encroachment"}. The construction a�
the Encroaehinent was coinpleted prior to the execution of this Agreear�ent. Lice��see
agrees to be responsible for inaintaining th� Encraachment witl�i�� tlie Public Property.
Licensee shall not expand ar o�herwise cause the Encroachment to further infringe in or
on the Public Property beyond what is specifically described in Exhibit "C."

All a�aintenance and opera�ion of the Encroaclunent and the use or occu�ancy of
the Publie Property shall coinply with and be �aerfonned in, strict co�npliance witl� this
Agree�nent and with the charter, ordinances, codes, and palicies of the City. Prior to the
construction or installatior� o� the Encroackunent, all plans and specifications were
submitted ta the Directaz- o� the Development Services Department or duly authorized
representative.

Licensee, at na expense to the City, shaii make proper provisions for tl�e
relocation and installation of any existing or future utilities aff�cted by such
Encroaclunent and the use and occupancy of tl�e Public Property, including �he secu�ng
the approval and consent of the appropriate uiility companies and ageneies of tl�e State of
Texas and its palitical subdivisions. In tk�e event that a��y it�staIlation, reinstallation,
reiocatian, or repair of any existing or future utility or iinprove�nents owned by or
constructed by or on behalf of the public or at public expense is inade more costly by
virtue of tl�e construction, �naintenance, or existei�ce of the Encroachanent and use of
Public Property, Licensee sha11 pay to City an additional amount equal to such additional
cost as detennined by the Director o� Transpartation and Public Woarks, the Director of
the Water Departinent, the Directoz- o� the Develapznent Services Departinent, or their
duly au�ho�-�zed representative.

Licensee agrees that City may enter a��d ut�lzze the Public Property at any tiine for
any public puzpose, iz�cluding installing, repairing, replacing, or inaintaining
iznpz-oveine��ts to its public facilities or utilities necessary for the health, safety, and
welfare of the public. The City shall have ��o responsibility or liability �or any da�nages
related to the Encroachaz�ent resulting fro;n the City's use nf the Publac �z-operty;
however, tl�e City shall inake reasanable eifarts ta inini�-nize suc�� da��age.

Upon tenninatioi� of this Agreeinent, Lice��see shall, at tl�e optio� o�' and at no
expense to the City, remove the E��eroach�ne��t and restore the Pubiic Property to a
conditzan acceptable to the Director of Trai�sportation and Public Works, the Director of
the 'Water Department, the Director of the Develop�neilt Services Department or their
duly authorized representative. Any suels re�novaI o� tl�e Encroacl�nei�� s�all be in
aecordanc� with then-e�cisting City regulatians and poiicies. It is understood and agreed
to by Licei�see that if thi� Agree�nent tenninates and Licensee fails to reinove the
Encraachment and restore the Public Property, Licensee llereby gives City permissian to
reinove the Encroac�unent and any supportii�g structures iro�r� the Public Property, to
restore the Public Property, and to assess a lien an tlae Property for the costs expended by
the City in taking sucll actioi�s,

In arder to defray all costs of inspectian and super�visioi� which the Czty has
incurred or wi11 incur as a�-esult o£ the construction, maintenance, inspection or
annanagez�ent of the Encroach�r�ent and use of Public Property as provided for by #IZis
Agreement, Licensee agrees ta pay to City at the tiine this Agree�nent is requested an
a�plication fee in tlze surn of Five Hundred DolIars ($50d.00). Additio�lally, Licensee
agre�s to pay a fee it� the amount o� �1.44 per square/lizaear £oot of the encz-oacl�ment area
upan execution af this Agreeanrxent and annually thereafter.
7.
The ter-ir� o� this Agreeinei�t shall be far thirty (3Q) years, co��znencing on the
date fihis Agreexnent is executed by City. However, the City may ier�ninaie this
Agreeznent upon Licensee's nancornpliance with any of th� t�rms of this Agreement.
City sllall notify Licensee in writing of any sueh noncomplianee and if Lic�nsee does not
cure the noncompliance within tl�irty {30} days of notice from City, the City xx�ay
ter�ninat� this Agreement. However, the City rr�ay, at its sole nptipn, allaw the Agreement
to remain in effect sa lang as Licensee has take�� reasonable measures to cure the
noncaz�pliance oz- is corztinui��g to diligently atteinpt to retnedy the noncoanpliance.

It is furtl�er undez-stood and agreed between tlie parties hereto that ihe Public
Property to be used and encroached upon is Ileld by City as trustee for the public; tha�
City exercises such powers over the Public Property as have been delegated to it by the
Constitution of the 5tate of Texas or by the Texas Legislat�re; and that City canno�
cantraet away its duty and its le�islative power ta cantral the Public Property foar tl�e use
and benefit af t�1e publac. It is accord'zngly agreed that if the governing body of City �nay
at az�y time duri�l� the term hereof detenrtine in its sole discretion to use or cause or
pennit tlle Public Property to be used for any other public purpose, including but not
being li�nited to underground, surface, or ov�rhead colninui�ication, drainage, sanitary
sewerage, trans�nission of �latural gas ar electricity, or any atl�er publzc purpose, whetl}er
presently conteznplated or not, that the parties agree to negotiate in good faith in order to
acco�ninodate both the Encroachinei�t and the public purpose.
9.
LICENSEE COVENANTS AND AGREES TO INDEMNIFY, AND DOES
HEREBY INDEMNIFY, HOLD HARMLESS, AND D�FEND CITY, ITS
OFFICERS, AGENTS, SERVANTS, EMPLOYEES, AND ELECTED 4FFICIALS
FROM AND AGA�NST ANY AND ALL CLAIMS OR SUITS FOR PROPERTY
DAMAGE 4R LOSS AND/OR PERSONAL INJURY, INCLUDING DEATH, TO

ANY AND ALL PERSONS, OF WHATSOEVER KIND OR CHARACTER,
WHETHER REAL OR ASSERTED, AR�SING OUT OF 4R �N CONNECTION
WITH, D�RECTLY �R INDIRECTLY, THE MAINTENANCE, OCCUPANCY,
USE, EXISTENCE, OR LOCATION OF THE ENCROACHMENT AND USES
GRANTED HEREUNDER, WHETHER OR NOT CAUSED, IN WHOLE OR IN
PART, BY THE ALLEGED NEGLIGENCE 4F UFFICERS, AGENT�,
SERVANTS, EMPLOYEES, CONTRA.CTORS, SUSCONTRACTORS,
LICENSEES, ELECTED OFFTCIALS, OR INVITE�S OF THE CTTY; AND
LICENSEE HEREBY ASSUMES ALL LIABILITY AND RESPONSIBILITY FOR
SUCH CLAIMS OR SUiTS. LICENSEE SHALL LIKEWISE ASSUME ALL
LIABILITY AND RESPONSIB�LITY AND SHALL INDEMNIrY CITY FOR
ANY AND ALL �NJURY OR DAMAGE TO CITY PROPERTY ARiSiNG OUT
�F OR YN CONNECTYON WITH THE ENCROACHMENTS AND ANY AND
ALL ACT� OR OMISSIONS OF LICENSEE, ITS OFFICERS, AGENTS,
SERVANTS, EMPLOYE�S, CONTRACTORS, SUBCONTRACTQRS,
LICENSEES, OR INVIT�ES.

While this Agree�nent is i�1 effect, Lieensee agrees to furnish City with a
Certi�cate of Insura�lce naming City as certificate halder as praaf that is has secured and
paid for a palicy o�' public liabi�ity insurance covearzng aiI public risks related to the
pz-oposed use and occupancy of public property as located and described in Exhibit "C."
The ainou��is of such insurance shall be not less thau

wzti� the undearstanding a��d agreement l�y Licensee that sucl� insura�lce amounts may be
revised upward at City's option and that Licens�e shall so revise such amounts
iininediately followi�lg notice to Licensee of such requirement. Such insura�lce palicy
shall not be canceled or ain�nded without at least thirty (30) days prior written notice to
the Buildin� Official of the City. A capy oi such Certi�icate of �x�surance is attached as
Exhibit "D" azxd z��carporated l�ereiz� for all purposes. Licensee agrees, binds, and
obligates itself and its successors and assigns to maintain and keep in force sucli public
liability insurance at a11 tiines during the ter�n of this Agreeznent and until tlze reinovaI of
the Encroachinent and restoratioi� o� tlle Public Praperty. All insurai�ce coverage
required herein shall include coverage af all Licensee's contractors and subcontractors.

L'zcensee agrees to deposit with the City when this Agreeme�lt is exec�ted a
sufficient sum of inoney to be used to pay necessary fees to record this Agreeineizt in the
real property recards of the county in wl�ieh tl�e Encroacl�nent is located. After being
recorded, the ariginal sl�all be returned to �l�e City Secare�ary o�#��e City a��'art Worth.

12.
Licensee agrees to co�nply fuily with ail applicable federal, state, and local laws,
statutes, ordinances, codes, and regulations in coruzection with the operation and
inaintenance of the Encroachment and use of the Public Property.
13.
Licensee agrees to pay promptly when due all fees, taxes, or rentals provided for
by tlzis Agreement or by any federal, state, or local statute, lar�, or regulatian.
14.
Licei�s�e covenants and agrees that it shall operate hereunder as an independent
contractor as to all rights and privileg�s granted l�ere�znder and not as an aificer, age��t,
servant, or employee of City, and Licensee shall have exclusive co��trol of and the
exclusive right ta cantral tl�e details o� its operatians, and all persoi�s performing saine,
and shall be solely responsibie for the acts and oinissions of its officers, agents, servants,
employees, contraetors, subcontraetors, lic�nsees, and invitees. The doctrine of
respond�at superior shall not ap�ly as between City and Lic�nsee, its officers, a�ents,
servai�ts, ei�nployees, contractors, and subcontractors, and nathing herein s��all be
construed as creating a partnership ar jaint entezprise between City a��d Lice��see.
I5.
Licensee agr�es and ack��ovcrledges that this Agreemex�t is solely £oz- the purpose
of per�nitting Licensee ta aperate, �naintain and locate t�e Encroaeh�nent over or within
the Pubizc Property a��d is not a conveyance of any right, title, or interest in or to the
Public Property, nor is it ineant to convey any right to use or occupy property in wllich a
third-party inay have an interest. Licensee agrees that it wi11 obtain all necessary
pennissions before oceupying such property.
16.
In any action brou�ht by the City for the enforceinei�f of �he obligations of the
L10EI15��, City shalI be entitlec3 ta recover interest and reasa��able atton�eys' fees.

The parties agree that the duties and pbligations contained in Section 5 shall
survive the ter�nination of this Agreement.
18.
Licensee covenai�ts and agre�s that it will not assign all oz' any af its rights,
privileges, nr duties u��der this Agreement without the written approval of the City, and
any atteinpted assignznent without such written approval shall be void. In the event
Lieensee canveys the 1'roperty, Licensee may assigal all o�`its rights and obligations under
this Agre�ment to the new owner of the Property, and L'zcensee shall be dee�ned released
frox�n its duties and obligations hereui�der upan City's approval i�� writing af such
assignment, which appraval sha11 not be unreasonably conditioned or withheld.
Fareclosure by a secured lender afi Licensee or assignment to a secured lender by
Licensee in the eveni of default or othearwzse shall not requir� City approval provided that
said lend�r notifies City in writing within sixty (60) days of such foreclosure or
asaignment and assumes all of Licensee's rights and obIigations hereunder. However, i�o
change oir awnership due to foreclosure ar assigi�ment to any secured I�ender of Lice��see
shall be effecti�e as to City unless and until written notice of such foreclosure or
assigmnent is provided to City.
19.
Any cause of actinn ipr breach of this Agree�r�ent shall be brought in Tarrant
County, Texas. This Agreez�r�ent shall be gavern�d by the laws of the State of T�xas.
20.
This Agz-ee�x�e�nt sl�all be binding upon tlle parties hereto and their successors and
ass�gns.
21.
This Agree�nez�t �nay be executed in multiple couizterparts, eae�� of which shall be
coi�sidered an original, but alI of wl�ich s��all canstitute one instrurnent
