CITY SECRETARY CONTRACT NOTICE OF CONFIDENTIALITY RIGHTS: IF YOU ARE A NATURAL PERSON, YOU MAY REMOVE OR STRIKE ANY OF THE FOLLOWING INFORMATION FROM THIS INSTRUMENT BEFORE IT IS FILED FOR RECORD IN THE REAL PROPERTY RECORDS: YOUR SOCIAL SECURITY NUMBER OR YOUR DRIVER'S LICENSE NUMBER. LICENSE AGREEMENT THE STATE OF TEXAS § COUNTY OF TARRANT § THIS License Agreement ("License") is made and entered into by and between Event Facilities Fort Worth, Inc., a Texas non-profit corporation, acting by and through Mike Groomer, its duly authorized President ("Licensee"), and the City of Fort Worth, a home-rule municipal corporation of the State of Texas, acting by and through Susan Alanis, its duly authorized Assistant City Manager ("Licensor"), as of 2011 ("Effective Date"), RECITALS WHEREAS, Licensor owns certain parkland located at 3220 Botanic Garden Boulevard, Fort Worth, Texas 76107, such land commonly known as the Fort Worth Botanic Garden ("FWBG"); and WHEREAS, Licensee is the owner of a tract of land located at 3400 Bryce Avenue, Fort Worth, Texas ("Licensee's Property") and immediately adjacent to the FWBG; and WHEREAS, the grade of Licensee's Property is significantly above the grade of the FWBG, necessitating a retaining wall on or near the boundary of the two properties; and WHEREAS, a prior owner of Licensee's Property previously constructed a retaining wall by stacking a series of filled barrels ("Existing Wall"); and WHEREAS, the Existing Wall is unsightly and in a state of disrepair; and WHEREAS, Licensee's Property is subject to deed restrictions that disallow removal or disturbance of the Existing Wall; and WHEREAS, Licensee has undertaken efforts to design, construct, and maintain a new retaining wall ("New Wall") immediately adjacent to the Existing Wall to provide a more attractive and stable retaining structure along the boundary of the two properties while complying with the deed restrictions applicable to Licensee's Property; and WHEREAS, Licensee's proposed design and construction of the New Wall requires the use of an approximately three to four-foot wide strip of land inside the FWBG boundary on which the New Wall will be located, as more particularly described in the attached " " Property Description("Property"); and OFFICIAL RECORD CITY SECRETARY FT. WORTH, TX 11-15-11 P02:50 IN WHEREAS, during the construction of the New Wall, Licensee will require the use of an additional approximately ten-foot wide strip of land adjacent to the Property as a temporary construction area, as more particularly described in the attached Exhibit `B" — Construction and Maintenance Area("Construction and Maintenance Area"); and WHEREAS, the Property and the Construction and Maintenance Area lie predominantly within existing maintenance and operations areas used by Licensor's FWBG staff; and WHEREAS, in an effort to expedite construction, Licensor's FWBG staff will grant permission for Licensee's temporary use of additional area in the existing FWBG maintenance and operations areas; and WHEREAS, to facilitate the construction of the New Wall a culvert crossing is required to be installed to gain access to the Construction and Maintenance Area; and WHEREAS, for public safety purposes, Licensee agrees to coordinate the erection of temporary safety barriers in the FWBG with Licensor's FWBG staff, and WHEREAS, throughout the Term (defined below), Licensee will require access to and across the Construction and Maintenance Area to maintain and repair the New Wall as required under this License; and WHEREAS, the Fort Worth Botanic Garden Master Plan that was adopted on June 22, 2010 by the Fort Worth City Council (M&C G-16963) calls for the development of a Children's Garden, with the current maintenance and operations area being identified as one potential location; and WHEREAS, development of the Children's Garden would require measures to address the appearance and condition of the Existing Wall; and WHEREAS, the parties agree that construction of the New Wall will benefit both the FWBG and Licensee's Property; and WHEREAS, on August 9, 2011, the Fort Worth City Council held a public hearing and authorized the use of the Property for the purpose of siting the New Wall and gave Licensor's staff authority to enter into this License (M&C L-15226); and WHEREAS, the parties wish to enter into this License to establish the terms and conditions pursuant to which Licensee may enter onto and use the Property and the Construction and Maintenance Area and other portions of the existing maintenance and operations areas agreed to by Licensor's FWBG staff to construct, maintain, and repair the New Wall. 2 NOW, THEREFORE, for and in consideration of the mutual agreements stated herein and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties agree as follows: 1. GRANT OF LICENSE. Licensor, as owner of the Property, does hereby grant unto Licensee, its legal representatives, successors, and authorized assigns a license to enter upon and use the Property for the purpose of siting the New Wall on the Property. Licensor also grants unto Licensee, its legal representatives, successors, and assigns, a non-exclusive license to use the Construction and Maintenance Area for the construction of the New Wall during the period of initial construction and thereafter throughout the Term and any Renewal Term for the purpose of maintaining and repairing the New Wall, subject to the requirements set forth in Exhibit "C" — Terms and Conditions for Construction and Maintenance and Exhibit "D" — Damag_e to Trees; Remediation Costs, attached hereto and made apart hereof for all purposes. Licensee's use of the Construction and Maintenance Area and any additional areas during the period of construction of the New Wall shall be coordinated with Licensor's FWBG personnel. 2. TERM. This License shall begin on December 1, 2011 and shall continue for an initial term of twenty (20) years, expiring on November 30, 2031 (the "Term"). This License may extend for two additional ten (10) year terms, such renewal terms to be hereinafter referred to as "Renewal Term" or "Renewal Terms". A Renewal Term may only be exercised if no default on the part of Licensee has occurred and is continuing under any provision of this License. This License shall renew automatically unless either party gives the other party no less than sixty days notice prior to the commencement date of the Renewal Term that such Renewal Term shall not be exercised or approved. 3. FEE. Licensee shall pay to Licensor, upon the execution of this License Agreement, $100.00 ("License Fee"). 4. CONDITION OF PROPERTY. On or prior to the beginning of the Term, Licensee shall conduct a thorough and diligent inspection of the Property and the Construction and Maintenance Area. Licensee's execution of this License shall be conclusive evidence that the Property and Construction and Maintenance Area are in satisfactory condition for Licensee's intended use. No promises of Licensor to alter, repair, or improve the Property or the Construction and Maintenance Area and no representations respecting the condition of the Property or the Construction and Maintenance Area have been made by Licensor to Licensee, other than as expressly contained in this License. 5. USE OF PROPERTY. (a) The Property shall be used for the purpose of constructing and siting the New Wall on the Property. The Construction and Maintenance Area shall be used for the purpose of accessing the Property to construct, maintain, and repair the New Wall. Licensee shall not install, erect, assemble, manufacture, fabricate, or construct any permanent structure on the Property other than the New Wall and the culvert crossing. Licensee agrees to coordinate the 3 location and other aspects of the culvert crossing with Licensor's FWBG staff. Landscaping on the Property and on the New Wall shall be in accordance with a written landscaping plan approved by both Licensee and Licensor's FWBG park director, both acting in their reasonable judgment. At Licensee's option, Licensee may obtain appropriate estimates for the cost of completing landscaping on the Property and the New Wall pursuant to the mutually agreed landscaping plan and, in lieu of installing the landscaping, pay Licensor the cost of implementing the portion of the landscape plan north of the Fuller Garden. In such event, Licensor shall install and maintain the landscaping pursuant to the mutually approved landscape plan, and Licensee shall be released from any further landscaping obligations related to the Property and the New Wall in the area north of the Fuller Garden. (b) Licensor shall have access to the Property and the Construction and Maintenance Area for any legal purpose, provided that Licensor shall not construct any permanent habitable vertical structure in these areas without Licensee's approval, which shall not be unreasonably withheld. Additionally, Licensor shall take all necessary precautions to protect and preserve the integrity of the New Wall while using the Property and the Construction and Maintenance Area. 6. CONSTRUCTION. Licensee shall, at Licensee's sole expense, construct the New Wall and the culvert crossing in a good and workmanlike manner and otherwise in compliance with applicable law and construction standards. Licensee shall submit to Licensor the plans for construction of the New Wall and the culvert crossing on the Property ("Construction Plans") prior to commencement of construction. Licensor shall accept or reject the Construction Plans, at Licensor's discretion, in writing within fifteen (15) business days of receipt. When such Construction Plans are approved, the Construction Plans shall be attached to this License as Exhibit "E" —Construction Plans. Licensee shall conduct all construction work in substantial conformity with the Construction Plans. No substantial changes to the approved Construction Plans may be made without the written approval of Licensor. Licensee may commence work on the Property only after the plans have been approved in writing by Licensor. All Construction Plans, specifications, and work shall conform to all legal requirements. Any approvals by Licensor of the Construction Plans or other plans or specifications relating to the New Wall and the culvert crossing shall not constitute or be deemed (i) to be a release by Licensor of the responsibility or liability of Licensee or any of its contractors and their officers, agents, employees, and subcontractors, for the accuracy or the competency of the plans and specifications, including, but not limited to, any related investigations, surveys, designs, working drawings, and other specifications or documents, or (ii) an assumption of any responsibility or liability by Licensor for any negligent act, error, or omission in the conduct or preparation of any investigation, surveys, designs, working drawings, and other specifications or documents by Licensee or any of its contractors and their officers, agents, employees, and subcontractors. Licensee will provide Licensor with four paper and two electronic copies of"as built" plans upon completion of construction of the New Wall, one copy of which plans shall be attached as Exhibit "F" —"As-Built" Plans After Construction to this License. 7. MAINTENANCE AND REPAIR. Licensee shall, at Licensee's sole expense, keep the Property, including the New Wall, in good condition, maintenance, and repair. 4 Licensee will schedule maintenance and repair in coordination with a schedule agreed upon by Licensor. If the Property and the New Wall are not maintained or repaired as required herein, Licensor shall notify Licensee in writing, and Licensee shall have fourteen (14) calendar days from the date of the notice to cure the non-compliance. If Licensee does not cure the non- compliance within fourteen (14) calendar days from the date of the notice (or, if the nature of the cure reasonably requires longer than fourteen (14) days, then if Licensee does not commence the cure within fourteen (14) days from the date of the notice and continue diligently thereafter to complete the cure), then Licensor may provide for the performance of the necessary repairs or maintenance, and Licensee shall reimburse Licensor promptly for all actual expenses related to the repairs or maintenance upon written request of Licensor. All maintenance and repairs performed on the Property shall be done in a good and workmanlike manner and otherwise in compliance with applicable law and construction standards. If Licensee undertakes any alterations to the New Wall, Licensee will provide Licensor with four paper and two electronic copies of"as built" plans upon completion of such alterations, one copy of which plans shall be attached as Exhibit "G" — "As-Built" Plans after Alterations to this License. Licensee shall provide advanced notice to Licensor prior to inspection or maintenance as follows: 24 hours notice prior to inspections, 72 hours prior to minor maintenance, and 30 days prior to major maintenance. Advanced notice is not required to perform repairs that are necessary to preserve the health and safety of the general public. 8. DAMAGE OR DESTRUCTION. In case of damage to or destruction of the Property or the New Wall, Licensee shall cause the damage to be repaired as soon as practicable, at Licensee's sole cost and expense, unless the damage or destruction was caused by Licensor or Licensor's officers, agents, employees, separate contractors, and subcontractors. If the damage or destruction to the New Wall causes any damage to the FWBG, Licensee shall cause the damage to the FWBG to be repaired as soon as practicable, at Licensee's sole cost and expense, unless the damage was caused by Licensor or Licensor's officers, agents, employees, separate contractors, and subcontractors. If Licensee fails to repair damage to the FWBG for which it is responsible within a reasonable time period, Licensor shall notify Licensee in writing, and Licensee shall have fourteen (14) calendar days from the date of the notice to repair the damage (or, if the nature of the repair reasonably requires longer than fourteen (14) days, then if Licensee does not commence the repair within fourteen (14) days from the date of the notice and continue diligently thereafter to complete the repair). If Licensee does not cure the non-compliance within this period, Licensor may provide for the performance of the necessary repairs, and Licensee shall reimburse Licensor promptly for all actual expenses related to the repairs upon written request of Licensor. All repairs to the FWBG shall be done in a good and workmanlike manner and otherwise in compliance with applicable law and construction standards. If damage to the New Wall is caused by the actions of a third party, Licensee may pursue recovery from the responsible party, through all lawful means, of the cost of the repairs of the New Wall. 9. REMOVAL. If the New Wall is removed for whatever reason or cause, Licensee shall be responsible for all costs including deinstallation, transportation, and any required remediation of the Property. 5 10. INTERFERENCE. The License granted shall be used and enjoyed in such a manner as to cause the least possible interference with the use of the FWBG by Licensor and of the general public. 11. LIENS. Licensee will not cause or permit any mechanic's liens or other liens to be filed against the Property or the FWBG by reason of any work, labor, services, or materials supplied or claimed to have been supplied to Licensee. If such a mechanic's lien or materialman's lien is recorded against the Property or the FWBG, Licensee must, at its sole expense, either cause it to be removed or, if Licensee in good faith wishes to contest the lien, take timely action to do so. 12. TAXES AND OTHER CHARGES. Licensor and Licensee intend for the Property to remain exempt from ad valorem taxes because the Property will continue to be owned by Licensor and used to benefit the FWBG. However, if at any time during the Term or any Renewal Term any taxes, general and special assessments, or other charges are levied on or assessed against the Property, any interest in the Property, or any improvements and other property on the Property, then Licensee shall pay those charges. Licensee may, in good faith at its own expense (and in its own name) contest any such taxes, charges, and assessments and must pay the contested amount, plus any penalties and interest imposed, if and when finally determined to be due. 13. HAZARDOUS MATERIALS. Licensee and Licensee's contractors, subcontractors, agents, and employees shall not bring any Hazardous Material in or about the Property or the Construction and Maintenance Area. If the presence of Hazardous Material on the Property or the Construction and Maintenance Area caused by Licensee or by Licensee's contractors, subcontractors, agents, or employees results in contamination of the Property or the FWBG, LICENSEE SHALL INDEMNIFY, DEFEND AND HOLD LICENSOR HARMLESS FROM ANY AND ALL CLAIMS, JUDGMENTS, DAMAGES, PENALTIES, FINES, COSTS, LIABILITIES OR LOSSES (INCLUDING, WITHOUT LIMITATION, DAMAGES FOR THE LOSS OR RESTRICTION OF USE OF THE PROPERTY OR THE FWBG, AND SUMS PAID IN SETTLEMENT OF CLAIMS, ATTORNEY'S FEES, CONSULTANT FEES AND EXPERT FEES) WHICH ARISE DURING OR AFTER THE TERM AND ANY RENEWAL TERM AS A RESULT OF SUCH CONTAMINATION. THE FOREGOING INDEMNITY SHALL SURVIVE THE EXPIRATION OR EARLIER TERMINATION OF THE LICENSE. If the presence of any Hazardous Material on the Property or the Construction and Maintenance Area caused by Licensee or by Licensee's contractors, subcontractors, agents, or employees results in any contamination of the Property or the FWBG, Licensee shall promptly take all actions at its sole expense as are necessary to return the Property and the FWBG to as near as possible the condition existing prior to the introduction of any such Hazardous Material to the Property or the FWBG, provided that Licensor's approval of such action shall first be obtained 6 with respect to actions required by Licensee, Licensor's approval not to be unreasonably withheld. As used herein, "Hazardous Material" means any element, compound, mixture, solution, particle or substance which presents danger or potential danger for damage or injury to health, welfare or to the environment and shall include, but shall not be limited to (i) any pollutant, toxic substance, hazardous waste, hazardous material, hazardous substance, or oil as defined in or pursuant to: (a) the Resource Conservation and Recovery Act, as amended; (b) the Comprehensive Environmental Response, Compensation and Liability Act of 1980, as amended; or (c) the Federal Clean Water Act, as amended; (ii) any other chemical, material or substance (a) which is regulated as a "toxic substance" (as defined by the Toxic Substance Control Act, 15 U.S.C. Sec. 2601 et seq., as amended); (b) which is a "hazardous waste" (as defined by the Resource Conservation and Recovery Act, 42 U.S.C. Sec. 6901 et seq., as amended); or (c) which is a "hazardous substance" (as defined by the Comprehensive Environment Response, Compensation and Liability Act of 1980 ("CERCLA"), 42 U.S.C. Sec. 9601 et seq., as amended); (iii) those substances which are inherently or potentially radioactive, explosive, ignitable, corrosive, reactive, carcinogenic or toxic; or (iv) those substances which have been recognized as dangerous or potentially dangerous to health, welfare or to the environment by any federal, state, municipal, county or other governmental or quasi-governmental authority and/or any department or agency thereof or which are the subject of any other federal, state or local environmental law, regulation, ordinance, rule or bylaw, whether existing as of the date hereof, previously enforced or subsequently enacted, including but not limited to: (a) polychlorinated byphenyls ("PCBs") or "PCB items" (as defined in 40 C.F.R. Sec. 761.3) or any equipment which contains PCBs; (b) any asbestos or asbestos-containing materials; (c) stored, leaked or spill petroleum products; or (d) exposure to which is prohibited, limited or regulated by any federal, state, county, regional, local or other governmental statute, regulation, ordinance or authority of which, even if not so regulated, may or could pose a hazard to the health and safety of Licensee, Licensor and the occupants of or invitees to the Property or the FWBG. 14. DEFAULT AND TERMINATION. (a) Event of Default. Licensee shall be in default of this License if any of its duties and obligations set forth in any portion of this License are not performed ("Event of Default"). (b) Notice to Cure. If Licensor determines that an Event of Default has occurred, Licensor shall provide a written notice to Licensee that describes the nature of the Event of Default. Licensee shall have fourteen (14) calendar days from the date of receipt of this written notice to fully cure or have cured the Event of Default (or a reasonable period thereafter if Licensee has commenced the cure with the fourteen (14) day period and is diligently pursuing the completion of the cure). If Licensee reasonably believes that Licensee will require additional time to cure the Event of Default, Licensee shall promptly notify Licensor in writing during the fourteen (14) day period, in which case Licensee shall have a reasonable period thereafter to complete the cure. 7 (c) Termination for Event of Default. If an Event of Default has not been cured within the time frame specifically allowed under Section 14(b), Licensor shall have the right to provide for the performance of the cure, and Licensee shall reimburse Licensor promptly for all actual expenses related to the cure upon written request of Licensor. 15. INDEMNIFICATION. LICENSEE, AT LICENSEE'S OWN EXPENSE, SHALL INDEMNIFY, DEFEND (WITH COUNSEL REASONABLY ACCEPTABLE TO THE INDEMNIFIED PARTIES HEREIN) AND HOLD HARMLESS LICENSOR AND ITS OFFICERS, AGENTS, SERVANTS, EMPLOYEES AND CONTRACTORS, FROM AND AGAINST ANY CLAIM, LAWSUIT OR OTHER ACTION FOR DAMAGES OF ANY KIND, INCLUDING, BUT NOT LIMITED TO, PROPERTY LOSS, PROPERTY DAMAGE AND/OR PERSONAL INJURY OF ANY KIND, INCLUDING DEATH, TO ANY AND ALL PERSONS, OF ANY KIND OR CHARACTER, WHETHER REAL OR ASSERTED, TO THE EXTENT ARISING OUT OF LICENSEE'S NEGLIGENCE OR MISCONDUCT IN THE USE OF THE PROPERTY OR LICENSEE'S BREACH OF THIS LICENSE. 16. INSURANCE. Licensee shall procure and maintain for the duration of the Term and any Renewal Term insurance against claims for injuries to persons or damages to property which may arise from or in connection with the Licensee's operation and use of the Property or the Construction and Maintenance Area. The cost of such insurance shall be borne by Licensee. Minimum Limits of Insurance Licensee shall maintain limits no less than: (i) Commercial general liability: $500,000.00 combined single limit per occurrence for bodily injury, personal, and property damage. Minimum $1,000,000.00 aggregate. (The general aggregate limit shall apply separately to this project/location or the general aggregate shall be twice the required occurrence limit.) (ii) Automobile liability insurance: $1,000,000 each accident on a combined single limit basis. Licensee shall request of its insurer that each insurance policy required by this License shall be endorsed to state that coverage shall not be suspended, voided, canceled, reduced in coverage or in limits requested, except after thirty (30)days' prior written notice has been given to Licensor. Insurance is to be placed with insurers approved or licensed to do business in the State of Texas with a Best's rating of no less than B+. Licensee shall require its general contractor and subcontractors, to obtain and maintain the same types of insurance and limits of coverage or greater, as Licensor requires of Licensee in this 8 License. The general contractor shall list Licensor as the Certificate Holder and as an additional insured. Upon request of Licensor, Licensee, its general contractor and subcontractors shall provide complete copies to Licensor of all insurance policies. All insurance policies required under this License shall be endorsed with a waiver of subrogation in favor of Licensor. Licensee shall furnish Licensor with certificates of insurance evidencing the coverages required by this clause. The certificates for each insurance policy are to be signed by a person authorized by that insurer to bind coverage on its behalf. In addition, Licensor, its officers, and employees are to be endorsed as an "Additional Insured" as to the Property and the Construction and Maintenance Area. Licensor reserves the right to obtain complete, certified copies of all required insurance policies, at any time. 17. NOTICES. All written notices called for or required by this License shall be addressed to the following, or such other party or address as either party designates in writing, by certified mail, postage prepaid, or by hand delivery: Licensor: Licensee: City of Fort Worth Event Facilities Fort Worth, Inc. ASSIGNMENT. Except as expressly provided herein, Licensee may not assign its interest under this License without written approval of Licensor, which approval may not be unreasonably withheld. Licensee may, however, without Licensor's consent but following at least sixty (60) days' advance notice to Licensor, assign this License to an affiliate of Licensee, to any governmental or quasi-governmental entity created by the City of Fort Worth or the State of Texas, or to any other successor owner of Licensee's Property. 19. GOVERNING LAW. This License shall be construed in accordance with and governed by Federal Law and any applicable laws of the State of Texas. 9 20. CONTRACT CONSTRUCTION. The parties acknowledge that each party and, if it so chooses, its counsel have reviewed and revised this License and that the normal rule of construction to the effect that any ambiguities are to be resolved against the drafting party must not be employed in the interpretation of this License or any amendments or exhibits hereto. 21. NO THIRD-PARTY BENEFICIARIES. This License shall inure only to the benefit of the parties hereto, their successors and assigns. No other third person shall be considered a third party beneficiary of this License. Each party hereto shall be solely responsible for the fulfillment of its own third party contracts or commitments. 22. SEVERABILITY. The provisions of this License are severable, and if any word, phrase, clause, sentence, paragraph, section, or other part of this License or the application thereof to any person or circumstance shall ever be held by any court of competent jurisdiction to be invalid or unconstitutional for any reason, the remainder of this License and the application of such word, phrase, clause, sentence, paragraph, section, or other part of this License to other persons or circumstances shall not be affected thereby, and this License shall be construed as if such invalid or unconstitutional portion had never been contained therein. 23. VENUE. If any action, whether real or asserted, at law or in equity, arises on the basis of any provision of this License, venue for such action shall lie in Tarrant County. 24. COMPLIANCE WITH LAW. Licensee, its officers, agents, employees, contractors, and subcontractors, shall abide by and comply with all laws, federal, state and local, including the Charter and all ordinances, rules, and regulations of Licensor. If Licensor calls the attention of Licensee to any such violations on the part of Licensee, its officers, agents, employees, contractors, or subcontractors, then Licensee shall immediately desist from and correct such violation. 25. GOVERNMENTAL POWERS. By execution of this License, Licensor does not waive or surrender any of it governmental powers. 26. ENTIRE CONTRACT. This License (including the attached exhibits) contains the entire License between Licensor and Licensee, and no oral statements or prior written matter not specifically incorporated herein are of any force and effect. No modifications are binding on either party unless set forth in a document executed by that party. 27. COUNTERPARTS. This License may be executed in several counterparts, all of which when taken together shall constitute one and the same agreement. 28. NOTICE OF SALE OF THE PROPERTY. Prior to the sale or conveyance of any portion of Licensee's Property, Licensee shall give written notice and a copy of this License to the prospective purchaser or grantee and shall provide a copy of such disclosure to Licensor. 10 IN WITNESS WHEREOF, the parties have executed this License to be effective as of the date first above written in Fort Worth, Tarrant County, Texas. Limitations on Use To minimize impact on FWBG operations, throughout the construction process Licensee shall hold coordinating meetings with FWBG staff at least once every two weeks to determine and adjust: (i) the hours during which construction will occur and (ii) the access route through the FWBG that is to be used to enter and leave the Construction and Maintenance Area and the Property ("Access Route"). Construction shall be allowed only during the agreed hours. For purposes of this provision, the term "construction," shall include (i) clearing, dredging, excavating, compacting, or grading of land; (ii) delivery or assembly of materials; and (iii) operation of heavy equipment, including, but not limited to, a backhoe, backhoe loader, boom truck, bulldozer, compactor, crane, dump truck, excavator, grader, grapple truck, loader, pile driver, power shovel, roller, scraper, tractor, trencher, and tunnel boring machine. As approved in the construction coordinating meetings with the FWBG staff, certain construction activities will take place outside the Construction and Maintenance Area within the FWBG maintenance and operations area in order to facilitate construction of the New Wall. Licensee may install a culvert crossing in the FWBG, the location of which must be approved by the FWBG staff. Upon completion of the culvert crossing, it shall become the City's property. All equipment and materials shall be placed and maintained solely within the confines of the Property and the Construction and Maintenance Area. The Access Route shall be used solely for ingress and egress purposes, and no equipment or materials may be placed or maintained on the Access Route except when in transit to or from the Property and the Construction and Maintenance Area. Use of any portion of the FWBG outside of the Property, the Construction and Maintenance Area, and the Access Route shall not be permitted. In accessing and using the Construction and Maintenance Area, Licensee shall comply with all of its obligations and responsibilities under this License and under any and all applicable, federal, state, or local laws, rules, and ordinances. II. Public Safety Licensee shall be solely responsible for initiating, maintaining, and supervising all safety precautions and programs in connection with construction of the New Wall and the associated use of the Property, the Construction and Maintenance Area, and the FWBG. At a minimum, Licensee shall: (i) install and maintain construction fencing in the Adelaide Polk Fuller Garden to deter the public from accessing the work site in that area; 15 (ii) provide one or more traffic-control personnel when equipment or materials obstruct any FWBG or public roadway or impair drivers' ability to see on-coming traffic; and (iii) to the extent construction requires any temporary removal of FWBG fencing or results in new potential access points along the FWBG perimeter, install and secure temporary fencing to deter unauthorized public access to the FWBG. Following installation of any fencing, the Licensee shall contact the Parks and Community Services Department to inspect for proper installation. Licensee shall ensure that all equipment and materials stored on the Construction and Maintenance Area are maintained in an enclosed area that shall be kept locked when not in use, and the Licensee shall provide the FWBG Director with keys for all fence and entry locks. At no time shall any fenced area be left open unless staffed by security personnel. In addition, Licensee shall provide construction and maintenance signs and sufficient barricades at or near work sites to protect the public. Use of traffic control devices shall be consistent with the standards and provisions of Part VI of the Texas Manual on Uniform Traffic Control Devices. Licensee shall utilize appropriate warning lights at all construction and maintenance sites where one or more traffic lanes are closed or obstructed during nighttime conditions. Licensee shall also take all necessary precautions and shall provide all necessary protection to prevent damage, injury, or loss to (i) all persons accessing portions of Property or the Construction and Maintenance Area on which any construction is being performed by or on behalf of the Licensee; (ii) all work performed on or from the Property or the Construction and Maintenance Area and all materials and equipment to be incorporated therein that are under the care, custody, or control of the Licensee, or the Licensee's employees, agents, contractors, or subcontractors, regardless of whether such material and equipment is stored on or off the Property or the Construction and Maintenance Area; and (iii) other property on or adjacent to the Property or the Construction and Maintenance Area. For barricade structures constructed along any public roadway, the Licensee shall be required to ensure that installation and equipment meet the requirements of the Transportation and Public Works Department and the Parks and Community Services Department. Staff from both departments shall be entitled to inspect the barricade structures during and after the installation process. III. Impact on Vesetation The parties acknowledge that construction of the New Wall will require removal of trees and under growth on the Property. However, Licensee shall not cut or remove the previously identified large cedar elm tree located in the Adelaide Polk Fuller Garden. To minimize damage to vegetation from construction, the Licensee shall install orange mesh fencing on the outside drip line of the cedar elm as well as on any other tree that the FWBG Director determines, in his reasonable discretion, is endangered by Licensee's operations under this License. Licensee shall notify the FWBG Director after tree 16 protection measures have been installed and allow the FWBG Director an opportunity to inspect the work before construction begins or continues. The FWBG Director shall have at least two business days following the date on which notice is received to conduct an inspection. The Licensee may begin or resume construction on or after the third business day following the date on which it provided notice to the FWBG Director unless the FWBG Director contacts the Licensee and identifies specific issues that render the tree protection measures unacceptable. If any tree in the FWBG located outside the boundary of the Property is damaged in connection with Licensee's operations, Licensee may be subject to remediation efforts, including paying of remediation costs, in accordance with Exhibit "D" — Damage to Trees, Remediation Costs of the License. Whether the Licensee is subject to remediation for a particular tree will be determined by the FWBG Director in consultation with the City Forester, with such determination taking into account the species of the tree and the condition of the tree prior to the damage. IV. Storm Water Drainage The parties acknowledge that a seventy-two inch (72") and a fifty-four inch (54") storm water line and associated storm drains ("Storm Water Facilities") are located within the boundaries of the Property and the Construction and Maintenance Area and that construction of the New Wall will require re-location, extension and bridging of some of these Storm Water Facilities. Licensee shall ensure that any and all actions affecting the Storm Water Facilities are coordinated with and approved by the Storm Water Assistant Director in the Licensor's Transportation and Public Works Department or that individual's designee. Furthermore, to make certain that adequate infrastructure remains in place to address storm water and run-off throughout the construction process, Licensee shall coordinate its work with the adjacent Harley realignment and storm drain project to ensure that the existing Storm Water Facilities remain in service and unobstructed until the re-located facilities are complete and shall further ensure that any disruption associated with connecting existing Storm Water Facilities to newly installed infrastructure are kept to a minimum. Licensee shall ensure that all other storm drains within the Construction and Maintenance Area remain unobstructed throughout the construction process. Any damage to the drainage structures shall be repaired by Licensee at its sole expense. V. Restoration of Improvements To the extent any road, curb, gutter, irrigation system, utility line, barricade, fence, or other improvement is destroyed, removed, or altered in connection with Licensee's activities under this License, the Licensee shall reconstruct and restore such improvement in a good and workmanlike manner to a condition that is equal to or better than the one in which such improvement existed as of the date this License is fully executed. 17 VI. Landscaping Following Construction Within six months of the date the construction of the New Wall is completed, Licensee shall complete all actions required under the written landscaping plan adopted in accordance with Section 5(a). Prior to planting, Licensee shall provide the FWBG Director with documentation certifying the type and quality of the materials to be planted. The Director may, in exercise of his reasonable discretion, reject any plant material that is unacceptable for one or more specific, clearly identified reasons. Licensee shall ensure that all newly planted materials are covered by a one-year no-cost replacement warranty. 18 EXHIBIT "D" DAMAGE TO TREES; REMEDIATION COSTS In the event of any damage to trees in the FWBG in connection with Licensee's operations, Licensee shall comply with the following: 1. In General Licensee has developed, and Licensor has approved, a tree mitigation plan for the New Wall. This plan allows Licensee to remove certain trees within the Construction and Maintenance Area to facilitate construction of the new Wall, and these trees approved for removal are not subject to the remediation plan described in this Exhibit "D". Licensee and its contractor may attempt to save certain trees that have been approved for removal by this tree mitigation plan, but if any of these trees approved for removal are damaged or destroyed, Licensee shall have no liability for any remediation costs for those trees. Certain trees within the Construction and Maintenance Area are designated to be saved, and the value of each of these trees has been appraised as shown on Table 1 attached to this Exhibit "D". In the event of damage to a tree scheduled on Table 1, Licensee's remediation costs shall not exceed the appraised value for that tree shown on Table 1. Subject to the provisions stated above, the City Forester shall have the right to inspect any trees located in the FWBG for damage by Licensee and, if applicable, will classify damage to trees as slight, moderate, or severe as described below. 1.1 Standards for Measuring Branches shall be measured at the point of attachment or at the lateral to which the branch would be pruned back under ANSI standards. Tree caliper shall be measured according to accepted industry standards. Trees greater than 6" in caliper shall be measured using diameter at breast height(DBH). 2.1. Slight Damage: Slight damage shall be defined as damage that, in the opinion of the City Forester, can be reasonably anticipated to heal. Examples include, but are not limited to, (i) scarring of the trunk into the cambial layer of up to 2" in width but less than 1/3 trunk circumference; and (ii) breaking of limbs that are less than 2" in diameter and less than 1/3 of the trunk caliper. Remediation costs shall be assessed at a rate of$100.00 for each instance of slight damage. 2.2. Moderate Damage: Moderate damage shall be defined as damage that, in the opinion of the City Forester, can reasonably be anticipated to contribute to poor health and slight to moderate reduction in longevity of the tree. Examples include, but are not limited to, (i) scarring of the trunk into the cambial layer greater than 2" in width but less than 1/3 trunk circumference ; and (ii) breaking of 19 limbs more than 2" in diameter but less than 1/3 of the trunk caliper. Remediation costs shall be assessed for each instance of moderate damage at the following rates: (i) for any tree that is more than 20 inches in caliper, the lesser of: (A) one-half of the estimated value of the tree or (B) $300.00 per caliper inch; (ii) for any tree that is less than 20 inches in caliper, $300.00 per caliper inch. 2.3. Severe Damage: Severe damage shall be defined as damage that, in the opinion of the City Forester, can reasonably be anticipated to contribute to a severe reduction in longevity of the tree or otherwise characterized as a catastrophic injury to the tree. Examples include, but are not limited to, (i) scarring of the trunk to the cambial layer greater than 1/3 the trunk circumference; (ii) uprooting a tree or causing a tree to lean; (iii) damage to a scaffolding branch or to a branch greater than 1/3 of trunk caliper; and (iv) removal of a tree. Remediation costs shall be assessed for each instance of severe damage at the appraised value of the tree. 3.1. Payment of Remediation Costs Licensor must make any claims against Licensee for tree damage within six (6) months after Licensee's completion of construction. Licensee shall pay for any such damages within sixty (60) days after Licensee's receipt of Licensor's written notice; however, Licensee may appeal Licensor's cost of the remediation within this sixty (60) day period by hiring a mutually acceptable independent appraiser to value the tree damage caused by Licensee. The Parks and Community Services Department must use funds paid by Licensee for remediation to plant replacement trees within the FWBG and provide proof that these funds were used for this purpose within twelve (12) months of receipt. 3.2.
