THIS MEMORANDUM OF �,EA�E {"Memorandnm"} is made this �t�' day of May

organized under the laws of �he State of Te�tas ("Lessor") and AId CA �1 HANGAR LLC, a Te�as
Iitxiited �iabiiity company ("Lessee").

WITNESSETH:
l. Lessor, as grounc! lessor, and Lessee, as ground Iessee, entered tnto ihat certain
Ground Lease Agreement {as amended, the "Cnround Lease"} dated Apri� 2, 2020, whereby Lessor
leased certain pr�mises to Less�e. Tk�e Ground Lease �ras first amended by Lessor and Lesse on
ranuary 22, 202I, arnended a second time on April 15, 2021, and amended a third time on April
28, 2021. The Ground Lease covers certain premise,s located at ihe Fort Worth Meackzam
International Airport ("Airport"} in ihe City o� For-t Worth, Tarrant County, Texas a�d legalIy
descz-ibed in fihe clocument attached hereto as E�hibit A, �nrhich is expressIy made part of ihis
Memorandum. The Lessor and Lessee hereby record this Mennorandum for the purpose of
providing notice of the Ground Lease, the premises covered thereby and certain teraxzs thereof. Al�
capitalized terms not otherwise defined herein shalI have tlae same meaning as set forth in the
Grout�d Lease.

follows: AREA 51 HANGAR LLC, 4701 N. Main Street, Fort `Narth, Te�as 76106 Attention:
Kenneth A. Broadie.
3. The term of the Graund Lea�e comznences Apri1 1, 2420, and expires on March 31,
2050.
4. The Ground Lease provides for earlier termination upon certain terms and
conditions set forth therein and also contemplates thai ihe tarm may be extended for two (2)
additianal succe�sive terrns of f ve {5) years each, subjeet to compliance wit�Z the conditians of the
Agreem�nts.
5. The Ground Lease is incorporated herein by referenc� and is binding on Lessor and
Lessee. In the event ofi any conflict between the terms of this Memorandum of Lea�e and tl-�e terms
of the Ground Lease, the terms ofthe Ground Lease shai� contral.
