HomeMy WebLinkAboutContract 47707-A1CSC No. 47707-A1 AN�NDN�NT No . 1 TO CITY SECRETARY CONTRACT No. 47707 WHEREAS, the City of Fort Worth (CITY) and Multatech Engineering, Inc., (ENGINEER) made and entered into City Secretary Contract No. 47707, (the CONTRACT) which was authorized by M&C C-27724 on the 17th day of May, 2016 in the amount of $ 950,000.00; and WHEREAS, the CONTRACT involves engineering services for the following project: Keller Hicks Road From Lauren Way to East ROW of Katy Road; and WHEREAS, it has become necessary to execute Amendment No. 1 to the CONTRACT to include an increased scope of work and revised fee. NOW THEREFORE, CITY and ENGINEER, acting herein by and through their duly authorized representatives, enter into the following agreement, which amends the CONTRACT: 1. Article I of the CONTRACT is amended to include the additional engineering services specified in proposal attached hereto and incorporated herein. The cost to City for the additional design services to be performed by Engineer totals $47,780.00. (See Attached Funding Breakdown Sheet, Page -4-) 2. Article II of the CONTRACT is amended to provide for an increase in the fee to be paid to Engineer for all work and services performed under the Contract, as amended, so that the total fee paid by the City for all work and services shall be an amount of $997,780.00. 3. This project is being designed in phases and in coordination with the City of Keller. The project also includes coordination with an adjacent developer. As the project progressed, phasing of the project evolved and changes had to be incorporated into the design plans. Also, additional drainage improvements were required in order to accomplish the final phasing. Finally, a 10-foot sidewalk along both sides of Keller Hicks Road was incorporated into the project as a scope change and required additional ROW acquisition documents to be created to allow construction of the project. These additional design and ROW acquisition services are being paid for and provided with this Amendment No. 1 to the Professional Services Agreement. Both the CITY and ENGINEER have attempted to clearly define the work to be performed and address the needs of the Project. OBJECTIVE The purpose of this task order is to provide for additional services for the completion of complete construction documents and to provide Bidding and Construction Services for the upgrading of Keller Hicks Road from Katy Road to Lauren Way in the City of Fort Worth. The City of Keller is also preparing construction plans (under separate agreement) for the upgrading of Keller Hicks Road from Katy Road to US -377. For the purposes of design work the project is broken down into segments as follows: • Segment 1-East Right of Way Line of Katy Road to US 377 (under separate agreement with City of Keller) • Segment 2-East Right of Way Line of Katy Road to Lauren Way (City of Fort Worth) For the purposes of construction, the project will also be broken into two different segments: • Segment 1-West Right of Way Line of Katy Road to US 377 • Segment 2-West Right of Way Line of Katy Road to Lauren Way The existing roadway is currently a two-lane asphalt roadway with narrow shoulders and open ditch drainage. There are numerous drives and businesses along this portion of Keller Hicks including one major intersections; Katy Road. This section of roadway is identified in the City of Fort Worth Master Thoroughfare Plan as a Commercial Collector with the following future designation, one lane (each direcfion), no transit facility, 2-way continuous left turn lane, no parking, off street side path within an 80 foot right of way- CCO-L 1-TO-TWLT-PO-BOP (80'). Phase 2 began just east of the Katy Road intersection and concluded at US -377. Plans were advanced to 90% including specifications, and OPCC. • It was later determined that Phase 1 should terminate just west of the Katy Road intersection and no Include the Katy Road improvements. Phase 2 would then begin Just west of Katy Road and extend to US 377 and include the Katy Road improvements. • In addition to revising the sheet layouts, cross section sheets this change required revisions to the specifications and the OPCC for each phase. The removal of Katy Road Improvements from Phase 1 required an interim drainage solution for Katy Road. • Multatech prepared a hydrologic and hydraulic analysis of upstream improvements and coordinated this with the developer. This included HECRAS models for upstream improvements and downstream channel improvements. • Changes were made to the drainage patterns upstream which required a significant change to the HECRAS analysis downstream and at the upstream face of the box culvert installation. These changes cascaded into storm sewer connections and phasing. ASSUMPTIONS Right-of-Way research includes review of property/right-of-way records based on current internet-based Tarrant Appraisal District (TAD) information available at the start of the project and available on-ground property information (i.e. iron rods, fences, stakes, etc.). It does not include effort for chain of title research, parent track research, additional research for easements not included in the TAD, right-of-way takings, easement vacations and abandonments, right-of-way vacations, and street closures. Additional Services not included in the existinq Scope of Services — CITY and ENGINEER agree that the following services are beyond the Scope of Services described in the tasks above. However, ENGINEER can provide these services, if needed, upon the CITY's written request. Any additional amounts paid to the ENGINEER as a result of any material change to the Scope of the Project shall be agreed upon in writing by both parties before the services are performed. These additional services include the following: • Negotiation of easements or property acquisition. • Services related to development of the CITY's project financing and/or budget. • Services related to disputes over pre-qualification, bid protests, bid rejection and re-bidding of the contract for construction. • Construction management and inspection services • Performance of materials testing or specialty testing services. • Services necessary due to the default of the Contractor. • Services related to damages caused by fire, flood, earthquake or other acts of God. • Services related to warranty claims, enforcement and inspection after final completion. • Services to support, prepare, document, bring, defend, or assist in litigation undertaken or defended by the CITY. • Performance of miscellaneous and supplemental services related to the project as requested by the CITY. ATTACHMENT "B" COMPENSATION Keller Hicks Road Lauren Way to Katy Road City Project Amendment 1 No.100146 ATTACHMENT B Keller Hicks Road Park Vista Boulevard to Katy Road City Project No. 47707 Time and Materials with Rate Schedule Project I. Compensation a. The ENGINEER shall be compensated for personnel time, non-labor expenses, and subcontract expenses in performing services for Task Orders up to $950,000.00 unless amended. CITY and ENGINEER will agree upon compensation for each Task Order prior to starting work. Each Task Order shall be time and materials. i. Personnel Time. Personnel time shall be compensated based upon hours worked directly in performing the PROJECT multiplied by the appropriate Labor Cate�ory Rate for the ENGINEER's team member performing the work and includes all direct salaries, overhead, and profit. Labor Category Rate as presented in the rate schedule table below is the rate for each labor category performing the work and includes all direct salaries, overhead, and profit. LABOR CATEGORY RATE ($/HOUR)(2014-2015) Principal $235 Project Manager $200 Senior Engineer $170 Engineer $140 Senior Designer $135 CAD $90 II. Non-Labor Expenses. Non-labor expenses shall be reimbursed as Direct Expenses at invoice or internal office cost. Direct Expenses (Non-labor) include, but are not limited to, mileage, travel and lodging, expenses, mail, supplies, printing and reproduction services, other direct expenses associated with delivery of the work; plus applicable sales, use, value added, business transfer, gross receipts, or other similar taxes. III. Subcontract Expenses. Subcontract expenses and outside services shall be reimbursed at cost to ENGINEER plus a markup of ten percent (10%). IV. Budgets. ENGINEER will make reasonable efforts to complete the work within the budget and will keep the City informed of progress toward that end so that the budget or work effort can be adjusted if found necessary. ENGINEER is not obligated to incur costs beyond the indicated budgets, as may be adjusted, nor is the City obligated to pay ENGINEER beyond these limits. If ENGINEER projects, in the course of providing the necessary services that the PROJECT cost presented in Article 2 of this Agreement will be exceeded, whether by change in scope of the project, increased costs or other conditions, the ENGINEER shall immediately report such fact to the City and, if so instructed by the City, shall suspend all work hereunder. When any budget has been increased, ENGINEER'S excess costs expended prior to such increase will be allowable to the same extent as is such costs had been incurred after the approved increase. The Engineer shall be paid monthly payments as described in Section II — Method of Payment. II. Method of Payment a. The ENGINEER shall be paid by the City based upon an invoice created on the basis of statements prepared from the books and records of account of the ENGINEER, based on the actual hours and costs expended by the ENGINEER in performing the work. b. Each invoice shall be verified as to its accuracy and compliance with the terms of this Agreement by an officer ofthe ENGINEER. c. ENGINEER shall prepare and submit invoices in the format and including content as presented in Exhibit B-1. d. Payment of invoices will be subject to certification by the City that such work has been performed. III. Progress Reports a. The ENGINEER shall prepare and submit to the designated representative of the Transportation and Public Works Department monthly progress reports and schedules in the format required by the City. IV.
