PUBLIC PROPERTY EASEMENT ENCROACHMENT LICENSE AGREEMENT

THIS AGREEMENT is made and entered into by and between THE CITY OF
FORT WORTH, a home rule municipal corporation of Tarrant Counry, Te�s ("City"),
acting by and through its duly authorized City Manager, Assistant City Manager, or
Director of the Development Services Department, and JEHAD ALHAWEEL, an
individua 1("Lice ns e e").
RECITALS
WHEREAS, Licensee is the owner of the real property located at 9101
Meadowbrook Blvd, Fort Worth, Texas 76120 ("Property"), being more par[icularly
descrbed 'm the attached Eghibit "A" which is incorporated herein fo�r all purposes; and
WHEREAS, the Ciry owns a sanitary sewer easement (the `�Public Property")
adjacent to the Property as shown in the attached Exhibit "B," which is incorporated herem
for all purposes, and as recorded 'm the plat records of Tarrant County as plat number FS-
84230; and
WHEREAS, Licensee desires to construct, place, and maintain certain
improvements which will encroach in, on, above, or below the Public Property; and
WHEREAS, to accommodate the needs of the Licensee, the Ciry will allow the
encroachment under the terms and conditions as set forth in this Agreement.
NOW, THEREFORE, the Ciry and Licensee agree as follows:
AGREEMENT
1.
The City, in consideration of the payment by Licensee of the fee set out below and
covenants and agreements hereinafter contained to be kept and performed by Licensee,
hereby grants permission to Licensee to encroach in, on, above, or below and occupy a
portion of the City's Public Property as descn'bed in and at the location shown on Ezhibit
"C," but only to the extent shown thereon, for the purpose of constructmg, insta.11mg, and
maintaining a private wate r main, wate r me te r, and re taining wall (the
`<Encroachment"). Upon completion of the Encroachment, Licensee agrees to be
responsble for maintaining the Encroachment within the Public Property. Licensee
shall not expand or otherwise cause the Encroachment to further infrmge m or on
the Public Property beyond what is spec�cally descnbed 'm Exhibit "C."

execu�ior� of this Agreement.
3.
Licensee, at na expense to the C�y, shall make proper provisions for the relocat�on
and installat�an of any existing ox ftrtur� utili#ies affected by such Encro�chment and the
use and occupancy of the Public Property, incluc�ing the securing the approval and cansent
of the a.ppropriat�; uti7iiy co�npar�es and agencies of the State af Texas and i�s palitical
subdivisions. In the event xhat any instal�a�ion, �einstallati�n, �-elocatio�, or repair af any
e�isting or future utility or �rprovements owned by or cor�,s#:�cted by or on beha�f of the
public or at pub�ic exp�ns� is made more castly by vir�e of the construction, rnaintenance,
�r e�stence of the Encraac�ment and use af Public Property, Licens�� �ha� pay to City an
additianal amount ec�ual ia suc� additional cost as d�termmed by the Director of
Transportatian and Pub�.c Wor1�s, the I�ir�ctor of the `Water DeparCrxie�t, the D��ctor of
the Development Services I�epartment, or ihe�r d�ly authorized repr�sentative.
4.
Licensee agrees tba� City may en.ter and utiliz� ihe Public Praperty at any tiine for
any public purpose, incIuding insta.Iling, repai�ing, rep�acing, or mairataining impxovements
to ii� public fac�ies or ut�ities nece�sary for the healtti, safety, and we�'are of �he public,
The City �hal� l�ave no resgansi��ity or liabi�ity for any damages related tc� the
Encroachment resulting from the City's use af �i�e Public Property, however, the City skiall
make reasonable efforts to m�ini�nize such dam�ge.
5.
Upc�n ten�ination af thi,s Agreement, Licensee sf�all, at the option of anci at na
expense to the City, remove the Encroachment and restore the Public Property to a
condition acceptable to the D�rector of Transportation and Public Works, the Director of
tlae Water Departcn�nt, the B�rector of the Develop�ent Services Depart.�ent or their d�ly
autharized re}�r�sen%tive. Any such removaI of the Encroachment s�Zall be m ac�orriance
wit�i then-exisiing City regul�tiar�,s and polici�s. It �s understood and agreedio by L�censee
that if th�s Agreement ter�nuiaies and Licensee �°ails to remave ihe Encroachtnent and
restare the Public Prroperty, I�icensee hereby gives Ciry �ermi�sion ta remov� the
Encroachrrient and any supporting st�-�act�u-es fram the Public Pro�erty, ta restare the Public

Property, and to assess a tien an the Property for the costs e�ended by the City zn takirtg
such action,s.
6.
In order to defray all costs of ir�spection and supervision which the City has inctu�red
or will incur as a xesuit of the construc�ion, znaintcr�ance, inspection or rnaraagement of the
Encroachment and �se af Public Praperty as provided far by this A�re�ment, Licer��e
agrees �o pay to City ai the time this Agr�er�ent i� requesied an app�ication fee in the sum
of Seven Hundred Dolla�-s {$700.00).
7.
T'he term of this Agreenrient shall �e fox tl�irty (30) years, co�nencing on the date
this Agreement �s executed by City. However, the City may terir�i�.te this Ag�reement
upon Licensee's noneomp�ance with any of th� terms of this Agree�nent. City shali notify
Lieern,see m wrztia�g of any such noncompliance and i� Licer�ee does noi cure t.he
noncompliance withizl thirty (30j days of notice from City, the Ciiy may termanate this
Ag�e�ment. However, the City may, ai rts sole optaon, allow the t�greement to rernai� in
effect so lnng as Licensee has taken reasonable measures ta cure 1�e noncompliance or is
continuing to dili�ently attempt to rezr�edy the noncompliance.

Property to be used and �ncroached upon is k�e1d by C�ty as t�stee foar the public; tha� City
exercises such powers over t.�e Pub�ic pro}�erty as haye heen deiegated to it by the
Constitution of the State of Te�sor hy the Te�as Le�is�ah�xe; and that City cannot con�ract
a�vay zts duty and its legisla�i�e power to conh-ol the Pub�ic Property for the �ase arzd benefit
of the pui�lic. It is accordingly ageed that if t�e go�erning bcady of City �y �t any time
during the t�rm hereof detea7a�ine in its sote discretian ta use or cause or �rn�t #h� Public
Properiy to be used far any other p�hlic pt�rpc�sc, inc�uc�ing bnt noi hein� limited �o
undergrour�d, surface, nr averhead cammuxucation, dra�a��, sanitary se�verage,
transm�ssian of r�aturaZ gas or electricity, ar any other pub�ic putpose, wheth�r pres�ntly
conterr�pla.ted or not, ihat tize parties agree ta negpt�te in goai faith in order ta
accommodate both the Encroachment and ttie public pLupc�se.
9.
LICENSEE COVCNANTS AND AGREES TQ �NDEMN�FY, AND DOES HEREBY
INDEMNIFY, HQLD HARMLESS, AND DEFEND CITY, ITS OFFICERS,
AGENTS, SERVANTS, EMPLOYEES, AND ELECTED QFFICIALS F12.OM AND
AGAINST ANY AND ALL CLAIMS OR SUITS FOR PRQPERTY DAMAGE OR
LOSS AND/4R PERSONAL IN�URY, INCLUDING DEATH, TO ANY AND ALL

10.
While this Agreement �s in effect, Licensee agrees to fi�rnish Gity with a Cert�cate
of Ins�zrance narning Ciry as certificate holdEr a� proof L�at is has sec�ared and �ic� far a
pa�ic3= of public �iabil�ty ir�surance caveriar�g all publie risks related to the propcysed use and
occupancy of publxc prop�rty as iocated and descrbed 'm Exb�bit "C." The amaunts of
such insurance s13all 6e not less �Yaan

w�th the unc�rstanding and agreement by Lrcensee that sueh �surance amowa� may be
revi�ed upward at City's op�ia� and t�a.t Licensee shall sa revise such amounts iur�media te �y
�ollowing notice to License� of sueh requirement. Such insurance policy sha�l not be
canceled ar amerzded w�thtaut ai l�ast t���ty (30} days priox written notfce to t1�e Bu�lding
Offic�ial of the City. A ccapy o� such Certifcat� of Ins�aranee is attached as E�hibii "D"
and incozporated herein for all purposes. Licensee agrees, binds, and obli�ates ��elf and
its successors and assigns to ma.intain and keep in farce such pu�lic �iability insurance at
aIl tirnes d�rir,g the term �f this Agree�ent a�d unt� the removal of t.�e Encroxchmen� arxd
�estoration of th� Pe�b�ic Pro�rty. A�1 insurance cov�rage reqt�ired herein shall �c1ud�
coVera�e af aI� Lic�nsee's contractars and subcontractars.

Lieensee agrees to depasz� with �e City when fl�is Agreenzent is e�ecuted a
suf�cient sum of rnaney ta be used to pay necessary fees to reeord th�s Agreement iz� the
reaI property recort�s of th� county zn which the Encroachrnent is toeated. After �eing
recorded, the ori�inal shall be returned to fihe Ci��tyy Secretary af the City of F�rt Worth.

Licensee agrees to corr�ply fulty with all applicabie fec�eral, state, an:d loca� }aws,
statutes, oxdmances, cades, and re�ula.ti�ons in connection wzth the canstruct�an, opera�ion,
and �nair�ter�ance ofthe Encroachment and t�se of t�e Puhlic Property,
13.
License� agrees to pay pro�ptly when c�ue alI fees, taxes, or renta.ls provided for
by this Agreement ar by any federal, state, or local statute, la.w, or regu�ation.
14.
Lice.nsee covenants and agrees that it shafl aperate hereunder as an independent
contracior as to all ri�ts and privileges granted hereunder and not as an offzcer, agen�,
ser�ar�t, or employee o� Czty, and Licensee shaiI have exclusive contrnl of and the exclusive
right to conirol the d.eta� of its operatzons, and all �erso�ns perfornling same, and shal� be
solely respc�nsible for the acis an.d omissions af its affic�rs, ageni�, serva�ts, eznployees,
contracta�s, subcontractQrs, �icez�sees, and inv�ees. The c�octriz�e of re�pondeat superiar
shall not apply as b�tween Crty and Licensee, its officers, agents, servants, eYr�ployees,
contr�ctars, and sut�cantra�toxs, �nd not.�ng herein shall be cansErued as creat�g a
partnership or joint entexprise between City and Licensee.

Licensee agrees and acknowledges thai this Ag�reem�nt is safely for the purpose of
pe��tiing Licensee to const�.ct, mainta�, and locate the Encroac�nnent over or wi�xin the
Pui��ic I'roperly and is noi a conveyance af any rig�t, title, or int�rest � or to t1�e Public
Pro�rty, nor � it meant t� convey any right to �e ar occupy pxo�rty in w�ic� a third_
party may' have �n interest. Lic�nsee agrees t�.t i� vvill obtam all necessary p�rmissions
befare occupyirmg such property.
16.
In any action brought by ihe City far the enforcement o� the ah�igatior� of the
Licensee, City sha11 be entitted to recover interest and reasonable attorneys' fees.
17.
'The partaes agreethat the dufies andabligati�ns contained in SectionS shall survive
tbe termination of th�s Agreement.

Licensee covenants and agrees that it will not assign all or any of its righ�s,
privileges, or duties under �is Agreeznent withaut the w3-itten appro�al of tne City, and
any attempted assignment withaut such written appr��al sk��l be void. In the event
Licensee conveys t�e Praperty, Li�ensee may assign a�l of its righi� and ah�gations undcr
th�s Agr�ement to %�ihe� new owner of the Praperty, and Licensee shall be deetned teleased
from its duties �nd obligations herecuider upe�n City's approval in wrxting of such
assignn�ent, which a�proval �h�� not be �reasonably conditioned or withiield.
Foreclosure by a secured lendex c�f Lice�see o� assignment to a secured lender by Lzcense�
in the event of defautt ar othervvise sha11 not require City appro�a� pravic�ed thai said lender
no�tifies City in writing wit�iri sia�ty (60} days of s�ch �oreclosure or assi�nment and
assumes al� of Licensee's ri�ts and obli�ations hereunder. However, no change af
ownership cltxe to fo�eclosure ar assignmeni to any secured lendex of Licensee shall be
ef�'ective as to City unless and until wzrtten notice o� such foreclosUre or assi�m�nt �
grovided io City.
19.
Any cause �f action for brea�h of ihis Agreerz�ent shall be brought in Tarrani
County, Texas. This Agreerrfent shall be gaverned by th�e �aws of the State of Texas.
20.
This Agre�ment sl�all be binding upan the part�es hereto and tk�.e� successnrs and
assigns.
