HomeMy WebLinkAboutContract 44527 (2)_ � .: ,,� r._ PROFESSIONAL SERVICES AGREEMENT �� : ;-n �� � � �-r Q � � w-� � � � � This PROFESSIONA,L SERVICES AGREEMENT ("Agreement"} is made and entered into by and between the CITY OF FORT WURTH (the "City"), a home rule municipal corporation situated in portions of Tarrant, Denton and Wise Counties, Texas, acting by and through Charles Daniels, its duly authorized Assistant City Manager, and Smith Leadership, LLC ("Vendor"), a Texas Limited Liability Corporation and acting by and through Sara C. Smith, its duly authorized Principal. 1. SCOPE OF SERViCES. Vendor hereby agrees to provide the City with training for civilian employees of the Fort Worth Police Department. Attached hereto and incorporated for all purposes incident to this Agreement is Exhibit "A," `Leader as Coach-2 Day Workshop', more specifically describing the services to be provided hereunder. 2. TERM. This Agreement shall commence upon June 6, 2013, 12:OQPM to 5:00 PM (CST) ("Effective Date") and shall expire on June 7, 2013, 8:00 AM to 12:04 PM (CST), unless terminated earlier in accordance with the provisions of this Agreement. 3. COMPENSATION. The City shall pay Vendor an amount not to exceed $4,000.00 in accordance with the provisions of this Agreement and the attached Exhibit A. Vendor shall not perforna any additional services for the City not specified by this Agreement unless the City requests and approves in writing the additional costs for such services. The City shall not be liable for any additional expenses, including travel, of Vendor not specified by this Agreement unless the City first approves such expenses in writing. Vendor will invoice City for the full amount. Invoices are due and payable upon concIusion of the training. 4. � TERMINATIQN. 4.1. Written Notice. The City may terminate this Agreecnen.t at any time and for any reason by providing the other party with seven calendar days written notice of termination. INDEPENDENT CONTRA.CTOR. It is expressly understood and agreed that the Vendor shall operate as an independent contractor as to all rights and privileges granted herein, and not as agent, representative or employee of the City. Subject to and in accordance with the conditions and provisions of this Agreement, Vendor shall have the exclusive right to control the details of its operations and activities and be solely responsible for the acts and omissions of its officers, agents, servants, employees, contractors and subcontractors. Vendor acknowledges that the doctrine of respondeat s:rperior- shall not apply as between the City, its officers, agents, servants and employees, and Vendor, its officers, agents, employees, servants, contractors and subcontractors. MODIFICATIONS i EXTENSIONS. No extension, modification or amendment of this Agreement shall be binding upon a party hereto unless such exter�sion, modification, or amendment is set forth in a written instrutnent, which is executed by an autharized representative and delivered on behalf of such party. 8. SIGNATURE AUTHORITY. The person signing this Agreement hereby warrants that he/she has the legal authority to execute this Agreement on behalf of the respective party, and that such binding auEharity has been granted by proper order, resolution, ordinance or other autharization of the entity. The other party is fully entitled to rely on this warranty and representation in entering into this Agreement. 9. INTELLECTUAL PROPERTY By accepting this agreement and scope of services, the City agrees and consents that the training materials developed per this contract are the intellectual property Vendor and may be ased solely for the purpose of training clients of Vendor. The rr�aterials may not be used by the Fort Worth Police Department to train anyone outside af the Fort Worth Police Department without written request and signed approval by a representative of the Vendor. Any release of the material will be pursuant to the Texas Public Information Act.
