HomeMy WebLinkAboutContract 55861CSC No. 55861 F+ORT �UVORTH CITY OF FORT WORTH COOPERATIVE PURCHASE AGREEMENT This Cooperative Purchase Agreement ("Agreement") is entered into by and between Consolidated Traffic Controls, Inc. ("Vendor") and the City of Fort Worth, ("City"), a Texas home rule municipality. The Cooperarive Purchase Agreement includes the following documents which shall be construed in the order of precedence in which they are listed: 1. This Cooperative Purchase Agreement; 2. Exhibit A— Seller's Quote, Scope of Services or Purchase Order; 3. Exhibit B— Cooperative Agency Contract (e.g., NJPA, DIR, BuyBoard); and 4. Exhibit C— Conflict of Interest Questionnaire. Exhibits A, B, and C which are attached hereto and incorporated herein, are made a part of this Agreement for all purposes. Vendor agrees to provide City with the services and goods included in Exhibit A pursuant to the terms and conditions of this Cooperative Purchase Agreement, including all exhibits thereto. City shall pay Vendor in accordance with the fee schedule in Exhibit A and in accordance with the provisions of this Agreement. Total payment made under this Agreement for the first year by City shall be in the amount of three hundred seventy-five Dollars ($375,000.00). Vendor shall not provide any additional items or services or bill for expenses incurred for City not specified by this Agreement unless City requests and approves in writing the additional costs for such services. City shall not be liable for any additional expenses of Vendor not specified by this Agreement unless City first approves such expenses in writing. The term of this Agreement shall be for one year beginning on OS/O1/2021 and ending on 04/30/2022. City shall be able to renew this agreement for zero one-year renewal options by written agreement of the parties. Vendor agrees that City shall, until the expiration of three (3) years after final payment under this Agreement, or the final conclusion of any audit commenced during the said three years, have access to and the right to examine at reasonable times any directly pertinent books, documents, papers and records, including, but not limited to, all electronic records, of Vendor involving transactions relating to this Agreement at no additional cost to City. Vendor agrees that City shall have access during normal working hours to all necessary Vendor facilities and shall be provided adequate and appropriate work space in order to conduct audits in compliance with the provisions of this section. City shall give Vendor reasonable advance notice of intended audits. Notices required pursuant to the provisions of this Agreement shall be conclusively determined to have been delivered when (1) hand-delivered to the other party, its agents, employees, servants or representatives, (2) delivered by facsimile with electronic confirmation of the transmission, or (3) received by the other party by United States Mail, registered, return receipt requested, addressed as follows: OFFICIAL REC�RD CITY SECRETARY FT. DISCUSSION: The Transportation and Public Works Department initiated a requisition for an Amended Agreement to purchase School Zone Beacon Communication modems, traffic signal parts, and other related traffic signal hardware and equipment to make necessary upgrade, repair, or bringing the traffic control devices up to standard and compliant with the latest industry requirements. The parts provided under the Agreement include cellular modems for School Zone Beacons, Vehicular and pedestrian traffic signal indication and housing with clam shell, count down pedestrian signal insert, vehicular and pedestrian mounting brackets, pedestrian push button assemblies, traffic signal cables, and other traffic signal parts. Staff recommends awarding an Amended Agreement to Consolidated Traffic Controls, Inc., using the H-GAC Cooperative Purchasing Agreement PE 05-17. No guarantee was made that a specific amount of services would be purchased. However, the department anticipates spending approximately an amount up to $750,000.00 in the first year and $300,000.00 for each year after. Staff reviewed the pricing and found pricing to be fair and reasonable. State law provides that a local government purchasing items under a Cooperative Purchasing Agreement satisfies state laws requiring that the local government seek competitive bids for purchase of items. H-GAC Cooperative Purchasing Contract PE 05-17 has been competitively bid to increase the purchasing power of government entities and simplify the process. ADMINISTRATIVE CHANGE ORDER: An administrative change order or increase may be made by the City Manager in an amount up to $100,000.00 and does not require specific City Council approval as long as sufficient funds have been appropriated. AGREEMENT TERM: Upon City Council's approval, this Agreement will commence upon execution by both parties and continue in accordance with the terms and conditions of HGAC-Contract No. HGAC PE-05-17 or applicable successive HGAC contracts for the same services. Upon City Council approval, this Agreement shall begin upon execution of the Agreement. SUCCESSOR CONTRACTS: The City will use HGAC PE-05-17 to make purchases authorized by _____ this M&C. As noted, HGAC PE-05-17 expires on April 30, 2019. If the HGAC contract is extended, this M&C authorizes the City to purchase similar equipment and supplies under the extended contract. If the HGAC contract is not extended, but HGAC executes a new cooperative contract with Consolidated Traffic Controls, Inc. with substantially similar terms as HGAC PE-05-17, this M&C authorizes the City to purchase the equipment and supplies under the new HGAC contract. FISCAL INFORMATION/CERTIFICATION: The Director of Finance certifies that funds are available in the current operating budget as appropriated, of the General Fund. Member governments are able to use the contracts to make purchases. HGACBuy received and opened ten proposals for Traffic Control, Enforcement and Signal Preemprion Equipment on December 02, 2020. The following companies submitted a proposal: Current Situation This contract is a continuation of an existing contract in our portfolio, consisting of various types of traffic control enforcement and signal preemption equipment. All proposals have been evaluated by H-GAC staff. Nine proposals are being recommended for award. Acusensus, Inc., was deemed non-compliant for failing to meet proposal requirements. Request authorization to negotiate contracts with each respondent listed in the Award Recommendation Table, and as may be applicable, to extend contract assignments to other authorized entities during the contract period.
