RENEWAL AND EXTENSION
OF
MAINTENANCE AGREEEMENT
This Renewal Agreement ("Renewal Agreement") is entered into by and between the City of Fort Worth ("City" or
"Customer") anr�Sirsi Corp ration d/b/a SirsiDynix as successor in interest to Dynix Corporation ("SirsiDynix"),
on this the l day of , 20 . This Renewal Agreement is hereby fully incorporated into,
executed in accordance with, fAnd govern by the terms and conditions of the Purchase and License Agreement
entered into between Customer and Dynix on December 24, 2004, on file and identified as City Secretary Contract
("CSC") No. 31 082 (the"Contract"). Specifically, this Agreement renews and amends Schedule 10 of the Contract
"Maintenance and Support Agreement" as set forth herein and in the attached Quote# 23475 ("Quote")to provide
for hosting services. In the event of a conflict, the terms, payment terms, discounts, product lists and/or Statement
of Work contained within this document shall take precedence over the Contract.
The parties hereby agree as follows:
This Agreement extends the term of the Maintenance and Support Agreement to include the services set forth in the
attached Quote. Customer shall have five (5) one year options to renew the agreement through September 30,
2014. Fees for the maintenance shall be paid in accordance with the attached Quote. In the event no funds or
insufficient funds are appropriated by the Customer in any fiscal period for any payments due hereunder, Customer
will notify SirsiDynix of such occurrence and this Agreement shall terminate on the last day of the fiscal period for
which appropriations were received without penalty or expense to the Customer of any kind whatsoever, except as
to the portions of the payments herein agreed upon for which funds have been appropriated.
This Agreement shall be effective as of the last date executed by all parties. All other terms and conditions of the
Contract not specifically modified, altered or amended herein shall remain in full force and effect.
ADDITIONAL TERMS
Grant of Use. Subject to the timely payment of the applicable fees, the terms of this Schedule and the Master
Agreement, SirsiDynix grants to Customer, for the Initial Term and each Renewal Terms, the right to access and
use the SaaS Services solely for Customer's internal business purposes.
SaaS Services purchased may be accessed by or used to manage no more than the number of License Metrics
specified in the Quote. Additional License Metrics may be purchased under an additional Quote at the pricing as
defined in the Quote in effect at the time the additional License Metrics are added, prorated for the remainder of the
then-current Term. The added License Metrics shall terminate on the same date as the pre-existing subscriptions.
Fees are based on Services and License Metrics purchased and not actual usage.
Hosting Environment. Customer is solely responsible for obtaining and maintaining at its own expense, all
equipment needed to access the SaaS Services, including without limitation, internet connections.
Customer understands that all communication traverses a public internet connection and is unencrypted. The
customer also understands they are responsible for all devices and connectivity methods to reach the SaaS
environment. Should the customer wish to encrypt all traffic the optional VPN solution must be purchased. This
VPN solution is delivered by SirsiDynix and is the only supported method for encryption.
Passwords; Security. Customer is responsible for maintaining the confidentiality of all passwords and for ensuring
that each password is used only by the authorized user. Customer is entirely responsible for any and all activities
that occur under Customer's account. Customer agrees to immediately notify SirsiDynix of any unauthorized use of
Customer's account or any other breach of security known to Customer. SirsiDynix shall have no liability for any
loss or damage arising from Customer's failure to comply with these requirements. SirsiDynix will maintain
Customer passwords as confidential and will not disclose them to third parties.
Customer Data. Customer shall be solely responsible for the accuracy, quality, integrity and legality of Customer
Data and of the means by which it acquired Customer Data. "Customer Data" means any electronic data,
information or material provided or submitted by Customer (including the Customer's patrons and users) to
SirsiDynix through the Services, or which Customer (including the Customer's patrons and users) enters into the
Services or has entered on its behalf, or which SirsiDynix is otherwise given access to under t e Agreement.

Acceptable Use. Customer acknowledges and agrees that SirsiDynix does not monitor or police the content of
communications or data of Customer or its users transmitted through the Services, and that SirsiDynix shall not be
responsible for the content of any such communications or transmissions. Customer shall use the Services
exclusively for authorized and legal purposes, consistent with all applicable laws and regulations. Customer agrees
not to post or upload any content or data which (a) is libelous, defamatory, obscene, pornographic, abusive,
harassing or threatening; (b) contains viruses or other contaminating or destructive features; (c) violates the rights
of others, such as data which infringes on any intellectual property rights or violates any right of privacy or publicity;
or(d) otherwise violates any applicable law. Customer further agrees not to interfere or disrupt networks connected
to the Services, not to interfere with another entity's use and enjoyment of similar services and to comply with all
regulations, policies and procedures of networks connected to the SaaS Services. SirsiDynix may remove any
violating content posted on the Services or transmitted through the Services, without notice to Customer. SirsiDynix
may suspend or terminate any user's access to the SaaS Services upon notice in the event that SirsiDynix
reasonably determines that such user has violated the terms and conditions of this Schedule.
Third Party Software. Customer acknowledges that certain modules of the SaaS Services may contain Third Party
Software. SirsiDynix may add and/or substitute functionally equivalent products for any third party items in the
event of product unavailability, end-of-life, or changes to software requirements. The provision of Content is subject
to availability from third party Content providers and SirsiDynix shall have no liability should such Content become
unavailable for any reason or is no longer available under reasonable commercial terms. "Content" means any
information, data, text, software, music, sound, photographs, graphics, video messages or other material to which
Customer is provided on-line access through SirsiDynix on a subscription basis. Content and Third Party Software
are made available on an "AS IS,AS AVAILABLE" BASIS.

This Amendment may be executed in any number of counterparts, each of which when executed and delivered shall
be an original, but all of such counterparts shall constitute one and the same instrument.
This Amendment shall be effective as of the date of the last signature below.

Other Terms
SirsiDynix SaaS Services are based upon annual circulation and Staff Users. You may use the SaaS Services for up
to 2,910,000 annually circulated items and up to 250 Staff Users; an increase in either circulation or Staff Users
requires additional licensing fees.
S i P2 is based upon certified vendors. You are authorized for 8 certified vendors; an increase in the number of
certified vendors requires additional fees.
Enriched Content is based upon annual circulation. You are licensed for up to 2,700,000 annually circulated items;
an increase requires additional licenses.
SirsiDynix may add and/or substitute equivalent products for any third party items in the event of product
unavailability,Software requirements and/or model number changes.
"Go Live Date"means,with respect to the SirsiDynix Software license orders, the date on which the SirsiDynix
Software is available for operational use for normal daily business, including searching the public access catalog and
circulating materials.
Fees and Payment Terms
Term of any quoted subscriptions is for no less than five (5)years. Subscriptions shall be paid in advance and
early termination of any quoted subscription for any reason will incur a reassessment fee of the full amount of the
discount on the Quote of the subscription received by the customer plus interest. Reassessment amount will be due
within 30 days of early termination. All subscription auto-renew annually after the initial five(5)year term on the
date of the signing of the quote unless So days prior to termination is received in writing to legal @sirsidvnix.com.
The initial term of maintenance and support shall be no less than five(5)years, and shall commence on the
Go-Live date. Maintenance and support shall be paid in 12-month installments in advance and shall auto-renew on
an annual basis after the initial term. Subsequent years'maintenance and support, subscriptions and SaaS Services
fees are to be paid annually in advance on the anniversary of the Go-Live date.
Following the first year of System operation, Support, Subscription, and SaaS subscription fees will be subject to
annual increases.
Any discounts that may be listed on this quote will be applied to the final invoice.

Terms and Conditions
The above document is hereby fully incorporated into the current Agreement executed between SirsiDynix and Customer. If there is no current
agreement between the parties,the terms and conditions of the current SirsiDynix Master Software License and Services Agreement shall be
deemed the controlling Agreement between the parties,a copy of which shall be furnished upon Customer's request.Any and all pre-printed
terms and conditions on Customer's Purchase Order(s)submitted to SirsiDynix are hereby rejected and shall be superseded by the current
Agreement, unless such additional terms are statutorily required of the Customer. In the event of a conflict,the terms, payment terms,
discounts,product lists and/or statement of work contained within this document shall take precedence over the current Agreement between
the parties.In the event Customer desires or requires updated terms and conditions for the continuing business relationship with SirsiDynix,
please contact your regional Sales Representative.

Authorize Execution of a Contract with Dynix Corporation for the Purchase of an Integrated Library
System for the Fort Worth Public Library; Authorize Execution of Interlocal Agreements with
the Cities of Benbrook, Burleson, Haltom City, Keller, Richland Hills and Watauga for Library
Automation Services, Accept Donation from the Fort Worth Public Library Foundation and Adopt the
Attached Appropriation Ordinance
RECOMMENDATION:
It is recommended that the City Council:
1. Authorize the City Manager to execute a contract with Dynix Corporation for the purchase and ongoing
annual maintenance of an Integrated Library System (ILS) for the Fort Worth Public Library (FWPL);
2. Authorize the City Manager to enter into new Interlocal Agreements with Benbrook, Burleson, Haltom
City, Keller, Richland Hills, and Watauga, Texas for automated library and supporting telecommunications
services;
3. Authorize the transfer of $300,000 from the Library General Fund to the Special Revenue Library
Automation Systems Sharing Fund;
4. Authorize the City Manager to accept a donation of up to $513,000 from The Fort Worth Public Library
Foundation (The Foundation) for The Foundation's share of the estimated costs for the ILS;
5. Authorize a non-interest bearing interfund loan from the General Fund to the Special Revenue Library
Automation Systems Sharing Fund in an amount up to $513,000 contingent upon receipt of the funds from
The Foundation; and
6. Adopt the attached appropriation ordinance increasing estimated receipts and appropriations in the
Special Revenue Library Automation Systems Sharing Fund by $933,000.00.
DISCUSSION:
The ILS manages major aspects of library operations, including the online catalog, patron accounts, check-
out and check-in procedures, fines and overdue materials, orders and funds for library materials, holdings
information and management statistics. The library's current ILS is over 15 years old. The vendor no
longer makes improvements to the software, and has already stopped providing maintenance support for
some functions.
The estimated cost for the new ILS is $1.2 million for implementation and $140,000 annual system
maintenance. In Informal Report No. 8515 (August 12, 2003), Council was informed that The Fort Worth

Public Library Foundation agreed to raise up to half of the estimated $1.2 million costs for a new
system` The City will provide the remaining estimated costs with up to $300,000 being transferred from the
Library's Special Revenue Library Automation Systems Sharing Fund. Council approved the final $300,000
as part of the Library's FY 2004/2005 General Fund budget. The remaining $120,000 of this appropriation
is funded from revenues already accepted, but not yet appropriated, in the Special Revenue Library
Automated Systems Sharing Fund.
The Fort Worth Public Library released a Request for Proposal for an Integrated Library System and
Related services on June 17, 2004. Four vendors submitted proposals. The FWPL, The Foundation, IT
Solutions staff, the Library Advisory Board, and the Friends of the Fort Worth Public Library, Inc., conducted
a thorough evaluation of each proposal. Based on the evaluation, the Library recommends accepting the
proposal submitted by Dynix Corporation for its integrated library system, known as "Horizon."
Dynix is one of the oldest and most reliable ILS vendors in the country. The proposed Horizon system is
operating successfully in over 700 libraries worldwide. Dynix is the library's current vendor, and has
provided FWPL with high-quality, reliable service since 1990. The Dynix Horizon system offers the best mix
of features and functions required by the Library for its users, and the company's existing services and
vision for development are best suited to the Library's current and future needs.
The Horizon system offers the best value for the cost. The Dynix proposal was significantly lower than the
other vendors' bids. This turnkey system provides servers, hardware, accessories, proprietary database
software, and peripheral products necessary for the efficient operation of the system. By providing all
hardware and peripherals, Dynix warrants system performance and guarantees that the existing proprietary
system software and subsequent upgrades will operate properly. Additional details about the system and
the selection process were provided in Informal Report 8647 to City Council Members dated December 14,
2004.
After implementation of the system, the Dynix contract establishes an initial 5-year maintenance term, which
may be renewed automatically for additional one-year terms. Annual maintenance charges for the initial 5-
year term are estimated to be $140,000; rate increases associated with the one-year renewals will be no
greater than 5% or the Consumer Price Index, whichever is less. These maintenance payments will cover
the costs of ongoing system support services, remedial and preventive maintenance for equipment and
software, and the routine system updates and enhancements Dynix releases each year.
The Dynix contract will allow the Library to continue providing automated library services for its client
libraries in six Tarrant County cities, referred to as the MetrOPAC. These cities are Benbrook, Burleson,
Haltom City, Keller, Richland Hills, and Watauga. FWPL has previously entered into Interlocal Agreements
to provide library automation.services for these cities. Once the new ILS system is operational, FWPL will
no longer be able to provide automated library services to the other cities. Therefore, the libraries wish to
enter into new agreements for these services to become effective once the new system is in place.
All revenue from buy-in and annual maintenance received from the client libraries will be deposited in
Special Revenue Fund GR03, Account No. 467092, Center No. 084840010000, Library Automation
Systems Sharing Fund (established by M&C G-7311, November 3, 1987). Funds in this account are
reserved to offset the costs associated with improving and expanding the library's automated
system. Under the terms of the Dynix contract, if any of the client libraries elect not to join in use of the new
system, the total system purchase price will be reduced accordingly.
M/ BE - A waiver of the goal for MIWBE subcontracting requirements was requested by the Purchasing
Department and approved by the M/WBE Office because the purchase of goods or services is from sources
where subcontracting or supplier opportunities are negligible.
This system will serve ALL COUNCIL DISTRICTS.

FISCAL INFORMATION/CERTIFICATION:
The Finance Director certifies that upon approval of the above recommendations and adoption of the
attached appropriation ordinance, funds will be available, as appropriated, in the Special Revenue Fund
Automated Library Systems Sharing. Upon receipt of funds from The Fort Worth Public Library Foundation,
the interim financing will be returned to the General Fund.
